東家首半年 擬推10億房產

(吉隆坡3日訊)儘管房市低迷,東家(E&O,3417,主要板房產)仍計劃在今年首半年于本地市場推出總值10億令吉房產。

根據《The Edge財經週刊》,東家未來將推出位于柔佛州的Avira Garden Terraces第2期發展計劃,和位于檳城的斯裡丹絨檳榔(STP)的超級別墅。

同時,該公司正尋找拓展海外業務機會,尤其是英國市場。該公司日前獲得股東批准,旗下間接持有子公司東家公共有限公司(E&O PLC)將于倫敦另類投資市場(AIM)掛牌上市。

安聯星展研究較早前報告指出,該上市計劃可將東家的凈負債率從75%降低至54%;不過該公司面臨的主要風險則是房市低迷的買氣或將拖累銷售成績。

對此,東家副董事經理陳國良承認,目前的房地產市場在動蕩的經濟環境下確實顯得疲軟。不過該公司將持續監督市場動向,並隨之調整銷售和營銷策略。【中国报财经】

与槟州政府签附加协议 东家STP2 填土面积760亩

(吉隆坡22日讯)东家(E&O,3417,主板产业股)与槟城州政府签署附加协议,槟城斯里丹绒槟榔(Seri Tanjung Pinang,简称STP)第二期工程,可进行近760英亩的填土工程。

周三,东家子公司丹绒槟榔发展私人有限公司(Tanjung Pinang Development,简称TPD)与州政府签署该协议。

根据协议,从1997年展开的填土工程,槟城斯里丹绒槟榔两期工程须在2022年13月31日或之前完成。

此外,第二期工程中的191.13英亩地皮,将须交给州政府,这包括在新关仔角(Persiaran Gurney)的131.09英亩地皮。

对此,大马投行分析员指出,该项协议将让东家又踏前一步,把万众期待的STP2发展项目套现。

“根据每平方尺400令吉的销售价,从脱售STP2地皮获得的盈利将会非常高,因为成本低。”

早前,该公司已颁发10亿令吉的2A期填土合约给中国通讯建筑公司,为期30个月。

东家已从马银行回教银行和兴业回教银行,取得10亿令吉的银团便利,用作融资STP2。

吸引市场购兴

随着这工程的进展顺利,投资者的焦点将重新放在公司能否在未来数个月,为STP2获得第一级投资者。

同时,这将引起市场对该股的购兴,且显著推高股价。

EASTERN & ORIENTAL BERHAD-        EXECUTION OF SUPPLEMENTAL CONCESSION AGREEMENT
We refer to the announcements dated 12 April 2011, 14 April 2014, 10 June 2014 and 8 December 2014 in regards to Phase 2 of Seri Tanjung Pinang.

To recapitulate, our subsidiary Tanjung Pinang Development Sdn Bhd (“TPD”) holds the 1992 concession to reclaim and develop approximately 980 acres of land in what is now known as "Seri Tanjung Pinang" (“STP”).  STP Phase 1 totalling approximately 240 acres was reclaimed and development thereon is ongoing.  Via the announcements referred to above, we had announced and detailed the various approvals received in respect of STP Phase 2.

The Board of Directors of E&O is pleased to further announce that a supplemental agreement to the subject Concession Agreement ("SA") was entered into between TPD and the State Government of Penang on 20 January 2016.  The SA addresses implementation of the works and related matters in respect of the said STP Phase 2, the salient terms of which are as follows:-

(i)      STP Phase 2 shall comprise of approximately 760 acres of reclaimed land, which includes within it the replacement area (20 acres) for the coastal road corridor previously reclaimed and surrendered as provided for under the Concession Agreement;

(ii)     the reclamation works that commenced in 1997 shall be completed on or before 31 December 2022 in two phases i.e. STP Phase 1 (completed) and now STP Phase 2;

(iii)    a total of 191.13 acres of land shall be reclaimed and surrendered to the State arising from STP Phase 2, which includes 131.09 acres at Persiaran Gurney;

(iv)    TPD may after completion of reclamation apply to convert those parts of the STP Phase 2 reclaimed land that can be alienated under the terms of the National Land Code 1965 (i.e. after providing for the portions to be surrendered to the Government and for various reserves) from land of leasehold to freehold tenure; and conditional upon payment of the requisite premiums and TPD also complying both with the provisions of the said Code and all conditions imposed by the State Authority, the State Government shall approve the conversion; and

(v)     TPD shall at its own cost and expense provide the State Government with a concept masterplan for the proposed park and other public areas to be developed on part of the 131.09-acre Persiaran Gurney portion.

料為STP2A引入投資者‧東方可獲重估

(吉隆坡16日訊)東方(E&O,3417,主板產業組)股價無風起浪,2月至今已上漲18%,分析員認為,這與東方可能脫售部份斯里丹絨檳榔2A階段(STP2A)股權有關,在未來數月內,這將是東方股價重估的主要催化因素。

聯昌研究表示,產業銷售近期放緩,導致產業公司股價表現平平,東方難以倖免,股價從2014年高峰迄今已經下跌了34%。

股價回升18%

但是,儘管東方今年銷售成績讓人失望,惟從2月至今東方股價已走高18%,顯示這可能因脫售STP2A的消息推高。

東方在檳城共有760英畝的土地復墾計劃,包括總值627萬平方英尺的STP2A及1千435萬平方英尺的STP2B及STP2C。

STP2A的復墾計劃預計在2018年完成,復墾成本為每平方英尺250令吉。

東方在獲取10億令吉銀行貨款進行填土計劃,已經有意引入策略投資者參與STP2A計劃部份股權,以融資這項計劃。

根據該公司管理層透露,該公司的目標是在今年6月找到策略投資者。脫售價將成為估值整個STP2A價值的基准。

聯昌表示,檳城地價因短缺而在今年內激揚,最近的交易顯示,距離STP2A1公里以外的地段已以每平方英尺1千300令吉交易。

按此計算,STP2A空地已值76億令吉,而STP2B及STP2C則值171億令吉;東方持STP2計劃的78.8%權益將值195億令吉。

雖然地價高昂,但在考慮了复墾進度後,聯昌並無大幅度提高東方的重估淨資產估值(RNAV),但若東方能以每平方英尺500令吉出售STP2,該公司RNAV將增加44%,以每平方英尺100令吉計算,RNAV將增加174%。

聯昌維持東方“加碼”評級,目標價為2令吉22仙。(星洲日報/財經‧報導:陳林德)

英镑走弱冲击房产投资 东家末季账面或外汇亏损

(吉隆坡8日讯)随着英镑在今年首三个月走弱13%,东家(E&O,3417,主板产业股)在英国房产投资业务上,于截至3月杪的2016财年末季,可能会出现账面外汇亏损。

艾芬黄氏投资分析员认为,东家贷款给子公司Eastern & Oriental(英国)有限公司(简称E&O英国)的5450万英镑(3亿29万令吉),将受英镑走弱影响。

由于令吉兑英镑汇率在今年首季走强约13%,从年初的6.33,升至3月杪的5.54,预计东家需蒙受约4700万令吉的账面外汇亏损。

但在2016财年的首9个月,东家则获得4300万令吉的账面汇率收益,可部分抵消末季外汇亏损,预计全年总账面外汇亏损达400万令吉。

英国将于6月23日进行是否脱离欧盟全民公投,造成英镑汇率和当地股市波动剧烈。

由此,东家决定展延E&O英国在伦敦证券交易所创业板(AIM)的上市计划,直到公投结束后,这让东家的负债率持续在高位。

“基于能够降低负债率的上市计划被展延,该公司的负债率,将维持在0.75倍水平。”

产业销售逾10亿创新高

东家在2016财年,取得超过10亿令吉的国内产业销售,是公司历来新高水平,高於去年的6亿7200萬令吉。

分析员预测,在2016财年的未入账销售额达到12亿令吉,是2015财年营业额的2.7倍,扶持未来净利增长。

“我们上调2017至2018财年的每股盈利达7至23%,反映公司高於预期的销售记录。”

此外,东家计划在今年6至7月前寻得合作伙伴,发展槟城斯里丹绒槟榔(Seri Tanjung Pinang,简称STP)第二期工程。这项填土工程的总发展值估计为200亿至210亿令吉。

艾芬黄氏研究相信,目前东家的股價还未反映出STP项目的價值,加上该公司是该投行国内产业领域的首选股,因而保持“买入”评级和2.40令吉目标價。

汇率波动 状况不稳 东家终止E&O英国上市

(吉隆坡20日讯)东家(E&O,3417,主板产业股)鉴于汇率波动与全球市场状况不稳,因而决定中止间接子公司Eastern & Oriental(英国)有限公司(简称E&O英国)的上市计划。

东家在文告中指出,该计划中止后,将在截至今年3月杪的财年,把135万英镑(约831万令吉)相关成本,作为开销来注销。

早前,东家建议,E&O英国在伦敦证券交易所的创业板,展开首次公开募股(IPO)计划,以巩固公司在英国的房产发展和投资业务,并提升品牌名声。

同时,E&O英国可借助IPO来加强财政状况,为发展项目融资,包括ESCA House、Landmark House和Thames Tower。

该计划当时还包括相关配售、限售(Restricted Offer)和献售(Offer For Sale)。

主要业务是项目管理

子公司上市告吹‧東方財測下調9%

(吉隆坡21日訊)東方(E&O,3417,主板產業組)基於市場欠佳和匯市波動,而取消子公司倫敦上市計劃。該公司須承擔135萬英鎊(約831萬令吉)的上市相關費用。

分析
分析員認為,上市計劃取消確實打擊東方,但斯里丹絨檳榔第二期(STP2)項目足以抵銷這些影響。

週四閉市,東方微揚1仙,收1令吉59仙。

大眾研究在納進上市相關費用後,將2016財政年淨利預測調低9%。

大眾研究指出,東方原本打算透過上市計劃,將負債比減至0.54倍,並為英國房產項目集資,隨著計劃取消,預期其淨負債比將維持在0.7倍左右,如果房產銷售減緩或STP2進度欠佳,負債比可能進一步提高。

“我們認為,發展商應該保持強穩的財務,特別是在目前的艱難時刻。”

聯昌研究說,上市取消不會影響東方的財務,該公司已透過過渡貸款和另一項英國房產項目所得現金,融資當地的兩項房產計劃。

聯昌表示,雖然東方的負債比高於同儕,但仍不失吸引力,如果預定6月前脫售STP2部份股權給策略夥伴的計劃順利推進,該行可能考慮重估東方。

該行估計,若STP2項目估值與其他交易相符,東方手上78.8%股權的未折現估值將高達195億令吉。

東家末季淨虧1478萬

(吉隆坡26日訊)東家(E&O,3417,主要板房產)截至3月底2016財年末季,淨虧1478萬4000令吉,對比上財年同期為1億50萬令吉淨利;營業額下滑4.2%至1億4903萬令吉,但仍宣布每股派息2仙。

東家向馬證交所報備,公司全年營業額因房產業務營業額下跌而下挫6.3%至4億2122萬令吉;淨利則大跌75%至3680萬令吉。

同時,東家亦宣布多項人事調動。東家副董事經理陳國良將從今年8月11日起卸任;東家董事經理拿督譚家漢將調任公司執行副主席,至于東家董事經理一職,將由郭德昌(譯音)接任。【中国报财经】

郭德祥出任东家董事经理

(吉隆坡28日讯)东家(E&O,3417,主板产业股)董事部出现大变动,大股东兼董事经理拿督斯里谭家汉,将从7月1日开始转任执行副主席。

同时,大马投资银行前任总执行长兼董事经理郭德祥,将会出任东家董事经理。

此外,东家也宣布,副董事经理陈国良,因为合约到期和家庭因素,而辞去董事和副董事经理职务,并从8月11日开始生效。

陈国良辞职令市场感到意外,他在2003年加入东家产业发展公司,担任企业和投资董事,之后在2011年晋升至目前的职位。

根据文告,郭德祥过去多年在银行领域取得杰出成就并深得业界敬重,同时,他也和多家产业发展商有密切的合作。

增持股权至21% 东家董事经理成最大股东

(吉隆坡6日讯)东家有限公司(E&O,3417,产业组)董事经理拿督斯里谭家汉加强他对该产业发展集团的承诺,将其股权从原本的11%增加至21%,成为该集团的单一最大股东。

东家集团也向大马交易所宣布,谭家汉经已以每股2.60令吉的价格,从前大股东森那美有限公司(SIME,4197,贸易服务组)购入1亿2597万8324股股票,从而将对方原本的22%股权降低至12%。

此外,他还以每张30仙的价格向森那美购入所持有的4879万5600张2015/2019年可换股凭单。

谭家汉说:“此次增加公司的持有权,反映了我对东家集团及其多年来建立的品牌具有信心。我相信,集团拥有巨大的发展潜力,而我更是热衷于参与长期增长的轨道上。”

东家股价扬3.8% 谭家汉增持股权

(吉隆坡6日讯)东家(Eastern & Oriental Bhd)集团董事经理拿督斯里谭家汉增持公司股权后,该股今日早盘一度攀高3.8%,至1.65令吉的高位。

截至上午11时42分,该股涨幅收窄至1.64令吉,依然上扬5仙或3.14%,一共有98万8300股易手。该股也是马股今日早盘的上升股之一。

该股在今日一开市,一度攀高至1.65令吉的高位。

东家上周五(6月3日)宣布,谭家汉以3亿2754万令吉,向森那美(Sime Darby Bhd)收购额外10%股权后,前者随即成为东家的单一大股东。

东家在文告中表示,谭家汉透过其私人投资臂膀Paramount Spring私人有限公司,以每股2.60令吉或合共3亿2754万令吉,购入森那美手持的额外1亿2598万股。

森那美的持股权从原本的22%,削减至12%。

谭家汉如今持有东家的21%股权,此前仅持股11%。

MIDF研究分析员Jessica Low Jze Tieng今日在研究报告中指出,长远来看,上述购股计划对东家来说是正面的,因为这也反映出公司的主要管理层对东家的长期价值深具信心。

此前,东家也宣布,谭家汉将卸下集团董事经理一职,今年7月将受委为执行副主席。

“谭家汉增持东家的股权,料将提升投资者对公司长期增长前景的信心,尤其是正在进行中的重点项目--斯里丹绒槟榔(STP2)的第二期工程。

“我们认为,谭家汉将确保STP2项目顺利执行。”

尽管如此,Low仍维持东家2017和2018财政年的盈利预测。

她给予东家“中和”评级,目标价定于1.60令吉,因购股计划不会影响重估净资产价值的估值,主要是东家的股票数量不变。

“由于东家的净负债水平颇高,我们也对大幅削减实际净资产价值(RNAV)65%。若东家有把握可成为STP2的一级策略投资者,此举料将有助释放东家的价值,从而降低净负债水平。”

森那美與東方之戰落幕

森那美(SIME,4197,主板貿服組)日前把東方(E&O,3417,主板產業組)10%股權,脫售給東方董事經理拿督斯里譚家漢,使後者重新成為東方的單一最大股東,雙方多年來的股權拉鋸戰,料告一段落。

譚家漢增購10%股權,使他在東方當家又當權,預料對東方是好事。因譚家漢在東方地位更為舉足輕重,再為東方未來發展作出新的衝刺。

譚家漢在接受報界訪問時,即聲稱原以為將做到退休,不過,較後發現東方還有很多事情可以做,並且相信他在東方可作出更顯著貢獻,繼續讓自己忙碌起來。

譚家漢日前以3億4200萬令吉,向森那美增購東方的10%股權,使他的持股增加至21%,成為單一最大股東,森那美則失去控制性股權,僅剩下12.2%股權。

其實,森那美與東方掌舵人――譚家漢在東方的股權拉鋸戰,始自2011年8月;當時,譚家漢、丹斯里旺阿茲米、吳控股有限公司,總共將東方的30%股權脫售給森那美,當時每股售價為2令吉30仙,譚家漢的持股減少至5.1%。

2013年7月,森那美進一步鞏固它在東方的股權,從公開市場增購東方股權,持股增至31.96%。

約一年後,即在2014年5月29日,譚家漢向森那美收購東方的9.9%股權,每股2令吉90仙或總值3億1900萬令吉,使他在東方持股再次增加至11%,而森那美在東方持股則減少至22%。

今年6月3日則是東方最新的一次顯著股權變動,即譚家漢向森那美收購東方的10%股權,使他持股增加至21%,森那美則減持至12.2%股權。

隨著東方控制性股權易手,公司管理層即出現變動,譚家漢將擔任公司的執行副主席(今年7月1日生效),留下的董事經理空缺,則由前資深銀行家郭德昌接任。

譚家漢重新取得東方控制性股權後,市場將把焦點放在他的身上,特別是發展總值被估計為46億令吉的斯里丹絨檳榔第二期計劃(STP2),相信他將確保這項計劃獲得順利推行。

东家:英国脱欧对英国产业并无负面影响

(吉隆坡29日讯)产业发展商东家(Eastern & Oriental Bhd)表示,英国脱欧(Brexit)不会对该集团在英国的产业实际净资产价值(RNAV)总额构成负面影响。

东家今日透过大马交易所发文告报备,该集团是在伦敦物业价格大幅上涨前在当地投资,当时令吉兑英镑汇率较低。

实际净资产价值总额是产业总值减去银行贷款总额之后所得出。

“我们的产业座落于黄金地段,需求极之殷切,销售前景极佳。我们的银行贷款对价值比率颇低,属于保守水平。”

“我们早在伦敦产业价格大幅飙升前在当地投资,而当时令吉兑英镑的平均兑换率低于目前水平。”

与此同时,在英国举行脱欧公投前,东家早在4月撤销其间接独资子公司Easter & Oriental(英国)有限公司在伦敦证券交易所上市的计划。

寻策略伙伴或售资產 东家探討改善现金流

(吉隆坡25日讯)东家集团(E&O,3417,主板產业股)正考虑寻找合作伙伴或通过脱售资產等形式,改善公司现金流。

东家集团董事经理郭德详表示,公司会检视手中地库及资產后,探討以合作或脱售资產等方法,更好地改善公司的现金流。同时,在2017財政年(3月31日结账),公司会专注在丹绒檳榔2(Seri Tanjung Pinang 2)的填海工程,及为此项目找到策略性伙伴。

目前东家集团的地库面积约947英亩,这些地皮分別在斯里丹绒檳榔2(166英亩)、美湖(340英亩)、甘文西高原(306英亩),以及Elmina West(135英亩)。

郭德详说,根据与填海公司的合约,斯里丹绒檳榔2面积166英亩填海地皮,將会在2018年6月完成,目前工程进度为10%。

然而,在2016財政年公司取得11亿令吉的销售表现,相比2015年的6亿6700万令吉。另外,东家集团今年会推出发展总值(GDV)约10亿令吉的项目,分別是1亿6000万令吉的排屋项目,及8亿令吉的吉隆坡「Conlay Place」项目。

同时,该公司也会积极管理未售出的產业,以便为公司產生正面现金流及认列盈利。

此外,郭德详指出,在短期內,由於市场仍充满挑战,该公司可能会面对盈利赚幅收窄,不过,公司並没有计划调低旗下產业的定价。

另外,財务董事郭明秋表示,隨著国家银行下调隔夜政策利率(OPR),借贷成本也会相应减低,冀望可提高產业市场购兴,从而提高公司销售。

郭德详也补充道,虽然银行贷款要求严格,但公司主要目標是高收入群,所以面对银行拒绝贷款的机率较低。

放弃伦敦上市计划

根据出席股东大会的小股东向《东方財经》表示,由於全球市况不稳定、匯率波动和相关开支达135万英镑,所以公司才决定放弃在伦敦证券交易所上市的计划。

另外,该公司早前无法达成订下的3年税前盈利总合4亿5000万令吉目標,主因是市况改变所致,而公司会在观察市场后,再订下新的3年目標。

股东也透露,小股东权益监察机构(MSWG)也针对公司2016財政年面对3950万令吉外匯亏损在会上提出询问,管理层回应说,由於外匯亏损並不会对公司现金流带来负担,所以公司不打算採取对冲策略,因为会產生更高的金融费用。

至於公司酒店业务面对亏损,主要是受到折旧拖累,即每年约500万至600万令吉。

首季净利挫86%

同时,东家集团在周四傍晚也公布2017財政年首季(截至6月30日止)业绩,其净利从去年同期的2326万令吉,大跌86.08%至324万令吉;营业额则从去年同期的6889万令吉,暴增137.06%,至1亿6331万令吉。【东方网财经】

东家首季净利挫86%

(吉隆坡25日讯)东家(Eastern & Oriental Bhd)首季净利下挫86.1%,因去年同期有一笔2027万令吉的脱售收益。

该集团今日公布,截至6月杪的2017财政年首季,净利由同期的2326万令吉,或每股1.9仙,跌至324万令吉,或每股0.26仙。

“产业部门的营运盈利走高,缓和投资业务1424万9000令吉未实现外汇损失的影响。”

这家产业发展商指出,产业部门推动,首季营业额从6889万令吉,飙升137.1%至1亿6331万令吉。

该季度并没有宣布派息。

尽管产业市场疲软,东家表示,10亿3000万令吉的未入账销售将提振未来两个财政年的盈利。

“我们将继续推销完成单位,并选择性推出适合于当前市况的新项目。”

随着国家银行调降隔夜政策利率(OPR),将降低消费者的借贷成本,该集团预计产业需求将逐步好转。

“尽管如此,我们仍然对产业市场复苏持谨慎态度。”

东家100万脱售The Delicious

(吉隆坡9日讯)东家(E&O,3417,主板产业股)宣布,独资子公司E&O餐厅私人有限公司,已经以100万令吉脱售The Delicious集团所有股权。

在完成脱售活动后,The Delicious集团的独资子公司,The Delicious(新加坡)、Reunion餐厅、Delicious餐饮及Food Emporium私人有限公司,不再是东家的子公司。东家表示,该项脱售活动不会对集团截至2017年3月31日财年的净利和净资产带来任何实际影响。【e南洋】

E&O wishes to announce that E&O Restaurants Sdn Bhd, a wholly-owned subsidiary of Eastern & Oriental Hotel Sdn Berhad which in turn is a wholly-owned subsidiary of the Company, has on 9 September 2016 completed the disposal of its entire equity interest in The Delicious Group Sdn Bhd (“TDGSB”) comprising of Two Million Nine Hundred and Twenty Five Thousand (2,925,000) ordinary shares of RM1.00 each for a cash consideration of RM1.0 million (“the Disposal”).

Following the Disposal, TDGSB together with TDGSB’s wholly-owned subsidiaries, The Delicious (Singapore) Pte Ltd, Reunion Restaurants Sdn Bhd, Delicious Catering Sdn Bhd and Food Emporium Sdn Bhd, have ceased to be subsidiaries of the Company.

The Disposal will not have any material effect on the earnings and net assets of the E&O Group for the financial year ending 31 March 2017.

None of the directors or substantial shareholders of the Company or persons connected to them have any interest, direct or indirect, in the Disposal.
