E&O 被低估的产业股?

The Company may return cash to shareholders..." stated that the Company would first need to raise cash through the divestment of its stake in PUTRAJAYA PERDANA and E&O PROPERTY DEVELOPMENT, and then, if there are excess funds after checking the cash flow requirements in setting up the Company's property investment fund, the Company would return cash to its shareholders.

E&O Property Development Berhad (E&OProp) have given their approval for its merger with Eastern & Oriental Berhad (EOB) at a Court-Convened Meeting, held today. Approvals were also obtained from shareholders of EOB at an Extraordinary General Meeting (EGM) held today, for the proposed merger and issuance of new EOB shares, upon consideration of the share swap of E&OProp shares. Upon completion of the Election Period and reimbursements as well as issuance of new EOB shares, the merger is targeted to be completed by June 2008.

Speaking at a press conference after the EGM and CCM, the E&O Group’s managing Director Dato’ Terry Tham Ka Hon said, “We wish to thank all shareholders who voted in favour of this merger, allowing an enlarged, single-listed E&O entity to have a stronger financial and operational platform going forward.”

E&OProp’s minority shareholders currently hold approximately 37% of the company’s issued and paid- up capital (or 243,320,671 E&OProp shares), while 1,000 E&OProp shares are held in treasury (as at 28 January 2008). Based on the exchange ratio under the Full Share Swap option (1,100 new EOB shares for every 1,000 E&OProp shares), a total of 267,653,838 new EOB shares will be issued at approximately RM2.273 per share (4.5% discount to the 5-day Volume Weighted Average Price of RM2.3808, up to and including 26 November 2007, the market day preceding the announcement of the proposed merger). This is assuming all E&OProp minority shareholders elect for the Full Share Swap option.

Upon completion of the merger, the enlarged E&O Group will have a market capitalisation in excess of RM1.7 billion [based on the enlarged EOB share capital of 686,360,749 shares at RM2.49 (as at 11 February 2008)].

[Current share capital for EOB and E&OProp stood at 418,706,911 and 662,126,205 shares respectively (as at 31 Dec 2007)]

A total of RM213 million cash funding is readily available, should all E&OProp’s minority shareholders elect the Fixed Combination option (Cash amount of RM875 for every 1,000 E&OProp shares). However, if certain E&OProp’s minority shareholders elect for the Full Share Swap option, the allocated cash will be freed up and will be made available for those who elect for the Maximised Cash option.

Dato’ Tham also shared his 3-pronged growth strategy for the enlarged E&O Group going forward – leveraging on the synergistic nature of its three core businesses of property development, property investment and hospitality/lifestyle.

Tham said, “Property development will continue to be the key driver for the E&O Group, with over RM4 billion properties to be launched within the next 3 years in Klang Valley and Penang Island. Our Property Investment division will allow us to maintain prime commercial assets worth RM1 billion over the next 5 years, which will provide the Group with recurring income and capital appreciation. Expansion plans are currently underway for our existing E&O Hotel and Lone Pine Hotel, as well as increasing the number of F&B outlets under the Delicious Group.”

Commenting on the recent MOU signing with Kuwait Finance House in the proposed joint venture development of a high-end residential development within Nusajaya, Johor IDR, Tham said, “We are very honoured that Kuwait Finance House has chosen E&O as their Malaysian property partner for the 195-acre Heritage District. The E&O Group sees great potential for the IDR and we are certainly excited to be now part of it.”

The Heritage District is located within the newly-launched Iskandar Development Region (IDR), a thrust by the Malaysian Government to develop an area of 2,217 sq km (or 547,821 acres / largely 3 times the size of Singapore) over a span of 15 years.

私有化很少机会发生但堆高价机会很大,因为他之前叫股东选择


For every 1,000 units of E&OProp share held, it is exchangeable for 1,100 units of EOB share. The ratio of 1 E&OProp share to 1.1 EOB share is determined based on a 3.8% premium from the prevailing 5-day trading prices of E&OProp shares, prior to the announcement of the proposed merger.

(Note: The ratio of 1 E&OProp share: 1.1 EOB share is based on the 5-days VWAP, Volume Weighted Average Price of RM2.3808 for EOB and RM2.5222 foe E&OProp,  up to and including 26 November 2007, which stood at 1.06)





Fixed Combination (Of Cash and Shares) Option   A) For every 1,000 units of E&OProp share held, 650 units of E&OProp share is exchangeable for 715 units of EOB share.


B) The remaining 350 units of E&OProp share is exchangeable for cash of RM875 (Each E&OProp share is valued at RM2.50, based on prevailing 5-day market prices of between RM2.45 to RM2.61, up to 26 November 2007).
  
EOB currently holds approximately 63% stake in E&OProp (Share capital of E&OProp as at mid-November is 660,274,659). EOB has ready funding of approximately RM213 million, in the event that all minority shareholders (assuming full conversion of outstanding warrants) opt for the Fixed Combination option (243,819,357 units of E&OProp shares X 35% X RM2.50).





Maximised Cash Option   
For every 1,000 units of E&OProp share held, shareholders may receive full cash redemption of up to RM2,500 (based on the valuation of RM2.50 for each E&OProp share). However, this is subject to the balance of funding available after the full share swap and fixed combination options have been determined. In any event, the minimum amount for cash redemption will be RM875 for every 1,000 units of E&OProp share. Any balance not redeemed in cash shall be settled by way of share swap in a ratio of 1 E&OProp share to 1.1 EOB share.

将于明天被控鸡奸罪的人民公正党实权领袖安华依布拉欣再次喊冤,重申此案是警队最高层及首相办公室里一些人的阴谋。他也说,倘若他明天不获准保释,峇东埔国会议席补选的竞选运动也不会喊停。



警方今天中午向安华传递刑事传唤令,要他明天上午向吉隆坡大使路地方法院报到;全国副总警长依斯迈奥玛过后也证实,安华明天将被控鸡奸罪。
