下半年营运环境艰难 雅饰加强资產拼业绩

(吉隆坡4日讯)雅饰房地產(AXREIT,5106,主板房產信託股)首席执行员拿督斯迪瓦拉布里(StewartLaBrooy)表示,儘管营运环境仍充满挑战,公司將竭尽所能,以在今年取得不俗的业绩表现,惟他不愿提供確切的成长数据。

他说,「公司2015財政年次季(截至6月30日止)营业额按年成长18%,因此我们会持续努力,在今年取得不俗的业绩表现。」

他指出,营运环境在次季更具挑战,主要因为大宗商品价格低迷、消费税影响各领域、令吉疲软等因素;不过,在公司致力加强资產下,不仅成功保留原有的租户,其出租率按季增长0.09%,至92.67%。截至2015上半年,公司总资產也取得20亿8667万令吉。

今年料完成4收购

他在今天召开的媒体匯报会上,如此表示。同时,斯迪瓦拉布里说,公司预计在今年完成4项收购,总值达2亿令吉。

目前,该公司已在今年3月杪完成对雅饰莎阿南DC2的收购,总值4500万令吉,其他收购计划包括建议以4600万令吉的价格,收购海產资源(HAISAN,7110,主板贸服股)巴生港口工业地及厂房。

「公司也在上月杪(7月31日)接获收购柔佛Indahpura厂房的合约通知书,收购价为6100万令吉,双方管理层正探討签署买卖协议。」

展望未来,雅饰房地產预计收购7项產业,包括2项在檳城、2项在柔佛、一项在森美兰、一项在巴生港口和一项在雪州,总价值2亿7000万令吉。其中一项產业则会在今年尾完成收购计划,惟该公司不愿透露有关详情。

此外,斯迪瓦拉布里指出,公司也將加强其租户的投资组合,目前公司有51万4313平方尺或占总资產的7%面积尚未出租,大部份是公司翻新的建筑,吸引了不少潜在租户的兴趣。

「其中5000至8000平方尺料將租给电子商务服务公司,並预计在下季度完成交易,同时有关租金相信可取得高出原有租金的20%。」

截至6月30日,该公司34项產业资產的总面积为701万4356平方尺,並拥有138个租户。【东方网财经】

AXIS产托(AXREIT,5106,主板产业信托股)放眼今年内收购第四项产业资产,价格约5000万令吉,将全年产业收购交易推高至2亿令吉。

目前,公司正评估7项产业,包括槟城和森美兰的3个工业设施、柔佛的两个仓库、巴生港的仓储及制造设施,以及沙登的工业设施。

行家建议
AXIS产托维持今年的目标,即要收购7项资产总值2.7亿令吉,包括在6月22日宣布的收购海产资源(HAISAN,7110,主板贸服股)巴生港的仓储及制造设施。

今年次季的平均出租率稳在92.67%,首季为92.58%,公司正积极为其余的51万4313平方尺或7.33%的净租赁面积(NLA)寻找租户。

除了并购活动外,我们认为,租金调涨将可支撑盈利增长,因为在下半年将有90万3977平方尺或12.89%的净租赁面积会调整租金。

今年次季,公司的租金平均调涨了7.83%。

我们看好公司即将收购的策略,不过,对多租户产业(占总产业43%)保持谨慎,因为空置率的风险较高。

分拆1變2‧AXIS產託改善流動性

(吉隆坡9日訊)AXIS產業信托(AXREIT,5106,主板產業投資信托組)完成1變2分拆計劃,其單位數額從5億4千780萬倍增至11億單位。

分析
興業研究重申,此分拆計劃將可改善流動性和增強其對散戶的吸引力。

儘管單位持有人已批准該公司配售新的單位,但未來的配售行動很可能配合新資產收購計劃進行。

該行與管理層會晤後表示,儘管面對馬幣疲軟和產業市場走軟的逆風,但租金並未顯著受影響,因為主要租戶為出口導向的物流公司。

同時它只擁有4項純辦公樓資產,且位於八打靈再也,出租率逾90%,因此大致不受辦公樓產業供應過剩的衝擊。

該公司當前要務應是為Axis商業園和Axis Eureka找足租戶(目前出租率低於60%),基於其過往紀錄,相信它有能力為這些資產找到長期租戶。

評級上調至“買進”

興業保持財測不變,但將評級從“中和”上調至“買進”,因目標價從3令吉67仙調整為1令吉84仙,有14%上升空間。在股市波動之際,產托股具抗跌能力,潛在的重估催化因素將來自可增強回酬的資產注入計劃。(星洲日報/財經)

On behalf of the Board of Directors of the Manager, Maybank Investment Bank Berhad wishes to announce that the Net Proceeds will be used to repay Axis-REIT’s existing bank financing (including finance cost payable) which were taken up to finance the acquisitions of Axis Shah Alam DC3, Axis MRO Hub and Axis Shah Alam DC2, and acquisitions of other properties that were completed more than one (1) year ago. Clause 10.12(b) of the REIT Guidelines stipulates that where a real estate (including those held by single-purpose companies) is the subject of an acquisition financed, or refinanced within one (1) year, through the issuance of new units, the value of the real estate requires SC’s approval.

In view that the Net Proceeds will be used to repay Axis-REIT’s existing bank financing (including finance cost payable) which were taken up to finance, among others, the acquisitions of Axis Shah Alam DC3, Axis MRO Hub and Axis Shah Alam DC2, the submission of the valuation reports in respect of the valuation of Axis Shah Alam DC3, Axis MRO Hub and Axis Shah Alam DC2 and an application for the approval of the values of Axis Shah Alam DC3, Axis MRO Hub and Axis Shah Alam DC2, will be made to the SC in due course.

CEO史迪瓦特退休 梁洁美明年接掌AXIS 产托

(吉隆坡13日讯)AXIS产托(AXREIT,5106,主板产业信托股)宣布,总执行长兼执行董事拿督史迪瓦特将于今年12月31日退休,卸下总执行长一职。

同时,该公司向马交所报备,已获得大马证券监督委员会批准,委任现任营运总监兼财务总监梁洁美为新的总执行长。

根据文告,梁洁美将于明年1月1日开始接棒总执行长一职。

此外,史迪瓦特则将继续留在董事部,担任非独立非执行董事。【南洋网财经】

(吉隆坡15日訊)AXIS產業信托(AXREIT,5106,主板產業投資信托組)更換公司掌舵人。該公司首席營運員兼財務董事梁潔美,明年將接替退休的拿督斯史提沃利萊,擔任首席執行員一職。
分析

MIDF研究認為,雖然此次的人事變動在預期之外,相信不會對公司獲利有太大衝擊。

他們預測該公司2015年和2016年公司盈利分別為9千460萬令吉以及9千930萬令吉。

分析員說,梁潔美在該公司已經任職9年之久。在過去,她曾領導公司轉型進入伊斯蘭產托業務。此外,她也為該公司的資本管理奠定良好根基,如:提昇公司權益資本、財務管理素質以及發行伊斯蘭債卷籌募資金等。

“AXIS產托的潛在催化因素是注入更多高回酬的資產。今年該公司的目標是購入總值2億7千萬令吉的工用產業。”

在AXIS產業信託在9月完成股權1變2分的拆股後,分析員把其目標價從3令吉50仙下調至1令吉75仙。

在近期沒有太大的利好消息下,分析員保持該公司評級不變,為“中和”。(星洲日報/財經)

AXIS 产托净利挫39%

(吉隆坡19日讯)AXIS产托(AXREIT,5106,主板产业信托股)截至9月底第三季,净利大跌39%,仅录得2439万令吉,上财年同期为4009万6000令吉。

该公司向马交所报备,第三季营业额则涨26.4%,报4185万7000令吉,上财年同期为3312万1000令吉。

同时,宣布每单位收入分配为2.2仙。

截至首9个月,该公司净利达7961万3000令吉,按年微跌5.64%;营业额则增长19.3%,报1亿2381万3000令吉。

推介股息再投资

另外,AXIS产托也推介股息再投资计划。

股东可选择将每股2.2仙收入分配中的1仙再投资到该公司的新资产,其余部分领取现金。

该公司指出,股息再投资计划下,每单位定价为1.59令吉。

该公司总执行长兼执行董事拿督史迪瓦特通过文告指出,该公司对于工业产业依然乐观。

他说,也对AXIS产托现有的投资组合表现感到满意,相信积极的资本管理、资产提升、租户管理及继续购买有素质的资产,未来表现将令人满意。【南洋网财经】

RECURRENT AND OPTIONAL INCOME DISTRIBUTION REINVESTMENT PLAN ("IDRP") APPLICABLE TO 2015 THIRD INTERIM INCOME DISTRIBUTION
On 19 October 2015, the Board of Directors of Axis REIT Managers Berhad (“Board”), the management company of Axis Real Estate Investment Trust (“Axis-REIT”) (“Manager”), has announced the quarterly results for the financial period ended 30 September 2015 and proposed a third interim income distribution in respect of the period from 1 July 2015 to 30 September 2015 of 2.20 sen per unit (of which 2.10 sen per unit is taxable and 0.10 sen per unit is non-taxable in the hands of unitholders) (“2015 Third Interim Income Distribution”).

The Board has determined that the IDRP, which allows unitholders of Axis-REIT to reinvest their income distribution in new units, will apply to the 2015 Third Interim Income Distribution, in which the gross electable portion of 1.00 sen per unit out of the 2015 Third Interim Income Distribution of 2.20 sen per unit (which is taxable in the hands of unitholders) (“Electable Portion”) can be elected to be reinvested in new units and the remaining portion of 1.20 sen per unit (of which 1.10 sen per unit is taxable and 0.10 sen per unit is non-taxable in the hands of unitholders) will be paid in cash.

The IDRP also provides the unitholders the option to reinvest the entire Electable Portion or part of the Electable Portion based on the proportion as determined by the Board. In this regard, the Board has also determined the proportion of the Electable Portion in which the unitholders can elect to reinvest in new units will be 0.50 sen per unit (which is taxable in the hands of unitholders) of the Electable Portion, and the remaining 0.50 sen per unit (which is taxable in the hands of unitholders) of the Electable Portion will be paid in cash. If the unitholders elect not to participate in the IDRP, then the Electable Portion will be paid wholly in cash.

The Board wishes to announce that the issue price of new units to be issued pursuant to the IDRP applicable to the 2015 Third Interim Income Distribution has been fixed today (“Price Fixing Date”) at RM1.59 per new unit. The issue price is based on the five (5)-day volume weighted average market price (“VWAMP”) of the units up to and including 16 October 2015, being the last trading day immediately prior to the Price Fixing Date of RM1.6875 per unit, and after adjusting for a discount of RM0.0975 which is approximately 5.8% discount to the five (5)-day VWAMP of RM1.6875 per unit.

The Board has also announced on even date that the book closure date pursuant to the 2015 Third Interim Income Distribution and the IDRP has been fixed for 2 November 2015.

Barring any unforeseen circumstances, the new units arising from the exercise of IDRP will be listed on the Main Market of Bursa Malaysia Securities Berhad on 10 December 2015.

業績低於預期‧AXIS產託仍受看好

(吉隆坡21日訊)AXIS產業信托(AXREIT,5106,主板產業投資信托組)最新業績低於預期,但分析員仍看好新收購資產可帶動未來租金增長,預計第四季業績將更強勁。

分析員表示,AXIS產托首9月淨利報6千980萬令吉,只佔全年財測預估的68%,表現不符預期,原因是融資成本和開銷升高,好消息是整體出租率企穩於93%。

安聯星展研究透露,AXIS產托正進行兩項收購,分別為古來再也電子廠和努少再也物流貨庫,總值1億零200萬令吉,聯昌研究預計在完成收購新產業後,第四季盈利會較強勁。

目前,市場分析員給予該公司的目標價介於1令吉63仙至1令吉95仙之間不等。

雅饰实业信托 购地计划告吹

(吉隆坡10日讯)雅饰实业投资信托(AXREIT,5106,实业投资信托)的管理公司雅饰信托管理有限公司,建议以4600万令吉现金代价,向海产资源有限公司(HAISAN,7110,贸易服务组)收购雪州巴生港口的工业设备的计划,已宣布告吹。

雅饰实业信托向大马交易所报备,计划终告吹的原因是双方未能同意买卖协议的条款,因此,双方决定不再继续这项买卖和回租交易。

雅饰实业信托在6月22日献议以现金4600万令吉,向海产资源的两家子公司–Hai San & Sons私人有限公司及Hai San Holdings私人有限公司,收购座落在7幅有期地契地皮的工业设备,随后回租予脱售方。

根据文告,由于双方无法在期限内(志期6月12日的献购通知书内的期限)达至买卖协议内的条款,ARMB已终止这项交易。

此收购献议附带一项为期15年的回租协议,并提供再续约15年的选项。

根据稍早的文告,按照回租协议的条文,海产资源最初3年每月必须支付33万6670.50令吉的租金予雅饰实业信托。

海产资源也同意在第4年至第6年期间增加8%的租金,而随后每3年加租10%。

海产资源是一家综合低温运输系统物流供应商,此前曾计划出售巴生港口的产业予Crystal Beacon私人有限公司,惟最终也告吹。【光华日报财经】

We refer to the announcement dated 22 June 2015 in relation to the Proposed Acquisition and Leaseback of the Property comprising of an industrial facility erected on seven (7) parcels of leasehold land all located at Jalan Pelabuhan Utara, Bandar Sultan Suleiman, 42000 Pelabuhan Klang, Selangor from Hai San & Sons Sdn Bhd and Hai San Holdings Sdn Bhd, both wholly-owned subsidiaries of Haisan Resources Berhad, for a total lump sum cash consideration of RM46 million.

The Board of Directors of Axis REIT Managers Berhad (“ARMB” or “the Manager”), the management company of Axis-REIT, wishes to announce that the Manager, for and on behalf of RHB Trustees Berhad, the trustee for Axis-REIT (“Purchaser”), has terminated the aforesaid transaction given that both parties were unable to mutually agree on the terms of the proposed sale and purchase agreement within the timeline contemplated by both parties under the letter of offer dated 12 June 2015.

公司首席營運員梁潔美透過文告表示,上述資產為4項單層工業資產,位於柔佛Indahpura i-PARK工業區,總面積為3.9502英畝,市價為6千270萬令吉。現有的租戶為Beyonics科技公司。

The Board of Directors of Axis REIT Managers Berhad, the management company of Axis Real Estate Investment Trust (“Axis-REIT”), wishes to announce that RHB Trustees Berhad, the trustee for Axis-REIT, has entered into a sale and purchase agreement in relation to the proposed acquisition, on behalf of Axis-REIT, of four (4) single storey detached factories, annexed with two-storey office building within Kawasan Perindustrian i-Park, Kulai, held under freehold titles H.S.(D) 64396 for No PTD 107901, H.S.(D) 64395 for No PTD 107900, H.S.(D) 64394 for No PTD 107899, H.S.(D) 64393 for No PTD 107898, all in Mukim Kulai, Daerah Kulaijaya, Negeri Johor Darul Takzim (collectively referred to as “the Property”) from Axis Ame IP Sdn. Bhd. (Co. No. 1024700-M) for a total lump sum cash consideration of RM61.0 Million (“Proposed Acquisition of the Property”).

AXIS产托(AXREIT,5106,主板产业信托股)宣布,取消向PN17公司海产资源(HAISAN,7110,主板贸服股)收购巴生港口7块租赁土地和产业的交易。

由于双方无法达成买卖协议的条件,因此,同意终止这项收购计划。

海产资源在今年6月同意以4600万令吉,将巴生港口7块租赁土地和产业售予AXIS产托,并签署长达15年回租期。

行家建议
对于AXIS产托取消收购,我们感到有点失望,因为收购计划能带来不俗的回酬率。根据我们的预测,这项产业的净回酬率达7%,比5%的融投成本高。

此外,这项产业也具备长期的租约,并在收购及回租时还可以调高租金率。

因此,我们把2016及2017财年的净利预测,分别下修3.3%及3.1%,目标价格也降至1.55令吉。

据我们所知,公司正在评估两项资产,分别位于巴西古当及峇六拜,总值约1.4亿令吉。

截至9月底,公司的负债率为33%,比起40%的顶限,意味着还有并购的空间。

轉購柔資產‧AXIS產託影響中和

(吉隆坡12日訊)AXIS產業信托(AXREIT,5106,主板產業投資信托組)以6千100萬令吉收購柔佛4項資產,公司資產管理價值(AUM)上探21億5千萬令吉。

該公司之前剛宣佈終止以4千600萬令吉,從海產資源(HAISAN,7110,主板貿服組)子公司Hai San & Sons及HaiS an控股有限公司收購巴生港口。這項收購喊停是基於雙方不能在買賣合約條款上達成協議。

分析
分析員對取消雪州產業收購稍失望,而新收購計劃在預期中,對公司影響中和,但肯定有助增強盈利表現,而該公司的負債水平雖同步提高,但還在管理水平內。

馬銀行研究表示,原看好一旦巴生港口產業收購成功,盈利可增長,產業淨收益估計可獲得7%,因此對於收購喊停一事表示失望。不過,該公司立刻進行收購柔佛資產,是一項正面發展,因有關產業有長期租約支持,提供盈利穩定和可見度,預期該公司2016及2017財政年的每股淨利分別走高4.4%及4.1%。

新產業預計回酬為7.1%,比預期的5.2%高。

安聯研究表示,新資產收購已經在預期,有關資產有10年長期租約,第一年的租金總額為484萬令吉,首年累計回酬率為7.9%。

AXIS產業信託的策略是繼續收購產業或辦公室以使得產業信託的盈利增長。AXIS產業信託之前已經表示將考核收購兩個分別位於柔佛巴西古當及檳城峇六拜,估計價值1億4千萬令吉的產業。

MIDF研究認為新收購影響“中和”,新收購可加強2016年核心淨利1.7%,促使該公司出租面積(NLA)可提高4%至730萬方尺。

肯納格研究表示,維持2015年財測,但上調2016年淨利預測1.5%至1億1千150萬令吉;除了上述資產外,該公司也正在等待收購位於柔佛努沙再也的物流倉庫,價值4千100萬令吉。

豐隆研究預期新收購將使該公司2016和2017年淨利增加3.6%和3.5%;假設該公司的派息率維持為96%,預期該公司2016財政年的股息可提高至9.1仙。

不過,豐隆表示,該公司資產以辦公樓、倉庫、工廠為主,每年僅能調升2至3%的租金,而同領域業者每年則可調整5至7%的租金。無法大幅調升租金,是該公司所面對的風險。
AXIS產業信托將以貸款融資收購。

馬銀行研究表示,雖然新收購資產導致該公司負債率從0.33倍走高至0.36倍,但仍低於該公司設定0.4倍的目標。

MIDF認為,收購導致負債率從31.3%升高至34.2%,但仍不足為慮,但低於該公司內部指標限制的40%及證卷監督委員會(SC)的50%以下。

The Board of Directors of Axis REIT Managers Berhad, the management company of Axis-REIT, is pleased to announce that based on the valid Income Distribution Reinvestment Forms ("IDRFs") received by Axis-REIT's registrars, Symphony Share Registrars Sdn Bhd on 26 November 2015, being the expiry date for submission of the IDRFs, Axis-REIT is required to issue 4,276,988 new units in Axis-REIT ("New Units") pursuant to the IDRP in respect of the 2015 Third Interim Income Distribution. The New Units represent approximately 67% of the 6,378,145 total number of new units that would have been issued pursuant to the IDRP, had all the entitled unitholders of Axis-REIT elected to reinvest their respective electable portion under the IDRP in new units.
