Description
STATUS OF THE JOINT VENTURE BETWEEN CENTRAL PATTANA PUBLIC COMPANY LIMITED OF THAILAND ("CPN"), I-CITY PROPERTIES SDN BHD AND I-BERHAD
The Board of Directors is pleased to announce that further to the Company's announcement on 13 May 2013 in relation to the above captioned joint venture, the Company and its wholly owned subsidiary, I-City Properties Sdn Bhd ("ICP") had on 19 July 2013, executed the Joint Venture and Shareholders' Agreement ("JVSA") with CPN Real Estate Sdn Bhd ("CPN Real Estate"), CPN Malls Malaysia Sdn Bhd ("CPN Malls"), Central Plaza I-City Malls Malaysia Sdn Bhd, Central Plaza I-City Sdn Bhd and Central Plaza I-City Real Estate Sdn Bhd for the development and management of a regional Retail Mall to be known as CentralPlaza at i-City, Section 7, Shah Alam, Selangor Darul Ehsan.

The corporate structure of the joint venture with CPN is as follows:-

a) The Company through ICP holds a 40% stake in a newly incorporated joint venture company, Central Plaza I-City Malls Malaysia Sdn Bhd ("JVCo") thereby making it an associated company of the Group. CPN through its subsidiaries, CPN Real Estate Sdn Bhd and CPN Malls holds 60%  stake in the JVCo.
b) A newly incorporated Central Plaza I-City Sdn Bhd, a wholly owned subsidiary of Central Plaza I-City Malls Malaysia Sdn Bhd would be the Mall Manager.
c) A Newly incorporated Central Plaza I-City Real Estate Sdn Bhd, a wholly owned subsidiary of Central Plaza I-City Sdn Bhd, would develop and own the Mall.

The corporate structure will enable CPN to take the lead in developing, leasing and managing the Mall thereby enabling I-Berhad to focus on the development of other properties in i-City as well as to focus on its Leisure business.

In accordance with the terms of the JVSA, Central Plaza I-City Real Estate Sdn Bhd and the Company had also executed a Land Sale and Purchase Agreement with Sumur Heights Sdn Bhd, Sumurwang Industries Sdn Bhd, Top Capital Sdn Bhd, Sumur Marketing Sdn Bhd and Sumurwang Development Sdn Bhd (collectively "Land Proprietors") and The Peak @ KLCC Sdn Bhd, the vendor and beneficial owner for 11.12 acres (484,375.9680 sq ft) of the 72 acres i-City site for the development of the Retail Mall.

(吉隆坡22日讯)I公司(IBHD,4251,主板产业股)计划以旗下在i城(i-City)的区域零售广场———CentralPlaza-City,推出产业投资信托(REIT,简称产托)。

据《The Edge》报道,I公司透过一项文告指出,这产托或在合适时候推出。

I公司副主席拿督尤芳洲说:“CentralPlaza-City,是我们与泰国CentralPattana有限公司(CPN)进行策略联盟后首个步伐。”

总值5亿8000万令吉的CentralPlaza-City,坐落在i城内11.12英亩土地上,总楼层面积达150万平方尺,净可租用面积为100万平方尺,预计2016年底竣工。

另外,I公司今日也向马交所报备,配合发展该广场,独资子公司I城市产业私人有限公司(ICP)在7月19日,已和CPN产业私人有限公司)(CPN产业)、CPN广场大马私人有限公司(CPN广场)、Central Plaza I-City广场大马私人有限公司(CPIC广场)、Central Plaza I-City私人有限公司(CPIC)和Central Plaza产业私人有限公司(CP产业)签署联营与股东协议。

此企业架构允许CPN主导该广场的发展、租赁和管理工作,I公司则专注发展i城内的其他产业及休闲业务。[南洋网财经]

推出靈活定價系統 i公司額外增20%收入

(吉隆坡30日訊)i公司(IBHD,4251,主要板消費)冀望,透過新推出的靈活定價系統(Dynamic Pricing System)服務,公司收入可額外增加至少20%。

該公司資訊經理鄧淑貞指出,此服務與在網上訂購機票或酒店服務相同,本地游客與外國遊客皆可透過該服務,提早訂購i城休閒入門票。

“透過靈活定價系統服務,訪客不僅可享有更多折扣優惠,同時也可避開旺季難購票的問題,為外國遊客帶來更多便利。”

擬推出一卡服務

她指出,i公司同時也計劃擴大網上售票系統服務,及推出更多Android和iPhone應用程式,以吸引更多遊客到訪i城,門票價格則視遊客需求及季節而定。

配合2014大馬旅遊年,i公司將與國家旅遊局及更多的國際旅遊代理合作,以推動公司休閒業務,冀望該業務營業額可在2014年,增長至少一倍或以上至6400萬令吉。

鄧淑貞今日出席靈活定價系統服務媒體推介儀式后的記者會時,這么指出;列席者包括該公司執行主席丹斯裡林金煌、董事王保玲,及中國中山市大項影響力蜡像雕塑工作室總經理周雪蓉。

鄧淑貞指出,該公司將與i城里的商家洽談,計劃推出一卡服務,讓遊客可使用該卡,支付到訪i城全日的費用。

“這是公司的計劃之一,遊客只需提早預付該卡的費用,便可在i城里進行消費,包括購買食物、入門票及支付停車費用等。”

另外,王保玲也指出,截至目前,佔地72英畝的i城已獲開發其中20%,預計剩余的80%將在未來8至10年內,完成開發。[中国报财经]

i公司次季淨利漲1.3倍

(吉隆坡21日訊)i公司(IBHD,4251,主要板消費)受惠于房地產銷售,帶動次季淨利按年漲1.3倍至678萬8000令吉。

該公司向馬證交所報備指出,截至6月底第2季,營業額按年大漲2.1倍至3380萬2000令吉,錄得淨利678萬8000令吉。

首半財年淨利更是大漲2.1倍,從上財年同期的378萬8000令吉漲至1171萬3000令吉;營業額亦同樣漲2.1倍至6094萬8000令吉。

該公司指出,亮眼業績主要來自目前的房產發展計劃,分別是i-Residence、i-SOVO及i-SOHO。[中国报财经]

i公司中央發展集團 投資馬零售商場5.8億

(吉隆坡4日訊)中央發展集團(Central Pattana plc)與i公司(IBHD,4251,主要板房產)合作在大馬投資Central Plaza@i-City零售商場,投資額達5億8000萬令吉。

泰國最大百貨商中央發展集團在大馬投資Central Plaza@i-City零售商場,進軍東協市場。

該計劃預算成本約5億8000萬令吉。

中央發展集團將與i公司旗下的產業發展商ICP進行合作,分別持有上述計劃的60%和40%股權。

i公司認為,上述聯營計劃可為該集團每年產生約6000萬令吉稅前盈利。

中央發展集團企業發展和建築高級執行副總裁瓦拉亞指出:“進軍海外市場可說挑戰。海外市場具備商機,尤其是在東協國家。我們對城市高增長率,人口龐大,及擴大中等和高收入消費者的國家感興趣。”

“未來5年,我們計劃在東協國家開設更多商場,每間商場預算至少介于4億至5億令吉。”

瓦拉亞說:“我們相信大馬零售市場仍有成長空間。大馬整體經濟正在成長,也擴大投資,尤其是在零售領域。”

他說,大馬城市化高速增長,領域強勁成長。國內生產總值和人均收入也急速走高。與泰國相比,大馬具有較高的購買力,人均收入是泰國的2倍。[中国报财经]

雪大臣看好 i公司尚泰合作

(曼谷20日訊)i公司(IBHD,4251,主要板房產)獲泰國最大零售發展商尚泰集團(Central Group)列為合作夥伴,后者為首次進軍大馬房地產領域。

對此,雪州務大臣丹斯里卡立指這兩家公司的結合,能為雪州創造獨特的東西。

“企業家的創意和執行速度是公共領域無法提供的。Central Plaza@i-City零售商場將會是巴生谷西部最大型商場,為毗鄰地區帶來顯著經濟效應。”

卡立帶領雪州議員到曼谷參觀中央發展集團(Central Pattana plc)公司后,如是指出。

陪同出席者包括雪州地方政府、研究及考察事務高級行政議員拿督鄧章欽、Central Pattana行政總裁兼總執行長鄭馨興、i公司執行主席丹斯里拿督林金煌等。

Best Western國際酒店 進駐i城料9月開張營業

(莎阿南16日訊)致力打造i城(i-City)的i公司(IBHD,4251,主要板房產),首間酒店預計在明年9月開業,由全球最大連鎖酒店品牌Best Western國際酒店管理。

該公司副主席拿督尤芳洲指出,上述酒店發展總值達5000萬令吉,去年中已投入建設,放眼明年9月可投入運作。

“在我們的發展大藍圖內,規劃籌建2間酒店,這次是第1間酒店與Best Western國際酒店達致策略協議,至于第2間料于2018年籌劃。”

他今日與Best Western國際酒店簽署策略協議后,如是回應媒體提問。

列席者包括雪州務大臣丹斯里卡立、i公司執行主席丹斯里林金煌、i公司律師張淇芳、Best Western國際酒店亞洲與西亞國際營運副總裁葛倫及大馬區總裁兼總執行長納聶斯。

根據協議,Best Western國際酒店將負責管理Best Western@i-City業務,為期5年並可再延長5年,另外也將為i城服務公寓住戶,提供餐飲洗衣等服務。

尤芳洲說,作為i城房地產投資組合的一環,Best Western@i-City為第3棟旅遊地標發展,其他位于i城的旅遊地標包容主題樂園,及Central Plaza零售商場。

I公司购地发展8亿豪宅

(吉隆坡24日讯)I-公司(IBHD,4251,主板產业股)子公司I-MARCOM私人有限公司以1亿3200万令吉,向SUMURACRES私人有限公司购买位於吉隆坡市中心CHANGKAT KIA PENG路,一块1.05英亩的土地。

值得一提的是,卖方SUMURACRES私人有限公司为Sumurwang私人有限公司旗下的独资子公司,而I-公司执行主席拿督林金煌则是Sumurwangg私人有限公司的大股东。

另外,I-公司將发售一批5年期限的可赎回可转换有担保债券(RCULS)以融资该土地收购计划,共1亿3200万单位,平均年利率为3.4%。该批可赎回可转换有担保债券可以每单位3.20令吉转换成I-公司普通股,相等於过去5天加权平均市场价的15%溢价。

根据I-公司发出的文告,该公司计划在该地皮发展Grand i-Residence项目,包含442个附家具的豪华住宅单位,平均售价为每平方呎2300令吉,发展总值(GDV)达8亿2000万令吉。这项產业计划预计在明年中旬动工,並预计可在2019年中期完成。

I-公司副主席尤芳洲指出,该產业计划的地理位置距离KLCC和武吉免登仅5分钟路程,而且会將50层大楼的项目推向国际市场。

i公司首3季 營業額翻1.5倍

(吉隆坡18日訊)房產業務推高i公司(IBHD,4251,主要板房產)營業額,該公司本財年截至9月底首3季營業額按年翻1.5倍至9649萬令吉。

該公司指出,目前在進行房產項目獲得熱烈的預訂和銷售反應,其中i-Residence高檔住宅計劃已售出95%、i-SOVO計劃則已全數售出,i-SOHO首階段僅剩下一半,房產業務共為公司貢獻了5990萬令吉或62%營業額。

在房產業務高貢獻下首3季淨利則上漲86%,錄得1439萬令吉。

2計劃未進賬銷售1.8億

i公司本財年截至9月底第3季營業額按年漲1.1倍至3554萬令吉,淨利則跌32%至268萬令吉。

該公司副主席拿督尤芳洲透過文告指出,截至9月底,i-Residence計劃未進賬銷售額達1億5000萬令吉,i-SOVO計劃未進賬銷售額則達3000萬令吉。

“從現在到這兩項房產計劃完成,我們預計i-Residence計劃每個季度銷售額可達2000萬令吉至2500萬令吉,i-SOVO計劃則每個季度可貢獻1000萬令吉至1500萬令吉銷售額。”

i公司聯營計劃總成本5.8億

其中,40%成本料從外部貸款集得,其余60%預計通過I-City房產、CPN房產和大馬CPN商場,依據個別聯營公司持股權比例作資本貢獻融資。

I-City房產持有聯營公司40%股權,需貢獻1億3920萬令吉資本。CPN房產和大馬CPN商場各持有50%和10%股權,分別需支付1億7400萬令吉和3480萬令吉資本。

We refer to the announcements dated 13 September 2012, 22 November 2012, 21 December 2012, 31 January 2013, 11 March 2013, 13 May 2013, 22 July 2013, 17 September 2013 and 27 September 2013 in relation to the Proposed Joint Venture.

The Board of Directors of the Company is pleased to announce that I-City Properties Sdn Bhd ("ICP"), a wholly-owned subsidiary of the Company, CPN Real Estate and CPN Malls Malaysia have finalised the proposed capital structure of the Proposed Joint Venture.

The estimated total cost for the Proposed Joint Venture is RM580.00 million ("Total Project Value") of which 40% is expected to be financed via external borrowings and the remaining 60% is expected to be financed via capital contribution by ICP, CPN Real Estate and CPN Malls Malaysia in accordance with their shareholding in the joint venture company, Central Plaza i-City Malls Malaysia Sdn Bhd.

Assuming that external financing of at least RM232.00 million ("External Funding") is successfully obtained for the Proposed Joint Venture, based on the Total Project Value, ICP's capital contribution to the Proposed Joint Venture is RM139.2 million, which is expected to be funded by:

(i)   the sales proceeds amounting to RM72.66 million derived from the disposal by The Peak @ KLCC Sdn Bhd ("The Peak @ KLCC") in relation to a part of two (2) pieces of freehold land held under Geran No. 311885, Lot 16965 and Geran No. 311886, Lot 16966, both in Seksyen 7, Bandar Shah Alam, District of Petaling, State of Selangor Darul Ehsan for the development of the retail mall under the Proposed Joint Venture whereby the Company has been nominated to receive and ultimately to reimburse The Peak @ KLCC; and

(ii)  the remaining balance through the proceeds from equity fund raising.

In the event of any variation to External Funding and/or Total Project Value, the Company's capital contribution to the Proposed Joint Venture will vary accordingly.

進行數項企業活動 i公司籌7億融資擴展

(吉隆坡20日訊)i公司(IBHD,4251,主要板房產)通過數項企業活動籌資7億230萬令吉,提升公司股本並為旗下房產發展活動集資。

這包括股票拆細、紅股、附加股和配售憑單、發行可贖回可轉換無擔保債券(RCULS)以及不可贖回可轉換無擔保債券(ICULS)。

i公司副主席拿督尤芳洲指出,公司將通過發附加股和配售憑單籌集2億令吉。同時,i公司需支付地主3億7030萬令吉,進行i-City另一階段發展,這筆款項將通過RCULS以及ICULS支付。

“以RCULS和ICULS收購這兩片土地提供更好聯營模式,土地無需再涉及現金支出。”

股本增至7.75億

加上i公司早前為嘉炳(Kia Peng)土地發出1億3200萬令吉RCULS,該公司一系列企業活動一共集得7億230萬令吉。

同時,這可降低小股東權益遭稀釋效應,有利于公司未來成長,地主可以相同價格轉售半數ICULS于其他股東。

上述企業活動,將i公司股本從1億1400萬令吉提升至7億7500萬令吉,股票數額將由1億1400萬股面值1令吉股票,擴大至15億5000萬股面價50仙股票。

(吉隆坡9日讯)I有限公司(IBHD,4251,产业组)独资子公司I城市产业私人有限公司,已建议向The Peak@KLCC私人有限公司购入一项地产。

在致给大马交易所的文件中,I有限公司表示,上述面积约4.9公顷的地段位于莎阿南,收购价将为2亿4130万令吉,透过发行公司可转换无担保债券股方式缴付。

另一家子公司City Centrepoint私人有限公司,也建议以1亿2900万令吉代价,向The Peak@KLCC买下邻近3公顷的土地,同样以发行I有限公司可转换无担保债券股融资。[光华日报财经]

I公司今年推13億新計劃

(吉隆坡10日訊)I公司(IBHD,4251,主板產業組)計劃在2014年推出13億令吉產業計劃,並預期2013財政年的產業發展業務營收可獲4倍增長。

同時,該公司也放眼讓產業投資業務在2020年時對集團淨利的貢獻比例可加強至25%。

I公司首席執行員拿督尤芳洲披露,將在今年次季推出兩項產業計劃,即Grandi-Residence和i-suite,預計分別在2015年首季和2017年第三季可完工,而發展總值則分別為8億和5億令吉。

“產業發展業務的營收在2012年時只有2千500萬令吉,我們預期該業務的營收可在2013年增長4倍,帶動2014年繼續進一步成長。”

該公司截至2013財政年第三季止的首9月淨利從前期的774萬令吉,成長近倍至1千439萬令吉。

提高產業投資貢獻比例

另一方面,尤芳洲透露,該公司將在未來數年致力於擴展產業投資業務,擬在2020年時提高該業務對淨利的貢獻比例至25%。

“產業發展業務在2013年佔營收約3分之2,而休閒業務(主題公園)則佔另三分之一,而產業投資業務的貢獻微乎其微,預計在2017年之後才能做出明重大貢獻。”

停車場盈利潛能大

他表示看好停車位業務的盈利潛能,因此將致力於加強停車位業務,預期能帶來顯著的收入。

“許多人在估計發展總值時,忽略了停車位的價值,而一些商場如谷中城購物中心的停車場可為該公司帶來可觀的收入。”

他稱,該公司受惠於主題公園業務,i-City產業計劃的停車位有非常良好的需求,其收入潛能帶動目前的停車位估值達每單位3萬令吉。

“在i-City廣場完工後,公司旗下產業計劃的停車位合計共有3萬個單位,每個單位的平均每日收入約為10令吉。”

停車位擁有權

此外,他表示,除i-Residence產業計劃以外,該公司保留旗下所有產業計劃的停車位擁有權,買家在購買產業之時並不包含停車位在內,而該公司將透過月租或其他方式創造經常性收入。

I公司目前正與泰國CPN集團聯營,耗資5億8千萬令吉發展i-City廣場,尤芳洲表示兩家公司達成共識,計劃將旗下所投資產業在2019年產業信託化。

“然而,眼下我們須確保旗下所投資產業有足夠的規模,才能進行產業信託化;而以大馬的產業信託市場來看,至少需有30億至40億令吉的產業規模。”(星洲日報/財經)

i公司末季淨利 勁漲逾2倍至2958萬

(吉隆坡28日訊)i公司(IBHD,4251,主要板房產)上財年房地產重估及業務報捷,末季淨利按年勁漲2.3倍至2958萬令吉,建議每股派息6仙。

截至去年底,該公司末季營業額按年增81%至5566萬令吉,每股盈利25.95仙,較去年同期7.96仙高約3倍。

該公司上財年全年營業額及淨利成長皆倍增,營業額按年增1.3倍至1億5215萬令吉,淨利增1.6倍至4397萬令吉。

i公司向馬證交所報備,房產數項目進行中、休閒業務成長,皆帶動營業額大幅增長,重估后房產增值進賬1300萬令吉是淨利增加主因。

該公司副主席拿督尤芳洲在文告中指出,i城去年共推出發展總值超過10億令吉的項目,是房產發展業務的成長動力,休閒業務表現亦在增加新景點后錄成長。

他指出,該公司預計將在今年內在i城推出總值約7億7500萬令吉的項目,並在隆市中心附近推出發展總值8億2000萬令吉的項目。

i公司名人蜡像館 下月14日重新開張

(吉隆坡26日訊)i公司(IBHD,4251,主要板房產)旗下紅地毯名人蜡像館(RedCarpet@i-City),將在4月14日重新全面投入運作。

i公司執行主席丹斯里林金煌指出,部分在今年1月29日遭縱火燒毀蠟像,目前已陸續有新蠟像送抵蠟像館。

“紅地毯名人蜡像館除了會陸續增加新蠟像,也會在各方面作出提升,包括增設音效等。”

他今日配合新蠟像運抵的匯報上如此透露。

林金煌指i公司將在蠟像館針對兒童增設新主題,料以卡通人物為主,同時入門票價亦有所區別。

i公司為了增加互動,將引進首個3D掃描設備,以攝取外型和容貌數據,供打造立體蠟像。

配合2014大馬旅遊年,林金煌相信i城主題公園可吸引更多遊客到訪。重新開放票價同樣維持在成人35令吉和小孩30令吉。

在發生縱火事件之前,紅地毯名人蜡像館有助i公司達到提振遊客數額目標,目前到訪蜡像館遊客占日訪i城遊客的10%。【中国报财经】
