昱升進軍流動多媒體業務

（吉隆坡29日訊）昱升科技（WINSUN,0141,創業板科技組）建議以1千450萬令吉收購Planet Wireless控股，以進軍流動多媒體及相關新業務，並通過私下配售高達35%新股以期籌措2千660萬令吉，作為收購融資用途及營運資本。
私下配售35%新股籌2660萬
同時，該公司建議以10送1比例，派發最高3千300萬張憑單予股東，所籌措的資金將取決於憑單轉換。
昱升科技發表文告指出，除了支付450萬令吉現金，其餘的則以發售5千萬新股作為收購代價；每股發售價為20仙，並以1送1比例派發新憑單予賣主。
賣主將給予昱升科技盈利保證，確保Planet Wireless2013及2014年的每年淨利不少過300萬令吉。
Planet Wireless成立於英國安圭拉，主要涉及發展流動媒體內容、數據應用服務及流動網絡平台，其註冊股本為1千萬美元。
由於昱升科技過去5年的盈利表現一直處於下滑格局，因此期望藉此收購計劃擴展至新業務，從而減低依賴工業自動化業務，並預計流動應用業務將為公司作出25%或以上的盈利貢獻。
未來該公司也考慮重組或簡化業務，以增強競爭力。
昱升科技私下配售予特定投資者的新股將在6個月內分成多個梯級進行，料配售額最高達1億3千300萬股，並同樣以1送1比例派發憑單。
除了作為收購新公司，私下配售計劃所籌措的資金也將作為資本開銷及擴展業務之用，各佔150萬及1千990萬令吉。（星洲日報／財經）

昱昇科技大股东变动

（吉隆坡4日讯）昱昇科技（WINSUN，0141，创业板）宣佈，来自安圭拉的Good United有限公司在5月28日收购该公司2099万9000股，或相等于7%股权，崛起成为该公司的大股东。
值得注意的是，昱昇科技当天出现为数4349万9000股，或佔缴足资本14.5%的股权，在场外以521万令吉，或每股0.12令吉的价格易手。对比该股0.145令吉的闭市价，该成交价折价17%。
另外，昱昇科技也于周一宣佈，亿丰网通首席执行员郑博毅也在同一天买进该公司2250万股，或相等于7.5%的股权。目前郑博毅共持有昱昇科技10.83%股权。
根据《彭博社》的资料，上述股权与昱昇科技的执行董事赖俊聪（译音）的持股吻合。[东方日报财经]

平均每股10仙 昱升科技7.8%场外易手

（吉隆坡10日讯）昱升科技（Winsun，0141，创业板）周一出现一笔2355万股，或7.8%的股权场外易手，平均价格为每股10仙。
根据马交所数据显示，以该公司的3亿股缴足股本做出计算，该易手股票相当于昱升科技7.8%的股权。
公司也在6月6日向马交所报备，董事钟秀明（译音）在6月4日和5日两天内共出售了1164万股或相当于3.88%的股权。
这其中的269万股以13仙的价格出售，而剩余的894万股则以12仙的价格易手。
闭市时，昱升科技收报9.5仙平盘，成交量为769万9300股。[南洋网财经] |
