HHVKK has an authorised share capital of RM400,000.00 comprising 400,000 ordinary shares of RM1.00 each and the total issued and paid-up share capital shall be RM100/- divided into 100 ordinary shares of RM1.00 each fully paid-up in the capital of HHVKK, of which 75 ordinary shares of RM1.00 each are held by Ho Hup and the remaining 25 ordinary shares of RM1.00 each are held by Tribeca Real Estate Asset Management Sdn. Bhd. The principal activities of HHVKK is construction, development property and investment holding.

3. FINANCIAL EFFECTS
The incorporation is not expected to have any material effect on the earnings per share and net assets of Ho Hup for the financial year ending 31 December 2015.

3000万购GWSB 70% 和合亚庇建7.7亿产业

(吉隆坡27日讯)和合建筑(HOHUP,5169,主板建筑股)收购Golden Wave私人有限公司(GWSB)股权,纳入地皮来兴建发展总值7.74亿令吉的综合产业项目。

根据文告,和合建筑通过子公司和合企业(亚庇)私人有限公司,以3000万令吉现金,购入GWSB的70%股权。

一旦交易完成,公司可获得GWSB旗下一块4.988英亩的地皮。

这块地皮位于亚庇的黄金地段,被众多酒店和商业中心所环绕,处于策略地理位置。

和合建筑将在该土地上,兴建综合服务式公寓、酒店和其他商用产业,预期在2020年完成。

文告指出,这项交易符合和合建筑持续在策略位置,展开产业发展项目的方针。

同时,亚庇的产业需求相当强劲,公司乐见该项目将捎来亮眼贡献。

早前,GWSB与DBKK控股私人有限公司签署联营协议,以这块亚庇土地作为交换条件,为后者兴建巴士站和停车场。【南洋网财经】

2000万买ICA 70% 和合获柔土地发展权

(吉隆坡22日讯)和合建筑(HOHUP,5169,主板建筑股)以2000万令吉现金,收购Intact Corporate Approach私人有限公司(简称ICA)70%股权,以获得柔佛古来429英亩土地发展权。

该公司发表文告,是通过持股75%子公司柔佛和合企业,向I4GIntelliganz私人有限公司购得有ICA上述股权。

根据文告,该土地位于柔佛州教育基金会(Yayasan Pelajaran Johor)大学城,距离古来镇7公里,也距离士乃机场11公里。

ICA于今年7月27日,与YPJ种植私人有限公司签约,以1亿730万令吉购得面积达429英亩的土地,其中2230万令吉购地成本,需在未来5年内以现金支付。

其余8500万令吉的购地金额,ICA将为YPJ提供科技与技职培训教育设施的方式抵销。

该土地发展期限预计是15年,从2016年至2031年。

和合建筑认为,上述收购活动可增加地库,料对公司未来有正面贡献。【南洋网财经】

Unless otherwise stated, the definitions used herein shall have the same meanings as set out in the announcement dated 21 August 2015.

Pursuant to the Sale and Purchase Agreement entered into on 27 July 2015 between ICA and YPJ, ICA will acquire 429 acres of land from YPJ free from encumbrances and with vacant possession for a total consideration of RM107,313,000 (“Consideration”)(“YPJ Land Acquisition”).

The settlement of the Consideration shall be by way of cash amounting to RM22,313,000 over five (5) years and RM85,000,000 by way of the construction and delivery in phases of a Technical & Vocational Education and Training Facility over five (5) years, at ICA’s own cost.

In view of the above, the relevant sections in the announcement dated 21 August 2015 are amended as follows:

1.      Highest percentage ratio
The highest percentage ratio applicable pursuant to the Paragraph 10.02(g) of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad is 58.18% after taking into consideration the purchase consideration of RM20.0 million for the proposed acquisition of ICA and the YPJ Land Acquisition of RM107.3 million.

2.      Approvals required   
The Proposed Acquisition requires the approval of the shareholders of Ho Hup.

Save and except for the amendments above, all other details and terms as disclosed in the announcement dated 21 August 2015 in respect of the Proposed Acquisition remains unchanged.

和合建築聯營公司1.4億合約

(吉隆坡14日訊)和合建築(HOHUP,5169,主要板建築)旗下聯營公司獲得總值1億4530萬令吉,烏魯登嘉樓(Hulu Terengganu)理工學院的設計與建築合約。

和合建築今日向馬證交所報備,公司與DSE建築私人有限公司組成的聯營公司在上週五(11日)獲辦法上述合約,公司持有聯營公司59%股權。

“這項建築工程將在10月份開始進行,預計24個月將完成。該合約不會對公司繳足資本,股東的每股盈利,及公司每股淨資產有任何具體影響。”【中国报财经】

The Board of Ho Hup is pleased to announce that Ho Hup – DSE JV, an unincorporated joint venture formed by DSE Construction Sdn Bhd (“DSE”) and Ho Hup, has on 11 September 2015 been awarded a contract  by DSE for the design and construction of the proposed Polytechnic in Hulu Terengganu for a contractual sum of RM145.3 million (excluding Good and Service Tax) (“the Construction Contract”). Ho Hup’s share in the unincorporated joint venture is 59%.

DSE is a private limited company incorporated in Malaysia under the Companies Act, 1965 with its business office in Kuala Terengganu. Its principal business activities are construction services and rental of plant and machinery.

Duration of the Construction Contract
The date of commencement of construction work shall be October 2015 and the completion period is 24 months.

Financial Effects
The award of the Construction Contract will not have any material impact on the issued and paid-up capital, substantial shareholder’s shareholding, earnings per share and net assets per share of the Company.

Directors and Major Shareholders Interests
None of the directors, major shareholders and/or persons connected to them, has any interest, direct or indirect in the Construction Contract.

Statements by Directors

和合建筑(HOHUP,5169,主板建筑股)与DSE建筑公司联营,承建后者在乌鲁登嘉楼的工艺学校项目,总值1亿4530万令吉。

和合建筑手持联营公司的59%股权,相等于拥有合约的8570万令吉比例。

这个项目将在下月动工,预期在24个月内竣工。

行家建议
我们对这个消息感到“中和”,因为这并未出乎意料,预测和合建筑可在现财年,取得3亿令吉的新补充订单。

假设这个项目的税前盈利赚幅为7%,公司可在未来2年,袋入600万令吉的税前盈利。

这是和合建筑在现财年首个竞得的项目,纳入这项合约后,未完成建筑订单总值已提高至3.5亿令吉。

而产业未进账销售,达2.5亿令吉。

虽然和合建筑可能会面临无法补充订单的风险,但我们还是看好公司的盈利前景,因为武吉加里尔的联营计划,可捎来更多贡献。

該公司向馬證交所報備指出,中國石化工程集團(馬)私人有限公司本月23日頒發該項分包合約,為第2配套內的其中一個項目,合約為期4個月,預計10月起動工。

文告指出,該公司將在合約下,展開土質改善工程。

和合建築總執行長黃吉良則在文告中指出,首次獲得石油提煉和化學綜合發展計劃內的項目,相信有助提高該公司參與競標該計劃下其他項目的競爭力。【中国报财经】

SEGM is a subsidiary under Sinopec Group in the Peoples Republic of China (PRC). The Sinopec Group is the leading oil refining, petrochemical and chemical engineering group in the PRC.

和合建筑(HOHUP,5169,主板建筑股)接获大马中国石油化工工程(Sinopec Engineering)颁发建筑工程次级合约,总值2160万令吉。

根据合约,公司将在边佳兰的炼油与石油化工综合发展计划(RAPID)第二配套,进行地基巩固工程。

行家建议
虽然合约总值比预期小,不过,由于是和合建筑在RAPID的第一项工程,因此,我们相信能够增强该公司未来竞标基建工程的竞争力。

包括上述合约,和合建筑手中的建筑订单为3.89亿令吉,而产业未进账销售额则有2.49亿令吉。

假设该合约的税前赚幅为5%,估计能够贡献约110万令吉的税前盈利。

由于该合约已经计算在我们早前的翻补订单预测内,因此,维持2015及2016财年的业绩预测不变。

(吉隆坡19日讯)建筑和产业业务的盈利下跌,拖累和合建筑(HOHUP,5169,主板建筑股)截至9月30日第三季,净利按年减少6.38%。

公司第三季净赚1730万2000令吉,或相等于每股盈利5.01仙,比上财年同期的1848万1000令吉或6仙低。

同时,营业额也从9504万5000令吉,按年下跌33.88%,至6284万6000令吉。

首九个月净利按年增10.13%,达5158万令吉或15.08仙,主要是因为产业发展总盈利赚幅获得改善,以及预拌混凝土业务转盈。

至于营业额则跌20.13%,达2亿1245万令吉。【南洋网财经】

HO HUP CONSTRUCTION COMPANY BERHAD (HO HUP OR COMPANY) PROPOSED ACQUISITION BY HO HUP VENTURES (JOHOR) SDN. BHD. (HHVJ OR PURCHASER), A SUBSIDIARY OF HO HUP, OF 70% EQUITY INTEREST IN INTACT CORPORATE APPROACH SDN. BHD. (ICA) FROM I4G INTELLIGANZ SDN. BHD. (I4G OR VENDOR) FOR CASH CONSIDERATION OF RM20,000,000 (PROPOSED ACQUISITION)
(Unless otherwise stated, abbreviations and definitions used throughout this announcement shall be the same as those previously announced.)

Reference is made to the announcements dated 21 August 2015 and 1 September 2015.

Vide an exchange of letters dated 2 December 2015, HHVJ and I4G have mutually agreed to vary certain terms in the SSA entered into on 20 August 2015, as follows:

(i)    Pursuant to the SSA, the sum for the first payment of RM10.0 million is to be paid to I4G’s solicitors as stakeholders upon execution of the SSA (“First Payment”).Todate, HHVJ has paid a refundable sum of RM3.0 million.
HHVJ and I4G have mutually agreed to extend the payment for the second tranche of the First Payment amounting to RM7.0 million, to be paid on or before 26 February 2016.

(ii)     In addition, the parties have mutually agreed to extend the period for the completion of the SSA until such time decision of the shareholders of Ho Hup is obtained.

200万买Erakuasa 和合建筑进军花岗岩开采

(吉隆坡30日讯)和合建筑(HOHUP,5169,主板建筑股)间接子公司和合创投,以200万令吉收购Erakuasa全球私人有限公司,进军花岗岩开采业。

双方今日签署买卖协议,正式完成收购。

Erakuasa全球持有ACV-ICM采石场(AIQSB)的75股权,后者持有马六甲近102.3公顷的采石场的开采权。

至于AIQSB另外一名股东I.C.M工业机构,母公司就是该采石场的持有人。

I.C.M工业机构已与Erakuasa全球签署股东协议,同意AIQSB经营该采石场直到2028年3月25日。

和合建筑认为,采石是垂直整合和扩展预拌混凝土业务的策略行动,因花岗岩是生产预拌混凝土主要原料。

此外,该采石场也能够从马六甲、森美兰州南部和柔佛北部的基建发展活动带来的石矿产品需求中受益。

和合建筑总执行长黄吉良表示,由于集团业务主要涉及在建筑、基建和产业发展,这皆是预拌混凝土产品的主要消费群,所以将可扶持集团的需求。【南洋网财经】

(“EGSB”), representing 100% of the total issued and paid up share capital of EGSB, by HHVM from the Vendors for a total cash consideration of RM2,000,000.

看好產業貢獻‧和合競標20億基建工程

(吉隆坡22日訊)和合建築(HOHUP,5169,主板建筑組)競標20億令吉基建工程,看好產業發展業務將為2016財政年帶來更佳盈利貢獻。

該公司首席執行員拿督黃吉良在特大後表示,目前正在競標20億令吉基建工程,包括高速大道及橋樑建築工程,未來數月料有結果。

另外,他也透露,該公司已取得新街場-淡江高架大道(SUKE)及白沙羅-沙亞南大道(DASH)預審競標(Prequalified)資格,預計4月開始競標,7或8月可獲知競標結果。

這兩條大道共分為18個配套,規模為巴生河流域最大,發展預算約40億至50億令吉,皆隸屬國民投資(PNB)旗下獨資子公司Prolintas大道,不過興建工程已停擺數年。

手握5億訂單

目前該公司建築訂單企於5億令吉,可忙碌2年,項目包括內部工程、登嘉樓工藝學校、柔佛兵營及邊佳蘭RAPID工程。

至於產業業務,因產業銷售陸續在今年釋放,黃吉良看好將為2016財者年帶來更高盈利。

“我們與馬頓(MALTON,6181,主板產業組)聯營的武吉加里爾綜合發展計劃反應良好、獨資發展的Aurora發展項目售罄,今年下半年也計劃在亞庇推出5星級酒店及服務式公寓,相信將支撐本財政年盈利,表現比2015財政年佳。”

和合建築持有武吉加里爾綜合發展計劃的18%,整體發展總值介於40億至45億令吉、Aurora及亞庇發展項目發展總值個別為5億及7億令吉。

2千萬購ICA通過

該公司是在2014年5月脫離PN17,除了以200萬令吉現金收購馬六甲採石場,最近亦建議以2千萬令吉收購ICA有限公司70%股權,獲取古來429英畝土地權發展城鎮計劃,發展期限約15年。

今日此建議已在特大上獲股東通過,完成收購後,該公司地庫將增至486英畝。(星洲日報/財經)

5配1发附加股优先股 和合建筑集资1.3亿

(吉隆坡26日讯)和合建筑(HOHUP,5169,主板建筑股)建议按5配1比例发售附加股及优先股,各別预计可集资6811万令吉,合计1亿3622万令吉。

和合建筑建议,以5配1比例发出8514万股附加股,每认购1股附加股將附送1张凭单。

附加股的发售价待定,但假设售价是每股80仙,料可集资约6811万令吉。

同时,该公司亦建议,以5配1比例发出8514万股优先股,每认购1股优先股將附送1张凭单。而优先股的发售价同样待定,假设售价是每股80仙,料可集资约6811万令吉。

完成上述2个发股活动之后,该公司建议修改公司章程。

还债筹营运资本

发附加股降负债 和合建筑财力加强

(吉隆坡30日讯)虽然和合建筑(HOHUP,5169,主板建筑股)发行附加股、可赎回的优先股(RPS)及免费凭单,将稀释2016财年每股净利,但却有助加强财务状况。

BIMB证券分析员看好该项企业活动,因相信和合建筑能加强财务状况,且能让目前在进行中和未来发展项目达到资本要求。

根据文告,该公司建议,以5配1送1凭单比例,发出高达8513万7570新股,和8513万7570张免费凭单。

另外,也建议以5配1送1凭单比例,发出高达8513万7570股新优先股,和相同数额的免费凭单。

假设每股附加股和优先股的发售价为每股80仙,和合建筑预计可从中筹得介于1亿1080万令吉至1亿3620万令吉。

其中,5200万至7720万令吉将作为营运资本,而5600万令吉用于偿还银行贷款,剩余300万令吉则支付该项企业活动的费用。

分析员指,完成该项活动后,预计和合建筑2016财年每股净利,稀释至最低达16.8仙,最高达13.7仙。

不过,净负债率预计将从0.6倍,降低至介于0.3至0.1倍之间。

3.39亿订单未入账

降低负债也能够加强和合建筑资本,融资目前进行中的项目。

目前,和合建筑在沙巴亚庇和柔佛古来进行着数项综合发展项目,包括公寓和商业产业。

至于建筑业务,集团在登嘉楼兴建着一间理工学院,且在柔佛边佳兰(Pengerang)进行着打桩工程。

截至去年12月,集团未入账建筑订单合约和产业销售,分别近9640万令吉和2亿4210万令吉。

同时,目前进行着的产业发展项目,预计发展总值达10亿9000万令吉。

分析员维持“买入”投资评级,且目标价格则落在1.69令吉。

不过,在纳入上述企业活动进考量后,除权后目标价格为1.17令吉。
