亚洲资源首季亏损收窄

(吉隆坡18日讯)亚洲资源(ASIAEP,0039,创业板)截至11月30日首季,净亏幅度收窄,报37万6000令吉,或相等每股净亏0.05仙。

该公司去年同季净亏达44万6000令吉,或每股0.10仙。

营业额则按年下跌3.7%,从2万7000令吉减至2万6000令吉。

该公司估计在2016年8月31日截止的财年,业绩表现持续充满挑战。【南洋网财经】

亚洲资源惨烈重组/万年船

小股东大权利

重组以后,亚洲资源将被一家名叫GFM服务的公司倒置收购。

亚洲资源(ASIAEP)这家公司,在2012年5月宣布陷入GN3,股票在2012年9月24日停牌。

接下来,小股东们经历了暗无天日的4年岁月,每年只是在股东大会,才听到公司仍在重组。

重组,像个噩梦,困扰了股东许久,既怕重组失败公司破产除牌,又怕重组之后的面目全非。

而在9月15日,公司终于取得所有相关当局的允许,来向股东寻求最后的通关之道。

阅读其重组建议,我们可以知道,这是近来最惨烈的重组计划之一。

公司为了求存,建议削资95%(面值10仙削减成0.5仙),然后再整合20股(面值0.5仙)为1股(面值10仙)。

这个重组之所以惨烈,是因为股东的股额减少了95%,这和近来许多公司亏损后削资重组,不过只是削减面值,股票数额保持不变的情形大为不同。所以,股东的痛苦,应该特别明显吧。

接下来还有更痛苦的呢!重组以后,亚洲资源将被一家名叫GFM服务的公司倒置收购。

虽然亚洲资源的股额,将被冲淡至非常小的数目,雪上加霜的是,在换票的过程,并不是一换一。换股比率大约是40.484:17.602,即每2.3股亚洲资源,换取1股GFM服务!

100股最终剩2股

那就是说,如果你之前有100股亚洲资源,重组后变成5股,最后变成2.17(即是2股)GFM服务股票。

亚洲资源股东能有什么话好说?

重组之后,亚洲资源其实还是负资产,GFM服务只是看中其上市地位,至于股票交换,根本不可能给予很多,只能笼统的施舍一点。

不过,令人惊讶的是,亚洲资源兑换的GFM服务股票面值是10仙,GFM服务的三位大股东之后建议献售1亿股,每股售价不少于22仙。

看来,这三位股东借壳上市的妙计如果得逞,每位可进账750万令吉,之后还以超过51%的股权牢牢控制住GFM服务;亚洲资源的小股东看在眼里,痛在心里,肯定会在股东特大里借题发挥,大发脾气。【e南洋】

(吉隆坡6日讯)成立于2013年,GFM服务(GFM SERVICES BERHAD)由3大拥有工程师背景的董事带动,为各类机构提供设备管理(FM)服务。

该公司通过倒置收购亚洲资源(ASIAEP,0039,创业板科技组),寻求上市创业板,于1月9日登场马股。

该公司通过内部团队或第三方承包,为客户提供硬体设备管理、软体设备管理,以及设备谘询服务,由非核心的角度为出发点,辅助客户业务的核心活动。

这表示该公司可吸引大范围的顾客群,进一步减低对单一业务过度依赖的风险,使该公司在领域中脱颖而出。

大马的设备管理(FM)领域,在2011年至2015年之间,由29亿9000万令吉涨至41亿1000令吉,达8.28%的年复合成长率,该行预测可在2020年,升至8.58%。

GFM服务筹策在上市后,积极参与政府计划,利用科技以加强服务产品并巩固客户关系,同时也将探索更多的收购、联营及合伙的机会,壮大该公司重组后的业务。

GFM Services周一挂牌
取代亚洲资源


2017年1月8日
(吉隆坡7日讯)亚洲资源(ASIAEP,0039,创业板)将在下周一(9日)下市,并由GFM Services取代上市。

亚洲资源向马交所报备指,作为重组计划的一部分,GFM 将取代亚洲资源在大马创业板上市,并从下周一上午9时起生效。

GFM Services的缴足资本为4281万294令吉,每股面值为10仙,上市股名为GFM,股号为0039。

至于GFM Services的股票参阅价为每股38仙,该股的交易价上限及下限,分别为68仙及8仙。

亚洲资源在2012年5月,被马交所列入GN3。当时马交所指,亚洲资源是因为触及上市条例2.1(j),即该公司没有显著的业务。

陷入GN3公司后,亚洲资源必须向马交所呈交重组计划,并在12个月内执行,同时,也要按时向马交所提呈情况。

若没按照马交所的指示,马交所有权暂停该公司的交易,甚至是除牌。

2015年,亚洲资源向马交所申请,将重组计划的完成截止日,推迟至去年6月30日。

获外贸发展局2280万合约

亚洲资源也宣布,子公司Global Facilities Management(简称GFM),获大马外贸发展局(MATRADE)颁发合约,总值2280万31令吉。

亚洲资源向大马交易所报备,这项合约是管理和维修MATRADE大厦的设备合约;不过,上述合约还需取决于双方所签署的最终合约,及满足其他相关条件。

合约为期5年,1月1日起生效,直至2021年12月31日。【e南洋】

Kindly be advised that ASIAEP has regularised its financial condition pursuant to Guidance Note 3 (“GN3”) of the ACE Market Listing Requirements (“ACE LR”) following the completion of the Regularisation Plan. As part of the Regularisation Plan, ASIAEP will be de-listed from the Official List of the ACE Market of Bursa Malaysia Securities Berhad (“Bursa Securities”) and GFM will be admitted to the Official List of the ACE Market of Bursa Securities in place of ASIAEP with effect from 9.00 a.m., Monday, 9 January 2017.

will be admitted to the Official List of Bursa Securities in place of ASIAEP, and the listing and quotation of GFM Shares on the ACE Market under the "Trading/Services" sector will be granted with effect from 9.00 a.m., Monday, 9 January 2017.

The Stock Short Name, Stock Code and ISIN Code of GFM Shares are “GFM”, “0039” and "MYQ0039OO006" respectively.

The reference price of GFM Shares is RM0.38 and the upper and lower limits of the trading price on the first day of listing would be RM0.68 and RM0.08 respectively

GFM上市拓知名度.蓄势等待契机

资产和设施管理公司GFM服务(GFM,0039,创业板科技组),透过倒置收购亚洲资源(ASIAEP,0039,创业板科技组)上市,希望提升公司知名度及筹资能力,以攫取更多合约。

GFM董事经理罗斯兰接受《星洲财经》专访时表示:“我们上市的目的是为了提高市场对公司认知度,同时也获得公开募资能力。当机会来临时,我们有能力攫取更多合约或并购计划。”

罗斯兰补充,由于公司近期获利表现良好,其原本定价每股22仙的售价,上调至每股32仙。在倒置收购完成后,GFM及原本股东将控制亚洲资源70.1%的股权,亚洲资源原本股东持股则将被稀释至4.1%,新投资者将占25.81%股权。

GFM主要业务是提供一站式的大楼或设施管理服务,从建筑物维修至环境清理等业务皆在其营运范围内。与该公司业务类似的大马上市公司有两家,分别是UEM前线(EDGENTA,1368,主板贸服组)与AWC设施方案(AWC,7579,主板贸服组)。

GFM 2013年宣布倒置收购亚洲资源,但直到去年才获得大马交易所批准。该公司在今年1月9日正式取代亚洲资源上市地位。

询及该倒置收购计划为何拖延那么久,罗斯兰表示,原因是前几年该公司营业额来源过于依赖单一项目,也就是新山关税、移民与检疫大厦(CIQ)建筑物管理合约;交易所认为公司的营运风险太高。

“在2013年,公司超过一半营业额是来自CIQ合约,大马交易所要求我们必须多元化营收来源。为了达到这个要求,我们花费了一些时间。”

经过数年努力后,该公司营业额已经相当多元化,2015年政府合约只占了公司48%营业额,余下的52%营业额则来自教育、建筑及产业管理、银行及油气等不同领域。

不削价攫取合约

询及设施管理行业前景,罗斯兰表示,为了节省成本,政府更倾向将设施或大楼建设与管理外包。同时,首相署表现管理和履行单位(PEMANDU)也明确表示,减少政府在商业领域角色是该单位明确目标,这对该行业是一大利好。

受惠政府售国营资产

“除了涉及国家安全行业,如:食物和国防等领域,PEMANDU认为政府应该减少参与私人领域的商业营运。

在此情况下,预料政府将会脱售更多国营资产,这对GFM来说是一大利多。”

谈到该公司与其他同行竞争优势,罗斯兰说,“我们并不会以削价方式攫取合约,而是以提供完善解决方案给相关机构,为他们解决难题,这比单纯削价竞争难多了。”

“我举个例子,之前GFM承接一间大学管理合约,成功解决该校冗员过多及人力错置问题。该所大学一间厕所竟然一天可以洗了20多次,这样的工作量明显是多余的。但在该公司承接该大校设施管理后,制定了完善的人力配置计划,为员工安排了合适工作量,除了运作更为顺利,也节省成本。”

“我们选择主动出击,为客户提供解决方案,而非被动地竞标合约。”

冀获更多PPP项目

罗斯兰表示,公司未来放眼攫取更多公共私人伙伴(PPP)项目,目前联邦政府进行中27项PPP计划,该公司参与了5项。

他解释,PPP计划其实和建设、经营、转让项目(Buildoperate transfer BOT)差不多,只是前者多了工程设计和承建。

“我们并没参与PPP项目建筑部份,但在建筑期间GFM会给于提供相关谘询服务。我们会在建筑物竣工后,提供设施维修和管理服务。目前我们参与了全国5处玛拉工艺大学分校的设施管理项目以及砂拉越古晋渔业发展局(LKIM)资产管理等”

除了政府PPP项目及CIQ建筑物管理,该公司目前最大的计划是为边佳兰工程约4000名员工提供一站式设施管理服务,当中包括提供饮食、住宿、交通等各项服务,该项目为期3年,总值6520万令吉。

手握2500万现金

他强调,目前该公司财务状况良好,目前手握2500万令吉现金,营运现金流更达3880万令吉,短期负债则是2380万令吉,换句话说该公司处于净现金状态。

截至2016年12月,GFM已确保的总订单为3亿7700万令吉,在去年也获得6440万新订单,对于新一年订单的进账方面,罗斯兰充满信心。

外劳人头税
影响不大

此外,询及外劳人头税转为雇主100%负担,是否会提高公司管理成本,罗斯兰说,对他们的影响不大,因为GFM工作主要是提供谘询和管理服务,会从各个方面来思考如何为客户节省成本,若人事成本提高了,他们会想办法从别处缩减成本。

罗斯兰认为,资产和设施管理是一个需要长期花心思经营细致行业,不像一些建筑工程行业,在工程完毕,收到尾款后,无须负上太多的责任。

“我们和UITM签订最长的合约是23年,前3年是其校园建筑期的谘询服务。在建筑物完成后,则提供长达20年的设施管理服务。我们的获利模式是细水长流的,而非赚了一笔就转身离去。”

人才荒
最大挑战

GFM最大挑战是什么?罗斯兰表示,人才荒是公司目前面对最大的难题。

“我们是一家资产和设施管理公司,员工必须拥有一定工程知识和物业管理能力。你很难找到同时拥有两种知识的员工。虽然现在大学也有提供工程系学生资产管理课程,但是这方面的人才仍相当不足。”

他进一步说明,目前公司直接聘请员工500名,当中三分之一拥有大专教育水平。

“我们需要更多受过高等教育的员工,因为GFM是一家提供谘询服务的公司,员工必须有一定的学识。”

罗斯兰展望在2020年之前成为大马数一数二的资产和设施管理公司。他认为,GFM在该行业已经有十余年之久,公司也获得多项ISO管理资格,是该行业专家,要达到这个目标,并不会是天方夜谭。

(吉隆坡9日讯)GFM服务(GFM,0039,创业板)取代亚洲资源上市,今日粉墨登场,首宗交易价录得每股46仙,比38仙发售价,溢价8仙或21.05%,交易成交量达328万6500股。

对于股价上涨,该公司董事经理鲁斯兰诺丁说:“我们对股价取得溢价,感到非常荣幸及高兴,这表示市场对公司有信心。”

鲁斯兰诺丁是在GFM 服务上市鸣锣仪式后,对记者发表谈话。该公司成功上市马交所,意味着倒置收购亚洲资源的活动完成。

出席者包括GFM 服务营运董事再纳阿敏、董事莫哈末沙里扎、独立主席阿都拉希、独立董事再纳阿里菲、KAF投行总执行罗海赞伊斯马尔,及企业金融董事何基良。

闭市时,GFM 服务全天溢价8.5仙或22.37%,以46.5仙挂收,全日成交量达5619万1400股。

展望未来,鲁斯兰诺丁指出,该公司有意并购,预料年底会完成一项并购。

他说:“公司目前有数份并购计划在手,预计年底会完成一项并购活动。”

他补充,该公司打算与跨国企业或政府相关公司进行并购。

市值上看1.63亿

通过首次公开募股(IPO),GFM服务筹资高达4200万令吉,当中400万令吉用作上市开销及营运资本,剩余3800万令吉则支付售股股东。

根据每股38仙发售价,该公司市值1亿6270万令吉。

GFM服务是一家设施管理一站式解决方案中心,为业主提供机械和电子服务、土木结构服务、清洁、环境美化、虫害控制等服务。

截至2015年,GFM服务在教育领域的设施管理,市占率为6.3%,而政府办公室及房屋领域的设施管理,市占率为3.7%。

看好设施管理业务

鲁斯兰诺丁预计,未来,该公司的设施管理业务增长率,料比该领域的9%增长率还要高。

他说:“过去5年,公司营业额的年均复增为11%。因此我们相信,公司的设施管理业务增长率会超越该领域表现。”

另外,他说:“今年,我们正竞标20个项目,总价值达18亿令吉。合约命中率为3至5%。”

目前,GFM服务拥有3亿7700万令吉的订单,共26个项目,相信能维持公司营运到2034年。

“未来,公司会专注在本地业务。不过,我们不排除进军本地私人领域,及扩展海外业务,到亚洲和中东。”

GFM服务获Socso续约维修管理合约一年

(吉隆坡27日讯)GFM服务(GFM Services Bhd)表示,该集团与马六甲社会福利保险金(SOCSO)康复中心的维修管理服务合约获续约一年,从6月15日起生效。

这家综合设施管理公司今日通过大马交易所发文告报备,其子公司Global Facilities Management今日接受了这项延长合约的献议。

GFM服务表示,续约金额为621万令吉,续约预计可为该集团截至2017年12月31日止的财政年盈利和每股净资产,带来进账。

GFM服务末季赚237万

2017年4月11日
(吉隆坡10日讯)GFM服务(GFM,0039,创业板)截至去年12月杪末季,净赚236万6000令吉或每股0.01仙;同期营业额则录得2521万1000令吉。

GFM服务日前向马交所报备,由于这是该公司的首次中期财务报告,所以无法进行比较。

累计全年,该公司净赚1304万3000令吉,或每股0.03仙;同期营业额则报9173万9000令吉。

该公司末季及2016财年全年营业额的贡献,主要来自设施管理服务。

排除突发事故,GFM服务董事部认为,公司截至12月杪的2017财年业绩表现依然会是不错。【e南洋】
