The Board of Directors of Freight Management Holdings Berhad ("FMHB" or "the Company") wishes to announce that Icon Line (Malaysia) Sdn. Bhd. ("ILM"), a wholly-owned subsidiary of FMHB has on 5 September 2013 entered into an Agreement ("the Agreement") with the following persons via a special purpose company in the Philippines known as FM Global Logistics (Phil) Inc ("FMGLP") under the laws of the Philippines:- Irene M. The intended activity of FMGLP is to undertake the business to provide point to point integrated logistics services to and from the Philippines. FMGLP will have an authorised share capital of P10,000,000.00 divided into 100,000 shares of P100.00 each. The paid up share capital of FMGLP shall be decided at a later date and the capital will be contributed as follows:- 50% from ILM; 30% from Irene; 12.5% from Bernardita; and 7.5 % from Jose. Upon the completion of the allotment of capital, FMGLP will be a 50%-owned subsidiary by ILM. Contemporaneously, FMGLP and ILM (hereafter collectively referred to as "the Buying Parties") will enter into a Business Sale Agreement with the following parties:- Global Star Logistics, Inc (formerly known as Virtual Logistics, Inc) ("GSL"), in which Irene, Bernardita and Jose are the registered owner of GSL; Irene; Bernardita; and Jose (hereinafter collectively referred to as "the Selling Parties"). 货运管理财报出色

（吉隆坡13日讯）货运管理控股有限公司（FREIGHT，7210，贸易服务组）公布，在截至2013年12月31日止第2季度，所取得的税前利润按年从655万令吉上升至708万令吉。

而营业额则由前期的9204万令吉走高至1亿336万令吉。

另一方面，该集团在截至2013年12月31日止上半财政年，一共录得1390万令吉的税前利润，较去年同期高出11.7%。

至于营业额则获得2亿280万令吉，较前期增长14.8%。

该集团说，营业额主要来自海运费、第三方物流与仓储、陆上和航空货运部门。

它致函马交所称，在首半年期间，海运费按年增加17％，因为货物处理量上升，这暗示全球贸易活动都在上升中，这将支持集团的短期前景。

该集团表示：“我们对于现财政年整体表现持谨慎乐观态度，并且预计在下半财政年度，将会保持增长动力。”【光华日报财经】

扩海外市场 投资新领域 货运管理冀延续成长

（吉隆坡17日讯）货运管理控股有限公司（FREIGHT，7210，贸易服务组）放眼重复过去3个财政年度的成长趋势，达到更高的单位数甚至双位数成长。

尽管出口数字在去年上半年滑落，但该物流经营商仍然看到增加其市场份额的空间。其收支在截至2013年6月30日止财政年扬升了8.12%。

货运管理控股集团董事经理赵松榤表示，在更长期方面，该公司拥有良好潜质进一步扩大，因其海外据点正在增加，同时它也开始投资在目前缺少涉足的相关业务。

他指出：“新投资将不会带来太大的差异，但经过一段时间，它们将成长一个相当庞大的部门。在5年前，我们的第三团体物流和仓库部门不足挂齿，但今天，它已成为第2大的收益贡献者。”

赵松榤提到了货运管理控股去年宣布的2项新船务相关业务，即蓬勃本地石油与天然气领域的船只修复设备和支援服务。

“我们已经展开研究，并发现市场上实际缺少船只与驳船的修复设备。因此，我们与我们在泰国南部的伙伴联手，建立一个提供这项服务的设备。”

他形容货运管理控股的这项新投资‘很有意思’。

去年，货运管理控股已认购YKP-FM环球船坞有限公司的25%股份。据赵松榤透露，YKP-FM环球可能需要至少另外12至18个月时间才会带来贡献，因该设备目前正在兴建中。

除此之外，货运管理控股也与Scomi能源服务有限公司（SCOMIES，7045，贸易服务组）落实一项各持50%的联营，以提供一组拖船与驳船予石油与天然气钻井地点的交通供应。

“当地有许多钻井活动，因此它将有更多这项支援的需求。惟它仍只是一个开始。”

目前，货运管理控股的航运业务仍拥有成长空间。据赵松榤称，货运管理控股的标准货柜处理数字将在今年触及10万个。

不过，巴生港本身在去年首9个月的标准货柜处理，已经达到768万个（根据东盟港口协会大马网站资料）。在马来西亚，同时期的标准货柜吞吐量达到1557万。前一年同时期，标准货柜吞吐量则达1538万。

“我没有区域港口的吞吐量，但综合泰国和印尼的标准货柜吞吐量，你可看到庞大的潜质。”

为增加标准货柜处理份额，他说，货运管理控股将需要提升其客户服务和销售据点，并且参与大型企业通常需要更大容量的更多投标。

他称，作为一个服务供应商，货运管理控股将以轻资产形式操作，其大部分成本是来自以表现作为回馈标准的人力资源。该公司的措施也让它避免蒙受沉重成本和贬值。

总部设于巴生港的货运管理控股，提供全方位航运服务予其客户，包括海运、空运、陆运、货柜、拖船与驳船、第三团体物流与仓库、以及报关行。

货运管理营业额突破4亿

（吉隆坡18日讯）货运管理控股有限公司（FREIGHT，7210，贸易服务组）公布，在截至2014年6月30日止全年财政年，所取得的税前利润按年从3022万令吉略升至3083万令吉。

不过，该集团的营业额首次突破4亿令吉大关，由前期的3亿6481万令吉走高至4亿330万令吉。

它致函大马交易所说，每股基本盈利为14仙，而每股净资产值从去年同期的89仙增加至99仙。

货运管理的集团董事经理赵松榤说，海运费用继续提供健康的增长，而交易量和收入皆在年内上涨逾10%。

“我们期待着在截至2015年6月30日止财政年度将会有更好的表现。”

他称：“我们希望集团的核心海运业务能够继续取得强劲的表现，而其他主要部门，如拖轮和驳船、第三方物流和空运业务皆出现改善情况。”【光华日报财经】

貨運管理（FREIGHT,7210,主板貿服組）獨資子公司FM全球物流（馬）有限公司接獲通知，公共陸路交通委員會（SPAD）可能從本月24日起撤銷其拖運執照。

●分析
興業研究說，拖運僅佔該公司營收的8%，即使執照撤銷影響也有限，無意調整對貨運管理的看法，也維持該公司的財測。

興業指出，貨運管理目前有69輛原動機拖車（prime mover）及430輛拖車（trailer），2014財政年貢獻8%盈利。

“最壞的打算，假設貨運管理拖運的業務終止，也僅影響2015及2016財政年的8至10%盈利，相信貨運管理會爭取第三方合約，以維持拖運業務，有關業務應該不會虧損或零貢獻。”

興業相信貨運管理會繼續專注其綜合報關業務的模式。

不過，興業強調，由於執照調銷是兩週後的事，仍須獲得更多資訊，才可能做出下一步決定，目前保持“中和”評級，合理價為1令吉76仙。（星洲日報／財經）

Description	Recurrent Related Party Transactions of a Revenue or Trading Nature
1. INTRODUCTION Pursuant to Paragraph 10.09(1)(a) of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad (“MMLR”), the Board of Directors wishes to announce that Freight Management Holdings Bhd (“FMHB” or “the Company”), through its 51% subsidiary, TCH Marine Pte Ltd (“TCH”), has in the ordinary course of business entered into Recurrent Related Party Transactions (“RRPTs”) as disclosed below. The collective consideration of such RRPTs has exceeded the percentage ratio of 1% for the period from 1 December 2013 to 31 October 2014. Related Party : 1st Cornerstone Investment (“1st CI”) Transacting Party : TCH Nature of Transaction : TCH provides barge services to 1st CI Amount of Transactions : RM2,605,200.00. 2. INTERESTS OF DIRECTORS & MAJOR SHAREHOLDERS Mr Andrew Tay Nguang Yeow (“Mr Tay”) is a director of TCH and holds 49% shares in TCH. He is also a director of 1st CI. Save as disclosed above, none of the other directors and/or major shareholders of FMHB and/or persons connected with Mr Tay, have any interest, direct or indirect, in the RRPTs. 3. RATIONALE FOR THE TRANSACTIONS The RRPTs are necessary for the day-to-day operations and are within the ordinary course of business of the FMHB Group of Companies. The RRPTs are made on arm’s length basis and on normal commercial terms which are not more favourable to the related party than those generally available to the public. 4. FINANCIAL EFFECT OF THE RRPTS The RRPTs do not have any effect on the issued and paid-up share capital of the Company and do not have any material effect on the earnings or the net tangible assets of the FMHB Group. 5. STATEMENT BY AUDIT COMMITTEE The Audit Committee of the Company has reviewed the terms of the RRPTs and is satisfied that the terms are:- (a)     Conducted at arm’s length basis; (b)     On terms not more favourable to the related parties than those generally available to the public; and (c)     not to the detriment of the Company’s minority shareholders. 6. STATEMENT BY DIRECTORS The Board of FMHB are of the opinion that the RRPTs is fair, reasonable and in the best interests of the FMHB Group and is not detrimental to the interest of the minority shareholders of the Company. 7. APPROVAL OF SHAREHOLDERS AND RELEVANT AUTHORITIES The RRPTs are not subject to the approval of shareholders or any relevant authorities. However, in due course the Company proposes to procure a shareholders’ mandate for the RRPTs pursuant to Paragraph 10.09(2) of the MMLR at the forthcoming Annual General Meeting of the Company to be convened on 25 November 2014. 市场拓展空间庞大 货运管理茁壮成长

（吉隆坡8日讯）马来西亚的不健全物流领域为全方位服务公司如货运管理控股有限公司（FREIGHT，7210，贸易服务组），提供拓展市场空间，因此它的第3方物流（3PL）和仓储业务在过去5年，已经看到营业额和利润猛增超过4倍。

第3方物流是行业术语，意指出一家公司专门从事外部物流业务，即是为客户提供清关、货运仓储和库存管理服务。

货运管理董事经理赵松榤告诉传媒，在经营物流业务时，现在客户偏向一站式服务，而不是单一的服务。

他说：“我们的客户希望专注于它们的核心业务。如果你是一家制造商，您希望您的外包物流，能够专注于提高您的生产活动。”

赵氏透露，货运管理于2005年上市，目前它的仓库空间已经迅速成长至100万平方英尺。当中的一半是拥有的而其余则是租赁。例如巴生港口的总部毗邻14万平方英尺的仓库，已有70％的空间存放货物，而整体的仓库存放空间已接近100%使用率。集团的仓库遍布国内的港口和飞机场。

他指出：“我们要提供的不仅仅是存储空间。如果我们只是建立仓库以填补客户的货物，对我们来说是一项不理想的工作，因为赚幅很低。”

“相反，我们正在拓展增值服务，包括库存管理和有关资讯联系的文件处理服务，以及为客户提供企业资源规划。”

迄今，货运管理已获得一些跨国企业客户的光顾，这对集团的营运状况及前景是积极的。由于上述领域的竞争对手很少，因此该项业务的利润不俗。

虽然货运业务仍然是该集团的最赚钱业务，然而第3方物流和仓储服务已经晋升成为集团其中之一个最佳业务。在截至2014年6月30日止财政年，上述业务取得的营业额按年增长22.2％至4840万令吉，占集团总营业额的12％。该业务也取得1750万令吉的毛利，意味着税前赚幅达36％，高于集团26％的整体税前赚幅。

货运管理是由赵氏和他的妻子在1988年创办，当时它只是一家海上货运代理机构，以及雇用6名员工。现在，它拥有1000多名员工，并且提供多元化的服务，包括提供海陆空的货物运输服务。

在2014财政年，该集团营业额从前期的3亿6500万令吉，首次突破4亿令吉大关至4亿330万令吉。而净利润由前期的2260万令吉上升至2400万令吉，即是每股获利15仙。该集团宣派息5仙，符合2013财政年的派息政策。

目前，货运管理的股价是1.73令吉，较今年2月份创下的1.90令吉高位下跌了9%。按照股价计算，它的市值达2亿9890万令吉。根据调查所得的资料，有3名分析师给予该股“持有”评级，而目标价分别订在1.72令吉至2.10令吉。

在9月11日，货运管理宣布：“土地公共交通委员会（或称SPAD）已通知我们的运输许可证将在两个星期内中止。”

该集团透露：“后来，我们符合SPAD的安全要求后，它就撤回上述通知。”该通知是由于今年较早时，集团一辆货车在公路上发生交通以外，导致一人死亡而触发。”

今次发出的通知信件，在行业中是很少见的，由于货运管理在过往的记录是很良好，因此这一消息确实令人惊讶。赵氏表示：“我已亲自会见SPAD的官员，希望能作出一些转机，因此SPAD就派审查员来检查我们公司在运作上是否达到安全标准。”

“审查的工作进行得很顺利，除了一项未能合格外，其余都全部符合标准，而该项不符合标准的项目也很快就将情况改善了。如果我们没有具备这些优越条件来与跨国客户交易，那么我们会一直无法通过SPAD的审查。”

虽然赵氏认为没有一个可靠数字来形容货运管理的市场份额，但是去年它所处理的20英尺货柜箱企于10万个，而巴生港口则处理1000万个。

去年6月，该集团与SCOMI集团有限公司（SCOMI，7158，贸易服务组）的石油和天然气业支臂SCOMI能源服务有限公司（SCOMIES，7045，贸易服务组），以50:50的股权成立Transenergy航运有限公司，后者是一家船只租赁公司。

该合资公司拥有新的拖船和驳船，而货运管理希望利用它作为进军油气业的工具。由于结合货运管理的经营拖船和驳船经验，加上Scomi集团的客户群和国家石油的许可证，相信该公司的前景一定美好。

他指出，Transenergy航运正在投标油气业的项目，但并没有提供进一步的资料。然而，Transenergy不会在短期内为双方股东作出任何贡献。

赵氏认为：“虽然马来西亚的贸易情况依然严峻，不过东南亚仍是我们的关键市场。我们在澳洲、印尼、泰国、越南、新加坡、印度和菲律宾拥有业务，并且热衷于进军缅甸和柬埔寨市场。”

他说：“目前，我们的海外收入较为显著（占集团总收入的20至25％），而我们的目标是将国内的业务引进国外市场。”但是赵氏补充：“我们希望提升海外市场份额，而不是随便地在任何地方设立营业据点而已。我们还有很长的路要走。”【光华日报财经】
