借助政府洽商单轨列车 史格米工程冀脱颖而出

(吉隆坡23日讯)史格米工程(SCOMIEN,7366,主板工业产品股)冀能凭借大马和斯里兰卡政府直接洽商的优势,击败日本竞争对手,取得当地9亿7000万美元(约37亿令吉)的单轨列车项目。

史格米工程总执行长卡尼山接受《商业时报》专访时指出,目前正与日本日立(Hitachi)竞争,在斯里兰卡首都科伦坡兴建单轨列车他说,马驻印度及南亚基建特使拿督斯里三美威鲁今年初率领的代表团,已呈交建议书,斯里兰卡政府已审阅相关建议书,料将在大选后展开单轨列车项目。

而史格米工程对此项目深表兴趣,希望能借着政府直接洽商的优势,成功获得此项目。

“基于该国人口增长,因此政府将单轨列车项目视为首要的项目。”

史格米工程目前在巴西进行两项主要项目,同时也负责孟买和吉隆坡的单轨列车系统。

该公司也曾在2年前提呈建议书予斯里兰卡政府,表示有意参与发展该国的单轨列车项目。【南洋网财经】

伙拍斯柯达瞄准欧市场 史格米跨进轻快铁捷运

(吉隆坡2日讯)史格米工程(SCOMIEN,7366,主板工业产品股)伙拍捷克斯柯达运输公司(Skoda Transportation),跨足发展捷运(MRT)和轻快铁(LRT)市场,同时放眼进军欧洲。

史格米工程总执行长卡尼山在双方合作的记者会上指出,该公司和斯柯达运输公司携手合作,有信心可扩大运输项目范围,包括捷运和轻快铁。

“双方将互补优势和善用各自的专业技术和产能,缔造协同效应,同时可加强两者的运输解决方案产品,拓展全球市场。”

他透露,公司过去投资5000万令吉在雪州万挠设厂制造单轨火车,如今开拓新市场涉足轻快铁和捷运,和制造单轨火车的机械设施相似,因此无需再做显著的投资。

缔造双赢

斯柯达亚洲销售总监佐若米尔则说,该公司在欧洲的铁路和公共交通工具领域的市场领先者。

他说,过去数年公司都积极渗透亚洲市场如中国和韩国等,如今和史格米工程合作,可借助后者取得东盟国家、巴西和印度的市占率。

相反,史格米工程同样可借机进军至欧洲市场,达到双赢局面。

除了合作协议(CA),双方也签署了主分销协议(MDA),以让史格米工程在东盟国家和巴西拥有特许销售权,经销斯柯达的产品。

出席记者会的史格米工程高层,还包括主席罗海达和全球制造部总监麦克。

放眼全球竞标180亿工程

史格米工程积极竞标国内外新合约,放眼竞标全球100亿至180亿令吉的各项工程合约。

卡尼山指出,公司积极投入竞标工作,圈定目标约50亿至80亿令吉捷运和轻快铁项目,而单轨火车项目的竞标额达50亿至100亿令吉。

他说,史格米工程有意参与土耳其的8项单轨火车项目,另外还有泰国、印尼、印度和斯里兰卡科伦坡的项目。

“目前手握16亿令吉的订单,同时有5项单轨火车项目在进行中,分别为大马和印度各1项,另外3项则落在巴西。”

得标率10-15%

询及是否能应付,他说由于需竞标接近12至15项项目,才能取得赢得1至2项合约,因此需活跃参与竞标工作。

“一般而言单轨火车项目得标率约60%,而轻快铁和捷运的得标率,根据国际标准约10%至15%。”

他透露,若公司能一年赢得一项合约,都可让公司处于舒适的水平和推动公司成长,因首2年进行制造工程,接着的3年则是负责营运和维修。

他指出,由于政府规定国内的捷运和轻快铁须要有30%本地制造,但公司提供的产品将会有约60%本地制造的成分,因此已准好准备竞标这些工程。

海外业务在地化 令吉贬值没影响

由于史格米工程尽量将海外业务在地化,因此令吉贬值未有冲击公司的业务。

卡尼山指出,公司尽可能将海外业务以当地的汇率计价,如员工、贷款和成本等,有助于减少暴露在外汇的风险。

罗海达透露,令吉的疲势也带动公司的竞争能力提升,促使公司接获的国外订单增加。

另一方面,卡尼山希望政府在来临的财政预算案能提供长期低利息的贷款,以扶持迈向国际的公司拓展业务。

最坏时期已过 Scomi工程致力复原

(吉隆坡7日讯)铁路和电气化火车管理服务供应商Scomi工程有限公司(SCOMIEN,7366,工业产品组)首席执行员卡纳森认为:“集团最坏时期已经过去,我们自连续5个财政年度以来首次取得盈利。”

尽管该集团公布,在截至2015年3月31日止全年财政年,其未经审核的净利润为37万8000令吉,这较去年同期净亏损3776万令吉出现大跃进。但是它的股价自6周以来已下跌了20%至28仙,而且还没有出现任何反弹的迹象。

由于市场盛传该集团仍有不确定因素,因此难以吸引投资者的购兴,并将上述积极消息搁置不谈,继续对该股持谨慎态度。

它的短期借款按年从4亿7396万令吉晋至5亿408万令吉,而长期借款则高达725万令吉,而债务对股东权益比率为1.9倍。然而,还不包括3亿2662万令吉的应付账款。此外,应收款项、按金及预付款项按年增长38%至8亿7083万令吉,这较2015财政年度收入超过3倍。

连续5个财政年度出现赤字后,在截至3月31日止,Scomi工程的积累亏损达1亿3550万令吉。尽管如此,它的股东资金仍处于一个积极的位置。

这不足为奇,因为该集团的未经审计净利润,是拜243万令吉的退税额所赐,而去年同期则支付税款311万令吉。

令人欣慰的是,在2015财政年度,它的铁路核心业务所遭受的亏损,按年从3063万令吉显著下降至19万9000令吉,但是收入仅升0.6%至2亿3832万令吉。

虽然这些数字似乎令人惊讶,但是卡纳森解释,在创业初期,Scomi工程在国内投标数个项目,如槟城单轨铁路的利润丰厚合约,但是最后它们全部没有实现。

“因此,我们必须走向国际化,但须付出代价。我们进军巴西和印度这两个艰难的市场,主要是当地汇率异常波动,虽然我们的资金结构是短期项目融资,但是做法并不恰当。”

他说:“我们从去年起至今,一直进行内部业务重组。我们正在改组公司,以确保我们不会再犯同样的错误。过去5年,我们已经从一家只是兴建单轨铁路公司成长至一家在大马交付及目前正在经营的单轨铁路公司。”

在印度,Scomi工程与森特博洛结盟,并获颁发18亿令吉合约在孟买推行全长19.5公里的单轨项目,连接瓦塔拉车厂至金布尔。在巴西圣保罗,该集团与安德拉德古铁雷斯、CR阿尔梅达和Montagens ê Projetos Especiais合伙,夺得一项全长14.3公里总值高达26亿令吉的17号线单轨铁路的总承包合约。

孟买单轨铁路已在去年2月起开始营运,而在圣保罗的17号线将在明年开始启用。

据卡纳森透露,过去,集团的制造和项目运作皆在同一机构内,这意味着一旦整个系统开始运作后就须付款,不论有没有交付火车。

他称:“不过目前,我们的做法是分开进行。由于资金结构是有关联的,所以我们可以提供火车,但土木工程的延迟会影响付款,所以我们的现金流动出现问题。因此,我们在巴西的经营方式作出180度的转变,我们的客户已经同意一旦火车已准备好,它们就立即付款,这是我们一个显著的改变。”

此外,Scomi工程计划在布城、斯里兰卡科伦坡,以及土耳其伊斯坦布尔投标建造单轨铁路。估计上述工程合约总值5亿美元。

现在,它的订单维持在16亿令吉,而未来5至10年的投标项目总值料介于150亿至200亿令吉。卡纳森指出:“对于未来3年取得总值40亿令吉的订单,我们不会觉得困难,换句话说,我们平均每年只需要完成一宗交易。”

“过去5年,我们在海外与市值数十亿美元的日立和庞巴迪公司竞争,我们已获取4项合约,而庞巴迪仅在巴西获得1项,但是日立还没有赢得任何合约。”

他补充:“我们的其他盈利来源还有商用车辆。过去,我们获取大宗合约出口巴士到英国、香港和新加坡,而且还在马六甲提供出租巴士服务。”

目前,Scomi工程拓展一项新业务,就是营运与维修服务,由于这门业务刚刚开始,预计在未来可为集团提供经常性收入。

它在2015财政年度业绩显示,商用车辆业务遭受39万7000令吉的边际亏损,而营收达4640万令吉。卡纳森表示:“我们正在改组集团和不断增长业务,我们已经局部地摆脱困境。”

Scomi集团有限公司(SCOMI,7158,贸易服务组)持有Scomi工程72%股权。而拿督阿都拉卡玛鲁丁是前者主要股东,并持有11.1%股权,但他没有参与集团或旗下子公司的运作。【光华日报财经】

Rohaida started her career in 1991 with Projek Lebuhraya Utara Selatan Bhd (PLUS), a concessionaire that built and operates Malaysia's longest highway, the North South Expressway. Highlight of her 9 years in PLUS, was her involvement in the introduction of Malaysia's first electronic toll payment system which started in Klang Valley areas from 200 live test users to 50,000 users on its 3rd generation system, before its implementation nationwide.  She was leading the project in various areas including user requirement, implementation plan, operations, commercial, marketing, systems, customer service and processing of electronic payment.  Her last position in PLUS was as Manager of the Commercial Facilities Department where she looked after all the sales outlet contracts for rest areas and advertising billboards along the expressway.

Rohaida joined Scomi in year 2000.  She was one of the key team members in the listing of Scomi Group Bhd in 2003 and subsequently various acquisitions by Scomi, especially in the process of integration and alignment.  Some of the roles that she has held throughout her career in Scomi as Head of Corporate Services and Chief of Staff are overseeing Human Resource, ICT, Group Communications, Investor Relations, Risk Management, Performance Monitoring and Support Services which include QAQC, Procurement, Assurance and Legal & Secretarial.  

Rohaida is currently the President of Scomi Engineering Bhd since December 2014.  This is a role in Scomi's Transport Solutions business, where she is responsible to drive the manufacturing and engineering activities, and ensure project deliveries. Prior to that, she was responsible for the Marine Operations in Indonesia and Malaysia, where she initiated consolidation process for improved business efficiency and drove project management for new vessel delivery and refurbishments.

伙伴退出巴西单轨铁路项目 史格米工程或接手13亿订单

(吉隆坡29日讯)在巴西政经动荡的情况下,史格米工程(SCOMIEN,7366,主板工业产品股)却因获得更多的合约,而成为受惠者。

巴西财经报纸报道,史格米工程的伙伴已退出巴西圣保罗(Sao Paulo)的Line17单轨铁路项目,而史格米工程则会接手剩余的工程。

《星报》引述史格米工程总执行长卡尼山报道,圣保罗市地铁已转向要求史格米工程,尽快加速完成Line17单轨铁路项目。

“我们将接手Line17单轨铁路项目。他们已批准我们接下剩余的工作。”

同时补充,公司正与客户就额外订单展开洽谈,一旦敲定,届时将公布价值。

受促加速完成

卡尼山预计,共有约30%的土木及系统工程还未完成,有待完成的项目总值料达3亿美元(约12.66亿令吉)。

“若不包括额外的Line17单轨铁路项目,我们的订单达13.2亿令吉。”

他说,巴西政府致力于要完成该项目,更与史格米工程接触,希望加速完成项目。

“原本是预计在2019年完成,如今当地政府要急着完成,也会支付加速完成的费用。”

史格米工程是在2011年,与财团赢得上述合约,总值26亿令吉。

财团伙伴包括Andrade Gutierrez SA、CR Almeida SA Engenharia de Obras和Montagense Projetos Especiais SA。

尽管财团伙伴已退出项目,但史格米工程仍与客户保持良好关系。

史格米工程获法庭禁令 国家基建不可终止合约

(吉隆坡2日讯)史格米工程(SCOMIEN,7366,主板工业产品股)获得法庭发出的禁令,禁止国家基建公司(Prasarana)终止总值4亿9400万令吉的单轨火车拓展合约。

根据文告,史格米工程旗下的史格米火车工程私人有限公司,昨日已获得单方面禁令,直到周五(4日)之前,国家基建公司不得终止在2011年6月3日,以及去年4月15日签署的两项合约。

该公司表示,吉隆坡单轨火车拓展合约,是为了要提升现有火车站和机电系统、兴建新的车站、以及提供12套四节车厢火车,总值4亿9400万令吉。

“不过,国家基金公司漠视合约条款,威胁要终止合约,因此必须采取法律行动和禁令。”

先前有媒体报道,四节车厢可能会更换成两节车厢,若属实,这将是吉隆坡单轨火车自2003年开始营运来,首次改变。【南洋网财经】

The Board of Directors (“the Board”) of Scomi Engineering Bhd (“the Company”) wishes to announce that its wholly owned subsidiary, Scomi Transit Projects Sdn. Bhd. (“STP”), has on 1 March 2016 obtained an ex parte Injunction against Prasarana Malaysia Berhad (“PMB”) restraining it from wrongfully terminating the Kuala Lumpur Monorail Fleet Expansion Project Contract Agreement dated 3 June 2011 and/or the Second Supplemental Contract dated 15 April 2015 (“the KL Monorail Expansion Contract”).
The ex parte injunction is valid until Friday, 4 March 2016 when the matter is to be heard inter parte.

Background
The KL Monorail Expansion Contract was for an upgrade of the Kuala Lumpur monorail stations and the electrical and mechanical system, the construction of a new depot, and delivery of 12 sets of new 4-car-trains for a total contract value of RM494 million.
The legal action and injunction have become necessary after PMB threatened to terminate the KL Monorail Expansion Contract in disregard to the terms set out therein.

Effects of Material Litigation
The Board wishes to inform that the effect of this pending litigation on the ongoing business performance of the Company is dependent on the outcome.
The Board has taken this course of action acting on the advice of its solicitors.

史格米工程交货脱期 国家基建: 60 天交不出终止合约

(吉隆坡9日讯)史格米工程(SCOMIEN,7366,主板工业产品股)旗下史格米火车工程无法如期交付单轨火车,国家基建公司(Prasarana)要求该公司在60天内符合条款,否则将终止合约。

国家基建公司以向史格米火车工程发出违约补救通知(Notice of remedy),该公司须在昨天(8日)起的60天的时间,符合合约条款。

若史格米工程无法履行条款,国家基建公司将终止2011年6月3日签署的主合约、2014年4月16日签署的补充协议、以及去年4月15日签署的第二补充协议。

国家基建公司指,史格米火车工程无法在去年12月31日之前,如期交付10套新的4节车厢单轨火车,同时也没有呈上任何缓解计划,以弥补延误。

国家基建公司是吉隆坡单轨火车系统的持有者。

根据双方在2011年签署的主合约,史格米工程将需交付12套新的4节车厢单轨火车、兴建新仓库、装置新的信号系统、及升级吉隆坡单轨火车车站,包括电气和机械系统,总值4.94亿令吉。

不过,迄今,史格米工程只交付了6套新火车。而相关升级活动,则仍在进行中,因还有火车仍未全面送抵。

惟史格米工程上周二宣布,获得法庭发出的禁令,禁止国家基建公司终止合约。【南洋网财经】

国家基建指脱期交货 史格米工程斥欠款违约

(吉隆坡10日讯)史格米工程(SCOMIEN,7366,主板工业产品股)指国家基建公司(Prasarana)在单轨火车项目上,没有依时支付进度款项,而且至今还拖欠款额,处于违约状态。

针对国家基建公司发出的违约补救通知,史格米工程发文告,质疑国家基建公司(Prasarana)“违约补救通知”(Notice of remedy)的合法性。

该公司指,身为一家拥有必要科技及专业知识的大马企业,公司将致力于完成合约,但前提是,国家基建公司也必须遵守合约义务。

史格米工程澄清,该项目迄今已完成约83%的工程进度,且会在合约所拟定的期限内完成。

国家基建公司向史格米火车工程发出的违约补救通知,称后者无法如期交付单轨火车,要求在60天内符合条款,否则将终止合约。

史格米工程指,昨天(9日)才收到前者在前天(8日)发出的信函。

公司的法律顾问表示,这意味着国家基建公司早前所发出的通知无效。

基于此事尚未解决,史格米工程拒绝评论国家基建公司的文告。

SEB notes that on 9.3.2016, Prasarana has issued a Press Statement on its website which is carried by various news media in respect of the pending litigation in which the KL High Court has granted an injunction on the terms set out in our earlier announcements dated 1.3.2016 and 4.3.2016 prohibiting Prasarana from terminating the KL Monorail Expansion Contract (“Contract”).

Prasarana has, amongst others, stated that it had issued to SEB a Notice to Remedy for certain alleged failures. SEB wish to point out that it only received a letter dated 8.3.2016 from Prasarana on 9.3.2016 which purports to be the said Notice to Remedy.

SEB has been advised by its solicitors that this is in effect an admission by Prasarana that its earlier purported notices were defective. As it would be sub-judice, SEB will refrain from commenting on Prasarana’s statement and what it termed to be a Notice to Remedy except to say that SEB will contest the validity of that notice and Prasarana’s rights to issue such a notice.

For the record, SEB has to date completed approximately 83% of the project works and will complete the project within the time that it is entitled to be given under the Contract. SEB notes that it has been delayed by Prasarana’s failure to timeously certify and pay the progress claims. As at today, Prasarana is still in breach of contract by failing to pay sums due to SEB.

SEB, as the only Malaysian company with the requisite technology and expertise, remains committed to complete the project provided that Prasarana honours its contractual obligations.

史格米工程5680万 巴西建单轨火车厂

(吉隆坡14日讯)史格米工程(SCOMIEN,7366,主板工业产品股)获巴西圣保罗(Sao Paulo)州政府颁发合约,在当地兴建价值5000万巴西雷亚尔(约5680万令吉),生产单轨火车、铁道车辆和铁路转向架的厂房。

根据文告,为了肯定史格米工程对巴西城市交通运输基础建设所作出的贡献,当地政府将此合约颁给了公司。

史格米工程巴西总裁希尔米再尼在动土仪式上指出,公司已在当地市场深耕多年,并相信其中还有许多商机。

“我们看好这项合约,将强化史格米工程的市场地位。”

这座厂房位于陶巴特市(Taubate),占地9万8000平方米,建筑工程将在明年展开。

该厂房开始营运后,将为Line17-Gold和Line18-Bronze单轨铁路项目,生产单轨火车,同时也能生产轻快铁与地下铁。【南洋网财经】

斯可米挑战国家基建终止合约无效

(吉隆坡15日讯)斯可米工程(SCOMIEN,7366,主板工业股)表示,该公司律师Messrs李希山慕丁艾伦&格莱德希尔称,国家基建公司(Prasarana)早前发出终止合约的通知信函是无效的。

该公司发文告指出,上述回应是针对大马交易所的询问。国家基建公司在3月8日致函斯可米工程,承认之前发出的两封通知信函有问题,即分別在1月4日和2月18日发出。

隨后在3月11日该公司律师收到国家基建公司律师发出的信函,指对方並不会使用之前两封的通知信来终止单轨火车合约。

因此,该公司律师也確认上述两封信函有问题,不会用来终止单轨火车合约。

有鑑於此,斯可米工程將会挑战国家基建公司在3月8日发出的通知信函是否有效。

较早前,国家基建公司于本月9日发函,针对有关交付单轨火车作出各种指控;隨后大马交易所也分別在本月10日和11日针对此事作出询问。

国家基建公司是发函给无法按时交付单轨火车的ScomiTransitProjects私人有限公司,要求对方在60天採取补救行动,否则便会终止该公司的合约。

ScomiTransit是斯可米集团(SCOMI,7158,主板贸服股)的子公司。该公司原本必须在2015年12月31日前交付10列新单轨火车。【东方网财经】

We refer to the announcements dated 1 March 2016, 4 March 2016 and 10 March 2016 in relation to the KL Monorail Expansion Contract (“Announcements”).  Unless otherwise stated, all definitions and terms used in this announcement shall have the same meaning as defined in the Announcements.

On 9 March 2016, PMB issued a press statement on its website making various allegations about the KL Monorail Expansion Contract.  Following this, on 10 March 2016, Bursa had made certain queries to the Company.

On 10 March 2016, the Company made an announcement to reply to Bursa’s queries that PMB by its issuance of a purported Notice to Remedy dated 8 March 2016 had, in effect, admitted that its earlier purported notices dated 4 January 2016 and 18 February 2016 were defective.

On 11 March 2016, the Company received further queries from Bursa on the earlier purported notices and the purported Notice to Remedy issued by PMB.

In response to these queries, the Company wishes to announce that its solicitors, Messrs Lee Hishammuddin Allen & Gledhill, has received a letter dated 11 March 2016 from PMB’s solicitors stating that PMB will not be relying on its 2 earlier purported notices dated 4 January 2016 and 18 February 2016 and further gave an undertaking that it will not rely on these 2 notices to terminate the KL Monorail Expansion Contract.

The Company has been advised by its solicitors that by this conduct PMB has, in effect, admitted that these 2 notices are defective and will not be used as a basis to terminate the KL Monorail Expansion Contract.

The Company will be contesting both the validity of PMB’s’ letter dated 8 March 2016 received by the Company on 9 March 2016, which purports to be a Notice to Remedy, and any attempt to terminate the KL Monorail Expansion Contract pursuant to that letter.

史格米工程矢履行承诺 完成单轨火车延长计划

(吉隆坡17日讯)史格米工程(SCOMIEN,7366,主板工业产品股)承诺,公司会完成吉隆坡单轨火车延长计划。

史格米工程总执行长罗海达指出,这项总值4.94亿令吉的计划,目前的整体工程进度达82.9%,当中的信号系统和火车站升级等工程已完成;同时,该计划也已经有5组车厢开始运作,一组则处于测试阶段。

因此,剩余工程就是把还在生产当中的6组火车,交付给国家基建公司(Prasarana)。

罗海达说:“工程还在进行中,我们有意完成这项计划。这些火车都是本地制造的优良产品。”

他是在该公司移交指挥车和危险物品(HazMat)救护车给大马机场的移交仪式后,发表以上谈话。

此外,史格米工程也正放眼在国外,赢得总值高达200亿令吉的订单,并积极寻找合作机会,与其他国家的公司缔结伙伴关系。

“泰国、土耳其、斯里兰卡和非洲大陆,有望带来这些庞大的订单,不过,这些国家将需时3至4年,才能释出这些订单。”

询及史格米工程的流动现金是否出现问题,罗海达表示:“公司拥有良好潜力与科技,而我们也应该关注和确保公司取得增长。”

史格米工程是在去年4月15日,签署吉隆坡单轨火车延长计划第二补充协议。

在此协议中,公司必须在去年底之前,交付10组火车给国家基建公司,且当中7组要用作商务运输。

截至目前,公司仅交付了6组车厢,当中只有5组正式投入载客运作。【南洋网财经】

单轨火车合约不会被终止 史格米工程撤告国家基建

(吉隆坡2日讯)史格米工程(SCOMIEN,7366,主板工业产品股)宣布,撤销对国家基建公司(Prasarana)有关单轨火车延长工程合约的诉讼和禁令。

根据文告,随着国家基建于周五(1日)向法庭表示不会终止单轨火车延长工程合约,同时承认该合约终止通知有纰漏。

有鉴于此,史格米工程子公司史格米火车工程私人有限公司(STP),决定撤销有关诉讼和禁令。

史格米火车工程于上月1日,获得法庭发出的禁令,禁止国家基建公司终止总值4亿9400万令吉的单轨火车延长工程合约。

国家基建公司接着向该公司发出违约补救通知(Notice of remedy),规定该公司在60天内符合合约条款,否者或终止协议。

不过,史格米火车工程却质疑违约补救通知的合法性。【南洋网财经】

This morning, 1 April 2016, PMB gave an Undertaking to Court that they will not be relying on their 2 notices of 4 January 2016 and 18 February 2016 to terminate the KL Monorail Expansion Contract and thereby admitted that these 2 notices are defective. Accordingly, the legal suit and injunction were withdrawn without prejudice to STP’s rights to commence other legal actions or to apply for another injunction or other relief against PMB whether in relation to the PMB’s Notice dated 8 March 2016, the KL Monorail Expansion Contract and/or the Kuala Lumpur Monorail Fleet Expansion Project or otherwise.

承建圣保罗17线路单轨火车
史格米另获逾5亿工程

(吉隆坡1日讯)史格米工程(SCOMIEN,7366,主板工业产品股)在圣保罗17线路单轨火车项目,所负责部分的合约价值,获额外增加逾5亿令吉的工程。

根据文告,由史格米工程和3家国外公司所组成的Monotrilho Integracao财团,在周一(30日)与巴西圣保罗大都会公司执行条款协议,调整和修改财团成员在该项目各自负责的部分。

据此,财团成员也调整了财团的构成条款,因而促使史格米工程负责的工程范围提高。

如今,史格米工程负责该项目的合约价值,从原本的8370万巴西雷亚尔(9708万1098令吉),增加至5.21亿巴西雷亚尔(约6亿430万令吉)。

史格米工程总执行长罗海达在文告中指出,圣保罗大都会公司与公司接洽,要求公司负责更多工程,以推动项目更快完成。

目前,纳入圣保罗17线路单轨火车项目的额外工程后,史格米工程的工作订单已攀升至21亿令吉。【e南洋】

We refer to the announcements dated 3 June 2011, 8 June 2011, 14 June 2011 and 1 August 2011 in relation to the above matter (“Announcements”).  Unless otherwise stated, all definitions used in the Announcements shall apply in this announcement.

The Board of Directors of SEB wishes to announce that on 30 May 2016, the Consortium members has executed a Term of Agreement with the Sao Paulo Metropolitan Company (“TOA”) to regulate the Consortium members’ altered responsibilities in respect of the execution of the Project, as well as their common and collective interests to ensure smooth execution of the Project.

As part of the terms of the TOA, which requires judicial ratification, the Consortium members agree to alter the Consortium membership, by way of rectifying the Consortium’s Term of Constitution.  Under the TOA, SEB’s scope of work has been varied to include increased scopes.

Under the varied scope, SEB shall additionally provide full rolling stocks and the systems scope, which includes the provision of signaling system, operations control centre system, track switches, power rails, platform screen doors and fibre optics and cable trays (“Additional Scope”).  As a result, the remaining adjusted contract value for the Project for SEB has increased from R$83.7million to R$521million.

The Additional Scope is expected to contribute positively to the Group’s revenue, net asset per share and earnings per share for the financial year ending 31 March 2017.

史格米工程与伙伴
2312万增持巴西联营公司

(吉隆坡4日讯)史格米工程(SCOMIEN,7366,主板工业产品股)将联同一名联营伙伴,以2000万巴西雷亚尔(约2312万令吉)增持联营公司的52.25%股权。

根据文告,公司与Brasell Gestao Empresarial公司(简称Brasell),向MPE Montagens e Projectos Especials公司(简称MPE)收购联营公司QUARK的股权。

QUARK是圣保罗18线路单轨火车项目的次级承包商,负责供应单轨和相关服务。

该公司的股东是持股37.75%的史格米工程、持股10%的Brasell,以及持有52.25%股权的MPE。

一旦完成交易,史格米工程和Brasell在联营公司的持股率,将分别提高至80%和20%。

史格米工程在文告中指出,这宗交易可将QUARK和现有巴西业务进行合并,符合公司的市场策略。

同时,控制了QUARK后,有助提升史格米工程在当地的行业地位,从而支撑公司在圣保罗设立制造厂房的计划。【e南洋】

史格米工程扩车队进度慢?
国家基建:2周不改善将解约

(吉隆坡10日讯)史格米工程(SCOMIEN,7366,主板工业产品股)接获国家基建公司(Prasarana)通知,要求公司在2周内改善单轨火车车队扩展项目的表现,否则将中止合约。

史格米工程在文告中指出,国家基建公司是在昨日(9日),向独资子公司史格米火车工程私人有限公司(简称STP)发出通知。

“STP和国家基建公司持续寻找解决方案,推动该项目发展,且已经取得良好进展。因此,对于接获国家基建公司的通知,公司感到非常意外。”

索赔3.65亿

史格米工程续称,由于国家基建公司已向法庭承诺,不会通过被指存有纰漏的通知来中止合约,因此,公司也撤销了对国家基建公司中止合约的法庭禁令。

“如今,随着公司接获有关改善表现的通知,公司将全面强制执行本身在合约当中的权利,包括采取合适的法律行动。”

另一方面,史格米工程今日向国家基建公司索取3.65亿令吉的赔偿,当中包括合约价格出现变动、延长时间的赔偿及相关成本或价格上涨。

公司看好本身拥有充足的理据,来索取相关赔偿,且有信心能取得有利的成果。

目前,单轨火车车队扩展项目整体工程,已达到83%的进度。【e南洋】

The Board of Directors of SEB (“Board”) wishes to announce that its wholly owned subsidiary, Scomi Transit Projects Sdn Bhd (“STP”), has on 9 June 2016 received a Notice (“Notice”) from Prasarana Malaysia Berhad (“PMB”) which gave STP 14 days from the Notice Date to renew a performance bond connected with the Project, failing which the  Project Contract dated 3 June 2011 (as supplemented by the First Supplemental Agreement dated 16 April 2014 and the Second Supplemental Contract dated 15 April 2015) (collectively, the “Contract”) will terminate.  The Notice was issued despite continuous ongoing negotiations with PMB on the matter.

Earlier, in the Announcements dated 1 March 2016, 4 March 2016, 10 March 2016, 15 March 2016 and 1 April 2016, an ex parte Injunction was obtained by STP against PMB restraining it from wrongfully terminating the Contract pursuant to defective Notices. This Injunction was later withdrawn when PMB gave an Undertaking to Court that they will not be relying on the said defective notices to terminate the Contract, thereby admitting that they were defective.   

STP intends to fully enforce its rights under the Contract in respect of the Notice, including taking all necessary legal actions acting on the advice of its solicitors.

The Board wishes to inform that the effect of the Notice on the ongoing business performance of the Company is dependent on the outcome.

On 10 June 2016, STP served claims on PMB in the amount of approximately RM365 million pursuant to Section 5 of the Construction Industry Payment & Adjudication Act 2012 (“CIPAA”) in respect of Contract price variations and claims for extension of time and related costs/price increases (“CIPAA Payment Claims”).  In the event PMB disputes the CIPAA Payment Claims, STP will refer the CIPAA Payment Claims to adjudication under CIPAA.

The Board is of the opinion that should STP succeed in the CIPAA Payment Claims, it will have a positive financial impact on the financial position of the Company for the financial year ending 31 March 2017.

The Company will continue to provide updates from time to time on any further material development on this matter.
