单轨火车协议失效
国家基建史格米再生纠纷?

（吉隆坡1日讯）国家基建公司（Prasarana）与史格米工程（SCOMIEN，7366，主板工业产品股）针对吉隆坡单轨火车扩展计划的纠纷和解，或再添变数！

史格米工程昨日向交易所报备，国家基建公司于5月3日，致函史格米工程子公司——史格米火车工程私人有限公司，指史格米火车工程未能满足第三份补充协议的最终条件，因此双方早前的和解协议已自动失效。

针对吉隆坡单轨火车扩展计划，双方早在3月已签署第三份补充协议，借此了结双方早前的诉讼纠纷，并携手完成剩余的工程。

双方的纠纷一度闹得沸沸扬扬，甚至闹到去仲裁庭。

根据文告，史格米火车工程的立场是，他们确实有考虑要符合最终协议，且也附上金融家的信函。

尽管如此，在接获信件后，双方及金融家已持续展开洽谈。

而史格米火车工程也在5月16日，根据建议与要求，正式提供与该事件相关的特定额外文件给国家基建公司。

目前，史格米工程正等待国家基建公司的回应。

另一方面，史格米工程截至3月底，末季净亏扩大至2015万8000令吉，上财年同期为净亏673万2000令吉。

We refer to the announcement dated 3 March 2017 (“Announcement”). Unless otherwise stated, all definitions used have the same meanings as defined in the Announcement. The Board of the Company wishes to announce that PMB had issued a letter (“Letter”) to its direct wholly-owned subsidiary, STP on 3 May 2017, that the last Conditions Precedent under the TSC (as set out in paragraph 5 (i) of the Announcement) (“Last CP”) has not been fulfilled within the Conditions Precedent Period and that therefore the TSC has automatically lapsed and become null and void. This was despite STP’s stance that they do in fact consider that there has been by provision of the letter from STP’s financiers, compliance with the terms of TSC and/or the Last CP. Subsequent to the Letter, PMB and STP had continued discussions on the status of satisfaction of the Last CP in the presence of third parties (including STP’s financiers).  This has resulted in STP officially providing certain additional document to PMB on 16 May 2017 with regard to the issue, acting upon advice and request. 单轨火车安全纠纷延烧
史格米工程起诉国家基建

（吉隆坡22日讯）史格米工程（SCOMIEN，7366，主板工业产品股）针对单轨火车安全问题的纠纷，向国家基建公司（Prasarana）提出诉讼。

该公司周三向交易所报备，独资子公司史格米火车工程私人有限公司（STP）于6月16日，在高庭起诉国家基建公司和Rapid Rail私人有限公司。

高庭于6月21日给予暂时禁令，在等待7月27日聆讯前，限制国家基建公司和Rapid Rail发布与STP有关的文告。

史格米工程称，由于国家基建公司和Rapid Rail，没有在期限内回复律师信，因此必须采取行动。

国家基建公司在5月14日至6月12日期间发布数个文告，宣布4节车厢的单轨火车因安全因素暂停运作，必须送回给供应商检验。

对此，STP寻求赔偿、加重赔偿、惩罚赔偿、成本及其他救济，惟无注明数额。

不影响业务

同时，该公司要求法庭命令国家基建公司和Rapid Rail，删除与收回在5月14日、6月7日及6月12日发出的文告，以及6月7日至6月12日期间在线上媒体发布的文告。

此外，国家基建公司和Rapid Rail必须更正和道歉，并禁止在网站等出版物，发布相似及与STP有关的文告。

传国家基建中止合约

（吉隆坡1日讯）消息称，国家基建公司（Prasarana）快要中止在2010年12月，颁发给史格米工程（SCOMIEN，7366，主板工业产品股）的单轨火车扩展项目。

《The Edge》引述消息，国家基建公司的董事部，已就此事会面，决定很快就会出炉。

双方的合约内容，主要是将原有的12套两节式车厢，替换为12套新的四节式车厢，让单轨火车的载客量倍增。

为期31个月的合约，理应在2013年7月杪就该完成，不过当时很多方面都未完成。直至去年3月31日，合约内所阐明的主要进度也仍未达成。

去年6月9日，史格米工程接获国家基建公司通知，给予14天时间更新履约保证金，否则就会中止合约。

而史格米工程就在6月21日开始法律程序，也得到了高庭给予临时庭令和禁令，限制国家基建公司中止合约。

消息透露：“我们所得知的是，国家基建公司正放眼重新开始，将合约颁给另一家公司，并中止与史格米工程的合约。不过，部分董事成员认为应该再给后者一次机会，因为始终是一家大马公司。”

也有消息传出，国家基建公司曾与特定日本和中国洽谈，以供应火车，不过洽谈过程有多深入则不得而知。【e南洋】

（吉隆坡6日讯）针对单轨火车扩展项目，史格米工程（SCOMIEN，7366，主板工业产品股）向高庭提出诉讼，并寻求临时救济及发出禁令，禁止国家基建公司（Prasarana）委任第三方承包商以完成剩余的工程。

今年3月计划和解的史格米工程和国家基建公司，再次谈不拢。

周四，史格米工程向交易所报备，旗下史格米火车工程私人有限公司（STP），已在周一起诉国家基建公司。

事情起源于国家基建公司宣称，在3月3日所签署的第三份补充协议无效。

STP表示，是在接到6月28日的信函后，才得知国家基建公司宣称协议无效。

而后者也表明维持立场，指史格米工程没有在期限内，符合第三份补充协议中的最后一个条款，因此该补充协议将自动失效。

而STP则表示，早在6月14日时，就已经发出纠纷通知给国家基建公司，双方也已经同意将纠纷带到争端裁决委员会（DAB），以寻求解决方案。

如今，STP寻求临时救济和禁令，限制国家基建公司委任第三方承包商或他方，去完成剩余或任何在第三份补充协议中的项目。

这项诉讼将在7月31日听审。

We refer to our announcements dated 3 March 2017 and 31 May 2017 (“Announcements”).  Unless otherwise stated, all definitions used have the same meanings as defined in the Announcements. The Board of Directors of SEB wishes to announce that its wholly-owned subsidiary, Scomi Transit Projects Sdn Bhd (“STP”), had on 3 July 2017 filed an action (“Action”) in the High Court of Malaya at Kuala Lumpur against Prasarana Malaysia Bhd (“Prasarana”). The Action is with respect to the alleged nullification by Prasarana of the Third Supplemental Contract (“TSC”) dated 3 March 2017 (“Alleged Nullification”) for the Kuala Lumpur Monorail Fleet Expansion Project that was previously awarded by Prasarana to STP under a contract dated 3 June 2011 (“Contract”) which is disputed by STP (“Dispute”). This Alleged Nullification was communicated to STP by way of a letter dated 28 June 2017, where Prasarana stated that they were maintaining their position that the Last CP (being the last condition precedent out of a total of four Conditions Precedents, as set out in para 5 (i) of the 3 March 2017 Announcement) had not been fulfilled within the Conditions Precedent Period and that therefore the TSC has automatically lapsed and become null and void. STP had earlier issued a Notice of Dispute on 14 June 2017 to Prasarana to refer the Dispute to a Dispute Adjudication Board (“DAB”) for resolution in accordance with the Contract provisions. Both STP and Prasarana have since agreed to dispense reference of the Alleged Nullification dispute to the DAB and to refer the Dispute directly to arbitration. STP in the Action, is seeking for interim relief pursuant to Section 11 of the Arbitration Act 2005, claiming, inter alia: 1. that Prasarana by themselves or their directors, managers, officers, employees, servants, agents or otherwise, howsoever be forthwith restrained and for an injunction to be granted restraining Prasarana whether by themselves or their directors, managers, officers, employees, servants, agents or otherwise from appointing a third party contractor or any party whatsoever to complete the remaining and/or any works under the TSC pending disposal of arbitration between STP and Prasarana pursuant to Clause 20 of the Principal Contract in respect of the validity of the TSC; 2. for Costs; and 3. such further or other relief which the Court deems fit and proper. The Action is fixed for hearing on 31 July 2017. The Contract involves, amongst others, the upgrade of the stations and systems of the Kuala Lumpur Monorail and replaces the old trains with 12 new 4-car trains, 6 of which have been delivered with 5 in successful revenue service.  83% of the Project works have been completed by STP despite extensive delays beyond its control and ongoing disputes relating to contractor claims. Effects of Material Litigation The Board of the Company wishes to inform that the effect of the Action on the ongoing business performance of the Company is dependent on the outcome. 稽查师：受官司影响．史格米工程营运能力存疑

（吉隆坡24日讯）独立稽查师毕马威（KPMG）认为，史格米工程（SCOMIEN，7366，主板工业产品组）与国家基建公司（Prasarana）的官司，令人质疑该公司继续营运的能力，决定为截至今年3月31日止财政年账目发出“无保留意见”。

扩建单轨火车工程一再展延

2010年12月10日，史格米工程属下史格米公共交通项目公司（STP）获得国家基建公司颁给4亿9400万令吉合约，负责扩建单轨火车。然而，这项工程一再展延，无法如期在今年3月31日完成指定工程。

由于国家基建公司不满工程进度而拒绝付款，STP遂去年6月20日发起控诉。本月13日，STP再向国家基建公司发出仲裁通知。

截至今年3月，史格米工程透过上述合约获得的贸易应收账项和合约款项分别仅有4730万令吉和1亿6280万令吉。

相比下，该公司为上述合约承担的债务却高达2亿1320万令吉。

毕马威指出，在审查所有工程和财务报告后，认为合约纠纷和官司，将显著影响史格米工程的营运能力。

史格米工程在回应文告中说，将在征询律师意见之下，竭尽所能向国家基建公司索回工程款项。

同时，该公司也会探讨多种融资活动，并争取在新市场运用公司的科技，这些事项需要近6个月来安排。

此外，管理层也会继续竞标单轨火车和商用汽车合约。

该公司表示，如果上述计划顺利开展，预期将改善该公司的财务，进而解决稽查师的忧虑。

该公司补充，将继续专注于削减成本，持续改善产品和研发活动，从而保持公司的竞争力。

传史格米工程重组债务

（吉隆坡12日讯）消息人士称，史格米工程（SCOMIEN，7366，主板工业产品股）计划重组达5亿2500万令吉的债务，以确保公司持续运作。

《星报》引述消息人士，史格米工程目前的债务，包括高达2亿1320万令吉的信贷及银行透支，已列入短期债务账目。

不过，债务重组详情不多，只是有意愿重组上述庞大债务。

此外，史格米工程目前也极力争取来自发展中国家的单轨火车项目，尤其是中国；同时也参与竞标泰国和土耳其的项目。

市场冷待“三合一”计划．史格米：整合为争取合约

（吉隆坡22日讯）史格米集团（SCOMI，7158，主板贸服组）透过私有化史格米工程（SCOMIEN，7366，主板工业产品组）与史格米能源（SCOMIES，7045，主板贸服组）“三合一”重组计划，藉此加强公司财务能力，以攫取更多合约，并放眼2018财政年以前可完成重组计划。

史格米集团首席财务员慕尼赞表示，上述重组计划，将以股易股的方式进行，因此公司的财务状况并不会受到太多的影响。

史格米集团整合重组计划，包括2合1的股票整合、10股整合股票获派送7张凭单。同时通过换股发凭单方式，将子公司——史格米能源及史格米工程私有化。

每5股的史格米能源股票，将获得3股史格米集团新股票；每9股史格米集团新股票，将获得一张凭单。

每7股的史格米工程股票，将获得10股史格米集团新股票；每10股史格米集团新股票，将获得一张凭单。

整合加强资产负债表

慕尼赞说，将3家上市公司加以整合，以加强集团的资产负债表，有利于公司参与更大型的竞标活动，并减少行政及营运开销，避免3家公司业务重叠及改善效率。

慕尼赞在史格米工程股东大会后做出上述表示，并预期上述重组计划将在2018财政年前完成。

慕尼赞说，一些事务上需面对法例的限制，以致无法更有效的处理，因此将两家公司私有化后，可提高效率。

“完成重组计划后，公司拥有更强的资产负债表，并有能力承接更大宗的合约。”

史格米工程年报显示，2017财政年亏损从184万3000令吉扩大至1975万6000令吉。

工程业务明年可转盈

慕尼赞期望，完成重组计划后，工程业务明年可转亏为盈。

不署名史格米工程小股东向《星洲财经》表示，管理层在股东大会上透露，上述亏损主要是来自大马业务的拨备之故，拨备款额达2500万令吉左右。

针对史格米工程与国家基建诉讼案一事，慕尼赞不愿透露太多，仅表示该案件已经进入法律程序，一切待下个月听证会后，再告知进展。

2010年12月10日，史格米工程属下史格米公共交通项目公司（STP）获得国家基建公司颁给4亿9400万令吉合约，负责扩建单轨火车。然而，这项工程一再展延，无法如期在今年3月31日完成指定工程。

阻国家基建委新承包商
史格米工程禁令申请被驳

（吉隆坡20日讯）史格米工程（SCOMIEN，7366，主板工业产品股）所申请的禁令被法庭拒绝，无法针对总值4亿9900万令吉工程合约，禁止国家基建委任其他承包商。

史格米工程向交易所报备，高庭驳回旗下史格米火车工程私人有限公司（STP）提出的上述诉讼，同时寻求临时救济的要求；并且需支付堂费2万令吉。

上述诉讼是由STP于今年7月6日提出，向国家基建提出禁令，禁止委任第三方承包商以完成剩余的工程。

事情起源于国家基建宣称，在3月3日所签署的第三份补充合约无效。

该合约涉及提升单轨火车车站和系统，以及提供12辆4车厢列车取代旧列车。史格米工程已交付6辆新列车。

Scomi Group将与工程子公司合并

（吉隆坡5日讯）随着Scomi Engineering Bhd股东在今日举行的法庭召集会议（CCM）上投票赞成，Scomi Group Bhd将与其工程子公司进行三方变二方的合并计划。

93.52%的无利害关系股东投赞成票，而反对的有6.48%。

去年8月21日，Scomi Group提出通过换股和发凭单，与工程及能源子公司，即Scomi Engineering及Scomi Energy Services Bhd合并，以降低成本并加强资产负债表。

合并计划将导致两家子公司被私有化。

由于股东今日放行，Scomi Engineering将要进行退市程序，估计将于2月底完成，由Scomi Group全资拥有。

另一方面，由于Scomi Energy无利害关系股东昨日在CCM上拒绝这项合并计划，因此该公司仍然是上市公司。

Scomi Group目前持有Scomi Engineering的72.3%，以及Scomi Energy的65.6%股权。

Scomi Engineering总执行长Rohaida Ali Badaruddin出席CCM后向记者表示：“我们对今日CCM的结果感到非常高兴，非常感谢投资者能够理解什么对公司最好。”

她指出，在合并实体，除了技术共享和生产设施整合之外，该公司将能够在集团层面提供其在工程、采购和再生能源项目建设方面的专业知识。

她还说，合并实体每年可减少500万令吉的成本。

至今为止，Scomi Engineering的订单为19亿令吉，其中95%是巴西等国家的海外项目，其余为本地项目。

根据Rohaida，这些项目可支撑公司未来4至5年。

Scomi Engineering已连续两个财政年蒙亏。而截至去年9月杪2018财年首半年，该集团净亏3128万令吉，较同期的263万令吉扩大，营业额几乎持平于6617万令吉。

The merger which is being undertaken by way of a members scheme of arrangement under Section 366 of the Act between Scomi Engineering and the Scheme Shareholders involves the acquisition and transfer of all the Scomi Engineering Scheme Shares to Scomi and/or its nominee(s).  For avoidance of doubt, the Scomi Engineering Scheme Shares include Scomi Engineering Shares held by the PACs.  

In consideration of the acquisition and transfer of each Scomi Engineering Scheme Share from the Scheme Shareholders to Scomi and/or its nominee(s) pursuant to the Scheme, Scomi shall pay the Offer Price of RM0.30 for each Scheme Share which shall be satisfied entirely via:

(a)        a share swap where for every 7 Scomi Engineering Scheme Shares held by Scheme Shareholders, 10 new Consolidated Shares shall be issued at the Issue Price, and

(b)        the issuance of 1 Warrant for every 10 Consideration Shares issued.

Scheme Shareholders whose names appear on the Record of Depositors of Scomi Engineering as at 5 p.m. on Thursday, 15 February 2018 ("Books Closing Date") will be entitled to participate in the Scheme.  The settlement of the Offer Price will be effected on Monday, 19 February 2018, via issuance of the Consideration Shares and Consideration Warrants.  The Consideration Shares and Consideration Warrants will be listed on the Main Market of Bursa Securities on 22 February 2018.

The trading of Scomi Engineering Shares on the Main Market of Bursa Securities will be suspended with effect from 9.00 a.m. on Friday, 9 February 2018, being three (3) clear Market Days prior to the Books Closing Date, until the delisting of Scomi Engineering from the Official List of Bursa Securities.  Accordingly, the last day and time of trading of Scomi Engineering Shares on the Main Market of Bursa Securities prior to the suspension will be 5.00 p.m. on Thursday, 8 February 2018.  

The notice to shareholders in relation to the suspension of trading of Scomi Engineering Shares and the Books Closing Date for the Scheme ("Notice") will be despatched to Scomi Engineering Scheme Shareholders on 2 February 2018.
