西岸大道经营权 优乐家2月内签约

(吉隆坡17日讯)优乐家集团(KEuro,3565,主板建筑股)主席拿督阿都哈密披露,将于两个月内签署西海岸高速大道(West Coast Expressway)特许经营权合约。

阿都哈密今天表示,初期协议已准备好,可随时签约。

“工程料会在2013年次季启动,部分工程预计会在明年初公开竞投。”

据述,当中万津至太平的路段工程料需时5年。优乐家集团今天以1.03令吉报收,扬2仙,成交量达97万7000股。

今年初,优乐家集团宣布或获政府给予西海岸高速大道的特许经营权后,遭各方批评。

当中投诉包括长达60年的特许经营权是全马最长的,而高达70亿7000万令吉的费用是3年前宣布的一倍。另外,政府提供的支援贷款和利息津贴也备受争议。

不过,今年4月份有传言指阻碍已宣告解除,并会在短期内签约。

当时消息指,除了盈利共享的条件有所更动外,其余维持不变。

据了解,作为回报,政府将可以70:30的比例,分享大道多于制定车流量的额外营业额,直到该公司还清政府贷款为止。之后,该比例将换成30:70。[Nanyang]

优乐家集团持有80%股权子公司———西海岸高速大道私人有限公司,于今日获得政府颁发上述合约。

在上述合约下,优乐家集团将负责建造从万津到太平的西海岸高速公路,路长233公里(包括第二期路长40公里的路段)。

文告指出,没有任何董事、主要股东或相关人士,与上述计划有直接或非直接关系,除了IJM(IJM,3336,主板建筑股)独资子公司———Road Builder(马)控股有限公司。

60年特许经营权
Road Builder是西海岸高速大道私人有限的主要大股东,持有后者20%股权。

去年,优乐家集团指出,政府可能会颁发西海岸高速大道特许经营权给该公司,然而,这项消息遭到各方批评。

股价飙近10%
当中投诉包括长达60年的特许经营权,堪称是全马最长的经营权,而高达70亿7000万令吉的费用,则比4年前宣布此计划的金额倍增。

另外,政府提供的支援贷款和利息津贴也备受争议。

西海岸大道可提前终止经营权

(吉隆坡7日讯)根据媒体报导,西海岸大道(WCE)的合约改变了过去高速公路私营化的经营模式制定。       

根据《TheEdge》引述消息人士话称,指西海岸大道私人有限公司已与布城达成协议,一旦营运商从过路费取回全数的投资,將交出大道的经营权,即使60年的特许经营权尚未届满。

了解有关协议的財务执行员指出:「若高速公路在第50年取得回酬,有关特许经营权將终止並归还政府。」

除了提前终止条款,有关合约条例亦根据政府的利益进行调整,採用新的收入共享机制,以及剔除为期22年的商业贷款高达3%利率津贴。

「政府认为西海岸大道公司作出的交通流量预测过於缓慢,因此引进共享收入条款。若交通流量高於预测,政府將获得收益。」

有关交通流量的细节协议仍保密。

上述工程也在政府和西海岸大道公司达成共识后,对规模作出调整,从原先计划缩减25%。目前该公司成本为52亿令吉,早前预计为70亿7000万令吉。

此外,布城也增加10亿令吉用以收购建造大道的土地,並额外提供22亿4000万令吉的低息贷款让企业承包工程。有关贷款年利率4%,在2013年开始实施。

优乐家集团(KEuro,3565,主板建筑股)上一次宣布获得政府颁发西海岸高速大道(West Coast Expressway)的特许经营权合约的消息,是在去年1月26日。

让股东苦等了1年后,才在今年1月2日宣布,其80%子公司WCESB与政府签署该合约。

WCESB另20%的股东为IJM(IJM,3336,主板建筑股)。

该计划的估计成本为70.7亿令吉,耗时5年完成,对优乐家集团的未来前景起了举足轻重的作用。

翻阅优乐家集团过去5年的财务纪录,其营业额在2000至6000万令吉而已;我们把西海岸高速大道的成本除五,平均一年也有14亿令吉,再乘以80%股权,就是11亿令吉左右,是前几年营业额几十倍。

IJM功不可无
而且,政府颁发的计划一般上是盈利保证,怎不激励公司呢?

之后实施的收费站长达60年,更为优乐家集团带来持续的收入,如果一切顺利,优乐家集团的未来可比美当下的大道收费公司。

说到融资,绝无问题,因为政府将提供4%低息贷款22.4亿令吉,以及高达3%的利息津贴于其余的商业贷款。同时,征地的9.8亿令吉也完全由政府负担。

有了西海岸高速大道计划,未来5年内优乐家集团其余业务不看也罢!

也因此,优乐家集团低营收、低资产(每股净资产才22仙),却能享有高股价(超过1令吉),原因在此。

话说回头,优乐家集团这家平凡的小公司,最终可以保住这项让人虎视眈眈的计划,背后推手———IJM,功不可无。

当初,IJM持有优乐家集团22.72%,就是志在这个计划。

如今计划落实,预料优乐家集团也无法一手独揽所有工程,因此,毫无疑问的会发可观的建筑工程给IJM,个中利害,可想而知。

Further to our announcement on  2 January 2013, the Company is pleased to provide key concession terms in relation to  the West Coast Expressway (“WCE”) project .

The WCE project involves the development of a highway from Banting in Selangor to Taiping in Perak with 233km of tolled highway (including 40km of highway to be constructed later). The project cost is estimated in the region of RM6.0 billion. The construction period is 5 years.

The key agreed terms are as follows:-
(i)  The Project is a build-operate-transfer (BOT) project with a concession period of 50 years. The concession period will be extended for another 10 years if the agreed targeted IRR is not achieved (calculation of actual IRR will be in year 49);
(ii) In order to make the project viable, the GOM agreed to provide a loan ("GSL") at an interest rate of 4% per annum (capitalized annually) subject to a separate negotiation and agreement to be executed with the Ministry of Finance;
(iii) Toll revenue in excess of the agreed projected toll revenue will be shared as follows:-
  • during the GSL tenure, 70% of the excess revenue will be utilised as repayment or prepayment of the GSL; and
  • after settlement of the GSL, on the basis of 30:70 between the GOM and WCESB if the targeted IRR is not achieved and 70:30 if the actual IRR is more than the targeted IRR;
(iv) The land acquisition cost for the Project will be borne by the GOM;
(v) The construction works of the Project will be implemented by WCE through a tender committee;
(vi) A liquidated and ascertained damages of RM100,000.00 shall be paid by WCESB to the GOM for each day of delay of construction if the construction is not completed by the agreed completion date;
(vii) Cost savings from the construction costs shall be utilised to review the GSL amount or for other purposes as may be determined by the GOM;
(viii)  Further toll increment is subject to Toll Review Mechanism;
(ix) Penalties will be imposed in the event WCESB fails to fulfil its maintenance obligations (Key Performance Indicator (KPI)) as specified; and
(x) If the road service volume is below acceptable level, WCESB is required to carry out upgrading works at its own cost and expenses to ease traffic congestion.

优乐家私下配售集资5700万

(吉隆坡9日讯)优乐家集团(KEURO,3565,主板建筑股)计划以每股1.11令吉的价格,私下配售5210万新股,以集资5700万令吉资金。       

优乐家集团在文告中表示,私下配售所得的资金,將注入旗下持有80%股权的西海岸大道(West Coast Expressway)私人有限公司(WCESB)。

这是因为西海岸大道私人有限公司承接一项60亿令吉的西海岸大道工程,这项长达233公里的收费大道工程將连接雪兰莪州的万津(Banting)和霹雳州的太平。

此项私下配售计划將为优乐家集团筹集资金,以融资这项工程。

该公司表示,「经过审慎考虑后,认为私下配售是在无需缴付利息和贷款予银行的前提下,最快速的集资方法,因此也是最合適的方法。」

冲淡每股盈利

另外,该公司表示,此项私下配售占缴足资本10%,將配售予独立的第三方投资者。同时,这项私下配售活动將扩大股本,继而冲淡每股盈利。

馬織印染廠 每股RM1.35購優樂家股權

(吉隆坡12日訊)馬織印染廠(MWE,3921,主要板消費)出價1億5579萬令吉或每股1.35令吉,收購優樂家集團(KEURO,3565,主要板建築)約22.5%股權,預計末季完成。

該公司向馬證交所報備指出,截至今年6月,優家樂集團過去1月交易股量平均僅佔股本4.2%,收購計劃是公司將業務多元化至房地產及基建發展的機會。

文告指出,目前西海岸大道(West Coast Expressway)為優家樂集團旗下固定收入來源,是項收購計劃亦為公司提供參與大道經營業務的機會。

馬織印染廠指出,公司將透過內部融資及銀行貸款,籌集這項收購計劃的資金。

另外,該公司亦建議,配合策略投資將現有業務多元化,提高長期獲利前景;目前該公司核心業務為服飾生產及銷售。

传优乐家筹资扩大资产

(吉隆坡20日讯)优乐家集团(KEURO,3565,主板建筑股)料将透过资金筹措活动来扩大资产,以及完成西海岸大道(WCE)兴建工程的财务结算。

《The Edge周刊》引述消息人士说:“尽管持股权变动,优乐家集团执行员已在积极完成WCE财务结算。”

“随着大马综合工业(MWE,3921,主板消费产品股)加入优乐家集团董事部,银行将在提供融资方面感到更舒适。”

大马综合工业近期刚以1亿5579万令吉,向优乐家集团前主席兼总执行长丹斯里陈雅才及Sze Choon控股私人有限公司,购入优乐家集团的22.15%。

完成这交易后,大马综合工业将持股27.14%,晋升优乐家集团最大单一股东,超越持股大股东IJM(IJM,3336,主板建筑股)的22.96%;陈雅才则仅持股4.46%。

报道指出,有了这两大股东,优乐家集团在进行一项比较有规模的筹资活动方面,将不会面对很大的困难;而这酝酿中的筹资活动,也是陈雅才脱售股权的原因之一。

一名接近陈雅才的执行员说:“他缺乏这财务能力来支付他所持有的部分,这最终还是会被稀释的。”

尽管在1997年开始策划WCE,但陈雅才却未能提供资金让优乐家集团负责此计划,该公司甚至似乎将流失这计划的负责权,直至IJM在2006年3月加入成为持股25%的主要股东。

优乐家3管道集资 西海岸大道资本可达標

(吉隆坡23日讯)优乐家集团(KEURO,3565,主板建筑股)將通过贷款、脱售资產和向股东集资3种选项,以让西海岸大道(WCE)私人有限公司在9月杪的財务结算之际,达到2亿令吉的资本。       

截至目前,优乐家集团持有80%股权的西海岸大道私人有限公司,共有3000万令吉的资本。而该公司必须在9月杪的財务结算之际,符合达到2亿令吉的资本的条例。优乐家集团管理层表示有信心可以达標。

优乐家集团主席拿督阿都哈密指出,西海岸大道私人有限公司的集资程序进展顺利,目前低息贷款和商业贷款都將近到位。再加上该集团於本月初提出的私下配售10%股权建议,因此,尔后將会有资本源自股东、贷款和部份资產注入公司。

阿都哈密透露,所需资本总额为60亿令吉,不过將会分阶段集资。同时,隨著大马综合工业(MWE,3921,主板消费股)和怡保工程(IJM,3336,主板建筑股)成为其大股东,相信可以提升获取银行贷款的机会。

至於出售部份资產方面,优乐家集团现有3项资產,分別是西海岸大道、持有50%股权子公司-Radiant Pillar私人有限公司旗下的Rimbayu市镇发展,以及即將改名为Talam Transform的子公司Trinity机构(Trinity,2259,主板產业股)持有的土地。

对此,阿都哈密仅表示,將会在未来作出相关宣布,目前董事局尚未作出最终决定,因此,不愿对外透露进一步详情。

保留Rimbayu计划

「我们有意保留Rimbayu市镇发展计划,因该工程在3月初推出的首阶段发展取得热烈的回响,且第二阶段的工程將在开斋节后推出,可持续为优乐家集团作出盈利贡献。」阿都哈密在股东大会后向媒体这么表示。

针对Rimbayu市镇发展,首阶段一共推出526个单位排屋,佔地1878英亩,而开斋节后推出的第二阶段工程,预计有超过400个单位排屋。这整个工程的总发展价值超过100亿令吉,可供超过10年的发展期限。

优乐家集团在2014財政年首季的业绩表现逊色,对於公司本財政年的前景,阿都哈密指,目前旗下业务只有Rimbayu市镇的业务有利可图。倘若该集团出售部份资產,或可从中取得资金,但整体而言相信未能取得良好表现。[东方日报财经]

优乐加拟进行筹资活动 发展西海岸大道

优乐加集团有限公司(KEURO,3565,建筑组)预料将展开筹资活动,以加强其资产负债表和巩固财务,以落实发展数十亿令吉的西海岸高速大道(WCE)。

这将紧接着拥有充裕现金的大马工业控股有限公司(MWE,3921,消费产品组)崛起成为大股东后进行。

大马工业控股取代了丹斯里陈雅才的地位,后者于17年前已经着手推行这项全长233公里的高速公路计划。

消息指出:“尽管股权变动,优乐加集团执行人员已经积极提升财务。不过银行家现在将更看好大马工业控股的加入。”

2周前,大马工业控股以1亿5500万令吉代价,向陈雅才购入了22.15%股权,晋而成为控制27.4%的最大股东。

自2007年参股优乐加集团的怡保工程机构有限公司(IJM,3336,建筑组),则是第2大股东,控制23.85%;及陈雅才现仅持有4.46%股份。

优乐加集团控制上述计划拥有者西海岸高速大道私人有限公司的80%股权,而其余20%则是由怡保工程机构拥有。这使后者在该高速大道的有效持股达约39%。

执行员称,怡保工程机构无意控制西海岸高速大道超过40%,以避免牵动其本身资产负债表,并给予它一些空间参与其他计划。

基于优乐加集团上周五1.26令吉后最挂价,其市值约为6亿6500万令吉。

随着拥有大马工业控股和怡保工程机构作为主导股东后,该集团着手一项具规模筹资活动将面对较低的难度,这项行动旨在融资西海岸高速大道计划发展,及其他产业发展活动。

实际上,这项集资活动是陈雅才自1996年参与西海岸高速大道计划后,选择脱售的原因之一。

接近陈雅才的消息指出:“他没有财务能力以着手其获分配股份,从而它最终将被冲淡。”

虽然陈雅才于1997年开始策划西海岸高速大道,但却未能为优乐加集团寻获适当融资,以着手这项计划。

这导致优乐加集团几乎失去西海岸高速大道,直到怡保工程机构于2006年3月加入,成为25%股东为止。

自此,怡保工程机构已积极推动,直到今年1月与政府签署了特许权协议。

“优乐加集团拥有从特许权签署开始的9个月时间,以落实财务结算。它将于10月届满,但该公司拥有选择权延长另外3个月。”

实际上,怡保工程机构与陈雅才的合作关系始于超过7年之前,当时前者的建筑单位IJM建筑私人有限公司,受委以协助优乐加集团,恢复其耗资22亿令吉的旗舰Puncak Jalil计划。

在大马工业控股方面,吸引参股优乐加集团的原因并非上述高速大道,而是可以开发其于Rimbayu城镇的产业发展。这项发展计划的总发展值达90亿令吉。

大马工业控股是由泰裔商人丹斯里刘锦坤控制,持有该集团的32.96%。刘锦坤也是万能有限公司(MAGNUM,3859,贸易服务组)和马化资本有限公司(MPHBCAP,5237,金融组)的大股东。

消息说:“大马工业控股参股优乐加集团不是为了其高速大道计划,因为前者不是承包商,这是一项拥有漫长孕育期的计划。但它未来将为大马工业控股带来流动现金。”

随着纳入西海岸高速大道于旗下,将意味着它已经多元化大马工业控股原只涉及制造和成衣的业务。而这在大马工业控股核心业务面对逆风时将可带来缓冲。[东方日报财经]

(吉隆坡7日讯)优乐家集团(KEURO,3565,主板建筑股)宣布,United Frontiers控股有限公司通过私配和场外交易持有公司5.94%股权,晋升为大股东。

根据文告,在英属维尔京群岛注册的United Frontiers控股,是在7月16日透过私配持有优乐家集团2700万股每股面值1令吉普通股。

在本月5日时,UnitedFrontiers控股再以场外交易方式,购入优乐家集团700万股普通股,将持股权提高至3400万股或5.94%。[南洋网财经]

优乐家售资產发附加股 融资西海岸大道

(吉隆坡12日讯)优乐家集团(KEuro,3565,主板建筑股)今日宣布脱售资產及发附加股集资,以融资西海岸大道计划。

优乐家集团宣布其子公司KEB种植控股旗下的KEB Builders私人有限公司,以5250万令吉,將Radiant Pillar的10%股权售予IJM置地(IJMLand,5215,主板產业股)旗下的IJM產业私人有限公司。 与此同时,该公司也建议4配3附加股,每2股附加股送1凭单的计划。在这项计划下,优乐家集团將发出4亿2974万3823股的新股,以及2亿1487万1911单位的凭单。

配合附加股计划,该公司也建议提高註册资本,从目前的10亿令吉提高至30亿令吉,由30亿股组成,並修改公司章程。脱售资產获得的5250万令吉当中,4900万令吉將用作西海岸大道计划的股本,而附加股计划筹集的大部份资金也將作为西海岸大道计划的融资。

该集团持股80%的西海岸大道私人有限公司在今年1月与政府签署特许经营权协议,发展从雪州万津至霹雳太平,全长233公尺收费大道。

这项计划的成本预计为60亿令吉,建筑工程將耗时5年。该集团必须在9月杪的財务结算之际,达到2亿令吉的资本的要求。

On behalf of the Board of Directors of Kumpulan Europlus Berhad (“KEB” or “Company”) (“Board”), RHB Investment Bank Berhad (“RHB Investment Bank”) and Newfields Advisors Sdn Bhd (“Newfields”) wish to announce that KEB Builders Sdn Bhd (“KEBSB” or “Vendor”), a wholly-owned subsidiary of KEB Plantations Holdings Sdn Bhd, which in turn is a wholly-owned subsidiary of the Company had on 12 August 2013, entered into a conditional share sale agreement (“SSA”) with IJM Properties Sdn Bhd (“IJMP” or “Purchaser”) for the proposed disposal of its 10% equity interest held in Radiant Pillar Sdn Bhd (“RPSB”) to IJMP, for a total cash consideration of RM52.5 million, upon the terms and subject to the conditions as set out in the SSA (“Proposed Disposal”).

In addition to the Proposed Disposal, the Company is also proposing to undertake the following proposals:-

(a)    a renounceable rights issue of 429,743,823 new ordinary shares of RM1.00 each in KEB (“Rights Shares”) together with 214,871,911 free detachable warrants (“Warrant(s)”), on the basis of three (3) Rights Shares for every four (4) existing ordinary shares of RM1.00 each in KEB (“KEB Shares” or “Shares”) held and one (1) free Warrant for every two (2) Rights Shares subscribed for on an entitlement date to be determined later (“Entitlement Date”) (“Proposed Rights Issue with Warrants”);

(c)    amendments to the Memorandum and Articles of Association (“M&A”) of the Company (“Proposed Amendments”).
