(吉隆坡29日訊)麗陽機構(TROP,5401,主要板房產)私下配售每股股價為1.78令吉的新股,獲超額認購2.6倍。

該公司今日向馬證交所報備指出,該公司私下配售8630萬7200新股。

聯昌證券研究和新加坡渣打證券行為這項計劃的主理公司。

根據麗陽機構上星期三的文告指出,該股價為5月28日前5個交易日閉市價的平均價格,1.9752令吉的折價9.88%。

麗陽機構早前向馬證交所提出易名申請,從原本的成隆機構(Dijaya Corporation Berhad),易名為麗陽機構(Tropicana Corporation Berhad),該易名獲得批准,並于昨日(28日)正式生效。[中国报财经]

Limited as the joint global coordinators and together with KIBB to act as the placing agents (“Placing Agents”) in relation to the Proposed Private Placement for the Company to procure purchasers for the Placement Shares at an issue price of RM1.78 for each Placement Share subject to the terms and conditions of the Placement Agreement.

On even date, the Company, pursuant to the Placing Agreement, had also completed the book-building process in relation to the Proposed Private Placement. The total number of new Tropicana Shares to be issued under the Proposed Private Placement pursuant to the book-building process is 86,307,200 new Tropicana Shares (“Placement Share(s)”) representing approximately 10.00% of the issued and paid-up share capital of Tropicana as at 28 May 2013.

The total subscription received by the Company under the book-building process was 2.6 times the total number of new Shares available for subscription under the Proposed Private Placement exercise.

(梳邦再也31日讯)前称为成隆机构的丽阳机构(TROP,5407,主板产业股),推出发展总值达63亿令吉的Tropicana Metropark综合发展计划。

丽阳机构总执行长拿督游国成表示,这项发展计划占地35.6公顷,净楼层面积则有74万3000平方米,将提供各式住宅、办公楼、零售、购物商场、四至五星级酒店、娱乐设施和医疗中心。

他今日与梳邦再也市议会主席拿督阿斯马威一同举行动土仪式,并透露将斥资1亿5000万令吉建设连接联邦大道的高架天桥,以提高这项发展计划的交通便捷。

“高架天桥工程将在明年开展,预计于2016年竣工。”

或迁移峇都知甲火车站

另一方面,阿斯马威称,梳邦再也市议会正与大马铁道公司(KTM)协商,有意将附近的峇都知甲(Batu Tiga)火车站迁移至Tropicana Metropark范围内。

除了举办动土仪式,该公司今日也推介发展总值达3亿6000万令吉的Pandora服务式公寓项目,将提供627个拥有3种不同设计的公寓单位,分别为单间公寓、2房及3房公寓,建筑面积介于600至1200平方尺,价格从每平方尺840令吉起跳。

麗陽機構1898萬新股 獲政府投資機構認購

(吉隆坡3日訊)麗陽機構(TROP,5401,主要板房產)早前宣布私下配售8630萬7200新股,據悉其中1898萬新股獲政府相關投資機構認購。

根據馬證交所報備文件顯示,政府相關投資機構完成是項交易,但交易價格不詳。

不過,根據股票交易資料顯示,上批股票1898萬新股相等于該公司2.15%繳足資本(paid-up capital),于每股1.78令吉達成。

麗陽機構共私下配售8630萬7200新股,每股新股為1.78令吉,共獲得超額認購2.6倍。

每股1.78令吉的發行價,根據麗陽機構上星期三的文告指出,為該股5月28日前5個交易日平均閉市價格,1.9752令吉的折價9.88%

麗陽機構今早開市平盤報2.11令吉,隨后滑入負面區間報2.10令吉,跌1仙;截至休市時,該股同報2.11令吉,半日易手125萬5400股。

午盤間,麗陽機構持續游走于平盤與負區之間,閉市時,該股平盤報2.11令吉,成交量245萬7500股。

1.0        INTRODUCTION
The Board of Directors of Tropicana wishes to announce that the Company had, on 3 June 2013, acquired two (2) existing ordinary shares of RM1.00 each representing 100% of the total issued and paid-up share capital of Duta Petaling Sdn Bhd (Company No. 1040478-X) (“DPSB”), a shelf company, for a cash consideration of RM2.00 only (the “Acquisition”).

Upon the Acquisition, DPSB has become a wholly-owned subsidiary of the Company.

2.0        BACKGROUND INFORMATION ON DPSB
DPSB was incorporated in Malaysia on 29 March 2013 under the Companies Act, 1965 as a private limited company with an authorised capital of RM100,000 comprising 100,000 ordinary shares of RM1.00 each. Its present issued and paid-up capital is RM2.00 comprising 2 ordinary shares of RM1.00 each.

3.0        RATIONALE FOR THE ACQUISITION
The Acquisition is to facilitate the future expansion of Tropicana Group.

4.0        FINANCIAL EFFECTS
The Acquisition has no effect on the issued and paid-up share capital or the substantial shareholders’ shareholdings of Tropicana and is not expected to have any material effect on the net assets, gearing and earnings of the Tropicana Group for the current financial year ending 31 December 2013.

5.0    APPROVALS REQUIRED
The Acquisition is not subject to the approval of the shareholders of Tropicana or any other relevant authorities.

6.0        DIRECTORS’ AND MAJOR SHAREHOLDERS’ INTERESTS

丽阳机构(TROP,5407,主板产业股)今年动作频频,5个月来文告不下20篇,可见公司有很多消息讶要公诸天下。

最新的包括公司的10%私下配股(价钱1.78令吉)或得热烈反应,超额达2.6倍之多。截稿时其大股东丹斯里陈志成售出1898万股(约占2%扩大后资本)予一家大马官联机构。

这些消息都“引人入胜”:到底谁会在丽阳机构现时的股价(和半年前比,起了100%)大手笔买进。

按照基金机构的投资手法,是不会进行投机买卖或快进快出的;丹斯里陈志成到底有甚么神机妙算,让丽阳机构投入基金经理的怀抱?
私人产业资本化

可以肯定的,这只之前倍受分析员冷待的股票,会渐渐得到他们的垂青,到最后会否象UEM置地控股(UEMLand,5148,主板产业股)、实达集团(SPSetia,8664,主板产业股)或马星集团(MahSing,8583,主板产业股)等,不得不列入分析组合,我们且耐心等待。

公司在2009年10月进行4配3附加股(分两梯阶进行,首梯阶80仙由股东付足;次梯阶20仙则由股东溢价付足),另送2凭单。

不过,让业绩突飞猛进的,来自去年丹斯里陈志成的9.5亿令吉私人产业资本化,虽然当时所进行的附加股认购率只有72%,充份显示出市场和小股东并不看好该计划。

自那时起,公司毫不讳言需要资本来进行未来发展,因此在去年10月脱售1亿令吉的地皮,获利3800万;之后左右开弓,既南下柔佛联营一块发展总额约10亿令吉的地皮;又向雪州政府收购价值达1.3亿令吉的11片地皮,总发展数额约86亿令吉,令人刮目相看。

股息再投资一举两得

所以,公司进行私下配股筹资1.5亿令吉,无可厚非,因为公司接下来的计划太庞大了。

单看公司今年第一季的业绩,就可知公司挟去年下半年强劲业绩,趁胜追击,要一举把公司推上一个接着一个的高峰。

公司虽没有股息政策,不过依过往纪录,公司会把约20%的盈利当作股息派发。刚结束的财政年也不例外,建议派发6.4仙需扣税股息。

丽阳机构需要许多资金当营运用途,因此应该会祭出另一个皇牌来减少现金支出———股息再投资计划。

这样一来,要现金股息的小股东可以照获股息,但如果小股东同意公司的成长大蓝图,可以选择以折价再投资于公司股票,公司因而得以留住资金,一举两得。

不但如此,当公司股价水涨船高,一些凭单持有人会选择行使转换权,来享有公司的股息和高股价,因此丽阳机构也将获得另一笔资金来推动计划。[南洋网财经]

售地段予马化置地 丽阳机构净赚8700万

二零一三年六月六日 晚上七时七分
(吉隆坡6日讯)丽阳机构有限公司(TROP,5401,产业组)宣布,以1亿1610万令吉现金代价,出售2幅面积约6.41英亩的毗邻租赁地段予Mayfair投资私人有限公司,后者是马化置地有限公司(MULPHAL,7889,产业组)旗下一家独资子公司。上述地段位于丽阳高尔夫俱乐部,现已圈定作为商业发展。

这项交易预定在2013年第4季完成,并预料可为丽阳机构带来8700万令吉的净赚益。

集团首席执行员拿督游国成表示:“我们非常高兴宣布这项脱售行动。上述每平方尺约416令吉的定价,对我们而言相当合理,以反映出这些地段的价值。这项交易符合丽阳机构的策略,释放集团地库的庞大价值,以及进一步改善我们的资产负债表。”

他补充:“这项脱售不只带来即时的影响,还加强我们现年度的收益,同时所筹得的现金将进一步加强我们的平台,定位我们的中长期持续成长。”

基于现有9亿4940万股每股面值1令吉的普通股组成的股票资本,上述交易将为丽阳机构截至2013年12月31日止现财政年的每股净收益带来91仙增长。

游国成透露:“集团专注于大吉隆坡、依斯干达区和槟岛的高发展值和具规模主要发展计划,目前现财政年度在这3个地点的新推介达到30亿令吉。”

“在我们创下卓越成长阶段的同时,我们也评估资本管理建议,包括土地脱售,以确保集团的资源以最有效的方式利用。这将提升集团的回馈和盈利,并为我们的股东增加更多价值。”

该集团最近公布了其称为‘Tropicana Metropark’的标志性大蓝图,这是一项位于梳邦再也的综合发展计划,预测总发展值63亿令吉。

(吉隆坡7日讯)丽阳机构(TROP,5401,主板产业股)积极改变发展策略,接近扩大市场触角,计划把公司壮大并追赶同行的脚步。

该公司近期计划通过一连串企业活动,如私下配售及股息再投资计划扩大股本,让公司成为机构基金的投资目标。

成隆机构(Dijacor)在5月28日正式易名为丽阳机构之后,在每个交易日都公布企业活动,让市场揣测,该公司或在酝酿着大型计划。

否认洽谈大型计划

尽管如此,两名消息人士介否认公司在洽谈任何大型计划,包括并购活动。

一名消息人士在接受《南洋商报》电访时表示:“不排除公司会有策略股东的合作,但是,目前并无锁定任何对象。”

此外,她进一步指出,公司近期只是非常活跃而已,这些活动都是为了让公司朝向国内顶尖发展商之一的目标前进。[南洋网财经]

在美国和日本股市稳定下来,预料亚太股市将继续上扬,继五穷不再“穷”之后,六绝也不再“绝”。前两个选股,4月10日的大马综合工业(MWE,3921,主板消费产品股)从1.79令吉至今2令吉,上扬11%;而5月22日的鹏发(Ptaras,9598,主板建筑股)也从4.10令吉涨到4.90令吉,比大马综合工业不遑多让。

反而是5月29日的丽阳机构(TROP,5401,主板产业股),我写了三个星期,股价也从2.20令吉跌到1.90令吉,跌了14%。

于是有读者心生怀疑,想知道这只股的潜力到哪里。言道“潜力”太过文皱皱,不如直接一点,问我目标价有多高。

话说到这里,很多人觉得笔者会顺水推舟,指点读者6月28日是丽阳机构的股东大会,读者可以自己去问董事。不过,遇到擅于打太极的董事,一般上都会以公司是拼业绩,不是拼股价,四两拨千斤的把股东打发,很少会认真告诉小股东,多少钱才是合理价。

其实,我倒想针对丽阳机构目前的业绩发展,大胆预测一下未来2、3年的股价。我们先看一下大马的产业股王。(参阅附表)。



在不久的将来,另一只产业股王IOI产业,据说身家也有过百亿,将和冠亚军分庭抗礼。由此看来,在产业股当中,市值过百亿令吉者,属于重量级公司,大凡要投资或研究大马产业者,组合中少不了它们。

市值力争上游

至于居次又力争上游者,市值介于10亿至50亿令吉之间,市值50-100亿令吉只有实达集团(SPSetia,8664,主板产业股),大约十家而已。
一年前,丽阳机构的市值约有5亿,还挤不进10亿令吉俱乐部呢!

不过,这不需要自卑,一年前,UEM置地控股(UEMLand,5148,主板产业股)在依斯干达区大热之前,股价还不到2令吉;城中城产业(KLCCP,5089,主板产业股)也只有3.50令吉而已。

IOI产业在4年前被私有化,市值才约20亿呢!

如果丽阳机构选择偏安一方,满足于小而美的地位,倒也相安无事。但是,它选择了另一条路,要和马星集团(MahSing,8583,主板产业股)、IJM置地(IJMLand,5215,主板产业股)、东家(E&O,3417,主板产业股)、双威(Sunway,5211,主板产业股)等一决高低,因此开拓了大才让人看到的征途。

我们看它脱售的地皮,皆以亿计算,而要发展的地段,则以10亿为单位,假以时日,丽阳机构的市值,亦与之前市值五倍十倍相比,那它所下的苦功,才叫有所补偿。

我们比较担忧的是,它做一些本末倒置的事,例如,私下配股10%才售价1.78令吉而已,转个身却以1.90令吉回购股票,似是白米换蕃薯,董事局到底是在打甚么算盘?

合理股价看长期

不过,如果照我先前的预测,1、2年后其股价若站在3-4令吉,不合理自然就变成合理。就好象东家一样,如今股价在2.20令吉,还有人追问两年前森那美(Sime,4197,主板贸服股)收购它30%,却没导致全购的课题吗?(注:两年前森那美的收购价为2.30令吉,当时市价只有1.45令吉,森那美的收购不足造成全购,引起小股东的不满)[南洋网财经]

麗陽擬售低回酬資產

(吉隆坡28日訊)麗陽機構(TROP,5401,主板產業組)擬更進一步优化公司負債率,並同時瞄準2013財政年營業額達20億水平。

該公司首席執行員拿督游國成於股東大會後向媒體披露,公司正計劃把目前為0.75倍的負債率,通過出售非核心與低回酬資產,提高公司現金流,並在2014年杪前把負債率降至0.50倍的水平。

他也表示,過去6個月所推出的產業計劃,擁有可觀的銷售量,營業額至目前為此更達10億令吉,因此有信心公司今年將有更好的表現。

游國成指,公司至今已推出的產業發展計劃總值達13億令吉,而全年更是以推出30億令吉總發展值的發展計劃為目標。

地庫2千英畝

他也提到,目前擁有的土地庫存量達2千英畝,都分布在一些策略性地點如巴生河流域、檳城與依斯干達特區等等,合共700億令吉的總發展值,而往後公司欲擴充土地庫存時,亦將以策略性地點為主。

詢及該公司的隱憂時,游國成表示要進行這麼多發展計劃,必須動用許多人才,而網羅有素質的人才是一項挑戰,但公司往後將更積極的招攬人才,以迎合未來更高的工作量。

他還說,公司要在競爭俞加劇烈的市場中突圍,必須持續提供高品質的產品,所以可靠的承包商亦是公司向來非常注重的一環,以確保發展計劃能夠順利進行。(星洲日報/財經)

请问有谁知道 DRS 的 issue price 大概是多少? 如果到时股价上升, issue price 也有可能比现在的股价还高咯? 还有, 通常会股息的 ex-date 后才宣布 issue price 吗?

另外, 如果股息只足够换取少过 100股, 还可以换吗?

到时候就由你自己决定要还是不要,不要就像平常那样拿现金。。为了方便股东们交易,如出现odd lot他们就会付现金。。这样,如你只能换取少过100 units就不必想该DRP了。。文件里有详细的说明。。  发表于 30-6-2013 03:08 AM
是由管理层决定,总之就是公布DRP通告前五天交易日的平均价(不超过10%折扣)。。这些没人可预料到的,最新股息除权在八月,在那之前应会有所公布。。就留意bursaj的告示 / 这专区。。  发表于 30-6-2013 03:00 AM

不好意思, 第一次碰到这种事情, 看了计划书又不怎么明白, 多多见谅。。。 里面有提到 tax voucher, 什么来的? 是用扣了 tax 的股息来换吗?

那个单据是当你收到股息后,registrar方面会邮寄给你的(看来你没收过),如你得到的是得扣除25%tax的+你有报税的,就可利用该单据报备给税务局以便可拿回/税免。。  发表于 30-6-2013 09:50 PM
