陳志成獲建議 私有化或售部分股

(吉隆坡10日訊)以地換股並將持有80%股權的成隆機構(DIJACOR,5401,主要板房產)大股東丹斯里陳志成,被建議全面私有化公司,或若冀保上市地位就脫售部分股份給其他股東。

該公司董事經理拿督唐健安今日告訴媒體,上述源自馬證交所的建議,陳志成需要時間考慮,以決定採取哪個方式較為妥當。

自成隆機構以股票融資方式,向陳志成收購價值約11億令吉的房地產資產后,他將擁有約80%股份。

基于其他股東的權益,馬證交所建議他私有化或售賣該公司股份。

唐健安在出席特大后的記者會上,發表談話;出席者包括執行董事龔偉成。

唐健安說,今日獲股東在特別大會上通過議案,未來10年土地發展總值將增至約61億令吉。

“股東非常支持公司這項計劃,這是我們趨向成功的動力之一;公司將在明年動用其中21億令吉發展值土地,做為公司發展計劃。”

他說,發展地區主要位于梳邦再也SS13區及巴生谷一帶的計劃,剩余40億令吉發展值土地,將用于未來10年的任何計劃中。

成隆机构股东批准 收购陈志成73 资产

(八打灵再也10日讯)成隆机构(Dijacor,5401,主板产业股)在股东特别大会上获大多数股东支持,通过向大股东丹斯里陈志成购入73项房地产的企业整合建议。

成隆机构今日发出文告指出,预计这项整合计划将在今年末季完成,届时公司在巴生谷、柔佛、槟城和沙巴的地库将达913英亩,发展总值预估为380亿令吉。

“这些地库将在未来10至15年发展完毕,投资产业的净出租面积也从目前55万平方尺,提高至140万平方米。”

根据计划,成隆机构会从陈志成手中买入73项产业,总值为9.487亿令吉,付款方式包括2.5亿令吉现金,以及10年2%的可赎回可转换债券股(RCULS)。

股东基金增18亿
公司独立非执行主席拿督罗哈那表示:“这项计划获得股东的强大支持,他们将有机会参与成隆机构未来的增长,股东基金料将增加至少18亿令吉。”

同时,陈志成也对股东通过此计划感到喜悦,强调未来将会致力为股东提供更高投资价值,并不排除在适当时机进行并购活动。

附加股5配4,每4附加股再送一紅股。
附加股價錢  RM1.20

不過,因為4附加股送一紅股,所以附加股平均價應該是RM0.96,對嗎?

RM1.20x4/5 = RM 0.96

以目前RM1.23股價,這附加股還是值得買的是嗎?

对的没有错。。。

但值不值得。。。要看你对这家公司的未来和前景。。。。

还有你要计算全部的平均价。。。比如:(1.23x5 + 1.20x4)/(5+4+1)=

谢谢解答。

只是因为之前有人说附加股的价钱跟现在市价一样(当时市价RM1.20),
要买不如直接在股市买,何必买什么附加股。
我想想,不对呀,买附加股有送红股,成本价根本就不一样,才RM0.96。
上来问问,是想确定一下。

附加股和红股除权之后的价钱会调整,

比如说如果除权之前的股价还是RM1.23,那计算法应该如下(借用williamnkk81的计算法):

(1.23x5 + 1.20x4)/(5+4+1)=RM1.095

除权后的价钱应该会是 RM1.095。

(不过,除权之前股价还是有波动,需要以届时的股价来计算)

就是对公司有信心,所以早前买入了一些票,作长期投资。现在准备认购附加股。

Remarks :
The Notice of Books Closure in relation to the Rights Issue has been announced separately today.

As at 6 September 2012, being the latest practicable date prior to this announcement, Dijaya has 129,810,191 outstanding Warrants.

We would like to advise holders of the Warrants who intend to exercise any of their Warrants and to qualify for the entitlement to the Rights Issue to lodge their duly completed subscription forms together with the subscription monies in accordance with the provisions of the Deed Poll at the exercise price of RM1.00 for each Dijaya Share, to reach Dijaya's Share Registrar, Symphony Share Registrars Sdn Bhd, Level 6, Symphony House, Pusat Dagangan Dana 1, Jalan PJU 1A/46, 47301 Petaling Jaya, Selangor Darul Ehsan by 5.00 p.m. on 13 September 2012 in order for the new Dijaya Shares issued to be transferred into Dijaya’s Record of Depositors for Shareholders on or before 24 September 2012, the entitlement date for the Rights Issue (“Entitlement Date”). Failure to lodge such duly completed subscription forms together with the subscription monies by 5.00 p.m. on 13 September 2012 may result in such holders of the Warrants not being registered in Dijaya's Record of Depositors for Shareholders by the Entitlement Date.

Holders of the Warrants who do not exercise their Warrants by 5.00 p.m. on 13 September 2012 and whose name appear in the Record of Depositors for holders of the Warrants on the Entitlement Date would be entitled to the Adjustments pursuant to the provisions of the Deed Poll. The Adjustments will only be finalised on the Entitlement Date and will be effective on the following market day. 积极物色适当对象 成隆放眼整合后并购

(八打灵再也2日讯)成隆机构(Dijacor,5407,主板产业股)不排除在完成整合计划后,进行并购活动带动公司成长,但目前仍在物色合适的对象。

早前有媒体报道,大股东兼集团总执行长丹斯里陈志成透露,成隆机构在完成整合计划而成为国内大规模发展商之一后,将放眼进行拼购活动。

成隆机构执行董事龚伟成今天出席记者会之际,并未正面回应此事,转而交给担任财务顾问的Astramina顾问私人有限公司董事经理黄慕蓉说明公司的动向。

黄慕蓉解释,这是普通的公司策略,“目前还不是宣布任何行动的时机,不过,的确对并购活动有兴趣。”

虽然她亦没有正面回应,但提到接下来将进一步探寻可以促进成隆机构成长的适当对象。

发售5亿票据
另外,龚伟成表示,政府在2013年财政预算案宣布提高产业盈利税(RPGT)5%的措施,是能够维持市场永续发展的措施。

不过他强调,调高产业盈利税,对该公司业务的影响不大。

成隆机构今天与兴业投资银行和大马投资银行签署协议,发售总值5亿令吉的7年期银行担保商业票据/中期票据计划,作为集团营运资本和新地库的发展成本。

陈志成、成隆机构董事经理拿督唐健安、副董事经理陈永隆、兴业资本集团董事经理甘志强、兴业投资银行主管陈祥源、大马投资银行董事经理普丝帕和董事旺玛丽娜,皆出席见证有关协议签署活动。

龚伟成也披露,成隆机构明年将在热门地点,推介发展总值高达20亿令吉的产业,地点分别在巴生谷、槟城、梳邦再也、吉隆坡、加影、柔佛和亚庇,其中9成是住宅计划。

上述20亿令吉,是成隆机构要在10至15年内推介380亿令吉产业大计的首个阶段。

在近期完成整合计划后,成隆机构的地库已增至913英亩。
