Tropicana Corp proposes private placement to fund land acquisitions

KUALA LUMPUR (July 23): Tropicana Corp Bhd is looking to raise funds for land acquisitions by proposing a private placement exercise.

In a filing with Bursa Malaysia, the property developer formerly known as Dijaya Corp Bhd said it plans to raise between RM198.61 million and RM239.02 million. The fund from the private placement will be used for land bank acquisitions, working capital and estimated expenses for the private placement.

Tropicana added the maximum number of placement shares will be 129.2 million new shares, which represents 10% of its enlarged share base.

The private placement, which is expected to be completed by the second half of this year, will be issued at a price determined later.

This is the second private placement exercise conducted by Tropicana. The first was completed on June 5 and was issued at RM1.78 per share.

(吉隆坡23日讯)自换名之后,丽阳机构(TROP,5401,主板产业股)第二度进行私下配售活动,为收购土地集资。

今日,丽阳机构发文告建议,私下配售最高达1亿2920万2300股新股,或占公司缴足资本高达10%比重。

假设配售价定在每股1.85令吉,公司最多可筹得2亿3902万4000令吉,最低则达1亿9860万8000令吉。

丽阳机构表示,进行这项私下配售主要是为了收购土地筹集资本。

该公司在6月28日的股东常年大会取得批准后,随即宣布这项私下配售,反映出公司积极筹集资本,扩展公司规模。

这是公司第二度进行的私下配售计划,第一项计划已在6月5日完成。

配股稀釋短期盈利 麗陽機構跌2仙

(吉隆坡24日訊)麗陽機構(TROP,5401,主要板房產)計劃私下配售最多10%股票以籌資購地,儘管獲券商繼續建議買入,但由于配股將稀釋短期盈利,股價聞訊微跌。

麗陽機構今早以1.90令吉平盤開市,但不久開始窄幅下滑,至休市報1.89令吉,跌1仙,成交量162萬3700股。

閉市時,該股報1.88令吉,跌2仙,成交量271萬400股。

麗陽機構昨晚向馬證交所報備,計劃私下配售最多10%的已發行與繳足股本,以供未來收購新地庫。

艾芬投銀研究預計,此計劃料可籌措1億9900萬令吉至2億3900萬令吉。由于該公司剛在6月完成一項配股計劃,這項私下配售將是今年內第2宗配股計劃,且需獲得股東批准。

該行中立看待這項配股建議,但由于將稀釋短期盈利,該行相信管理層有能力物色可助貢獻長期盈利成長的策略性地庫。

該行預測,麗陽機構可能收購可供發展城鎮的大型地庫,助平衡旗下業務組合,目前該公司主要集中發展公寓和綜合發展項目。

麗陽不否認洽售資產‧傳嘉德商託出價5.5億

(吉隆坡20日訊)麗陽機構(TROP,5401,主板產業組)不否認洽售麗陽商場(Tropicana City Mall)和辦公樓予嘉德商托(CMMT,5180,主板產業投資信托組),惟目前並未達成任何協議。

此前市場盛傳,嘉德商托將出價5億5千萬至6億5千萬令吉收購上述資產。

麗陽機構盤後發表文告說,該公司持續與潛在投資者探討脫售非核心資產的可能,以減少債務。

不過,該公司強調,目前並未針對脫售麗陽商場和辦公樓達成正式協議。

嘉德商托則另發文告說,為拓展業務,他們向來與其他機構展開洽商,並評估潛在商機,惟目前並無任何定案,若有將適時發佈有關詳情。

根據麗陽機構最新財報,擁有43萬6千447平方呎可出租空間(NLA)的麗陽商場,截至去年9月價值為4億4千144萬令吉。

陳志成以地換股倒置購Albeto

另一方面,消息人士披露,麗陽機構大股東、大馬商界聞人丹斯里陳志成悄悄進軍新加坡股市,籌備以倒置收購方式將總值30億令吉的依斯干達地庫搬往新加坡上市。

陳志成旗下私人公司Temasya Cergas公司,今日與新加坡上市公司Albeto簽署諒解備忘錄,將5塊估值達30億令吉的依斯干達地庫脫售給後者。

一般相信,由於Albeto公司將用“以股換地”方式收購上述地庫,因此不排除這項交易最終演變成倒置收購結果,讓陳志成直接掌握Albeto控制權。(星洲日報/財經)

(吉隆坡21日讯)丽阳机构(TROP,5401,主板产业股)执行副主席丹斯里陈志成所掌控的Temasya Cergas私人公司,将以售依区土地予新加坡上市公司耀贝多(Albedo)或通过换股倒置收购后者。

耀贝多发表文告,宣布双方已签署备忘录,将向TemasyaCergas收购位于柔佛依斯干达特区的5片规模约762英亩的土地。

文告中并未透露收购价,仅提到耀贝多将以发行新股支付收购计划,而可能让耀贝多被倒置收购,双方接下来将协商具体买卖条约。

《The Edge》财经日报引述消息,指陈志成有意在新加坡上市公司占一席之地,况且新加坡投资者对依斯干达特区有极大兴趣。

根据备忘录,耀贝多和Temasya Cergas希望能在8月杪前达成具体买卖协议,但不排除把时效日期延后。

据《联合早报》报道,5片土地价值预估高达30亿令吉,地段坐落在柔佛振林山(Gelang Patah),皆是永久地契,最大一幅是工业兼商业综合地段,其余四幅都是结合商业和住宅的综合地段。

耀贝多表示,集团传统的钢材业务正面对激烈竞争和需求疲弱的困境,导致盈利能力被显著侵蚀,业务前景堪忧,而通过收购地段,集团将能涉足新领域,并为股东创造更多价值。[南洋网财经]

丽阳否认卖Tropicana City Mall

根据媒体引述消息报道,大马凯德产托(CMMT,5180,主板产业信托股)有意收购Tropicana City Mall及同区内的一栋办公大楼。

传凯德产托觊觎

对于上述传言,分析员持观望态度,认为除非价格及回酬诱人,否则主力在零售商场的大马凯德产托或会考虑其他目标。

达证券研究分析员回应《南洋商报》询问时指出,在东海岸广场收购案后,大马凯德产托不断寻找具有升值潜质的房地产,公司并购焦点仍集中在零售商场,对办公大楼则兴趣不大。

他说,大马凯德产托有意收购丽阳机构旗下的商场及办公楼产业消息,确实让市场感到意外,因这样的组合并不符合该公司的收购条件。”

麗陽4.5%股場外交易

(吉隆坡23日訊)麗陽機構(TROP,5401,主要板房產)今日約5000萬股,以1.71令吉在場外交易。

根據馬股數據顯示,這批股票佔該公司麗陽機構11億200萬股繳足資本的4.5%。

麗陽機構今日窄幅波動,開市時,先揚1仙至1.72令吉,較后由勝轉衰,跌1仙,報1.70令吉;休市平盤收在1.71令吉,截至4時半報1.70令吉,跌1仙。

麗陽機構早前宣布,將私下配售1億2920萬新股,以籌措1億9861萬令吉至2億3902萬令吉的資金,以作收購土地之用。[中国报财经]

Trop 的财报出了。。。 奇怪的是, 为什么 revenue 起 200%, profit 却这么少, 只增加 12%? 有点失望的说。。。

收購柔18地段 麗陽機構擬發展總值64億計劃

(吉隆坡13日訊)麗陽機構(TROP,5401,主要板房產)子公司Tropicana Desa Mentari私人有限公司以3億6655萬令吉,收購埔萊18片佔地約103.82公頃土地。

該公司向馬證交所報備指出,Tropicana Desa Mentari私人有限公司与Lee Pineapple私人有限公司,針對土地收購活動簽買賣協議。

上述土地計劃用以進行綜合型房產發展,預計發展總值(GDV)約64億令吉,但目前仍屬初步計劃階段。

麗陽機構有意通過內部融資及銀行貸款,為收購土地和發展成本集資,不過實際融資架構有待公司管理層決定。

同時,上述土地收購活動符合麗陽機構增加地庫計劃,尤其是在柔佛地區,供未來房產發展及投資活動。[中国报财经]

陈志成倒置收购新加坡公司

(吉隆坡20日讯)本地企业家丹斯里陈志成將会把旗下的部分物业资產转移到新加坡上市公司--Albedo有限公司,以取得后者的控制性股权。

Albedo有限公司是钢铁铸造的运营商。该公司今天在新加坡交易所发文告指出,计划以7亿7410万新元(约20亿令吉)向Infinite Rewards公司,收购Reflections Oasis公司。Infinite Rewards公司的大股东是陈志成。       

Albedo有限公司是以发新股的方式进行以上的收购,即该公司將发行345亿5000万新股予InfiniteRewards公司,每股发售价约0.0224新元(约0.057令吉)。完成以上交易后,陈志成將通过Infinite Rewards公司持有Albedo有限公司的95%股权。

在充满挑战和竞爭环境日益升温,加上钢铁相关原材料需求疲软的情况下,Albedo有限公司为了避免赚幅被侵蚀,而寻求將其业务扩展至產业发展。

根据文告,隨著收购Reflections Oasis公司,Albedo有限公司將在大马的依斯干达(Iskandar)特区购买七幅总值27亿令吉的地皮,同时,另两幅佔地约233英亩的地皮正在洽商中。

陈志成是吉隆坡產业发展商--丽阳机构(TROP,5401,主板產业股)的大股东兼执行副主席,同时也是成大马企业家丹斯里陈志远的胞弟。[东方日报财经]

(吉隆坡29日讯)由于双方无法达成协议,大马凯德产托(CMMT,5180,主板产业信托股)今日宣布,决定不向丽阳机构(TROP,5401,主板产业股)收购旗下的Tropicana City Mall商场及Tropicana City办公楼。

大马凯德产托今日发文告指,双方无法在买卖协议上的条件达成共识,所以决定不收购有关产业。

早前,大马凯德产托获得丽阳机构子公司———Tropicana City私人有限公司发出的意向书,以探讨收购丽阳机构位于八打灵再也市镇的两项产业。

第一项产业是4层的购物广场———Tropicana City Mall及3层的停车场。

第二项产业则是12层的办公楼,名为Tropicana City办公楼。[南洋网财经]

We refer to our announcement dated 23 August 2013 ("Announcement"). For consistency purposes, the abbreviations used in this announcement are the same as those previously defined in the Announcement unless otherwise defined herein.

We wish to inform that as TCSB and CMMT are unable to conclude on the terms of the sale and purchase agreement in relation to the Proposed Disposal, both parties have mutually agreed not to pursue further with the Proposed Disposal on even date.

As such, the LOI is terminated as at the date of this announcement.

我们对于双方无法达成协议感到有一些失望,因为脱售计划告吹将打击丽阳机构的减债活动。

该公司在收购蒲莱土地257英亩后,达0.8倍的高负债率,可能要维持一段较长的时间。

无论如何,我们相信丽阳机构会积极寻新买家,不过交易可能要到2014/2015年才成形。

我们将维持该公司收益预测、评级和目标价格。但由于该公司工程高度专注于高楼工程,加上负债率较该领域平均0.7倍高,给予其实际净资产价值(RNAV)50%折价。

另外,基于该公司管理层积极主动、地库地点策略,及股价便宜,我们看好丽阳机构。
