(吉隆坡14日訊)麗陽機構(TROP,5401,主板產業組)宣佈晉升兩位高級管理人員,其中拿督陳永隆從集團董事經理轉升副集團首席執行員,而洪文俊從副集團董事經理升任集團董事經理。

委2董事經理

該集團也委任郭光政為集團董事經理,從2014年3月14日起生效。

麗陽機構創辦人兼集團執行副主席丹斯里陳志成表示,晉升陳永隆和洪文俊是合時及配合集團的策略轉型計劃以加速成長和釋放集團資產和地庫的價值。再加上拿督游國成於去年1月加盟出任集團首席執行員,以及新委任郭光政,將繼續推動該公司轉型成為大馬首要發展商之一。

現年32歲的陳永隆為陳志成的兒子。

郭氏在東盟金融服務業有逾23年經驗,並在聯昌銀行集團任職逾10年,最後擔任聯昌期貨公司主席。

(吉隆坡19日訊)麗陽機構(TROP,5401,主要板房產)基于重大宣布,向馬證交所報備,將在今日暫停交易半天。

報備文件指出,配合重大事項宣佈,該公司將于今日從下午2時半停牌至下午5時。

不過,在這之前,麗陽機構股價過去兩個交易日,呈現攀升格局。

週一(17日)當天,該股全日微揚1仙或0.76%,收市報1.33令吉,成交量達77萬4400股;昨日則收在1.38令吉,漲5仙或3.76%,全日交易達204萬6300股。

麗陽機構今早開市先微揚2仙至1.40令吉,隨后節節走高,停牌前最后報1.43令吉,揚5仙,半日交投588萬9700股。

(吉隆坡19日讯)丽阳机构(Trop,5401,主板產业股)宣布以4亿7067万令吉,將一片308.72英亩,在巴生谷南部的土地,脱售予绿盛世(Ecowld,8206,主板產业股)。        

两家公司今日午盘双双暂停交易,以作出有关的宣布。双方今日签署协议,有关交易预计將在今年下半年完成。

丽阳机构指出,这是该公司在去年4月买入的丽阳阿曼(前称运河城)1172英亩土地的一部份。脱售价大约相等於每平方尺35令吉,预计將为该公司带来大约1亿7000万令吉的净收入,並將对该公司2014年12月31日结账的財政年,带来每股12仙的盈净利贡献。

丽阳机构副执行主席丹斯里陈志成指出,「作为丽阳阿曼的主发展商,这项交易的关键在於,我们可以引入能够与我们互补的发展商,为这社区带来新的活力。」

释放地库价值

他也指出,这项脱售行动也是丽阳机构转型策略下,释放大型地库价值,及將资產套现以改善公司资產负债表的行动之一。

「在改善盈利之余,脱售土地带来的现金收入,也將加强公司的实力,並在中长期內持续成长。」

丽阳阿曼发展项目位於巴生南部走廊,距离吉隆坡市中心大约40公里,周遭的城镇计划包括布特拉高原,哥打甘文寧,这地区以及兴建中的Rimbayu城镇,以中高收入家庭为主。丽阳阿曼发展计划预计在2014年第3季推出,当中项目包括有地房產,发展总值达7亿7000万令吉。

绿盛世总裁兼首席执行员拿督曾建华则表示,这项收购行动符合该公司寻找好的机会填补地库,以在主要成长地区继续扩充营运的策略。

他也指出,这片土地除了地点优越以外,也是一片已经获得发展令的土地,让该公司可以在完成收购之后,即投入发展。

此外,该公司预计將在这片土地进行总值80亿令吉的住宅及商业发展项目。

「这將是巴生谷,第一项拥有绿盛世品牌的城镇发展。」这项计划预计將在2014年底之前展开,有关计划的发展期限预计为8年。

陈志成停止注入土地 倒置收购耀贝多告吹?

(吉隆坡19日讯)消息人士透露,丽阳机构(TROP,5401,主板产业股)执行副主席丹斯里陈志成将终止把私人拥有的柔佛土地,注入新加坡上市公司耀贝多(Albedo),原定的倒置收购计划告吹。

《星报》引述消息人士报道,陈志成和耀贝多大股东因无法达成共识,所以将取消该项计划。

消息人士解释:“陈志成想要把土地注入耀贝多后得到现金。

无论如何,他未放弃,还有很高的机会将利用另一方式来整合他本身在柔佛所拥有的土地。”

早前,陈志成通过所掌控的TemasyaCergas私人公司,建议以售地换股的方式,倒置收购耀贝多。

且耀贝多与Temasya Cergas私人公司签署了备忘录,以收购后者在依斯干达区的规模约762英亩的土地。

同时,耀贝多原本计划发新股予陈志成,让他成为耀贝多大股东。

上述土地坐落在柔佛振林山(GelangPatah),莱坊(KnightFrank)估计,截至去年8月30日,该土地市值约为27.1亿令吉。【南洋网财经】

債券轉換擴大股本 券商下修麗陽機構財測

(吉隆坡20日訊)隨著丹斯里陳志成早前將麗陽機構(TROP,5401,主要板房產)可贖回可轉換無擔保債券(RCULS)轉換為新股,券商預計將稀釋每股盈利估值,使艾芬投資銀行下修合理價。

麗陽機構昨日宣布脫售土地,分析師對脫售收益進行考量后,上調2014財年淨利預測達74%,並將每股盈利上修35.2%,但分別下調2015和2016財年每股盈利預測15.2%和4.9%。

這是基于陳志成在3月初將3億6100萬令吉RCULS,轉換成2億7800萬股新股后,促使公司股本擴大25.6%。

這會降低RCULS總數至7630萬令吉,胥視轉換期限,估計可轉換成5090萬至5870萬新股。

考量更大股本對每股盈利影響,艾芬投銀把麗陽機構目標價,從3.64令吉下修至3.61令吉,以反映脫售資產收益和轉換RCULS影響,但維持“買進”評級。

麗陽機構早盤以1.47令吉開市,最高一度揚至1.49令吉,休市平盤報1.43令吉。該股在午盤呈窄幅波動,最后以1.43令吉平盤掛收,成交量達715萬8600令吉。【中国报财经】


售地引进发展伙伴 丽阳顺利减债受看好

(吉隆坡22日讯)丽阳机构(TROP,5401,主板产业股)成功售地,不但引进发展伙伴,更顺利降低负债,获分析员看好象征2014年的好开始。

艾芬投行研究分析员看好该售地行动,相信丽阳机构可从中获利1.7亿令吉,有助减少集团的净负债率,旗下资产也成功兑现。

丽阳机构早前宣布,将脱售Tropicana Aman(前称Canal City)约308.72英亩土地,给绿盛世(ECOWLD,8206,主板产业股)。

分析员指出,绿盛世如今成为TropicanaAman计划的发展伙伴,可进一步提升整体计划的形象。

不过,兴业研究分析员认为,丽阳机构完成售地后,净负债率极可能维持0.55倍不变,这主要是丽阳机构仍需要约5亿令吉的资金,收购柔佛振林山(Gelang Patah)和Senibong Cove的土地。

他维持丽阳机构的盈利预测,但纳入售地因素,稍微调升目标价,从2.19令吉提高至2.27令吉。

明后两年财测下修

完成售地后,丽阳机构仍持有Tropicana Aman计划约440英亩发展地段,发展总值料高达130亿令吉。

艾芬投行研究分析员上调集团2014财年净利预测74%,但下调2015至2016财年每股盈利预测,分别降低15.2%及4.9%。

他点出,大股东丹斯里陈志成今年3月初,把3亿6100万令吉的可赎回可转换债券股(RCULS),转为称2亿7800万股新股,促使缴足股本增加。

8.4亿向雪政府买地 传丽阳同意加速付款

(吉隆坡29日讯)消息称,丽阳机构(TROP,5401,主板产业股)正和雪州政府就早前的地皮交易洽谈,冀在付款方面达成友好的解决方案。

丽阳机构是在去年向雪州政府旗下的雪州投资机构(PNSB)购入一片面积达1172英亩的地皮。

PNSB与丽阳机构子公司Sapphire Index于2013年4月签署合约,该公司须在20年内提供最低13亿令吉的回酬给州政府。

《The Edge》财经周报引述消息来源报道,鉴于雪州政府的要求,丽阳机构或同意加速支付金额的速度。

雪州政府在上周要求丽阳机构加速支付8亿4420万令吉的收购金额予州政府,这笔金额是根据该1172英亩地皮的净现值(NPV)计算所得。

雪兰莪州务大臣丹斯里卡立依布拉欣当时表示,丽阳机构将上述1172英亩地皮中的308.72英亩,脱售予绿盛世(ECOWLD,8206,主板产业股)成功获利,雪州政府自然也不落人后。

与其等待20年后才获得潜在的13亿令吉,雪州政府现在就放眼从丽阳机构获得8亿4420万令吉的脱售金额。

分析员看好双方将尽最大努力达成友好的解决方案。

“对丽阳机构而言,该公司将不会想要与州政府持续长久的论争,因其任何的发展计划都需要先得到州政府的批准。”

分析员补充,在最糟糕的情况下,丽阳机构或会动用售地所得,加上贷款及变卖其他资产,以支付8亿4420万令吉给州政府。【南洋网财经】

資產變現減債‧麗陽評級下調

(吉隆坡9日訊)麗陽機構(TROP,5401,主板產業組)將續將資產變現以進行減債活動,惟大華繼顯研究(UOB Kay Hian)因該公司近期股價飆升而下調其評級。

大華繼顯表示,該公司的資產變現策略依然完好,最近的行動是脫售部份Canal City土地予Eco World。

“我們預見該公司在未來將推動更多的減債活動,以大規模減輕其高債務的財務狀況,而該公司截至去年末季的負債比為0.55倍。”

大華繼顯最近在與管理層進行簡短討論時獲悉,雪州政府在脫售Canal Citu土地事項提出新的建議,即讓麗陽機構以淨現金值8億4千400萬令吉的價格購買該地,而非13億令吉,且可分期在20年內付清。

“雖然如此,在沒有任何文告公佈的情況下,我們相信該公司仍未接獲任何提議。”

該行指出,麗陽機構的資產變現行動仍會繼續,其中一相策略就是將較小幅的土地變現並專注在主要發展計劃。

“該公司在去年也已經脫售旗下位於巴生河流域和柔佛依斯干達的7幅土地並獲3億3千900萬令吉款項。”

大華繼顯研究給予麗陽機構“守住”評級,目標價為1令吉74仙。(星洲日報/財經)

1亿造路通大道 丽阳提升產业价值

(吉隆坡15日讯)丽阳机构(Trop,5401,主板產业股)將以1亿零600万令吉兴建一条链接该公司Tropicana Metropark项目与联邦大道的公路,这不但方便这地区的住户及提高產业的价值,也利惠周边的居民。       

丽阳机构今日正式推出Tropicana Metropark第二阶段的PALOMA服务公寓塔楼B,並且將建设从该地区通至联邦大道(Federal Highway)的行车天桥来提高当地的交通便利。

PALOMA服务公寓的目標市场主要是中高档收入的家庭以及年轻夫妻。

丽阳机构首席执行员拿督游国成表示,梳邦一带是成熟社区,有许多三代同堂的家庭,隨著这些家庭的年轻人口开始组织本身的家庭,他们仍会倾向於寻找比较靠近的地区落地生根,而丽阳机构旗下的Tropicana Metropark计划正是为迎合这类的需求而建。除此之外,该公司也提供各种的贷款配套,吸引年轻人购买PALOMA服务公寓。

丽阳机构將会在Tropicana Metropark建设一条通往联邦大道的行车天桥,该工程今日正式交由JEMERLANG建筑私人有限公司负责。

行车天桥的工程將耗资1亿零600万令吉,该公司將通过银行贷款和內部资金进行融资。

游国成指出,天桥完工后,不但可以带旺Tropicana Metropark地区,並且有利於USJ以及梳邦再也的居民。

另外, 以第一阶段推出的PANDORA服务公寓,取得90%以上认购率为参考,该公司保守估计PALOMA服务公寓塔楼B的认购率至少可以达到70至80%。塔楼B的248个单位已经公开发售,共有三种不同概念来迎合不同的市场分类。

Tropicana Metropark共分5个阶段进行,隨后的阶段將在明年展开,预计在2017年完工。而行车天桥预料在2014年下半年动工,並於2016年完工以及开始运作。【东方网财经】

該公司曾於2011年10月7日宣佈透過子公司Ace Rhythm私人有限公司簽署兩項買賣合約,以收購合計約1英畝,位於吉隆坡蘇丹依斯邁路的3幅發展土地。

惟該公司如今發文告表示,鑑於賣家無法獲得高庭的同意,導致合約中的第2和第1項條件無法實現,最終在雙方的一致同意下終止該項土地買賣合約,但預計並不會對公司未來盈利帶來顯著的影響。(星洲日報/財經)

- TERMINATION OF PROPOSED LAND ACQUISITIONS
Unless otherwise defined in this announcement, all terms used herein shall have the same meaning as those defined in the announcement dated 7 October 2011.

We refer to our announcement dated 7 October 2011 in relation to the subject matter where Ace Rhythm Sdn Bhd (then, a 99.99%-owned subsidiary of Tropicana and now, known as Tropicana KL Development Sdn Bhd and is a wholly-owned subsidiary of Tropicana) entered into two sale and purchase agreements to purchase three parcels of freehold development land along Jalan Sultan Ismail in Kuala Lumpur, measuring approximately one acre.

As the Vendors to the SPA 2 were unable to obtain an order of sanction from the High Court for the approval of SPA 2, the Conditions Precedent 2 and consequently the Conditions Precedent 1, cannot be fulfilled.

Pursuant thereto, the Board of Directors of Tropicana wishes to announce that the parties namely ARSB and (i) GPY (Holding) Sdn Bhd (for SPA 1) and (ii) the Vendors (for SPA 2) have agreed to terminate the SPAs and the parties to be restored to their original positions pursuant to the terms of the SPAs.

The termination of the Proposed Land Acquisitions is not expected to materially affect the future earnings of the Company.
