防债主采取行动
一家面获高庭禁令
2016年9月16日
（吉隆坡15日讯）PN17公司一家面（EKA，7182，主板消费产品股）获得槟城高庭，颁发长达90天的禁令，防止任何单位对该公司或子公司采取行动。
该公司向马交所报备，这项禁令于上周五（9日）生效，禁止任何单位，包括债权人，对该公司和旗下8家子公司采取行动。
由于股东基金少于缴足股本的25%，且次季的股东基金少于4000万令吉，一家面因而陷入PN17，也导致该公司无法偿还欠款。
该公司指出，向法庭申请禁令的目的，是要让该公司可与债权人召开会议，以达成解决方案。【e南洋】

On 30 August 2016, EKA announced that it is an affected listed issuer as the Company had triggered Paragraph 2.1 (a) of Practice Note 17 of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad as the Company’s shareholders’ equity on a consolidated basis is 25% or less of the issued and paid-up capital of the Company and such shareholders’ equity is less than RM40.0 million in the Company’s unaudited interim financial results for the 2nd quarter ended 30 June 2016.
As a result, the EKA Group is unable to comply with its repayment obligations and the Order was applied for and in order to facilitate the EKA Group to convene a meeting with its creditors pursuant to Section 176(1) of the Companies Act, 1965 for the purposes of taking into consideration and, if considered fit, to approve with or without any alteration or modification, a proposed scheme of arrangement and compromise for the EKA Group. Full details of the proposed scheme of arrangement will be contained in an Explanatory Statement which will be issued to the scheme creditors in due course.
The EKA Group also given the liberty to hold its meeting with its member(s) pursuant to Section 176(1) of the Companies Act, 1965 for the purposes of taking into consideration and, if considered fit, to approve with or without any modification of the proposed scheme.
The Order is not expected to have any material impact on the financial and operational matters of EKA Group as the Order is to solely facilitate the EKA Group’s scheme of arrangement.

一家面第三季净亏扩大

（吉隆坡1日讯）3个月前被列入PN17的一家面（Eka Noodles Bhd），第三季净亏由上财年同期的165万令吉，或每股0.53仙，扩大至590万令吉，或每股2.64仙。
该集团今日向大马交易所报备，截至9月杪第三季营业额下跌50.3%至633万令吉，同期是1273万令吉。
第三季的行政开销为380万令吉，高于同期的108万令吉。
该集团在首9个月净亏1453万令吉，或每股4.66仙；营业额达2194万令吉。

一家面大股东要罢免董事部
2017年1月4日
（吉隆坡3日讯）PN17公司一家面（EKA，7182，主板消费产品股）持有不少于10%股权的挑战派大股东，寻求召开股东特别大会，罢免主席兼独立非执行董事拿督苏海米和其他董事。
一家面今天向马交所报备，列出挑战派的名单，包括共持有超过11.92%的凯利拉鲁尔、刘忠凯和方毅明（皆译音），以及其他没有持有一家面股权的梁伟宏、林俊凯、陈苏燕（皆译音）和拿督陈耀星。
除了苏海米外，挑战派也寻求罢免现任执行董事阿末扎菲、独立非执行董事余毅阳（译音）和拉惹纳兹里，以及其他在去年5月26日，即最近的股东常年大会上获得委任的董事成员。
拥8.97%股权
同时，凯利拉鲁尔寻求委任自己为公司主席兼非独立非执行董事一职，以及委任其他五人担任董事成员。
然而，寻求罢免现任股东的挑战派，并没有在信函中提及罢免理由。
目前，凯利拉鲁尔通过Vibrant Class有限公司（简称VC公司），间接持有一家面的2800万股或8.97%股权；而刘忠凯和方毅明，分别持有205万8000股和712万5700股。
根据大马交易所的资料，凯利拉鲁尔是在去年12月14日，通过VC公司于场外交易，一口气购入2800万股，成为大股东成员。【e南洋】

一家面董事部同意2月6日召开特大

（吉隆坡9日讯）一家面（EKA Noodles Bhd）指出，董事部已同意于今年2月6日召开股东特别大会（EGM）。
这是董事部召开会议，以讨论和考虑2月6日的特大是否合法后作出的决定。
一家面向大马交易所报备说：“在不损害公司及股东权利的情况下，并根据良好的企业监管精神，董事部决定公司将定于2月6日召开特大，以考量（包括但不限于）申请人通过股东通告提出的议程。”
该收购补充说，特大通告将按照相关规定发给股东。
尽管如此，一家面表示，已聘请其律师Messrs Lim, Chong, Phang & Amy提供法律咨询。

一家面挑战派冀转盈
拟开特大罢免数董事

（吉隆坡9日讯）PN17公司一家面（EKA，7182，主板消费产品股）挑战派代表指出，他们提出召开股东特别大会，罢免部分现任董事成员，目的是为了让公司回到持续增长的轨道上。
挑战派成员之一方毅明（译音）接受《The Edge》访问时指出，挑战派希望能够让面临亏本的一家面，回到可持续发展道路上，因此才会一同提出召开股东特大。
方毅明指出：“有员工投诉公司拖欠他们的薪资，但我们在向董事部咨询相关情况时，他们竟然不了解详情，因此我们认为，是时候要为公司的发展做一些事。”
根据报道，方毅明补充，在这项提议中，挑战派没有怀着不良意图，他们只是希望能够将公司从窘境中救出。
“我们没有计划罢免现任的董事经理。实际上，有些董事成员仍深受尊敬。”
陷PN17行列
一家面是一家米粉和西米棍制造商。在去年9月初，由于股东基金少于缴足股本的25%，且次季的股东基金少于4000万令吉，因此被列为PN17公司。

一家关闭2子公司

（吉隆坡12日讯）PN17公司一家（EKA,7182，主板消费股）宣布，旗下的Kilang Bihun Bersatu私人有限公司（KBBSB）和一家食品私人有限公司，將关闭工厂和停止营运。
据文告，一家管理层是基于KBBSB和一家食品在过去均蒙受亏损，加上短期內不会有所好转，而选择暂停2家子公司营运。同时，该公司也將通过变卖KBBSB资產，释放潜在价值，並用以偿还2家公司债务。
整体而言，此次停止营运將有96名员工受影响，而初步估计，员工遣散费和其他相关成本料达69万令吉。
缩减亏损
完成计划后，该公司预计每月可节省20万令吉的成本，以及每年约840万令吉的利息成本。
以2015財政年（12月31日结账）业绩为准，上述计划有助把一家税后亏损从原本的1491万令吉，缩减至1223万令吉。
同时，该公司每股净资產和净负债率也预计改善至4.8仙和4.39倍，原为4仙和5.33倍。【东方网财经】

欠債至少千萬 傳有新買家接手一家麵

（吉隆坡13日訊）昨日宣佈關閉兩家米粉廠的一家面（EKA，7182，主要板消費），據悉對外拖欠至少千萬令吉，且已經找到買家接手所有業務，等待易主！
一名同樣從事米粉生意的業者指出，市場盛傳一家面欠債，吉打廠已停止運作。
“米粉界很小，全馬就只有20幾間工廠，消息傳得很快。不過也因為這樣，我們現在的生意也多了起來。”
消息指出，一家面已確定全售公司，公司老闆就要換人做做看。
“他們在等新老闆進來。”
另一消息來源則指出，一家面至今對外拖欠供應商高達2000萬令吉的金額！
一家面昨向馬證交所報備，其吉打州華玲米粉廠將在本月18日結束營運。兩家停廠公司分別是統一米粉製造廠私人有限公司和EKA Foodstuff私人有限公司。
2月6日開特大
此外，一家面較早前收到罷免董事的提案，並于週一（9日）公告，將針對此事暫定于2月6日召開特別股東大會，且不排除增加議程。
一家面在本月3日宣布，Vibrant Class與公司其他股東，即劉忠凱（譯音）和馮益銘（譯音）致函通知，指共持有公司至少10%股權的股東，尋求召開特大罷免4名董事，並委任7名新董事，其中就包括拿督陳耀星。
一家面董事經理拿督斯里秦祥發並不在罷免董事名單內，他同時是一家面最大股東。
東馬公司等待指示
記者根據一家面網頁上的電話逐一探詢，多數已經聯絡不上，僅得到統一米粉製造廠（東馬）私人有限公司行政人員的回應指稱，當地已停止運作。
該員工指出，並未收到任來來自總公司關廠指示，但是該廠實際上已停止運作，目前也只有行政人員到廠上班。
週四報備18日結束營運的統一米粉製造廠，則無人接聽電話。
