（吉隆坡10日讯）PN17公司一家面（EKA，7182，主板消费产品股）将恢复2家面对亏损子公司的运作，并预计白米及米粉厂下月重新投入运作。

该公司1月12日宣布关闭该些厂房，导致旗下两家子公司约96名雇员失业。

一家面昨日向交易所报备，独资子公司EKA Foodstuff私人有限公司昨日已恢复营运，Kilang Bihun Bersatu私人有限公司也将于下月全面恢复运作。

陈坤海晋大股东

同时，丹斯里陈坤海，连同西蒂萨其拉与陈惠伦（译音），晋身为一家面大股东。

值得注意的是，陈坤海是家具制造商SWS资本（SWSCAP，7186，主板消费产品股）执行主席丹，也是麻坡万利集团（MBL，5152，主板工业产品组）执行董事兼财务总监，和遍视利（PENSONI，9997，主板工业产品股）执行董事。

同时，他是一家面执行董事方毅明（译音）的岳父。

陈坤海于8日才被委任为一家面非独立非执行主席。

根据交易所文告，他是通过Vibrant Class有限公司，间接持有19.65%股权，崛起成为一家面大股东。

主席和执董上月辞职

另外，上周三（3日），该公司才宣布，独立非执行主席拿督苏海米沙哈丹和执行董事拿督斯里秦祥发，一同辞职。

一家面向交易所报备，苏海米和秦祥发，都是以本身有其他个人业务为由，分别辞去独立非执行主席和执行董事一职。

去年12月，凯利拉鲁尔通过Vibrant Class及刘忠凯和方毅明，试图罢免董事部成员。

据了解，秦祥发并不在当时的罢免名单中。

然而，今年1月31日，一家面撤回已发出的特别通知及股东特别大会通告，但没说明原因。

被点名罢免的其他3位董事，包括执行董事阿末扎菲、独立非执行董事余毅阳（译音）和拉惹纳兹里，在取消特大后相继辞职。

同时，由Vibrant Glass提名的其他4人担任公司新董事成员，分别是梁伟宏、方毅明、林俊凯（皆译音）和拿督陈耀星。

The relationship between Rasayang Food Industries Sdn Bhd and Dato’ Khor Wooi Chen (“Dato’ Khor”) with the Company. Dato’ Khor is a guarantor as stated in the claim on the Civil Suit filed by MSM. 3. MSM is claiming overdue rental from Rasayang and losses and damages in regards to the Property since Rasayang has ceased to operate and manage the Property. Henceforth MSM is claiming an injunction from the Court to stop the Rasayang from selling, transfer or manage the Property. 4. Details of the event / circumstances leading to the filing of the Civil Suit by MSM. MSM has bought a property known as Lot 50 and 51 , Pekan Semeling, Daerah Kuala Muda , Kedah (“Property”) from Mr Ong Khong Heng (“Original owner”), who previously has leased the Property to Rasayang to build a vermicelli factory. MSM then entered into a leasing agreement with Rasayang to lease the Property for a period of 10 years. Subsequently MSM has also entered Tri-party agreement between Dato’ Khor and the Original owner to govern their relationship for same Property. Among others, the terms for leasing agreement that the Property is in good condition. MSM claimed that the Property’s condition is not acceptable. 5. The financial and operational impact of the Civil Suit on the Group. The Board is in the view that there will be no financial and operational impact of the Civil Suit on the Group. 6. 一家面拟全购米粉商KBB

（吉隆坡9日讯）PN17公司一家面（EKA，7182，主板消费产品股）考虑收购“BIHO”品牌的米粉制造商Kepala Batas Bihun私人有限公司（KBB）全数股权，作为重组计划的一部分。

一家面向交易所报备，公司已与卖方签署暂定协议，将洽谈及敲定收购KBB全数股权，相等于550万2股的协议。

暂定协议长达60天，让公司可进行精密审核，及决定是否要进行收购。

一家面指出，收购活动是重组公司财务计划之一，且预计与制造及营销所有米粉类的现有业务相辅相成。

同期营业额跌60.6%，报208万7000令吉。

累计上半年，亏损按年收窄至499万6000令吉，营业额锐减86.3%，报214万2000令吉。

一家面次季营业额剧跌，归咎于该公司仅有两家子公司恢复运作，且当季只录得两个月共209万令吉的销售。

不过，一家面成功扭转劣势，次季税前盈利达33万令吉，归功于大幅降低的销售成本、行政开销和经销费用等。

另外，一家面当季也获得75万令吉火险赔偿金。

目前，该公司仍在重组中，并已恢复两家子公司的营运。

一家面遭起訴索賠逾450萬

（吉隆坡31日訊）一家面（EKA，7182，主要板消費）和旗下統一米粉製造廠私人有限公司于10月27日接獲檳城高庭傳令，遭農業銀行（Bank Pertanian）起訴並索回318萬3860.21令吉和133萬6666.01令吉。

根據一家面的馬證交所報備文件，農業銀行在伊斯蘭銀行計劃下，向統一米粉製造廠發出融資，一家面為后者擔保人；統一米粉製造廠已違約。

除了上述金額，農業銀行另也求償253萬9949.41令吉，以及相關成本和利息。

這起訴訟將在11月10日開庭，統一米粉製造廠已委託律師為其辯護。

蜆殼向統一米粉廠 追討4.5萬燃油費

（吉隆坡7日訊）一家面（EKA，7182，主要板消費）旗下統一米粉製作廠私人有限公司（Kilang Bihun Bersatu）接獲喬治市法庭發出的傳票和索賠陳述書，以追討4萬5375令吉款項和相關利息。

該公司向馬證交所報備，蜆殼大馬貿易私人有限公司在合約條款中，提供蜆殼汽油特惠卡（Fleet Card）給統一米粉廠的車隊。

截至2016年底，統一米粉廠以汽油特惠卡在國內各家油站添購總額4萬5375令吉的燃油。蜆殼大馬貿易通過律師發信索取這筆款項，唯統一米粉廠未能或拒絕支付有關款項。

這使蜆殼大馬貿易通過法律途徑，向統一米粉廠追討4萬5375令吉款項、最后一張發票的1%利息、4萬5375令吉的5%利息，其他成本和法庭下判的減免。

雖然上述傳票未對一家面帶來營運或財務影響，但統一米粉廠或需支付索賠、利息和法律開銷，目前已委任律師處理。【中国报财经】

KBBSB is required to enter appearance to the above action within 14 days from 07 December 2017, failing which, default judgment may be entered against KBBSB. The said action had been fixed for Mention on 05 January 2018 at Magistrates Court of Georgetown. Further to the announcements dated 8 August 2017, 3 October 2017 and 8 January 2018, M&A Securities Sdn Bhd, on behalf of the Company wishes to announce that the Company had on 27 February 2018, entered into a conditional share purchase agreement (“SPA”) with Loo Seng Pang, Tai Poh Yak, Ang Eng Hooi, Phnuah Farn Farn, Ang Jin Mao and Dato’ Seri Mr Serm Juthamongkhon (collectively, the “Vendors”) to acquire the entire issued share capital in Kepala Batas Bihun Sdn Bhd (“KBB”) comprising 5,500,002 ordinary shares in KBB for a purchase consideration of RM55,000,000 to be satisfied in part by cash payment of RM33.0 million and RM22.0 million via the issuance of 440,000,000 EKA Shares (“Consideration Shares”) to the Vendors and/or their nominees at an issue price of RM0.05 per ordinary share in EKA (“Proposed Acquisition”). The Proposed Acquisition is a component of a series of proposals set out in the SPA, to regularise the financial condition of EKA (i.e. the “Proposed Regularisation Plan”), with the intention of restoring EKA onto a stronger financial footing. Pursuant thereto, the Proposed Regularisation Plan shall comprise the following:- (a) Proposed Capital Reconstruction; (b) Proposed Debt Restructuring Scheme; (c) Proposed Rights Issue with Warrants; and (d) Proposed Acquisition.
