We refer to your Company’s announcement dated 3 October 2023, in respect of the aforesaid matter.
In this connection, kindly furnish Bursa Securities with the following additional information for public release:-
1) Please disclose the breakdown of each acquisition (in the following format) that resulted in INNOSABAH acquired a total of 160.58 million shares in BAHVEST during the period from 29 November 2022 to 2 October 2023 for a total cash consideration of RM43.73 million (“Acquisitions”)

Based on the above information, please confirm the date INNOSABAH emerged as the major shareholder of BAHVEST and disclose the computation of percentage ratio of the acquisition at that material point in time pursuant to Paragraph 10.02(g) of the Main Market Listing Requirements (“LR”).
2) Taking into consideration the total cost of the entire Acquisitions and the Disposals, please disclose the current market value of the 12.22% equity interest held by INNOSABAH in BAHVEST and whether KRETAM incurs any gain or loss in its book.
3) To disclose the principal business operation and summary of the 3 years audited financial information and the latest management account of KRETAM and management commentary of the financial performance of KRETAM and further elaboration/justification on why KRETAM is keen to diversify into the gold mining business of BAHVEST, by taking into consideration the business operation and financial performance of BAHVEST.
4) To provide the background information of the litigation/dispute between Bahvest’s Wullersdort Resources Sdn Bhd and Southsea Gold Sdn Bhd and latest updates on the litigation/dispute. Given that such litigation/dispute is stated as a risk factor, please provide details of the measure/action taken or to be taken to mitigate the risk.
5) To disclose Datuk Freddy Lim’s shareholdings and/or directorship in both KRETAM and BAHVEST. In this respect, please also disclose the shareholdings and/or directorship held by the persons connected to Datuk Freddy Lim (pursuant to the definitions in the LR) in both KRETAM and BAHVEST.
6) Based on the information from items 1 and 5 above, please confirm and disclose whether the shareholders’ approval of KRETAM is required to be sought for the Acquisitions in accordance with Chapter 10 of the LR.
