Pursuant to Paragraph 10.06 of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad (“MMLR), the Board of Directors of Kimlun (“the Board) wishes to announce that on 27 December 2017, its indirect wholly owned subsidiary, Kiiville Sdn Bhd (1251139-P) ("KVSB" or “Purchaser”), has entered into a sale and purchase agreement (“Agreement”) with Mah Sing Properties Sdn Bhd (264979-M) (“MSPSB” or “Vendor”) to purchase all that piece of freehold commercial land held under HS(D) 508921 PTD 185266, Mukim Pulai, Daerah Johor Bahru, Negeri Johor with land area of approximately 20,836.30 square meters (“Land”) from MSPSB for a total cash consideration of RM14,245,867.00 (“Purchase Consideration”).

金轮企业(KIMLUN,5171,主板建筑股)以总值3607万5168令吉,从马星集团(MAHSING,8583,主板产业股)手中收购两块柔佛土地,计划兴建商业产业。

这两块土地面积,分别为约2亿836.30平方米的商业永久土地,及17.90英亩的农业永久土地。

行家建议

鉴于收购时间漫长,我们中和看待这项最新收购,因为我们预计该公司会在2020财年才开始发展,届时开始贡献。

除非金轮企业决定早日结束,否则我们预计这项交易会在2020年末季才会完成。

土地评估对发展总值比例为10-15%,我们预计这两块土地的潜在发展总值,介于2亿4000万至3亿6000万令吉的范围。

而该公司的净负债水平,将从截至第三季的0.06倍,增至0.12倍,仍处于可管理水平。

因此,我们认为,该公司未来会继续在柔佛增加地库,目前,该公司未完成建筑订单企于约21亿令吉,未完成制造订单为3.5亿令吉,同样足够忙碌2年。

年初迄今,金轮企业共赢得9亿4000万令吉建筑合约,占我们2017财年新增订单的94%,而我们预计,受到主要项目如泛婆罗洲工程,未来建筑营业额将重拾增长步伐。

all in the Mukim Bukit Raja, District of Petaling, Shah Alam, State of Selangor Darul Ehsan which was part of a housing development project (“Project”) on an “en bloc” and “as is where is” basis, the details of which are tabulated in Appendices A and B hereinafter, for a total cash consideration of RM68,406,237.92 (“Purchase Consideration”).

The supply and delivery of the components is expected to be completed by end of December 2018.

The Company does not foresee any exceptional risk other than operational risks associated with the supply contract.

The supply contract is expected to contribute positively to the earnings and net assets of KIMLUN Group for the financial year during the supply period.

Remarks :
On 27 February 2018, the Board of Directors of Kimlun Corporation Berhad ("Kimlun" or "the Company") ("the Board") had proposed a final single-tier dividend of RM0.055 per ordinary share of Kimlun in respect of the financial year ended 31 December 2017 ("Kimlun Share(s)") ("FYE 2017 Final Dividend"). The Board had also determined that the dividend reinvestment plan ("DRP") that provides shareholders of Kimlun with an option to elect to reinvest their cash dividend into new Kimlun Shares shall apply to the entire FYE 2017 Final Dividend. The FYE 2017 Final Dividend was approved by the shareholders of Kimlun at the Ninth Annual General Meeting held on 22 June 2018. Following the above, on behalf of the Board, RHB Investment Bank Berhad had on today announced that the issue price of new Kimlun Shares to be issued pursuant to the DRP applicable to the FYE 2017 Final Dividend has been fixed today at RM1.20 per new Kimlun Share.
