The Board of Directors of SCBUILD/0109 wishes to inform that SC, a wholly-owned subsidiary of SCBUILD/0109 had on 24 July 2020 entered into a Debt Settlement Agreement with SCSB and IBI for amicable full and final settlement of the debt due and owing by SCSB to SC for the supply of various construction materials on credit, to be satisfied by 21 pieces of a freehold land together with all buildings erected thereon (“Property”). The Property is currently registered under the name of IBI, who has agreed to step in as a third party to assist SCSB in settling the debt with the Property.

We refer to your Company’s announcement dated 27 July 2020, in respect of the aforesaid matter.
In this connection, kindly furnish Bursa Securities with the following additional information for public release:-
1) The particulars of all liabilities, including contingent liabilities and guarantees to be assumed by SC Estate, arising from the Agreement.
2) The terms of payment in relation to the excess sum of RM883,057.46 payable by SC Estate Industries Sdn Bhd (“Excess Sum”), as well as the source(s) of funding and the breakdown thereof.
3) The interest rate applicable to the Excess Sum, or a negative statement thereto.
4) The name of the independent registered valuer who conducted valuation on the 21 pieces of freehold land together with all buildings erected thereon (“Property”), and the date and method of valuation.
5) Relevant information in relation to the Property, as set out in Part C, Appendix 10A of the ACE Market Listing Requirements.
6) To confirm whether the 21 pieces of land which form the Property are contiguous with each other.
7) The prospects of the Property.
8) The highest percentage ratio applicable to the transaction pursuant to Rule 10.02(g) of the ACE Market Listing Requirements.

(For consistency purposes, the abbreviations and definitions used throughout this announcement are the same as those previously defined in the Company’s announcements made on 27 July 2020 and 29 July 2020.)

Following the Company's announcement made on 29 July 2020 (“the Announcement”), the Board of Directors hereby furnish the following additional information for clarity purpose:-

Item 2 – Schedule of payment

The Excess Sum shall be due and payable by SC within five (5) years from the date of the Agreement in a non-fixed repayment basis. As mutually agreed with SCSB, SC has the discretion to determine as to when the payment shall be made as long as the payment of excess sum is fully settled within five (5) years.

Item 7 – Prospect of the Property

While the Company will continue with its existing business in the construction sector, the Property is intended to be developed into residential terrace houses.

Synergistic benefits are expected to be derived from the Property. The Property will enable the Company to provide more development project, thus enhancing its profitability.

The Company believes that the prospect for the property is optimistic in light of the demand of affordable houses in Kedah. The Management is of the view that the Property will contribute positively to the Company’s future earnings.

(D) 17714, Lot No. PT5, Mukim Sg Laka, District of Kubang Pasu, in the state of Kedah Darul Aman ("MOU")
The Board of Directors of SCBUILD/0109 wishes announce that the Company had on 5 October 2021 entered into a MOU with the following individuals in relation to the proposed acquisition by the Company of a piece of land jointly owned by the 1st Party (as defined below) held under Title No. H.S. (D) 17714, Lot No. PT5, Mukim Sg Laka, District of Kubang Pasu, in the state of Kedah Darul Aman:-
1.Yang Teramat Mulia Dato’ Seri Diraja Tan Sri Tunku Puteri Intan Safinaz Binti Almarhum Sultan Abdul Halim Mu’adzam Shah DKH., DKYR., SHMS., SSDK., PSM., PAT., JP., HON. PHD. (UUM), HON.PHD (KUIN);

UNQUALIFIED OPINION WITH MATERIAL UNCERTAINTY RELATED TO GOING CONCERN OF THE AUDITED FINANCIAL STATEMENTS OF SC ESTATE BUILDER BERHAD ("SCBUILD/0109" OR "THE COMPANY") FOR THE FINANCIAL YEAR ENDED 31 JULY 2021
Pursuant to Rule 9.19(38) of the ACE Market Listing Requirements of Bursa Malaysia Securities Berhad, the Board of Directors of SCBUILD/0109 wishes to announce that the Company's External Auditors, Messrs. Ong & Wong had expressed their unqualified opinion with material uncertainty related to going concern in the Audited Financial Statements of the Company for the financial year ended 31 July 2021.

Subsequent to the financial year end, the Company had on 29 October 2021 announced its intention to undertake a Renounceable Rights Issue of 537,045,454 ordinary shares in total to raise total proceeds of RM29.538 million to fund the Group’s future construction projects and general working capital (“Proposed Rights Issue”). Further, the Group is currently in the process of tendering for 2 construction projects with an aggregate sum of RM140 million.

Barring any unforeseen circumstances, the Proposed Rights Issue is expected to be completed by the fourth quarter of 2021.

On the above basis, the Board of Directors believes that the Proposed Rights Issue will be able to generate sufficient working capital and improve the cash flows of the Group to meet its financial obligations.
