放眼新物流系統 思泰於重慶組聯營

（吉隆坡18日訊）思泰科技（SMTRACK，0169，創業板科技）與中國重慶真信投資有限公司簽署技術合作協議，在重慶自由貿易區建立外資聯營公司，公司預算為150萬人民幣（約77萬令吉）。
思泰科技總執行長饒樂生說：“聯營公司的商業模式會以資訊科技與電子商務為主，電子商務是我們核心業務，這讓我們可從事物流服務，現在我們正放眼新物流系統，我們稱之為逆向溯源物流服務，這是鮮少物流公司所有的。”
通過這項合作協議，思泰科技將提供可追溯服務，該服務可追溯食品生產、加工、物流和批發零售等過程。
“聯營公司預算為150萬人民幣（約77萬令吉），這只是首階段，思泰科技持有聯營公司55%股權，我們的夥伴重慶真信投資則持有45%股權。”
饒樂生指出，包含這次合作協議在內，公司已與三家中國公司簽署了合作協議，其他為寧夏和廣東。
他今日在公司與重慶真信投資有限公司的合作協議簽署儀式后的記者發佈會上發表談話，出席者包括真信投資有限公司主席陳永建。
料明年轉虧為盈
陳永建說：“本次的合作只是個開始，這含蘊著無限的廣闊前景，並期待與思泰科技共抓機遇、分享價值、實現戰略合作、戰略共營，並期待本次合作可開闢全新發展模式，真正實現國際跨運。”
被問及公司業績何時可轉虧為盈時，饒樂生指出，公司已走在正確的方向，並開拓了幾條道路，公司業績已有所改善，明年會更為顯著，預計明年可開始轉虧為盈。【中国报财经】

思泰美国联营生產瓶装饮用水

（吉隆坡28日讯）思泰科技（SMTRACK，0169，创业板）今日宣布，旗下位于美国的子公司--Smartag国际公司將和迈克尔马拉加与马克托马斯签署联营协议。
一旦Smartag国际完成精密审核工作后，迈克尔马拉加与马克托马斯將会以换股的方式，把他们各自持有的MRH资本公司和加州瓶装公司中的100%和75%股权，注入Smartag国际。Smartag国际则会发出总共4000万股新股予两者。
思泰科技持有Smartag国际94.01%股权，一旦上述换股活动完成后，MRH资本和加州瓶装將成为Smartag国际的子公司。
迈克尔马拉加在加州的饮料行业拥有良好的经验和合约；而马克托马斯则在製造业务上拥有丰富的背景和经验，同时曾帮助可口可乐和美汁源（Minute Maid）进行採购包装和分销。
有鑑于此，3家公司联合起来，將可以让思泰科技更快速地进军美国饮用水生產业务，同时还可以从MRH资本所得到的合约中受益，出口专用饮用水和卫生用水如胜利H2O矿泉水，特別是中国市场。

进军美国瓶装业务 思泰科技放眼明年转盈

（吉隆坡30日讯）思泰科技（SMTRACK，0169，创业板）总执行长饶乐生翼通过多元化业务，在2015财年转亏为盈。
思泰科技美国子公司思泰国际科技与两位美国商人，迈克马勒斯和马克汤姆斯在日前达成协议，互换旗下公司股权，借此多元化业务至瓶装厂。
在合约下，一旦完成精密审计，迈克马勒斯和马克汤姆斯将分别把旗下MRH资本100%股权，以及加州装瓶公司（简称CBC）75%股权，转给思泰国际科技，作为获得后者共4000万新股的条件。
发股购2美企
这也意味着，MRH资本和加州瓶装公司会成为思泰国际科技的子公司。
思泰科技总执行长饶乐生表示：“除了继续装瓶业务，我们将会把厂房打造为首家内嵌追踪系统的装瓶厂。”
另外，思泰科技也会支付5万美元（约16万令吉），作为拥有日后提高思泰国际科技股权，最少至51%的权利代价。
目前，思泰科技持有思泰国际科技94%股权。
3年盈利担保6.53亿
饶乐生指，MRH资本和CBC也做出了在未来3年内，盈利和税前盈利分别达2亿美元（约6亿4000万令吉）和1300万美元（约4160万令吉）的担保。
但交换条件是，思泰国际科技必须支付620万美元（约1984万令吉）的承诺金。
“620万美元的主要用在发展饮料业务，提升装瓶厂生产线的效率和设备。我们计划通过资本市场，筹获该笔款项。”
筹1984万承诺金
不过，他并未透露通过什么方式筹资，仅表示会研究所有选择，并选择效率最快和最有利的方式。
“思泰国际科技是美国场外交易市场上市公司，所以我们可选择在美国或大马资本市场筹资。”
他补充，若上述交易顺利完成，则可获得即时盈利，因而对在明年内转亏为盈的目标信心满满。
国外贡献90%营收
截至6月杪第3季，思泰科技净亏210万1000令吉，上财年则亏195万7000令吉；营业额则按年微扬1.15%，报17万6000令吉。饶乐生预料，从明年开始，公司90%营业额将来自国外市场，当中美国市场会贡献60%，其他则会来自中国、大马和其他市场。
“大马追踪系统市场太小，我认为开拓国外市场和多元化业务是正确的举动。”
准备进军沙地
他也透露，准备进军沙地阿拉伯市场，拓展追踪系统业务，并会在数月后公布详情。
至于是让思泰国际科技从美国场外交易市场，转至纳斯达克市场上市，他虽没有正面回答，但表示若发展顺利，则可符合条件。
“我对互换股权计划很有信心，更何况也有盈利保证。单从保守的未来业绩预测来看，我们的确即将符合上市纳斯达克市场的资格。”【南洋网财经】 |

思泰不獲延長貨柜保安協議

（吉隆坡1日訊）大馬皇家關稅局（JKDM）正式否決思泰科技（SMTRACK,0169,創業板科技組）針對延長貨柜保安協議額外10年的申請，強調完全不會再考慮舊合約條款。
思泰科技發文告表示，JKDM是在上月20日發出的回函中，表達了不會考慮舊合約條款的決定。
不過，該公司補充，公司已在9月23日向經濟委員會提出嶄新的興建、經營和轉移（BOT）模式建議，藉此解決貨柜追蹤和降低走私問題，目前仍等待經濟委員會的答覆。（星洲日報／財經）

该公司今日向马交所报备此事，该公司在去年10月与迈克马勒斯和马克汤姆斯签约，将以互换美国子公司思泰国际科技股权，联营合作加快追踪系统业务发展。
原先合约列明，精密审计结果获批后，迈克马勒斯和马克汤姆斯将分别把MRH资本100%股权和CaliforniaBottling公司75%股权，转给思泰国际科技，作为获得后者共4000万新股的条件。

投资棕榈酸化油出口 思泰冀贡献50%收益

（吉隆坡13日讯）追踪服务供应商思泰科技有限公司（SMTRACK，0169，创业板）涉及出口棕榈酸化油予中国的新投资，预料将在2年后占其50%总收益贡献。
思泰科技首席执行员饶乐生说，这项新投资符合其扭转该蒙受亏损公司的计划，并预料可在2015年转盈。

虽然新投资不预期在未来5个月内录得具规模的贡献，饶乐生表示，收益贡献将在2年时间后大幅增长。
在协议下，思泰科技将负责获得棕榈酸化油、出口该原料、同时也提供船运追踪服务予中国。
思泰科技初期在协议签署后的首2年，每月将供应高达5000公吨棕榈酸化油予中国再生能源机构，合约可自动更新另外3年。

We wish to inform that the third line of the introduction of the announcement should read as "SMTrack shall collect palm oil sludge or palm acid oil from palm oil mill in Southeast Asia and export to China" instead of "SMTrack shall collect palm oil sludge or palm acid oil from palm oil mill in Malaysia and export to Southeast Asia."
