思泰科技携手CWSB 获土展局3454万合约

（吉隆坡11日讯）思泰科技（SMTRACK，0169，创业板）携手CHERISH WORDS私人有限公司（简称CWSB）成立联营，参与建筑300间房屋分包工作。

根据文告，Gandingan Mutiara私人有限公司（简称GMSB）在前年1月6日，获联邦土地发展局（FELDA）颁发一项发展项目，总值3454万3850令吉。

工程预计可在今年8月16日完成，除非FELDA同意延长期限。

前年11月21日，GMSB以分包合约的方式，委任CWSB负责执行项目，总值3454万3850令吉。

目前，CWSB已完成约20%进度，也从GMSB得到673万928令吉。

根据联营协议，思泰科技通过贡献380万令吉的营运资本，来参与分包合约，以完成其余的工程。【南洋网财经】

（吉隆坡15日讯）思泰科技（SMTRACK，0169，创业板）宣布，董事经理饶乐生从昨日（14日）起以健康原因，辞去董事经理职务。

不过，他将持续担任总执行长为期6个月，直至约满。

思泰科技回复大马交易所发出不寻常市场交易（UMA）质询时表示，饶乐生也在昨日脱售2511万100股或7.85%股权，把持股减至5.22%。

思泰科技指，除了上述因素之外，对促使成交量激增的其他原因并不知情。

该股在昨日成交量达3757万8100股，相比于一般在数十万股交易，交投显然异常活跃，因而接获马交所发出的UMA质询。

不过，当日股价变动不大，仅处于9仙至9.5仙之间游走。

取消售My Record

在接获UMA质询后，该股今日成交量大减至549万5500股，而股价走势持平，最后收在9仙。

另一方面，思泰科技宣布，以500万令吉脱售My Record私人有限公司50%股权的计划取消，因为买方One Trooper无法完成法律及财务精密审核，及达到买卖协议的条款。

从去年5月21日公布该项脱售计划，双方就一直延长达到买卖协议条款的期限。【南洋网财经】

Query Letter Contents	We refer to your Company’s announcement dated 10 March 2016 in respect of the aforesaid matter. In this connection, kindly furnish Bursa Securities with the following additional information for public release:- The estimate total development cost of the Development Project. Smtrack’s portion of the expected profits to be derived from the JV. The basis for the Working Capital Contribution, and the terms of payment thereof. The highest percentage ratio applicable to the JV  pursuant to paragraph 10.02(g) of the Listing Requirements.
We refer to the announcements made on 10 March 2016 and 16 March 2016 in relation to the Proposed Joint Venture (“Announcements”). The Board wishes to provide the additional information as set out below: The estimated total development cost of the Development Project is RM27.30 million. The estimated profit before tax to be derived from the Joint Venture is approximately RM3.80 million. Based on the JVA, SMTrack expects to receive 50% of the total estimated profit, which is equivalent to RM1.90 million. The Working Capital Contribution was arrived at after taking into consideration the estimated additional working capital requirements of the Development Project and the estimated profits to be derived from the Joint Venture. The Working Capital Contribution will be made in cash as and when required by the Joint Venture. Reference is made to the Company’s announcement on 9 September 2015 in respect of the Dilution of Equity Interest in Smartag International Inc. (“SII”) from 94.01% to 31.61% as a result of issuance of restricted common stocks in SII to new shareholders.  The terms herein shall bear the same meaning as defined in the said announcement. The Board of Directors of SMTRACK wishes to announce that SMTRACK had disposed its entire 31.61% equity interest amounting to 10 million ordinary shares in SII at a prevailing market price of USD0.0006 cents per share quoted on the Over-The-Counter (“OTC”) market in the United States for a total consideration of USD6,000 on 29 March 2016 (at the date of the United States) (“the Disposal”). 思泰科技安徽建工 聯營馬六甲填海工程

（吉隆坡17日訊）思泰科技（SMTRACK，0169，創業板科技）與安徽建工（馬）有限責任公司探討合作進行馬六甲填海工程；后者更有意在大馬投資50億至60億人民幣（約30億至36億令吉）。

思泰科技今日攜手聯營公司Cherish Words私人有限公司，與安徽建工簽署合作協議，有望就馬六甲填海工程進行合作。

對此，Cherish Words主席拿督斯里鄭智中指出，該項填海工程目前仍在洽商相關合約條款，一旦結果出爐將另行宣佈。

同時，安徽建工總經理張士全指出，他有信心該項目能夠成功談成，並透露未來將在大馬為建設工程投入高達50億至60億人民幣資金。

“若項目談成，我們今年將在在本地投資50億至60億人民幣。”

安徽建工集團是以工程總承包為主要業務，詢及有意在本地競標的工程項目類型時，張士全表示，除了鐵路和核能，其他的工程項目公司均有意承接。

“不管是公路、橋梁、碼頭、機場、隧道、汙水處理或是基礎設施，我們都能做。”
