全国发展可负担屋
鼎昇签50亿备忘录
2017年6月13日
（吉隆坡 13日讯）鼎昇集团（PRG，7168，主板工业产品股）今日与国家房屋公司（SPNB）子公司，Aspirasi私人有限公司（SASB）及MIMBAR NUSANTARA 控股有限公司签署三方了解备忘录，将在全马各地发展可负担房屋计划，发展总值料达50亿令吉。
鼎昇集团财务总监吕国民透露，与国家房屋公司合作的发展项目料最快在2018年底开始执行。
不过，该集团董事经理赖俊瀚指出，该谅解备忘录里的项目都是属于长远的计划，所以短期内公司业绩将不会因此而有重大改变。
于1997年成立国家房屋公司，以提升全国可负担房屋的数量和质量为目标。赖俊瀚也表示，他们很荣幸获得国家房屋公司的信任与支持。
“这是鼎昇集团一个重要的里程碑。凭借在建筑业的经验，我们非常有信心可超额完成任务。”
他今日在签约仪式后记者会上如是指出。其他出席者包括鼎昇集团董事经理（产业与建筑）黄正权、国家房屋公司总执行长拿督阿末阿兹兹、和Aspirasi私人有限公司（SASB）主席阿里哈欣和Aspirasi私人有限公司总执行希山阿末，并由财政部副部长拿督李志亮见证。
3地库来源
另外，吕国民补充：“发展项目的地库来源将会有3种，其中包括国家房屋公司的土地，我们自己买地或者与是第三方的地皮。”
同时，三方将探讨的发展项目将会包括3种不同售价的可负担房屋，分别是每单位18万令吉以内、30万令吉以内以及30万令吉以上的房产计划。
发展蓝图有至少20个发展项目，涵盖全马各地，包括东马。
该备忘录的有效期限为6个月。
另一合作的伙伴Mimbar Nusantara 控股私人有限公司，在三方协议里将扮演专业工程咨询的角色。
该公司的董事经理张立贤认为，未来政府将致力与发展更多可负担房屋计划。
“在现在的经济环境下，可负担房屋将是对普罗大众更好的选择。”
另一方面，鼎昇集团透露，该公司目前进行中的2项产业项目，Picasso Residence 和梳邦 U5，将于2018财年开始贡献盈利。【e南洋】

制造业9月香港挂牌
鼎昇不排除再分拆上市
2017年6月20日
（吉隆坡20日讯）鼎昇集团（PRG，7168，主板工业产品股）旗下的制造业子公司飞霓控股，有望提前在9月到香港创业板（GEM）挂牌。
该公司原订在今年底完成的香港上市的计划，目前进展顺利。
鼎昇集团企业事务董事谢汉能今日出席鼎昇集团与征阳集团（SUNSURIA，3743，主板工产业股）合作部署电动车充电站的签约仪式后，向媒体如是指出。
鼎昇集团是一家控股公司，不排除将来还会分拆旗下其他业务上市。
“除了制造业，我们的产业和建筑业务在上了轨道以后，也会在对的时机分拆上市。这些计划预计将在5年内完成。”
谢汉能也透露，公司即将敲定与国家房屋公司（SPNB）有关可负担房屋发展计划的合作。
上周二，鼎昇集团与SPNB签署了解备忘录，将在全马各地发展可负担房屋。
“我们预计将在3个月内与SPNB签署首个发展项目的合约。这些计划的发展总值达50亿，将使我们未来几年非常忙碌。”
偕征阳打造电动车充电站
鼎昇集团今日与征阳集团签署合作备忘录，在征阳城内建造电动车充电站。
出席者包括鼎昇集团独立非执行董事拿督黄丽心博士、鼎昇集团董事经理（产业与建筑）拿督黄正权、征阳集团市场销售部总监关鸿威和征阳集团市场部总经理彭美琼。
首个配备Delta充电器的充电站已完成打造，位于征阳城销售厅旁，现免费开放予所有电动车使用。
征阳集团总执行长龚伟成指，征阳城的核心价值是“精明、宜居和可持续发展”。
“设立电动车充电站是公司的绿色措施之一。未来，我们希望可遵循公司的核心原则，继续为征阳城注入更多环保元素。”
另一方面，谢汉能指，鼎昇集团将在未来2年内，在巴生河流域地区有潜能的地点，包括高速公路和加油站，设立20至30个充电站，

鼎昇偕狮城Mirach
联营房产建筑项目
2017年7月6日
（吉隆坡5日讯）鼎昇集团（PRG，7168，主板工业产品股）与新加坡油气公司Mirach能源探讨联营，进行产业与建筑项目。
该公司今日向交易所报备，与新加坡上市公司Mirach能源签署了解备忘录，探讨在大马或其他地方联营产业与建筑项目。
双方会正式进行协商，并在大马成立联营公司，联营公司应该会成为Mirach能源的子公司。
为了打响首炮，双方提议共同成为一项西马可负担房屋项目的承包商。
Mirach能源将为联营公司的营运资本出资，而鼎昇集团会协助联营公司取得承包合约、提供建筑技术和其他知识，并取得银行贷款和监管执照。

（吉隆坡18日讯）鼎昇集团（PRG，7168，主板工业产品股）与中国江苏省建集团签署策略合作协议，联合进行本地与国际的基建、产业和建筑工程。
鼎昇集团向交易所报备，该集团将负责寻找基建、建筑、产业发展和项目融资的来源。
江苏省建集团将投资和提供资金给鼎昇集团所接获的工程，并负责执行、建立及完成相关工程，且遵守工程合约条款。
鼎昇集团董事经理拿督赖俊瀚昨天在签约仪式上指出，江苏省建集团在建筑领域拥有出色的记录，通过协同效应，并借助其技术与资源，取得最大价值。
“这项协议符合鼎昇集团的商业模式，包括在产业发展和建筑项目，与策略伙伴进行联营，以融入集团策略与业务能力，提供多元化营业额。”

首个项目短期敲定 鼎昇或集资发展可负担房

（吉隆坡21日讯）鼎昇集团（PRG，7168，主板工业股）指出，该公司与国家房屋公司（SPNB）联合发展可负担房屋的首个项目预计將在短期內成事，未来不排除集资和寻找合作伙伴，发展可负担房屋项目。
瀚在出席股东特大后向媒体表示，公司正在探討3至4项的產业发展，预期可在近期內与SPNB签署首个发展计划。
「目前，我们已完成精密审核（due diligence），现阶段双方也积极洽商有关项目的发展计划，料在不久的將来对外公佈双方首个合作项目。」
赖氏补充说，双方也探討合作模式，包括购买地皮等细节。他相信，一旦首个產业发展项目成功落实，有助于推动未来项目的发展。
另外，赖俊瀚表示，与SPNB探討发展的產业发展总值（GDV）为50亿令吉的房屋项目计划，是一笔庞大工程，因此不排除透过集资的方式来推动发展。
「公司规模较小，市值约3亿令吉，加上本身的债务水平处在低水平，约0.2倍，因此对未来集资方式抱持开放態度。」
他补充说，若与其他公司採取联合发展的方式进行执行项目，也是公司消化50亿令吉发展项目的途径之一。这包括，近期该公司与江苏省建筑工程集团（JPC）签署策略合作协议，探討联手在大马和国际市场承包基础建设、產业和建筑活动，料也將为公司提供融资便利。
针对中国政府限制中国企业资金外流，会否影响和江苏省建筑工程集团的合作，赖氏指出，后者投资大马项目已获得当局亮绿灯，並和当地银行著手安排相关事宜，加上大马拥有6项正在进行中的发展项目，因此料不影响双方的合作。
赖俊瀚坦承，公司的目標是在短期內尽力加强公司消化50亿令吉发展项目的能力，因此也开放与多方合作联合发展的计划。除了和江苏省建筑工程集团的合作，该公司也在本月初和新加坡上市公司--MirachEnergy签署谅解备忘录（MOU），擬议合作进行產业和建设项目。
看好產业建筑
展望前景，赖俊瀚看好公司產业和建筑业务的发展，预期相关业务明年將超越製造业务，成为公司主要的营业额贡献来源。
「公司目前唯一推出的產业项目是位于安邦路的PicassoResidence，將是今年和明年为公司带来正面贡献的发展项目。」
截至目前，Picasso Residence的认购率达65%。
他指出，公司未来將专注发展可负担房屋项目，该50亿令吉的房產项目將让公司未来持续忙碌。另外，公司也预期在明年首季推出在莎阿南的產业项目--Subang Bestari U5產业项目，主要以可负担房屋为主，其中30%为「我的雪兰莪房屋计划」-（Rumah Selangorku），其余为售价介于30万令吉的可负担房屋。
另一方面，鼎昇集团旗下製造业臂膀在香港上市计划也在股东特大获得股东批准。
鼎昇集团製造业的首席执行员陈传表示，上市计划目前按照原定计划进行，预计在今年10月中旬完成上市计划。

鼎升集團淨利跌12.5%

（吉隆坡20日訊）鼎升集團（PRG，7168，主要板工業）截至6月底次季，營業額升78%至5905萬令吉，淨利跌12.5%至141萬令吉，因製造業臂膀獻議在香港上市Growth Enterprise Market的費用所拖累。
鼎升集團董事經理拿督賴俊瀚透過文告指出：“公司預期從製造業部門，取得令人滿意的表現。馬來西亞房地產和建築市場預期維持其挑戰性。”

The Board of Directors ("Board") of PRG wishes to announce that PRG Construction Sdn Bhd ("PCSB") and Premier Mirach Sdn Bhd ("PMSB"), both being wholly owned subsidiaries of PRG as at the date of this announcement, have on 25 August 2017 entered into a shareholders' agreement ("SA") with CPHL (HK) Limited ("CPHL") for the purpose of regulating their relationship as shareholders in and certain aspects of their dealings with PMSB, in accordance with the terms stipulated in the SA.

Type | Announcement | Subject | OTHERS | Description | PRG HOLDINGS BERHAD (PRG OR THE COMPANY) SHAREHOLDERS AGREEMENT BETWEEN CPHL (HK) LIMITED, PRG CONSTRUCTION SDN BHD AND PREMIER MIRACH SDN BHD - ALLOTMENT OF SHARES IN PREMIER MIRACH SDN BHD | Reference is made to the Company’s announcement dated 25 August 2017 on the Shareholders’ Agreement ("SA") entered into between PRG Construction Sdn Bhd (“PCSB”), Premier Mirach Sdn Bhd (“PMSB”) and CPHL (HK) Limited (“CPHL”) for the purpose of regulating their relationship as shareholders in and certain aspects of their dealings with PMSB, in accordance with the terms stipulated in the SA.
In accordance with the SA, the parties had agreed that CPHL and PCSB shall subscribe such number of shares in PMSB such that their shareholdings in PMSB shall be CPHL owning 75% and PCSB owning 25%.
The Board of Directors of PRG wishes to announce that PMSB has on 19 September 2017 increased its share capital from RM1.00 to RM100.00 vide the allotment of an additional 99 new ordinary shares at the price of RM1.00 per share (“Allotment”). The subscription by PCSB of additional 24 new ordinary shares in PMSB was through internal funds.

Upon completion of the Allotment, PMSB has become a 25%-owned associate company of PRG through PCSB.
