艾德科技柔佛联营发展产业

2017年12月8日
(吉隆坡7日讯)艾德科技(ACOSTEC,7120,主板消费产品股)签署联营发展协议,在柔佛发展办公店铺,总值7140万令吉。

艾德科技今日向交易所报备,独资子公司Teras Eco私人有限公司,与YPJ Builders私人有限公司签约,携手在柔佛面积共达19.328英亩的两片相邻土地,建设和发展84个单位的两层和三层办公店铺。

目前,该土地注册在YPJ Builders名下。

项目预计3年内完成,总发展成本预计达5020万令吉。

艾德科技称,截至2016财年营业额录得1亿1400万令吉,其中6000万令吉来自产业发展,另5400万令吉来自音频业务,这象征公司有意多元化至产业发展领域。

此外,该发展项目毗邻边佳兰炼油厂社区,将使柔佛成为外国直接投资的选择目的地。

而商业产业发展业务料会正面贡献公司的净利和改善整体盈利能力。【e南洋】

1060万沽清音响业务
艾德科技亏118万


2017年12月8日
(吉隆坡7日讯)艾德科技(ACOSTEC,7120,主板消费产品股)宣布以1060万令吉,将子公司Formosa Prosonic Technics私人有限公司(简称FPT)的所有权,脱售给台湾联友(FPI,9172,主板消费产品股) 。

艾德科技向交易所报备,该公司是在周四与台湾联友签约,将上述股权脱售给后者。

FPT是一家音响系统模制塑料部件的制造商。

根据净资产值计算,艾德科技预计会蒙受一笔约118万180令吉的脱售亏损;该公司当初的原始投资成本为4760万8277令吉。

管理层相信,音响业务蒙亏的状况已无法在今年扭转过来,因为该业务已经连亏三个季度。

同时,在主要客户都多元化至其他产品组合之际,订单复苏的前景也很渺茫。

在音响业务低赚幅冲击下,董事部希望通过撤资来改善公司整体表现及现金流,并专注于核心的产业发展业务。

而台湾联友则表示,FPT目前是公司的音响供应商,而扬声器在公司音响产品中,比例相当吃重。

收购可让台湾联友整合供应链及提升效率,并确保供应持续。

同时,董事部也表示,目前无需额外的资金去维持FPT的运作。【e南洋】

1. The relationship between YPJ Holding Sdn Bhd and YPJB and Yayasan Pelajaran Johor;
2. The detailed basis to arrive at the Entitlement Sum payment to YPJB of RM8,756,000;
3. The entitlement of TESB and YPJB respectively to the 84 units of shop offices under the proposed development;
4. To provide the breakdown and state the differences between the estimated gross development cost of RM50.2 million and the estimated gross development cost attributable to the developer of RM41.5 million, taking into consideration that all cost and expenses for the development of the project is to be borne by TESB as the developer;
5. The source of funds to finance the estimated gross development cost, together with the risk factors pertaining to the financing if it is via bank borrowings;
6. Whether any valuation was carried out on the Land; if so, the name of the independent registered valuer, date and method of valuation and quantification of the market value;
7. To reconcile and confirm on whether the net profits to be derived from the proposed development is RM21.2 million or RM16 million, and whether the entire net profit will accrue to TESB as the developer;
8. The tentative timeframe for submission of development and planning approvals to the relevant authorities for the development; and

艾德科技拟在甲州发展豪华酒店与可负担公寓

(吉隆坡28日讯)艾德科技(Acoustech Bhd)计划在马六甲的两幅地兴建一座5层的豪华酒店,以及一栋可负担服务式公寓,发展总值为8050万令吉。

艾德科技今日向大马交易所报备,独资子公司Teras Eco Resources私人有限公司(TERSB)已就上述项目签订两项谅解备忘录(MoU)。

其中一项是与Innocashz(马)私人有限公司成立一家联营公司,在坐落于马六甲河河岸,以及距离鸡场街(Jonker Walk)不到15分钟路程的海关、移民与检疫(CIQ)1.2英亩地,共同发展酒店项目,发展总值估计为4000万令吉。

另一项MoU则是与Goldsand JV私人有限公司成立联营公司,在马六甲Krubong的3.9英亩有期地段建造152个单位的可负担服务式公寓。

这项名为“Melaka Residences”的项目,发展总值估计为4050万令吉。

艾德科技表示,与Innocashz签订的MoU亦授权TERSB独家选项,将CIQ地段发展为豪华酒店或认为合适的其他发展项目。

根据联营,Innocashz将从马六甲酒店项目中获得30%的盈利。

艾德科技说,马六甲酒店让集团加强发展订单,以及进军马六甲古城的酒店业。

“管理层认为,CIQ地段邻近古城的主要景点,拟议的马六甲酒店将受益于不断增加的游客以及对市内酒店的需求。”

同时,与Goldsand的MoU授予TERSB独家选项,发展距离马六甲市约15公里的Krubong地段为152个公寓单位,或认为合适的其他项目。

根据联营,Goldsand可获得Melaka Residences项目的30%盈利。

“管理层打算将Melaka Residences打造为可负担房屋,符合政府的一马公务员房屋计划(PPA1M)。”

两项MoU的有效期皆为6个月,并自动延长6个月。

艾德科技补充:“经有关单位批准,马六甲酒店和Melaka Residences的发展项目预计需时3年完成。”

We refer to the announcement made on 8 November 2018 in relation to the Proposed Acquisition. On behalf of the Board of Directors of Acoustech, UOB Kay Hian Securities (M) Sdn Bhd wishes to announce the following additional disclosures:-

1. Background information of the Development Order for the Project
​A Development Order (Ref No. MBMB/JP. 06769 (8)) and a subsequent amended Development Order (Ref No. MBM/JP.06769(19)) which covers the construction of 2 blocks of apartments - 39 storey (Block B) and 44 storey (Block C), 1 block of 16 storey hotel (Block A),18 units of retail lots and 10 units of 4 storey shop offices and a common courtyard amongst others had been approved by Majlis Bandaraya Melaka Bersejarah (“MBMB”) on 23 December 2013 and 5 May 2016 respectively.  
The approvals are subject to standard development conditions and will be complied with accordingly. These conditions, include amongst others, (i) To surrender all reserve roads, streets, drainage, river, open areas, stall sites, areas identified as reserve public / social facilities and government reserve to the Government for free; (ii) to comply with all conditions and requirements of Technical Departments of the relevant local authorities; (iii) to submit the application for the approval of all related plans to the relevant departments before the consideration of the building plan; (iv) to pay the parking lot contribution of not less than 33 car lots before the building plan is approved; and (v) to submit Pre-Computation Plan for MBMB’s approval before submission to the land office for land matters and issuance of title.

2. The estimated GDP of the Project
The estimated GDP of the Project of RM43.9 million does not include the Purchase Consideration of RM18.0 million payable for the Development Rights of the Project. For illustration purposes and assuming all the units are sold, the estimated development profit to be derived from the Project is RM25.9 million over a development period of 4 years after deducting the Purchase Consideration. The returns of the Project is expected to contribute positively to the Group’s earnings over the duration of the Project.
