Reference is made to the earlier announcements in relation to the Proposals.
The Board wishes to announce that it has resolved not to proceed with the Proposed Shares Issuance as it intends to negotiate with the Lender to vary certain terms of the Loan Agreement after taking into consideration, amongst others, the recent developments in the capital markets. Details of such variation in the terms of the Loan Agreement will be announced in due course.
Further, in view that the Company is currently proposing to undertake a private placement exercise (“Proposed Private Placement”) which has been announced in a separate announcement today, the total number of Warrants D to be issued pursuant to the Proposed Bonus Issue of Warrants would have to be revised.
As such, the Board has resolved not to proceed with the Proposed Bonus Issue of Warrants in its current form and will instead embark on a fresh bonus issue of warrants proposal (“New Proposed Bonus Issue of Warrants”) that will take into consideration the effects of the Proposed Private Placement. The New Proposed Bonus Issue of Warrants has also been announced today in the same announcement with the Proposed Private Placement.
Given the above, the Company will submit a fresh application to Bursa Securities for the New Proposed Bonus Issue of Warrants together with the Proposed Private Placement.

稳固控股（Vizione Holdings Bhd）截至今年5月杪第四季（2020财年第四季）由盈转亏，净亏757万令吉，一年前则净赚1140万令吉。
季度营业额暴跌74%至2695万令吉，2019财年第四季报1亿360万令吉。
集团指出，营业额暴跌是因为建筑业务季度收入骤降63.08%至4034万令吉，上财年同季报1亿924万令吉。
稳固控股全年净利狂泻82.05%至1142万令吉，上财年为6363万令吉。
年度营业额挫44.73%至3亿2819万令吉，上财年报5亿9382万令吉。
稳固控股向大马交易所报备，4月、5月和6月建筑活动减弱，影响了财务状况。
尽管如此，管理层预计政府将逐步把重点放在中长期的经济复苏措施上。
管理层相信，随着该行业进行大规模业务重组，建筑业将成为政府启动经济复苏进程的关键催化剂。
“随着经济逐步开放，建筑业有望成为媒体关注的焦点。”
集团还表示，建筑业可能还有更多上行空间，因2021年财政预算案可能带来进一步催化剂——关于马新高铁及巴生谷捷运3号线（MRT3）项目的消息。
稳固控股以35.5仙挂收，跌1.43%或0.5仙，市值为2亿3377万令吉，约800万股转手。 |
