最新进展

税务开销增加,AM产业(AMPROP,1007,主板产业股)截至12月31日第三季,净利按年跌24.7%,报401万1000令吉。同时,营业额按年滑4.5%,录得4452万3000令吉。

累计9个月,尽管营业额按年扬15.7%,达1亿4132万6000令吉,净利却按年大减86.9%,报1031万5000令吉。

行家建议

尽管AM产业第三季业绩符合预期,但伦敦项目延迟竣工,我们削减2017财年每股净利预测78%。

Campden和Burlington项目延期竣工,交屋日期分别延至2018财年首季和次季。原先,AM产业将在2017财年末季将部分Campden项目入账,其余在2018财年首季入账。

保守起见,我们现在将入账时间分配在2018财年和2019财年。也降低2017财年每股股息预测,从5.2仙减至3仙。

但2018财年和2019财年的每股净利分别增加7%和19%。

进行中项目稳健与中期盈利表现,我们看好AM产业的长期价值,维持“守住”评级和80仙目标价。

大馬機構產業 西班牙購2房產

2017年7月14日
(吉隆坡14日訊)大馬機構產業(AMPROP,1007,主要板房產)與聯營夥伴Grosvenor 歐洲投資有限公司,在西班牙馬德里錢貝里(Chamberi)區收購兩項新房產。

該公司發布文告指出,聯營公司將把位于Modesto Lafuente和Santa Engracia的建築物,轉型成高檔住宅和商業空間。

Modesto Lafuente的房產是一棟10層樓辦公大樓,將轉成13間高檔公寓,並具有地下停車場設施。

至于坐落在Santa Engracia的6層高大樓,將轉型成18間時尚公寓,包括兩個獨特的梯式閣樓,底層將備有商業空間。

在今年2月,該聯營公司在Jorge Juan街道買了一塊住宅發展土地,也是該公司首度進軍馬德里的投資。這個地區將發展成6間高檔公寓和一個閣樓,並有地下停車場和共用設施。【中国报财经】

AMCORP PROPERTIES BERHAD ("AMPROP")- JOINT VENTURE AGREEMENT BETWEEN AMCORP HORIZON SDN BHD, GROSVENOR EUROPE INVESTMENTS LIMITED, URBAN VALUE ADD I (SPAIN), S.L. AND GROSVENOR FUND MANAGEMENT SPAIN, SLU
This announcement should be read in conjunction with the earlier announcement made on 14 July 2016 (“Earlier Announcement”) in relation to the Joint Venture Agreement dated 13 July 2016 (“JVA”) entered into between Amcorp Horizon Sdn Bhd, a wholly-owned subsidiary of AMPROP, Grosvenor Europe Investments Limited, Urban Value Add I (Spain), S.L. (“JV Co”) and Grosvenor Fund Management Spain, SLU (“Manager”) (collectively referred to as “JVA Parties”).

Unless otherwise defined, the terms used in this announcement shall have the same meaning as those defined in the Earlier Announcement.

Further to the Earlier Announcement, AMPROP wishes to inform that the JVA Parties on 19 July 2017 entered into a variation letter agreement to amend and vary the terms of the JVA (“Amendments”).

The purpose of the Amendments is to allow the JV Co to pursue investment that fall outside of the initial investment criteria as set out in the JVA, which may require longer business plan period.

Due to the longer investment horizon, the JV Term has been amended from “five years from the date of the JVA” to “nine years from the date of the JVA”, which may be further extended for a period of one year upon the Manager’s proposal and subject to the approval of the JV Parties.

The asset management fee (“AMF”) payable to the Manager in relation to such investment will be as follows:
(a)        during pre-development phase, the AMF payable shall be 0.6% per annum of the total invested capital; and
(b)         after the expiry of pre-development phase until completion, the AMF payable shall be 1% per annum of the total invested capital.

大马机构产业.发优先股筹5.97亿

(吉隆坡28日讯)大马机构产业(AMPROP,1007,主板产业组)建议发行可赎回可转换优先股(RCPS)集资最多5亿9720万令吉,主要用于还债。

该公司在文告中说,配股比例和转换价待定,每股参考转换价为80仙。

优先股集资额介于3亿5000万至5亿9720万令吉,当中的2亿3840万令吉用于付还银行贷款,9590万令吉充作产业发展和投资项目资金。

余款扣除160万令吉发股开销后,将全数充作未来资金用途,介于1410万至2亿6130万令吉。

Pursuant to Paragraph 9.19(24) of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad, AMPROP wishes to announce that the Company on 16 November 2017 entered into a conditional Share Sale & Purchase Agreement with Swis Resources Sdn Bhd to dispose the entire equity interest comprising 15,801,000 ordinary shares held in its wholly-owned subsidiary, AMBC Transmission Sdn Bhd (“AMBCT”) for a cash consideration of RM2,000,000 (“Disposal”).

Upon completion of the Disposal, AMBCT will cease to be a subsidiary of AMPROP.

The Disposal will not have any material financial effect on AMPROP Group for the financial year ending 31 March 2018.

AM产业西班牙建豪宅

(吉隆坡31日讯)AM产业(AMPROP,1007,主板产业股)与联营伙伴Grosvenor欧洲投资有限公司,在西班牙马德里收购一项住宅发展项目,发展成豪华公寓。

AM产业发文告指出,这项占地333平方米的住宅发展落在Garcia de Paredes街,可步行到著名的Canal de Isabel II公园和Canal剧院。

联营公司将会把收购的项目,发展成15间豪华公寓单位和2间阁楼套房,共达7层楼。这还包括地下停车场,以及大厅、健身房和自行车停放位。

同时,该公司将保留这座建筑物首三层的原有外观。

不过,该公司并没有披露发展总值的数据。

近期,AM产业公布,在联营公司的资金投入,已从3500万欧元(约1.7亿令吉)提高至5000万欧元(约2.4亿令吉),主要是因为马德里房地产市场有多项发展项目及西班牙经济复苏。【e南洋】

We refer to the Company’s announcements dated 28 September 2017, 29 September 2017, 29 November 2017, 30 November 2017, 15 December 2017, 16 January 2018 and 9 February 2018 in relation to, among others, the Rights Issue (“Announcements”). Unless otherwise defined, the terms used herein shall have the same meaning as those defined in the Announcements.

On behalf of AMPROP, we wish to announce that the Board has today fixed the issue price for the RCPS B at RM0.70 each (“Issue Price”) at an entitlement basis of 1 RCPS B for every 1 AMPROP Share held on the Entitlement Date to be determined.

Based on the Issue Price and the conversion ratio of 1 new AMPROP Share for every 1 RCPS B held, the implied conversion price for the RCPS B is RM0.70 for every new AMPROP Share (“Implied Conversion Price”), representing:

(i)         a discount of approximately 1.1% to the 5-day VWAMP of AMPROP Shares up to and including 8 February 2018, being the last market day prior to the price-fixing date of 9 February 2018 (“Price-Fixing Date”), of RM0.7076; and

(ii)         a premium of approximately 0.7% to the closing price of AMPROP Shares on 8 February 2018, being the last market day prior to the Price-Fixing Date, of RM0.695.
The Issue Price and entitlement basis were determined by the Board, after taking into consideration the following:
(i)         the funding requirements of the Group and its joint ventures;
(ii)         the 5-day VWAMP and closing price of AMPROP Shares immediately preceding the Price-Fixing Date; and
(iii)        the general market sentiment for the subscription of the RCPS B.

AM产业第三季净利翻17.75倍

2018年2月10日
(吉隆坡9日讯)AM产业(AMPROP,1007,主板产业股)的伦敦联营发展项目带来贡献,带动截至12月31日第三季净利按年飙涨17.75倍。

该公司向交易所报备,第三季净赚7521万令吉或每股12.68仙,上财年同季则达401万令吉或每股0.68仙。

AM产业逐渐售出伦敦Burlington Gate和Holland Park Villas计划的单位,而从中入账盈利,促使第三季业绩报捷。

不过,营业额却从4452万令吉,按年下跌18.91%,达3611万令吉,主要是因为Kayangan Heights发展项目的销售减少。

合计首九个月,净利按年激增8.95倍,达1亿265万令吉或每股17.3仙;营业额则减少24.82%,达1亿625万令吉。【e南洋】

大马机构产业:股息稳.放眼内部投资回酬9%

(吉隆坡10日讯)大马机构产业(AMPROP,1007,主板产业组)手握5亿令吉累积盈利,未来派息料不成问题,并放眼海外产业投资每年可获得9%内部投资回酬率(IRR)。

出席该公司股东特大的小股东向《星洲财经》表示,管理层说,该公司目前累积盈利为5亿令吉左右,因此配售可赎回可转换优先股(RCPS)后,依然可稳定派息。

发售优先股建议通过

大马机构产业今日通过发售可赎回可转换优先股建议,优先股集资额介于3亿5000万至5亿9720万令吉,当中2亿3840万令吉用于付还银行贷款、9590万令吉充作产业发展和投资项目资金。

余款扣除160万令吉发股开销后,将全数充作未来资金用途,介于1410万至2亿6130万令吉。

管理层表示,优先股周息率为4%,参考转换价介于56至80仙,待董事部议决后,再做出宣布。

有关香港及西班牙产业联营投资项目,管理层说,大马机构产业伙同高富诺集团(Grosvenor)旗下亚洲及欧洲子公司共同经营上述项目。

“高富诺亚洲及欧洲资产管理规模分别为68亿港元(约34亿零700万令吉)及34亿欧元(约164亿1200万令吉),联营方式可让大马产业机构获得业务网络、国际经验及当地市场知识等优势。”

管理层补充,2012年大马产业机构与高富诺在伦敦已经建立合作关系,后来陆续将合作地区延伸至东京及西班牙,现在进一步扩展至香港。

询及香港地价高昂一事,管理层说,香港地价虽昂贵,但大马产业机构只专注竣工的小型资产,并透过翻新或附加价值方式,以提高资产收益率。

“大马机构产业伙对当地各项资产的内部投资回酬率为9%。”

管理层说,大马产业机构15%投资组合由香港资产贡献,不过该资产的融资成本尚在议决中,因此无法透露收益率。

AMCORP PROPERTIES BERHAD ("AMPROP" OR "THE COMPANY")-        DISPOSAL OF WHOLLY-OWNED SUBSIDIARY
We refer to the Company’s announcement dated 16 November 2017 in relation to the conditional Share Sale & Purchase Agreement ("SSA") entered into between AMPROP and Swis Resources Sdn Bhd on 16 November 2017 for the disposal of the entire equity interest comprising 15,801,000 ordinary shares held in the Company’s wholly-owned subsidiary, AMBC Transmission Sdn Bhd (“AMBCT”) for a cash consideration of RM2,000,000 ("Disposal").

AMPROP wishes to announce that all conditions precedent as set out in the SSA had been fulfilled and the Disposal had been duly completed on 1 March 2018. Accordingly, AMBCT ceased to be a subsidiary of AMPROP.

This announcement is dated 1 March 2018.
