LAND & GENERAL BERHAD ("L&G" OR "COMPANY") (I)        ACQUISITIONS AND OPTION; (II)        RIGHTS ISSUE; AND (III)        EXEMPTION (COLLECTIVELY REFERRED TO AS THE "CORPORATE EXERCISES")
Unless otherwise stated, all definitions and terms used in this announcement shall have the same meanings as defined in the previous announcements.

Reference is made to the announcements dated 15 November 2016, 3 January 2017, 4 January 2017, 27 February 2017, 20 March 2017, 31 March 2017, 3 April 2017, 13 April 2017, 14 April 2017 and 17 April 2017 in relation to the Rights Issue.

On behalf of the Board of Directors of the Company (“Board”), PIVB wishes to announce that as at the close of acceptance and payment for the Rights Issue at 5.00 p.m. on Wednesday, 3 May 2017 (“Closing Date”), the total valid acceptances and excess applications received for 2,157,364,885 Rights Shares. This represents an over-subscription of 358,509,997 Rights Shares or approximately 19.93% over the total of 1,798,854,888 Rights Shares available for subscription under the Rights Issue.

The details of the total valid acceptances and excess applications received as at the Closing Date for the Rights Issue are as follows:

The Board has applied the basis in allocating the excess Rights Shares as set out in the Abridged Prospectus dated 14 April 2017, which is as follows:
(i)         firstly, to minimise the incidence of odd lots;

(ii)        secondly, for allocation to the Entitled Shareholders who have applied for the excess Rights Shares on a pro-rata basis and in board lot, calculated based on their respective shareholdings as at the entitlement date;

(iii)       thirdly, for allocation to the Entitled Shareholders who have applied for the excess Rights Shares on a pro-rata basis and in board lot, calculated based on the quantum of their respective excess Rights Shares applications; and

(iv)       lastly, for allocation to renouncee(s)/transferee(s) who have applied for the excess Rights Shares on a pro-rata basis and in board lot, based on the quantum of their respective excess Rights Shares applications.

In the event of any balance of excess Rights Shares after the above sequence of allocations, the balance of excess of Rights Shares will be allocated again through the same sequence of processes (ii), (iii) and (iv) until all excess Rights Shares are fully allocated.

The Rights Shares are expected to be listed and quoted on the Main Market of Bursa Malaysia Securities Berhad on 18 May 2017.

置地通用营收可再破亿

(吉隆坡13日讯)置地通用(L&G,3174,主板产业股)有信心,截至3月杪的2018财年,营业额会再度破亿!

该公司董事经理刘毅德,今日在股东大会后回应媒体提问2018财年营业额是否有望重回“亿”字头时,如此回答。

“我相信我们可以(破亿),如果你计算,我们在本财年会推介2个项目,发展总值分别为2亿3000万令吉及4亿8000万令吉。一般上我们已打好地基,一旦签署买卖合约就可以锁定20%工程进度款。”

置地通用将在11月,推介森美兰新那旺Sena Parc城镇项目首期,共453单位双层排屋。接着在明年2月,预先推介位于斯里白沙罗镇的Seresta公寓,达452单位。

此外,该公司已推介安邦路Astoria服务式公寓首2栋大楼,认购率达60%,预计2年后竣工。

持3000亩地皮

刘毅德指出,Sena Parc项目为有地住宅,加上售价低于50万令吉,应该颇受市场欢迎。

2013财年至今,置地通用皆录得过亿令吉营业额,除了2017财年,只有4265万令吉,归咎于产业业务表现不佳。

至于地库方面,目前该公司手持逾3000英亩地皮,刘毅德解释,扩大国内地库是常年活动,且该公司的资产负债表强稳,内部资金足以开始启动新项目。

截至6月杪,置地通用的现金储备高达3亿9800万令吉,负债率为0.14倍。

购4公司接手数项目

另外,置地通用向马来西亚置地(Mayland)收购4家公司后,也接手数个项目,包括销售中的碧桂园钻石城联营项目、即将在明年杪推介的安邦服务式公寓,以及明年杪启动的史里肯邦安项目。

其他计划中的项目,包括面积达2500英亩的乌雪吉粦城镇,已提呈发展蓝图,预计明年取得批准。

此外,莎阿南U10城镇项目已开始施工,同时即将提呈斯里白沙罗俱乐部重新发展首期计划供批准。

专注国内暂不攻海外

置地通用将专注于国内产业项目,暂不积极向海外扩展。

刘毅德说,目前国内进行中和计划中项目,足以忙碌3至5年,但海外若有商机,不会排除。

现时置地通用只有一个海外联营产业发展项目,就是澳洲墨尔本Hidden Valley。

另一方面,他相当看好大马产业市场,并观察到,与去年相比,潜在买家的兴趣和销售有所改善。

他解释,介于50万至90万令吉产业的认购率依然不错,但重点在于地点。

他补充,该公司的项目位于黄金地点,加上购地成本合理,可以推出具竞争力价位的产业。【e南洋】

发附加股后.股价停滞.置地通用值得持有吗?

读者燕玲问:置地通用(L&G,3174,主板产业组)的前景如何?最近发了大量附加股,附加股每股21仙,过后股价一直排徊在22及22.5仙之间,虽然大股东一直在市场大量吸购股票,可是股价停滞不前,有什么原因吗?请问这股值得保留吗?

答:关于置地通用前景,其最新业绩、财务情况、公司对未来业务表现评语,及公司高层最新谈话可供参考。

截至2017年6月30日,该公司第一季营业额为1169万7000令吉(601万6000令吉来自产业发展业务、331万3000令吉来自教育业务),不过,净利却达到2393万令吉(每股净利1.16仙),主要是政府推行的地下铁捷运计划(MRT)征用其土地,获得3370万令吉的赔偿所致。

相对下,去年首季净利为1221万1000令吉(每股净利为0.94仙),营业额则为1189万6000令吉。该公司旗下产业发展业务表现疲弱,主要是产业市场情绪较弱,以及公司展延推介一些产业计划之故。

财务情况方面,截至2017年6月30日为止,总资产为16亿7892万令吉,包括流动资产下的存款/现金/银行余款达4亿3945万7000令吉、短期基金为997万8000令吉、贸易及其他应收款项则达到2亿6437万8000令吉,产业发展成本为2亿4274万6000令吉。

至于非流动资产下的供产业发展所持有的土地值达4亿7028万5000令吉,投资产业为8743万1000令吉。

另一方面,总负债为6亿零529万3000令吉,贸易及其他应付款项为1亿6311万5000令吉,借贷为1234万3000令吉。至于其非流动负债下的借贷则有2亿零726万7000令吉。

截至2017年10月,公司股本有29亿2900万股。若以当时每股约22仙为准,市值为6亿4400万令吉。

该公司在宣布上述业绩时谈到未来展望时指出,最近国内经济改善,特别是马币及原油价格持稳,不过,国内的产业市场却仍具挑战,因进入了调整期。无论如何,该公司在未来季度将推出具竞争力的产品以维持公司的盈利。

应收款偏高

总的来说,该公司未来业务表现,将与国内产业市场的兴衰息息相关,特别是其产业发展计划的销售额是否理想。整体的资产负债表可说相当健全,惟应收款项则似乎有点高,可要更加努力追账。

至于最新业务情况,该公司董事经理刘毅德于9月13日举行的股东大会后表示,该公司在2018财政年将至少推出值逾7亿令吉的产业项目,即将在11月在芙蓉新那旺推出名为Sena Parc半独立式产业,总值为2亿3000万令吉、以及明年第一季在甲洞斯里白沙罗推行Seresta,总值4亿8000万令吉公寓产业项目。

当时他指出,产业市场买气已经从去年(2016年)低迷氛围中复苏,惟仍无法与3年前活力十足的产业市场相比,惟潜在买家兴趣却是有增无减。该公司旗下Astoria项目已锁定一些销售。

该公司在2017年初向大股东大马置地(May Land)收购4家产业公司,共耗资3亿3556万令吉。这4家公司的未来发展,即计划在明年底在史里肯邦安推出2222个公寓单位,同时,安邦也会推出522个服务式公寓单位,惟仍等待相关政府单位批准。

该公司与碧桂园联营的士毛月钻石城项目,已经进行第二期发展计划,打算推出300至400间的排屋,而第一期项目产业已售出25%。

股数过多抑制股价

他指出,该公司财务情况健全,手中握有约3亿9800万令吉现金,毛负债比为0.14倍,手上握有地库达到3000英亩。

他有信心公司之前以合理价格买入的地库,将为公司带来更多机会。该公司也不会停止寻找优良地皮。

该公司股价停滞不前,这里可能想到的可能性,包括公司股票数目不少(逾29亿股)抑制股价上扬、投资者对公司业务前景有所保留而不愿以目前价格买进、甚至是投资者对整体大市或经济展望持悲观态度等。
