ACQUISITION OF NEW SUBSIDIARY
Pursuant to Paragraph 9.19(23) of the Bursa Malaysia Securities Berhad Main Market Listing Requirements, Land & General Berhad ("L&G") wishes to announce that L&G has on 7 August 2013 acquired the entire issued and paid up share capital comprising 2 ordinary shares of RM1.00 each fully paid in Pillar Quest Sdn Bhd (Company No. 951833-M) (“PQSB”) (“Acquisition”).

PQSB was incorporated in Malaysia under the Companies Act, 1965 on 7 July 2011. The authorised share capital is RM100,000.00 divided into 100,000 ordinary shares of RM1.00 each. Currently, PQSB has not commenced business operations. Its intended principal activities are investment holding, property development, and/or any businesses related to real estate.

After the Acquisition, PQSB becomes a wholly-owned subsidiary of L&G.

The above Acquisition is not expected to have any material effect on the earnings and net assets of L&G for the financial year ending 31 March 2014.

None of the directors or substantial shareholders of the Company or persons connected to them has any interest, direct or indirect, in the said Acquisition.

这个ICULS (RM0.13)在认购后,对购主有什末好出?

是不是
1)每半年可拿到RM0.002 (1%)利息?
2)可转换成平常股?(加付RM0.26对吗?)

置地通用ICULS超购49%

(吉隆坡23日讯)置地通用(L&G,3174,主板产业股)的不可赎回可转换无担保债券(ICULS)计划,获得49.41%超额认购。

置地通用今天向马交所报备,截至9月13日下午5点,公司的ICULS计划接获高达8亿9392万8176单位的认购申请,或相等于149.41%。

置地通用4月宣布发行价值7777万9589令吉的ICULS筹资,部分资金(约6704万8625令吉)将用以购置位于布城的办公楼。

公司是以每一股普通股,配售一单位账面价值13仙的债券,发行5年期的ICULS。[南洋网财经]

ON 29 AUGUST 2013 (“RIGHTS ISSUE OF ICULS”)
(For consistency, the abbreviations used throughout this announcement shall have the same meanings as defined in the earlier announcements, where applicable, unless stated otherwise or defined herein.)

Reference is made to the Company’s announcements made on 9 April 2013, 20 May 2013, 17 June 2013, 28 June 2013, 6 August 2013, 15 August 2013 and 28 August 2013 in relation to the Proposals.

On behalf of the Board of Directors of L&G (“Board”), Public Investment Bank Berhad wishes to announce that as at the close of acceptance and payment for the Rights Issue of ICULS at 5.00 p.m. on 13 September 2013 (“Closing Date”), the total valid acceptances and excess applications received were 893,928,176 Rights ICULS under the Rights Issue of ICULS. This represents an over-subscription of 295,623,646 Rights ICULS or approximately 49.41% over the total of 598,304,530 Rights ICULS available for subscription under the Rights Issue of ICULS.

The details of the total valid acceptances and excess applications received as at the Closing Date for the Rights Issue of ICULS are set out in Table 1.

The Board has applied the basis in allocating the excess Rights ICULS as set out in the Abridged Prospectus dated 29 August 2013, which is as follows:
(i)         firstly, to minimise the incidence of odd lots;

(ii)        secondly, after the occurrence of (i) above, for allocation to our Entitled Shareholders who have applied for the excess Rights ICULS on a pro-rata basis and in board lot, calculated based on their respective shareholdings as at the Entitlement Date;

(iii)       thirdly, after the occurrence of (i) and (ii) above, for allocation to our Entitled Shareholders who have applied for the excess Rights ICULS on a pro-rata basis and in board lot, calculated based on the quantum of their respective excess Rights ICULS application; and

(iv)       lastly, after the occurrence of (i), (ii) and (iii) above, for allocation to renouncee(s)/transferee(s) who have applied for the excess Rights ICULS on a pro-rata basis and in board lot, based on the quantum of their respective excess Rights ICULS application.

The Rights ICULS are expected to be listed and quoted on the Main Market of Bursa Malaysia Securities Berhad on 30 September 2013.

MSWG尋求發展細節 置地通用進軍種植業

(吉隆坡24日訊)主攻房地產發展的置地通用(L&G,3174,主要板房產),多元化業務進軍種植業,明日(25日)舉行的常年股東大會料面對小股東監督機構(MSWG)質詢。

除了房產發展,該公司業務還包括橡膠跟油棕培育、俱樂部活動管理、學校大樓擁有權,及提供教育服務。

《星報》報導,小股東監管機構或提問置地通用未來發展計劃,包括是否有計劃增加房產業務投資,推動經常收入,或是打算擴大油棕與橡膠種植地。

根據該公司去年年報,目前的橡膠油棕種植地達1009.71公頃,座落于烏魯雪蘭莪一帶,淨賬面價值達4814萬令吉。

截至今年6月底首季,置地通用淨利按年起34%,從770萬令吉增至1043萬令吉;同期銷售增近86%,錄得8991萬令吉;每股盈利也走高至1.74仙。

該公司6月底的存款、現金與銀行結余,高達1億6678萬令吉。

置地通用股本約達5億9830萬股,市值約2億2440萬令吉,以昨日(23日)閉市價38仙計算,本益比(P/E)約達4.83倍。[中国报财经]

谨慎购地推新盘 置地通用將强劲成长

(吉隆坡25日讯)置地通用(L&G,3174,主板產业股)有信心可在未来3年维持强劲成长。       

置地通用2013財政年(截至3月31日止)全年营业额从去年的1亿3079万令吉,按年成长65.4%,至2亿1629万令吉;继而带动税前盈利按年上涨67.4%,至7276万令吉,去年同期为4349万令吉。另外,净利为5717万令吉,较去年同期的3312万令吉,增长72.6%。

该公司董事经理刘毅德表示,「在收购土地方面,我们採取谨慎的態度;加上现有的地库和接下来会推出的项目,我们冀望置地通用可在未来3年保持强劲的成长。」

他在置地通用股东常年大会结束后,向媒体如此表示。

推第二阶段公寓

该公司计划明年推出位於斯里白沙罗镇(Bandar Sri Damansara),第二阶段的Damansara Foresta高档公寓,共2栋公寓大楼,总发展价值(GDV)约5亿令吉。该项目还未定价,不过估计將从每平呎700令吉起跳。

另外,位於森美兰州的Tuanku Jaafar项目,尚未与当地的市政府解决发展上的问题,但该公司希望该项目能在明年第3季推出。当中,牵涉的问题与市政府要求该发展项目综合发展低价房子有关。

注重土地发展价值

当询及该公司会否增购土地时,刘毅德回应说,「我们並没有设下扩张地库的目標,收购土地將视乎时机和潜在的发展价值而定。相比起来,我们更加注重原有的土地可创造多少的发展价值。」

他透露,置地通用目前的地库共有2800公顷,把2500公顷的园丘地(estateland)除外,该公司所拥有的土地在未来5年的发展价值达30亿令吉。而该2500公顷的园丘地则有超过80%已被种植,其中800公顷为树胶,1400公顷为油棕。

另外,该公司的未进帐销售,包括Damansara Foresta的5亿2000万令吉和Elements服务公寓的3亿5000万令吉,分別將在接下来的24个月和12月將依据进度认列。

展望產业市场的前景,刘毅德表示,產业领域仍可持续发展,並且不认为大马有供过於求的跡象。

「儘管有些地区吸引较多的发展商,而可能造成一些地区的房產供应稍微多了一些。但整体来看,大马还未出现供过於求的泡沫现象。」

除此之外,刘毅德补充,「2014年財政预算案可能会推出更严谨的措施,导致购买房產情绪下挫。不过,更负责任的贷款,长期內有利房產市场。同时,如果在条例上没有作太大的改变,预计对房產的影响不大。」[东方日报财经]

是在一个Financial Blogger的 Blog 里看到的。 因为他卖完他的L&G Ordinary share 然后用RM0.05增购Loan Rights。里面有提到一年两次。

难怪这两 天母股从RM0.38 掉到 RM0.35。 因该是为了这个"L&G-LA"的上市。我只有 4000 unit. 这个要怎样交易还不会。

本钱 (RM0.13)
有些人增购 (RM0.13) + (RM0.05)

(RM0.18)因该是底线。今天交易价 (RM0.205)

那RM0.26 是母股转换价吧! 那末 (RM0.18+RM0。26)=RM0.44 是母股转换底线。 如果五年后母股涨两倍 (RM0.35x2 = RM0.70),

那赚头就有

每股 (RM0.70-RM0.13-RM0.26) = RM0.31 (给没增购的人)

每股 (RM0.70-RM0.13-RM0.26-RM0.05) = RM0.26 (给有增购的人)

5年回酬:
RM0.31/RM0.35 = 88%

平均每年回酬:
88%/5 = 17.6%

拟乌雪发展独立洋房 置地通用将园丘改建住宅

(吉隆坡14日讯)置地通用(L&G,3174,主板产业股)计划把双溪遮尼(Sungai Jernih)种植园的油棕园和橡胶园转换成住宅发展项目。

董事经理刘毅德说公司放眼上述位于乌雪吉粦的2500英亩土地,用作为兴建独立式房屋和休闲房屋。

他接受《Malaysian Reserve》专访时表示,这些土地被用作种植油棕和橡胶太昂贵了,因此公司在未来计划发展这些地区。

他说,当地的产业市场仍未成熟至可以兴建公寓,所以独立式房屋是理想的选择。

“吉隆坡某些地方的价格已太贵,若我们可能推出100至200万令吉,有大片土地的独立式房子,这会是可行的项目。”

由置地通用子公司管理的油棕园占地1400英亩,而橡胶园则,占地800英亩。

至于目前持有的地库,他说公司暂时未对2片未发展的土地作出任何规划。

其中一片土地在吉打,占地36英亩,另一篇是柔佛新山占地13英亩的工业地。

目前进行中的项目包括8trium,白沙罗Foresta第一期,和Elements@安邦都如期进行。

8trium99%的办公室已出售,明年初应该会全面被租用。

他说,白沙罗Foresta第一期的建筑工程在进行中,而Element@安邦预计在5个月内完成。[南洋网财经]
