Reference is made to EW Berhad’s announcements dated 25 April 2014 (“Announcement”), 28 April 2014, 23 September 2014, 23 October 2014, 10 November 2014, 19 November 2014, 12 December 2014, 15 December 2014, 17 December 2014, 7 January 2015, 8 January 2015, 22 January 2015 and 23 January 2015. All capitalised terms herein shall have the same meanings as those set out in the Announcement unless otherwise stated.

On behalf of the Board, CIMB, AmInvestment and Maybank IB wish to announce that the Acquisitions and Share Subscription were completed on 6 February 2015 as follows:
  • payment of the Eco Macalister Purchase Consideration and EW Project Management Purchase Consideration of RM2.00 each, by EW Berhad to EW Sdn Bhd on 6 February 2015, following which Eco Macalister and EW Project Management became wholly-owned subsidiaries of EW Berhad;
  • payment of RM1,471.6 million by the Developers to the Landowners on 6 February 2015 (“Partial Payment”), being a partial payment of the Third Payment of a total sum of RM1,789.4 million, pursuant to the Development Rights Acquisition.
    On 6 February 2015, EW Berhad, the Developers and the Landowners agreed to vary a term in the Development Rights Agreements in relation to the Third Payment such that the Partial Payment be made on 6 February 2015 and that the balance of the Third Payment of RM317.8 million (“Balance Payment”) shall be paid by the Developers to the Landowners within three (3) months from the Development Rights Payment Date. If any part of the Balance Payment remains unpaid by the Developers as at 8 April 2015, the Developers shall pay to the Landowners interest on the amount unpaid at the rate of five per cent (5%) per annum calculated on a daily basis from 9 April 2015 until the Landowners receive the full payment of the Balance Payment; and
  • payment of the Subscription Consideration of RM1,371.6 million by EW Holdings and Sinarmas Harta to EW Berhad and the allotment and issuance of 806,846,852 Subscription Shares to EW Holdings and Sinarmas Harta on 6 February 2015 pursuant to the Share Subscription. Such Subscription Shares will commence listing on the Main Market of Bursa Securities on 9 February 2015.

EW Berhad had, on 4 February 2015, entered into the subscription and shareholders’ agreement with UDA Holdings Berhad (“UDA”), the Employees Provident Fund Board (“EPF”) and BBCC Development Sdn Bhd (“BBCC Development”), whereby EW Berhad, UDA, and EPF agree to invest and fund BBCC Development as the vehicle to undertake the joint development of the land into a mixed residential and commercial development comprising, amongst others, a retail mall, an entertainment block, strata offices, office towers, a hotel and serviced residences, to be known as “Bukit Bintang City Centre” (“BBCC”).

We are pleased to announce that BBCC Development has today signed a Memorandum of Understanding (“MOU”) with Zepp Hall Network Inc. (“Zepp”), a subsidiary of Sony Music Entertainment (Japan) Inc. to explore opportunities for Zepp to participate in the entertainment component of the BBCC. This follows the earlier MOU signed between BBCC Development and Mitsui Fudosan (Asia) Pte Ltd, a wholly-owned subsidiary of Japan’s largest real estate conglomerate, Mitsui Fudosan Co Ltd, to look into possible avenues of collaboration with the aim of making BBCC a world-class shopping and entertainment destination.

On behalf of the Board, CIMB, AmInvestment and Maybank IB wish to announce the following:
(i)           that the Rights Issue Price has been fixed at RM1.20 per Rights Share at an entitlement basis of one (1) Rights Share for every two (2) existing EW Berhad Shares held by EW Berhad’s shareholders whose names appear in EW Berhad’s Record of Depositors as at 5.00 p.m. on 5 March 2015 (“Entitled Shareholders”); and

(ii)          that the Exercise Price has been fixed at RM2.08 for each Warrant at an entitlement basis of four (4) Warrants for every five (5) Rights Shares subscribed for by the Entitled Shareholders.

The Rights Issue Price of RM1.20 per Rights Share represents a discount of approximately 36.51% to the TERP of EW Berhad Shares of RM1.89 per EW Berhad Share, based on the 5-day VWAMP of EW Berhad Shares up to and including 16 February 2015 of RM2.23 per EW Berhad Share. The Exercise Price represents a premium of approximately 10.00% over the TERP of EW Berhad Shares of RM1.89 per EW Berhad Share, based on the said 5-day VWAMP of EW Berhad Shares up to and including 16 February 2015.

Based on the above, the Rights Issue with Warrants will involve the issuance of 656,740,426 Rights Shares to raise gross proceeds of approximately RM788.0 million and the issuance of 525,392,340 Warrants which will raise gross proceeds of approximately RM1,092.8 million, assuming full exercise of the Warrants.

In addition, EW Berhad had on 17 February 2015 entered into an underwriting agreement with CIMB, AmInvestment and Maybank IB (collectively the “Joint Underwriters”) for the Joint Underwriters to underwrite an aggregate of 113,526,299 Rights Shares, representing approximately 17.29% of the total issue size of the Rights Issue with Warrants, at the Rights Issue Price for which no undertaking has been obtained from shareholders of EW Berhad, in accordance with the said agreement.

(吉隆坡23日訊)綠盛世(ECOWLD,8206,主要板房產)上週宣布,附加股發售價每股為1.20令吉,憑單行使價每單位2.08令吉,激勵該股全日走漲,一度大起19仙報2.48令吉。

綠盛世上週三(17日)向馬證交所報備,將以2配1附加股,每5股附加股配4憑單,發行6億5674萬426股附加股及5億2539万2340單位憑單,附加股發售價每股為1.20令吉,料可籌集7億8800萬令吉。

若每單位憑單獲行使,就能籌集10億9200萬令吉。

綠盛世今早平盤報2.29令吉,但交易4分鐘后,即一路走高,直到休市該股報2.42令吉,漲13仙,半日交易量241萬200股,為10大上升股之一。

午盤間,綠盛世漲幅擴大;截至下午4時半,綠盛世攀升16仙報2.45令吉,成交量402萬9200股。

今天开市这个价算是SHARE SPLIT吗?我有13个LOT之前的买进价是2.31, 请问要怎么算?

理解很简单的,只要ex date03/03/2015特有,每2股ecowld将分配到1股ecowld-OR)。。之后得附上每股1.20认购-行使该-OR成新股。。另外每认购5股附加股再附送凭单(ecowld-WA)。。就这样。。  发表于 4-3-2015 02:07 PM

不买的话,你可以在限定时间内卖掉,不然到期就会没收了。。。

每认购5股附加股,将另分配到4股免费凭单-WA。。如只是打算投机,没意认购,就得在明天15好闭市前把它出售出去,因该OR将停止交易+下市。。  发表于 11-3-2015 06:26 PM
如你打算认购附加股 - 行使该OR,转换成新股,就得另付上每股1.20。。完成后你特有的eco新股价就是1.20+(你买入OR的价钱)。。例子买入1.00的OR,之后就是2.20。。  发表于 11-3-2015 06:14 PM

ECOWLD-OR(附加股)我在股市买RM1.20。不是说我用RM1.20买到那张股票吗?公开发售结束后还需top-up钱?

-OR只是认购权益,“表格”而已。。需要再付上每股1.20认购价行使它,转换成eco新股的。。如没意思那么做,明闭市前没在市场出售+截止日前付款,手上特有的OR只是废票,什么都没有  发表于 11-3-2015 08:03 PM

(吉隆坡19日讯)丹斯里刘启盛已受委任为绿盛世发展集团有限公司(ECOWLD,8206,产业组)的非独立非执行主席。

在今日致给大马交易所的一项声明中,产业发展商绿盛世表示,刘启盛的委任由明日生效。

现为绿盛世董事的刘启盛,将从该公司主席丹斯里阿都拉昔手中接棒。

绿盛世透露,阿都拉昔将以创办人兼非独立非执行董事身分保留在董事部。

与此同时,拿督潘丁友则已受委为执行董事,及拿督诺拉利达则受委为独立非执行董事。

潘丁友和诺法利达的委任也将从明天起生效。

首季业绩表现不俗

绿盛世宣布,在截至2015年1月31日止首个财季录得306万令吉净盈利,或每股相等于60仙,而营业额则达1亿5803万令吉。

在今日致给大马交易所的文件中,绿盛世说,其4项计划即巴生谷的Eco Majestic与Eco Sky,及依斯干达区的Eco Botanic和Eco商业园1,贡献了现季度大部分的营业额与税前盈利。

它透露:“在集团现有进行中计划方面,Saujana Glenmarie也透过出售已建成单位,为现季度贡献收益;而Eco Tropics则刚在2015年2月获得当局批准修正其蓝图。”

由于该集团已把财政年截止日期从9月30日调整为10月31日,因此并没有比较的数字。

“因此,2014季度财务报告日期不符合2015年季度财务报告日期,而2014季度业绩未能与2015季度业绩确实地作出比较。”

展望未来,该集团表示,它有意在现财政年未来数月推介4项新计划,分别是莎阿南的Eco Santuary、槟城Eco Terraces、及依斯干达区的Eco Tropics和Eco商业园III。

“透过6项进行中计划,及今年推介的4项新计划和明年推介一些其他计划,董事部有信心集团将可朝2015/16财政年的70亿令吉销售目标前进。”
