KrisEnergy launches IPO to raise $271mil

KrisEnergy launched its initial public offering on Friday to raise $270.8 million in gross proceeds.
The oil and gas company is offering almost 152 million shares at $1.10 each. About 19.9 million shares will be set aside for the public. Another 94.1 million shares will be taken up by cornerstone investors.
The company said that it plans to use the proceeds for acquisitions, capital expenditures and development of existing assets.
Public offer for the shares opens at 9pm on Friday and closes at 12pm on July 17.
Post-listing, Keppel Corp and First Reserve, a private equity firm focused on energy, will continue to be the company's controlling shareholders.

KrisEnergy Ltd (“KrisEnergy”或“公司”)献售每股1.10元的1亿5,199万3,000股，其中1亿3,209万3,000股是在国际间献售，而1,990万股是供公众认购。

首次公开售股(IPO)将会在7月17日中午12时结束。
在你继续阅读本文前，我可提醒大家，我并不是石油及天然气的专家，我不懂得怎样为这家公司或者是其石油与天然气蕴藏量作出估值。我以下所写的东西是基于外行人的知识及本身的勇气。我喜欢上游业务，并对这家公司产生共鸣，因此我的观点存有偏爱。
主要业务
KrisEnergy是一家专门在东南亚勘探、开发和生产石油与天然气的独立上游公司。它在4个国家拥有14个合约区，并参与从勘探至生产的全方位工序。
收益用途
今次的IPO并没有股东献售股(除了在超额售股部分)，而从上市取得的收益将用作以下用途：
30 % – 收购
55 % – 资本开支
15 % – 营运资本
财务重点
表内的财务数字显示公司在过去3年蒙亏，但我们应把目光放远一点，坦白说，公司刚刚起步，因此在开发其石油与天然气田时会蒙受勘探成本。以下不按照国际财务报告准则(IFRS)汇编的财务报表更具代表性。
就让我直接讲讲最重要的数字，包括平均确认销售价格(average realized sale price)及收入与EBITDAX数字。EBITDA =息税折旧及摊销前盈利；而X = 勘探成本。考虑到公司只是在2009年成立，过去三年的EBITDAX 数字算是不错。EBITDAX 大约是在4,700万美元至6,200万美元。
EBITAX 持续徘徊在大约6,000万美元。当公司的资产成熟，生产将会增加，而EBITDAX将会提高。
蕴藏量
坦白说，我不懂怎样为蕴藏量估值。我不是这方面的专家，但我知道2P蕴藏量是指“石油含量确定是50%”；2C是比较不确定的部分；1P则是确定“含油量最高”。
股东
KrisEnergy是由国际领先能源领域投资公司First Reserve 所拥有，假设公司行使超额配股，它将依然拥有公司的45.2%股权。吉宝企业(Keppel Corp) 将拥有公司大约31.4%股权，而基石投资者将拥有5.1%股权，余下的股权是由公众持有。
First Reserve在2009年投资了5亿股本来支持管理团队。很明显，它一定做足功课，并对管理团队的财务进行精准审核
另一个令我感到安慰的地方是吉宝置业以大约每股0.91元买入股份，离开1.10元招股价不远，并可以为这只股设下一个“心理支持位”。 基石投资者也将以每股1.10元购股。
我喜欢这家公司的地方
- 公司拥有一支经验丰富的团队，后者在东南亚的石油与天然气业最少拥有20年经验，成绩彪炳。创办人自1997年便开始合作，他们曾成立Pearl Energy，之后将其上市及脱售。(请看以下的段落 ；“另一家Pearl Energy蓄势待发。)
- 公司的开采区分布在东南亚不同地点。请看以下图表。这样一来，地缘政治风险便可以减低，而视乎开采区所处于的不同阶段(勘探或生产等)，专家可以从一个地点前往另一个地点帮忙。
 - 一个分散的组合也可以让公司把从较为成熟资产所获得的现金流，用于刚起步资产的勘探及开发工程。东南亚地区的油田大部分依然未有获得开发，如果潜在资源一旦被确认，对开发及生产的需求将会很庞大。
 - 吉宝企业是公司的控股股东。作为全球最大的钻油台生产商之一，很明显，吉宝已经对公司进行精准审核。吉宝在KrisEnergy 的股权具有策略作用，因为它让吉宝可以向上游价值链前进。公司得到吉宝这个强大后盾的支持肯定对其有利。吉宝最近行使其买入期权，增购公司的16%股权。总的来说，在公司上市后，吉宝将拥有公司的31%股权。
- First Reserve 是一家能源领域的私人大型投资公司，它曾支持许多成功公司的业务，并且是这领域中数一数二的投资公司。
- 在这个领域中，KrisEnergy是唯一于新交所上市的公司。
我的顾虑
- 勘探的风险很大，但回报也可以很大。公司可能在进行勘探后，不获所得，所有成本付诸流水。
- 公司可能需要现金来开发油田，因此它可能多年下来都不会派发股息。
- 目前的每股净资产值(NAV) (经IPO调整)大约是 0.58元 (股价是1.10元)。这只股的未来盈利还是一个“未知数”，估值是否有点过高?
- 总裁的年纪已经66岁。
- First Reserve可能在几年后把股权出售套现。
如果你一直以来都有留意股市，你可能会记得曾经有一家类似的企业在新加坡所上市，名叫Pearl Energy。后者在2005年4月以每股0.70元上市，它受到投资者追捧，上市首日升高至0.90元以上。它在2006年3月除牌。招股书内也有提到这家企业，而KrisEnergy的团队就是来自Pearl Energy。
IPO先生的观点
我心中没有一个合理值，因为我不懂得怎样计算。大部分同类型在美国上市的勘探及生产公司都蒙亏，但每当它们发现庞大的蕴藏量时，它们的股价都会飙升。这只股不是对每个投资者来说都适合，而我认为它的风险颇高。可是，它也拥有一些有利因素，像强大的控股股东以每股0.91元购股；管理团队经验丰富；唯一一家在新交所上市的勘探与生产公司。因此，我会给予它3个辣椒评级(只是凭我的感觉)。

Shares of oil and gas explorer KrisEnergy, backed by Keppel Corp and private equity firm First Reserve, rose above the initial public offering price in their trading debut on the Singapore Exchange.
The KrisEnergy stock advanced as much as 14.5% to $1.26 on Friday, versus its IPO price of $1.10, but gave up some of the gains to trade at S$1.165 at around 11 am . It was the top-traded stock by value in the Singapore market.
The company sold 151.99 million shares and an additional 94.16 million shares to cornerstone investors, raising gross proceeds of $270.8 million.
“It’s an oil exploration company. If they can strike oil then the share price will go up, but basically the nature of the business is highly risky,” said a trader.
“The fact that Keppel Corp bought a stake in the company is kind of a vote of confidence, but the pricing was at the top of the range,” he added. |

刚刚上市不久的油气勘探与生产商KrisEnergy宣布，它与穆巴达拉石油公司(Mubadala Petroleum)已达成协议，将联合投资于泰国海湾G11/48合约区内的石油开发项目。预期项目将在2015年上半年首次产油。穆巴达拉拥有相关特许开采权的75%股权，它也是该油田(6,791平方公里)的营运商。KrisEnergy则持有25%的股权。截至2012年12月31日，G11/48油块藏有378万桶油当量的石油。每日产能将达到1万5,000桶石油及3万桶液体。开采活动初期包含23个油井、一个井口加工平台及一个基本设施井口平台，原油将通过一艘浮式储油卸油船向外输出。
启示：截至1Q13，公司位于柬埔寨、印尼、泰国、越南和孟加拉的采油权每天生产约7,275桶油当量的石油。这些油田已证实的原油蕴藏量合共为7,635万桶油当量。 |

KrisEnergy said it recorded a net loss of US$3.6 million ($4.5 million) in the third quarter, compared with a net profit of US$681,000 a year earlier, due to lower oil and gas production.
KrisEnergy, which focuses on oil and gas exploration and production in Southeast Asia, said its revenue for the three months to Sept. 30 fell 37.1% to US$13.6 million.
The company, in which Singapore’s state investor Temasek Holdings (Private) is the second-largest shareholder with a 31.4% stake, said it will seek additional contract areas in countries where it already has operations to enhance its portfolio. |

Shares in upstream energy exploration firm KrisEnergy tumbled on Friday after the firm said exploration on a well in Vietnam yielded disappointing results, while the Singapore index edged higher.
KrisEnergy shares slid as much as 29% to $0.84, the lowest since the company made its debut on the Singapore Exchange in July, 2013. It was among the worst performers on the exchange.
The company said on Thursday that it had completed drilling and testing of the Cua Lo-1 well in Block 105, offshore Vietnam, and concluded that commercial development is unlikely, after another well in Vietnam yielded disappointing exploration results at the end of last year.
Bank of America Merrill Lynch analysts cut the target price on KrisEnergy by 13% to $1.22.
“We believe KrisEnergy will regroup and reassess several other exploratory prospects that still can be drilled in both its large Vietnamese assets,” the analysts said.
The analysts maintained their “neutral” rating on the stock, saying the new exploration strategy and subsequent drilling needs time, and that the news flow could be scarce in the next six months.
The benchmark Straits Times Index inched up 0.1% to 3,147.90 points by 12:50 p.m., on course for a 0.5% gain in the first full trading week of 2014. MSCI's broadest index of Asia-Pacific shares outside Japan
was down 0.1%.
In other stocks, offshore oilfield service provider Ezra Holdings, dropped nearly 3% after the firm reported a 22% revenue gain and a 6% decline in net profit. |

（金边6日讯）柬埔寨曾经宣布于2012年12月12日生产出柬埔寨第一滴石油，之后则宣布由于采油技术问题而无限期延后。
目前，柬埔寨生产第一滴石油还是未知数。
根据《柬埔寨星洲日报》报道，工业与能源部国务秘书明萨贴拉日前表示，由于法律程序和部份技术问题未处理完毕，因此，目前柬埔寨要生产第一滴石油还是未知数。
但是，根据之前预计，当局计划在2018年可以生产第一滴石油。
他说，柬埔寨海域A区块油田的股权陆续出售，之前，日本三井石油勘探公司和韩国GS Caltex炼油公司的股权，都出售予新加坡Kris Energy油气勘探公司，目前，该公司在海域A区块油田持有全部股份。
明萨贴拉表示，Kris Energy公司和柬政府已达成共识，对方承诺在2018年或2019年生产第一滴石油。
至于柬埔寨生产石油后，市场上的汽油价格是否下跌？
明萨贴拉回应说，目前柬埔寨未有石油炼油厂，而未来生产的石油主要向国际市场出口，因此，石油的生产使汽油价格下跌不会有太大的影响。
据悉，新加坡油气勘探公司Kris Energy今年早些时候宣布，公司已收购海域A区块油田的日本三井石油勘探公司和韩国GS Caltex炼油公司的股权，因此，公司在海域A区块油田持股已增加至95%。
据该报告，日本三井石油勘探公司和韩国GS Caltex炼油公司，分别在海域A区块油田持股28.5%和14.25%。
而新加坡Kris Energy公司完成收购这两家公司的股权后，它已经在海域A区块油田持股95%，而柬埔寨政府则持股5%。 |
