(吉隆坡7日訊)林葉資本(TSRCAP,5042,主要板建築)獨資子公司獲得Kwasa Land私人有限公司頒發總值2億6890萬令吉的合約。

該公司向馬證交所報備指出,獨資子公司TSR Bina私人有限公司接獲Kwasa Land的意向書,為Kwasa白沙羅城鎮計劃興建及完成WPC1B及WPC1C的基建工程。

上述工程期限長達104個星期,並預計可在2018年3月12日完成。

林葉資本指出,是項工程料可貢獻公司2016財年至2018財年的收益。【中国报财经】

The Board of Directors of TSR Capital Berhad (“TSR” or “the Company”) is pleased to announce that TSR Bina Sdn Bhd, a wholly owned subsidiary of the Company, has on 7th March 2016, accepted the Letter of Award from Kwasa Land Sdn Bhd for the proposed construction and completion of common infrastructure works at Kwasa Damansara Township Development in Sungai Buloh, Selangor – work package contract: WPC1B and WPC1C for a contract sum of RM268.9 million (“the Project”).

The Project is for a duration of 104 weeks and is expected to be completed by 12 March 2018.

Barring any unforeseen circumstances, the Board of Directors of TSR is of the opinion that the Project will contribute positively to the earnings of the Group for the financial years ending 2016 through 2018.

This announcement is dated 7th March 2016.

林葉獲Kwasa 2.7億合約

(吉隆坡15日訊)林葉資本(TSRCAP,5042,主板建筑組)獲Kwasa置地頒發建築及土木工程合約,總值2億6千890萬令吉。

Kwasa置地是公積金局(EPF)旗下子公司。

根據Kwasa置地文告,林葉資本將負責Kwasa白沙羅城鎮計劃的場地準備及清理工作、排水系統、道路設施、溝渠及水道整修、停車換乘設施、電力基建及其他軟硬景園工作,預計將在2018年3月12日前完成。

Kwasa置地表示,這是該公司頒發的第二個基建合約。

去年9月,Kwasa置地頒發總值1億2千700令吉合約於WCT控股(WCT,9679,主板建筑組),合約內容包括城鎮中心及Kwasa仙特拉捷運站周圍的基建建築工作。

Kwasa置地是Kwasa白沙羅的主要發展商,Kwasa白沙羅位於哥打白沙羅及巴打靈再也一帶。

Kwasa白沙羅是個混合住宅、商業、休閒、機構及教育於一身的發展區域,預計可容納15萬人口。(星洲日報/財經)

林叶资本售地料赚705万

(吉隆坡22日讯)林叶资本(TSRCAP,5042,主板建筑股)宣布脱售在吉打州的土地,料能净赚705万令吉或每股盈利4仙。

林业资本今天发出文告称,独资子公司TSR Bina有限公司与吉打投资有限公司达成买卖协议,出售位于吉打瓜拉姆达(Kuala Muda)总面积26.091顷的土地,总值1520万令吉。

林叶资本指出,通过这项脱售活动,料能够为公司获得705万令吉或每股盈利4仙的收益,同时为每股净资产增加4仙。【南洋网财经】

林葉資本獲9000萬捷運合約

(吉隆坡6日訊)林葉資本(TSRCAP,5042,主要板建築)獲得捷運雙溪毛糯-沙登-布城路線(SSP)線,價值9000萬令吉的沙登站土方工程和其他相關工程合約。

該公司向馬證交所報備,旗下TSR Bina私人有限公司已獲得捷運工程發出的DPT 203配套工程意向書。

這項工程建築期長達24個月,將在獲得交付合作夥伴提供的通知日后動工。

The Board of Directors of TSR Capital Berhad (“TSR” or “the Company”) is pleased to announce that TSR Bina Sdn Bhd, a wholly owned subsidiary of the Company, had accepted the Letter of Acceptance from Mass Rapid Transit Corporation Sdn Bhd for the “Package DPT 203 : Construction and completion of earthworks and other associated works for Serdang Depot” “Projek Mass Rapid Transit Laluan 2 : Sungai Buloh-Serdang-Putrajaya (SSP)” for a contract sum of RM90 million (“the Project”).
The Project’s construction period is 24 months and shall commence upon the notification of date for site possession by Project Delivery Partner.

与2公司共同注入资产 林叶资本SPV 要上市

(吉隆坡11日讯)林叶资本(TSRCAP,5042,主板建筑股)与2家公司的股东代表达成协议,共同把资产注入一家特别用途公司(SPV),并推动该SPV在马交所挂牌上市。

根据文告,公司今日与莫哈末奥曼和拿督斯里普鲁斯托曼,签署了协议备忘录。

普鲁斯托曼及莫哈末奥曼,分别是Dynamic Engineering & Plant Services(简称DEPSSB),还有Newwin Engineering(马)私人有限公司(简称NESB)所有股东的代表。

根据协议,各方将共同设立一家特别用途公司,并通过并购NESB和DEPSSB的方式,整合各方资产、资源和优势。

林叶资本指出,该协议符合公司推高净利、提升业务永续能力,以及提高股东价值的方针。

多元化至油气业

“这项并购活动将有助公司进军油气领域,来多元化业务。”

NESB是一家土著承包商,目前持有国家石油(Petronas)所发出的执照。

该公司具备25年业务经验,并有资格及能力为油与其他大马油气公司,提供厂房维修和其他服务。

新项目第3季入账 林叶全年营收料成长

(吉隆坡21日讯)在新项目未產生盈利並要支出初始费用的情况下,林叶资本(TSRCAP,5042,主板建筑股)首季净利大跌,次季预料仍將持稳。不过,相信新项目从第3季开始入账,全年营业额料可获得成长。

林叶资本2016財政年首季(截至3月31日止)净利大跌72%,至96万9000令吉;营业额则下滑4%,至3148万令吉。

该公司首席財务员吴剑强在股东大会后对记者表示,该公司目前的订单为8亿6270万令吉,可让公司忙上3年。

该公司的营业额贡献来源主要是建筑业务,去年占总额的70%。

吴氏指出,由於建筑领域蓬勃,有许多大型合约如捷运(MRT)、轻快铁(LRT)等项目开放投標,因此相信建筑业务的贡献將会成长。

竞標70亿合约

另外,该公司竞標的合约总值70亿令吉,公司过往的中標率为10%。

针对目前建筑业务赚幅收窄的问题,吴剑强表示,该公司竞標的项目多需要经过预审,并过滤不符合资格的公司。如新街场-淡江高架大道(SUKE)的合约,符合资格的公司並不多。

「另外,並非出价最低就可中標,在这情况下,中標公司的赚幅亦有一定的保障。」

谈及房產市场目前市况,他表示,目前市况低迷,原本计划在6月份推出的Enstek项目亦展延至今年底。

今年杪计划推出3个项目,发展总值合计为7亿8600万令吉。若加上已推出及未来將推出的所有项目,发展总值则达14亿9600万令吉。

另一方面,林叶资本日前宣佈与Newwin工程(马)和Dynamic工程签署协议备忘书(MOA),通过联號公司进军油气领域。

他指出,有关联营目前仍在评估阶段,有6个月时间来做评估。在这协议下,该公司与合作伙伴提供维修相关服务。

林叶扩大產业投资 买地发展办公楼

(吉隆坡2日讯)在產业领域低迷的当儿,林叶资本(TSRCAP,5042,主板建筑股)继续扩大对该领域的投资,將以4810万令吉购入珍珠白沙罗(Mutiara Damansara)土地,以进行商业產业发展。

林叶资本在今日召开的股东特大上,通过投资控股公司一姻(Satu Kahwin),进而將后者在珍珠白沙罗地区所拥的一块空置土地收归囊中的议案。该集团主席兼独立非行政董事丹斯里拿督莫哈末诺尔会后称,有89.1%的投票股东赞同上述收购提案,反对的股东票数则佔10.9%。

林叶资本首席財务员吴剑强表示,该集团计划购入的土地面积为1.255英亩,或5万4660平方尺,每平方尺的收购价为880令吉。林叶资本打算將这片空地发展成以办公室为主的商业建筑,根据未確定的初步计划,这个项目包括了2栋分別高达19楼及11楼的办公大厦,还有4层楼的底层停车场。

依照產业估价公司--第一太平洋(First Pacific)的计算,上述潜在商用產业项目总值1亿8000万令吉,而吴剑强相信,这是个被低估的价格。他认为,这片土地的发展前景上佳,在位置上拥有数个优势。

「第一,The Curve商场一带提供了大量的廉宜停车位,某些停车位的收费低至每天4令吉;第二,这片土地正好落在即將完成的捷运(MRT)站步行距离內;第三,交通四通八达,从白沙罗高原(Damansara Height)、满家乐(MontKiara)与金地花园(Hartamas)等地驱车抵达只需5到10分钟,对在上述地点的外国工作人士极具吸引力。」

他补充道,林叶资本所拥的TSR大厦就与上述空地毗邻,而TSR大厦內的办公单位租用率超过90%,租户多是国际公司,如华纳音乐(Warner Music)与现代(Hyundai)。

除了珍珠白沙罗產业项目,林叶资本亦在波德申建设海滨综合產业项目,涵盖商店、酒店与高级公寓,总值12亿至15亿令吉。

建筑业务仍是主力

此外,吴剑强透露,建筑部门仍是林叶资本的主力,贡献该集团80%的营业额,而其余20%营业额则来自產业发展部门。目前,林叶资本手握总值8亿令吉的未履行合约,如总值2亿7000万令吉的桂沙白沙罗(Kwasa Damansara)项目相关合约,以及总值1亿令吉的捷运第2(MRT2)沙登部份相关合约等,足以维持3到4年。

同时,林叶资本亦在竞標总值50亿令吉的建筑合约,包括更多捷运及轻快铁相关合约,还有新街场─淡江高架大道(SUKE)及白沙罗莎阿南大道(DASH)等相关合约。

「我们放眼贏获其中的10%合约。」当被询及集团前景时,吴剑强仅表示,现时建筑领域表现依旧强劲,林叶资本对自身前景保持乐观。

对於此前林叶资本打算进军下游油气业务一事,吴剑强称,该集团在5月已经与Dynamic Engineering&Plant Services公司及Newwin Engineering公司签署协议备忘录(MOA),目前在进行精密审查阶段,预计要在9月尾才会有结果。【东方网财经】

We refer to the Company’s previous announcements in relation to the litigation with Permodalan Kedah Berhad.

The Company had on 11th November 2016 received the Settlement Agreement executed by Permodalan Kedah Berhad (“PKB”), TSR Bina Sdn Bhd (“TSRB”) and Jalur Canggih Sdn Bhd (“JCSB”) for the settlement of the debts owing by PKB to TSRB and JCSB and the Joint Venture agreement signed by the Parties dated 28 April 2002.  

The salient terms and conditions of the Settlement Agreement (“SA”) are as set out below.

1. Utilisation of Sales Consideration from the SPA
As announced on 22nd March 2016, PKB had entered into a Sale and Purchase Agreement (“SPA”) with S.S.L. Associates Sdn Bhd (“the Purchaser”) for the disposal of the JV Land for a total cash consideration of RM15,200,000. Pursuant thereof, PKB shall utilise its share of the sale consideration amounting to RM4,560,000 to partly settle the debts owing to TSRB and JCSB.

2. Variation of terms and conditions of the SPA between PKB and the Purchaser
PKB had signed a Letter of Mutual Confirmations, Covenants and Undertaking (“the said Letter”) with the Purchaser to vary certain terms and conditions of the SPA.

The salient variation include, among others, the followings:-
i) The time and manner for payment of the balance sale consideration
  • The Purchaser shall pay the difference sum of RM5,000,000.00 (“the Difference Sum”) on or before 27th September 2016 to PKB and shall forward a Letter of Undertaking from Maybank Berhad addressed to PKB in respect of the release of the loan sum of RM5,000,000.00 towards the payment of the balance sale consideration on or before 27th September 2016.
  • The balance sum of RM3,680,000.00 being final balance payment of the sale consideration shall be held by the Purchaser as Retention Sum pending the vacant possession to be delivered to the Purchaser and upon PKB fully completed complied and performed terms and conditions as stated in the said letter.

ii) The Assessment sum
The Purchaser is allowed and is entitled to deduct and set-off a sum of RM475,200 (“the assessment sum) which has been paid and advance by the Purchaser for and on behalf of PKB to settle the Assessment chargeable for the JV Land by the local authority.

iii) Completion date of the Sale and Purchase Agreement

The new extended Completion Date of the SPA shall be one (1) month after the JV Land is transferred to the Purchaser and charge to Maybank Berhad.

3. The time and manner for payment of the debts owing by PKB under the SA
The outstanding debts, including late interest, owing by PKB to TSRB as at 1st January 2016 amounting to RM13,290,816.38 shall be settled as follows:-
i)   RM258,291.93 shall be paid upon execution of the Settlement Agreement;

ii) PKB shall pay RM3,456,000 to TSRB being its share of the sale consideration i.e. RM4,560,000 after deducting the PKB’s share of retention sum i.e. RM1,104,000; and

iii) The balance debts amounting to RM9,576,524.45 shall be paid by :-
a) instalments from October 2016 to January 2018 with late interest bearing on the outstanding balance at 5% per annum; and
b) upon release of the retention sum by the Purchaser.
c) PKB may be given late interest rebate of 2% per annum should PKB make the  payment promptly according to the instalment schedule.

Copy of Settlement Agreeement is available for inspection at the registered office of TSR at Level 16, Menara TSR, No. 12, Jalan PJU 7/3, Mutiara Damansara, 47810 Petaling Jaya, Selangor Darul Ehsan during normal office hours from Mondays to Fridays (except public holidays) for a period of 3 months from the date of this announcement.

林叶资本获东海岸铁路1.2亿合约

(吉隆坡15日讯)林叶资本(TSRCAP,5042,主板建筑股)宣布,获得东海岸铁路工程配套合约,总值1亿1974万令吉。

该公司向交易所报备,通过独资子公司TSR BINA私人有限公司,获得东海岸经济区域发展协会(ECERDC)颁发合约。

据合约内容,该子公司将负责建筑和完成关丹港口城市(KPC)连接道路中的3B工程配套。

该工程配套内容包括从CH9500至第二东海岸大道(LPT2)的建议道路,包括收费站、交汇处、及第二期马中关丹产业园区内路和排水导管。

这项工程会在接管工地后开工,需在130个星期完成,为2017至2019财年贡献盈利。【e南洋】

Letter of Acceptance issued by East Coast Economic Region Development Council
The Board of Directors of TSR Capital Berhad (“TSR” or “the Company”) is pleased to announce that its wholly owned subsidiary, TSR Bina Sdn Bhd, has on 15th March 2017 accepted the Letter of Acceptance from East Coast Economic Region Development Council (“ECERDC”) for a project known as “Proposed Construction and Completion of the KPC Port Link Road in Kuantan Port City, Pahang Darul Makmur For the ECERDC Package 3B – Proposed Road From CH9500 to LPT 2 Including Toll Plaza, Trumpet Interchange, MCKIP (Phase 2) Inner Road and Drainage Diversion Works" for a contract sum of RM119,740,000 (“the Project”).

The Project’s construction period is 130 weeks commencing from the date of site possession.

Barring any unforeseen circumstances, the Board of Directors of TSR is of the opinion that the Project will contribute positively to the earnings of the Group for the financial years ending 2017 through 2019.

None of the Directors or substantial shareholders of TSR or persons connected with them has any direct or indirect interest in the Project.

(吉隆坡16日讯)林叶资本(TSRCAP,5042,主板建筑股)与Terusan Al-Maju私人有限公司和Globe Venture控股签署了解备忘录(MOU),联手在浮罗交怡兴建度假村,发展总值为32.5亿令吉。

林叶资本晚间宣布,在面对蓝色安达曼海,约76英亩的优质地段,发展“浮罗交怡BEACON”。

这个发展项目位于浮罗交怡的St Regis酒店旁边,打造为最佳综合旅游发展项目,拥有家庭休闲娱乐的完善设施。

PROPOSED MIXED DEVELOPMENT IN LANGKAWI, STATE OF NEGERI KEDAH DARUL AMAN
1.       INTRODUCTION
The Board of Directors of TSR Capital Berhad (“TSR” or “the Company”) wishes to announce that the Company has on 16th March 2017 entered into a Memorandum of Understanding (“MOU”) with Terusan Al-Maju Sdn Bhd (“Terusan”) whereby the MOU is intended to set the terms governing the collaboration between the parties with respect to a proposed mixed development project on the lands measuring approximately 76 acres situated at Langkawi, State of Negeri Kedah Darul Aman (“Development Land”).

2.       INFORMATION ON TERUSAN
Terusan was incorporated in Malaysia on 9 May 2002. The authorised share capital and paid-up capital of Terusan is RM1,000,000.00 comprising 1,000,000 ordinary shares of RM1.00 each.
Terusan is principally involved in the property investment and the registered and beneficial owner of the Development Land.

3.       SALIENT TERMS OF THE MOU
3.1  The Parties agree that they shall, if necessary, form and establish a joint venture company to undertake the Mixed Development for the Parties. A Joint Venture Agreement shall be entered to specify their obligation and responsibilities, rights and liabilities pertaining to the proposed Mixed Development.
3.2  The Parties agreed to share the assets and liabilities, development cost, profit and loss and the rights and responsibilities in the proposed Project in accordance to 60% (Terusan) and 40% (TSR).

4.       DURATION OF THE MOU
The MOU shall remain in force for one (1) year subject to such extension of time as may be mutually agreed upon.

5.       RATIONALE AND PROSPECT OF THE MOU
The rationale for the MOU is for TSR to develop the Development Land into a high-end mix properties development that consist of residential, resort and hotels, commercials and corporate buildings tailor to tourism and service industry.

6.       DIRECTORS’ AND/OR MAJOR SHAREHOLDERS’ INTEREST
None of the Directors and/or major shareholders of the Company and/or persons connected with them have any interest, direct and indirect, in the MOU.

林叶资本和美Terafox拟联手开发森州23亿房产

(吉隆坡22日讯)林叶资本(TSRCAP,5042,主板建筑组)与美国纳斯达克OTC市场上市公司Terafox计划联手开发森美兰房产项目,预计项目发展总值达23亿令吉。

该公司发文告说,独资子公司林叶海洋公园(TSR Ocean Park)已和Terafox属下环球投资控股(Globe Venture Holdings)签署备忘录。

两造将在波德申滨海区逾60英亩土地开发综合房产项目,包括住宅、酒店、展览中心、商店等。

配合上述宣布,林叶资本早盘停牌一小时,并于10时12分恢复交易,全天跌3仙,收报78.5仙。

1.       INTRODUCTION
The Board of Directors of TSR Capital Berhad (“TSR” or “the Company”) wishes to announce that TSR Ocean Park Sdn Bhd ("TSROP"), a wholly-owned subsidiary of the Company, has on 20th May 2017 entered into a Memorandum of Understanding (“MOU”) and a Memorandum of Agreement ("MOA") with Globe Venture Holdings Inc. (“GVHI”) whereby the MOU is intended to set the terms governing the collaboration between the parties with respect to a proposed mixed development project on the sea fronting land with the size of over  52.2 acres  situated at PD Waterfront, Port Dickson, Negeri Sembilan Darul Khusus (“Development Land”) and MOA to jointly develop the proposed water chalet resort that to be built in part of the Development land.

2.       INFORMATION ON GVHI
GVHI was incorporated in the State of Nevada, United States of America under the Nevada Revised Statues and having its principal business address at 242A West Valley Brook Road, Califon, New Jersey NJ 07830 United States of America. GVHI is a wholly-owned subsidiary of Terafox Corp. Terafox Corp is incorporated in the State of Nevada, United States of America and is SEC Reporting Public Company and is listed on USA OTCQB Markets.
GVHI is a leading global provider of institutional and private client wealth management solutions, including asset management, investment processing and investment operations.

3.       SALIENT TERMS OF THE MOU
3.1  TSROP is developing the Development Land into a mixed high-end properties ("the Mixed Development”) that consists of residential, resorts and Hotels, commercials and corporate buildings tailor to tourism and services industry.
3.2  GVHI and TSROP are desirous to establish a developer and investor or venture partner cooperation relationship in relation to the Mixed Development. Part of the Mixed Development will be design, construct and manage/operate in such a manner and concept acceptable to GVHI and GVHI shall enter separate agreement with TSROP containing mutually agreeable terms and conditions specific to each activity (herein defined as `“Joint Development Activity”) which shall be discussed in an on-going basis at considerations to be agreed upon at the appropriate time.

4.       SALIENT TERMS OF THE MOA
4.1 GVHI has identified and interested to jointly develop with TSROP the proposed water chalet resort (the “Chalet Development”) that to be built in the land title PT747 HSD38706 and part of PT818 HSD38604,Town of Bandar Port Dickson , District of Port Dickson, State of Negeri Sembilan on the approximately land size of 6.85 acres(the “Chalet Land”).
4.2  The Parties intend to incorporate a Special Purpose Vehicle ("SPV")to undertake the development of Chalet Development. TSROP and GVHI shall inject their equity and/or advances according to their Agreed Proportion. The Parties agreed to share the equity shareholding for the proposed Chalet accordance to 51% (TSROP) and 49% (Globe Venture).  
4.3 TSROP shall execute the memorandum of transfer of title or power of attorney of the Chalet Land in favour of the SPV. The SPV shall, in return, pay the purchase consideration to TSROP at terms and conditions to be agreed upon by the Parties.

5.       DURATION OF THE MOU and MOA
The MOU shall remain in force for one (1) year and MOA shall remain in force for 6 months, subject to such extension of time as may be mutually agreed upon.

6.       RATIONALE AND PROSPECT OF THE MOU and MOA
The MOU and MOA would provide an opportunity for TSROP to bring in GVHI to invest or jointly develop part of the Development Land. It also provide opportunity for the Parties to cooperate, pool resources and utilize the Parties’ strength to jointly develop part of the Development Land

7.       DIRECTORS’ AND/OR MAJOR SHAREHOLDERS’ INTEREST
None of the Directors and/or major shareholders of the Company and/or persons connected with them have any interest, direct and indirect, in the MOU and MOA.
