寻外资伙伴发展海洋城 林叶提高房產业务比重

(吉隆坡29日讯)林叶资本(TSRCAP,5042,主板建筑股)计划为旗下波德申海洋城(PD waterfront)寻觅外国策略投资伙伴,同时將继续以联营方式开拓旅游相关房產。另外,该公司计划將房產业务占营业额贡献比重从目前的20%,提高至50%。

林叶资本执行董事东姑慕斯达法表示,波德申海洋城预计得耗时20年才能完成,但获得外资参与,该项目的的发展时间料缩短至8-10年。

「与外国投资者合作可带来2大好处,即融资方便和人际网络。」

他解释说,由于外国投资者业务颇具规模,如大型的旅行社团可大幅提高该公司旗下旅游房產或酒店的需求。

现阶段该公司已与中国、香港、韩国和美国的投资者洽谈。

他指出,林叶资本的目標是將建筑和房產业务对营业额的贡献比重从目前的80:20,平均分佈为50:50,惟目前还没有確切达標时间。

慕斯达法坦言,国內房產业务虽有好转,但市况仍不振,因此將会在產业市场復甦后才能达到该目標。

另一方面,林叶资本首席財务员吴剑强表示,该公司目前手握总值8亿5000万令吉的建筑合约,足以让公司忙碌3至4年。

同时,公司也正竞標总值31亿令吉的建筑工程,其中25亿令吉属于基建工程,其余为高楼建筑工程,而过往得標率为10%。

吴剑强也说,该公司短期內仍將专注建筑业务,尤其来自政府和政府关联的建筑工程,因为可確保账款能收回。

对于发展策略,吴氏表示,该公司仍將继续专注旅游產业的利基市场,而未来料继续探討以联营方式推出房產项目。

目前,该公司地库面积为50英亩。

询及该公司是否將恢復派息,吴剑强指出,若业绩持续改善,林叶资本管理层將考虑派发股息,但该公司仍在成长,需要保留资金发展產业业务,因此將审视派息的可能。

短期不集资

儘管该公司负债率为0.79倍,但该公司没有发新股集资的打算,仅表示目前並不缺资金,因此短期內將不会发股集资。

展望今年,吴氏认为,林叶资本现財政年的营业额按年料可获得双位数成长,而该公司的净利赚幅预计可持稳。【东方网财经】



TSR大厦购兴浓
林叶资本不抗拒脱售

(吉隆坡1日讯)林叶资本(TSRCAP,5042,主板建筑股)对于脱售其在珍珠白沙罗镇的TSR大厦(Menara TSR)持开放态度,并发眼脱售所得可用于未来产业发展项目。

林叶资本独资子公司TSR Ocean Park私人有限公司秘书兼董事吴金强(译音),日前在年度股东大会上这么说。

他说:“我们从未刊登广告出售建筑物,但代理却一直接触我们,反映购买意愿。”

出租率94%

“该办公楼地处战略位置。如果你的产业处在吉隆坡市中心,就可能不会接获这么多查询。”

Menara TSR 2014年次季建竣,共16层,出租率高达94%。

吴金强指出,目前该公司没有官方数据可显示,但参照代理商所提出的市场估值,Menara TSR的价值约1亿7000万令吉。

“若价格合宜,且顾客愿意为产业支付溢价,那么,我们没理由关闭谈判的大门。”

“然而,我们并不急于脱售该楼。我们仍在向租户征收租金;倘若将它卖掉,可用脱售所得去发展另一座楼。”【e南洋】

ACQUISITION AND SUBSCRIPTION OF SHARES IN PEARL BOULEVARD SDN BHD
The Board of Directors of TSR Capital Berhad (“TSR” or “the Company”) wishes to announce that TSR Ocean Park Sdn. Bhd. ("TSROP"), a wholly owned subsidiary of the Company had on 24 August 2017 acquired and subscribed 40,000 ordinary shares in Pearl Boulevard Sdn. Bhd. (1056118-U) (“PBSB”) for a cash consideration of RM40,000.00 (Ringgit Malaysia Forty Thousand) only representing 40% of the total paid up share capital of PBSB.

PBSB was incorporated on 26 July 2013. PBSB has an issued and paid-up share capital of RM100,000.00. PBSB currently is a management firm for D'Wharf Hotel & Serviced Residence.

The Purchase Consideration was arrived at on a “willing buyer willing seller” basis. The Purchase and Subscription Consideration will be paid in cash from internally generated funds.

The Acquisition and Subscription give TSROP a partial control over the management of D'Wharf Hotel & Serviced Residence.

Upon completion of the Acquisition and Subscription, PBSB will become an associate company of TSR.

The Acquisition and Subscription are not subject to the approval of shareholders of TSR.

The Acquisition and Subscription will not have any material effect on TSR Group’s earnings, net assets per share, gearing, share capital and substantial shareholdings structure for the financial year ending 31 December 2017.

En Rahaimi Bin Abdul Rahman and Mr Ng Kim Keong are directors of TSROP and PBSB.

None of the directors and/or major shareholders’ and/or persons connected with them have any interest, direct or indirect, in the Acquisition.

The Directors of TSR are of the opinion that the Acquisition and Subscription are in the best interest of the TSR Group.

发展雪州3亿住宅项目

(吉隆坡21日讯)林叶资本(TSRCAP,5042,主板建筑股)获Kwasa置地私人有限公司委任为发展伙伴,共同打造发展总值约3亿令吉的住宅项目。

林叶资本今日向交易所报备,该公司获得Kwasa置地颁发得标书,携手在雪兰莪州Kwasa白沙罗(Kwasa Damansara)城镇占地6.52英亩的土地,兴建260个单位住宅项目,包括高档公寓、排屋、洋房和别墅。

根据得标书,林叶资本须与Kwasa置地签署发展权协议。

如无意外,这项合约料贡献林叶资本的未来净利和净资产。【e南洋】

Letter of Award from Kwasa Land Sdn Bhd
The Board of Directors of TSR Capital Berhad (“TSR” or “the Company”) is pleased to announce that the Company had accepted the Letter of Award (“LoA”) from Kwasa Land Sdn Bhd as its development partner to develop the proposed residential development on 6.52 acres of land in Kwasa Damansara Township, District of Petaling, Selangor (“the Award”).

The proposed development is expected to have an estimated Gross Development Value of RM295 million and will consist of 260 residential units with five development components, namely Link Villas, Cluster Villas, Exclusive Villas, Town Villas and Condominium. The LoA shall be subject to the execution of a Development Rights Agreement with Kwasa Land Sdn Bhd.

Barring any unforeseen circumstances, the Board of Directors of TSR is of the opinion that the Award will contribute positively to the Group’s future earnings and net assets.

None of the Directors or substantial shareholders of TSR or persons connected with them has any direct or indirect interest in the Award.

1. INTRODUCTION
The Board of Directors of TSR (“Board”) wishes to announce that the Company had on 18 January 2018, incorporated a wholly-owned subsidiary, TSR Development Sdn Bhd (“TSRD”), by subscribing for two (2) ordinary shares, representing the entire issued share capital of TSRD (“the Subscription”).

2. INFORMATION OF TSRD

The above Subscription will not have any material effect on the share capital, earnings per share, net assets per share, gearing and substantial shareholders’ shareholdings in the Group for the financial year ending 30 June 2018.

5. RATIONALE OF THE SUBSCRIPTION
The subscription is in line with the long term strategic plans of the Group.

6. DIRECTORS’ AND MAJOR SHAREHOLDERS’ INTEREST
None of the directors or major shareholders of TSR or persons connected with them has any interest, direct or indirect, in the Subscription, except for Dato’ Wan Abd Razak Bin Ismail and Mr. Lim Dian Hoong, the Directors of the Company, who are also the Directors of TSRD, representing the interest of the Company in TSRD.

7. DIRECTORS’ STATEMENT
Having considered all aspects of the Subscription, the Board is of the opinion that the Subscription is in the best interest of the TSR Group.

The Subscription is not subject to the approval of the shareholders of TSR and any relevant authorities.

We refer to our announcement on 21 December 2017 in relation to TSR's acceptance of the Letter of Award from Kwasa Land Sdn Bhd ("Kwasa Land") for the development rights of the development plot at Kwasa Damansara Township, District of Petaling, Selangor Darul Ehsan ("Development").

The Board of Directors of the Company is pleased to announce that TSR Development Sdn Bhd ("TSRD"), a wholly-owned subsidiary of TSR, had on 10 April 2018, entered into a Development Rights Agreement ("Agreement") with Kwasa Development (3) Sdn Bhd ("KD3") for the Development.  KD3 is a wholly-owned subsidiary of Kwasa Land, which in turn is a wholly-owned subsidiary of the Employees Provident Fund.

The Development, which will consist of two hundred and sixty (260) units of residential properties that include link villas, cluster villas, exclusive villas, town villas and condominiums, will have a gross development value (GDV) of RM295 million.

The Development is expected to be completed within six (6) years in 2024.

The Development plot measuring 6.52 acres has a green connectivity to one of the largest park of approximately 42 acres in Kwasa Damansara encompassing a 13.6-acre lake. The Development is located North-West of the future town centre with two (2) MRT stations are within 2km radius.

In consideration of the development rights, TSRD shall pay KD3 the following, subject to the terms and conditions as stated in the Agreement:-
a) The Development Rights Value I for the development rights over the Development totalling Ringgit Malaysia Thirty Nine Million Seven Hundred Sixty One Thousand FIve Hundred and Sixty Eight (RM39,761,568.00); and

b) The Development Rights Value II for the development rights over the Development Area at a sum which is equivalent to six point five per centum (6.5%) of the Gross Sales Value.

Description
TSR Capital Berhad ("TSR" or "the Company")- Commencement of Legal Action
Reference is made to Company’s previous announcement on 11 November 2016 in relation to the settlement agreement with Permodalan Kedah Berhad (“PKB" or "the Defendant”).

The Company wish to announce the commencement of legal action between its wholly owned subsidiary, TSR Bina Sdn Bhd (“TSRB”) and TSRB’s 70% owned subsidiary, Jalur Canggih Sdn Bhd (“JCSB”) (collectively known as “ the Plaintiffs”) with PKB in connection with the claim for the outstanding debts owing by PKB.

PKB has breached the settlement agreement as they have failed to fully settle the outstanding debts as per the settlement agreement. The outstanding debts owing by PKB amounting to RM11,502,108.44 plus the interest payable (“Outstanding Debts”).

The Plaintiffs therefore brought a suit against the Defendant for breaching the settlement agreement. The Plaintiffs has instructed its solicitor to file a Writ of Summons and Statement of Claims to The High Court of Malaya at Kuala Lumpur in order to recover the Outstanding Debts.

The Court has fixed a case management on 26 November 2018.

(“the Employer”) in respect of the main contract work for a shopping complex project known as “Cadangan Membina 1 Blok Bangunan Podium Kompleks Membeli-belah 8 Tingkat Di Fasa 2, Di atas Lot 795, 796, 797, 799, 800, 20007, 20008 & Sebahagian Lot-Lot 743, 746, 802, 803, Mukim Bandar Kuala Lumpur, Daerah Kuala Lumpur, Wilayah Persekutuan” for a contract sum of RM676.8 million (excluding sales and service tax) (“the Contract”).

The shopping complex to be constructed forms part of the integrated development undertaken by PNB Merdeka Ventures Sdn Bhd known as Merdeka 118, comprising amongst others the PNB118 Tower, the Park Hyatt Hotel, and an observation deck.

Following the acceptance of the Contract, TSRB and WCTB shall in due course form an incorporated joint venture company in the ratio of 49:51 respectively to undertake the Contract.

The scope of works for the Contract generally includes the construction and completion of an 8 level shopping complex podium, including the architectural works for the basement, retail area, residential drop-off and core, tower link bridge and external works.

The Contract is expected to commence on 2 January 2019 and completed within 30 months (2½ years) from the commencement thereof.

Barring any unforeseen circumstances, the Board of Directors of TSR is of the opinion that the Contract will contribute positively to the Group’s future earnings and net assets.

None of the Directors or major shareholders of the Company or persons connected with them has any interest, direct or indirect, in the Contract.

The Project is for a duration of 24 months and is expected to be completed by January 2021.

Barring any unforeseen circumstances, the Board of Directors of TSR is of the opinion that the Project will contribute positively to the earnings of the Group for the financial years ending 2019 through 2021.

None of the Directors or major shareholders of the Company or persons connected with them has any interest, direct or indirect, in the Contract.

Letter of Acceptance -Sub-Contract Work for Civil Works for Electrified Double Track from Gemas to Johor Bahru
The Board of Directors of TSR Capital Berhad (“TSR” or “the Company”) is pleased to announce that its wholly-owned subsidiary, TSR Bina Sdn Bhd (“TSRB”) has on 14 January 2019 accepted and executed the Letter of Award (“LOA”) issued by Syarikat Pembenaan Yeoh Tiong Lay Sdn Bhd in respect of the sub-contract work for one of the sections in civil works which includes site clearance and embankment earthwork with all associated works for the Electrified Double Track from Gemas to Johor Bahru project for a sub-contract sum of RM307 million (“the Project”).

The Project is expected to commence in January 2019 and completed by March 2020.

Under the terms of the LOA, TSRB is required to execute the Sub-Contract on or before 30 days from the date of the LOA.

Barring any unforeseen circumstances, the Board of Directors of TSR is of the opinion that the Project will contribute positively to the Group’s for the financial year ending 2019 through 2020.

None of the Directors or major shareholders of the Company or persons connected with them has any interest, direct or indirect, in the Contract.
