On behalf of the Board of Directors of TSR Capital Berhad ("Board"), UOB Kay Hian Securities (M) Sdn Bhd ("UOB Kay Hian") is pleased to announce that TSR proposes to undertake the following proposals: i. the proposed disposal of 70.0% equity interest in U-Ni Magna Sdn Bhd ("UMSB") comprising 700,000 ordinary shares in UMSB ("UMSB Share(s)") for a disposal consideration of RM18,593,195, subject to adjustments, to Ivory Code Sdn Bhd ("ICSB") to be fully satisfied via cash ("Proposed Disposal"); and ii. the provision of financial assistance by TSR to UMSB in the form of corporate guarantee and shareholder advances, in proportion to the equity interest to be held by TSR after the completion of the Proposed Disposal ("Proposed Provision of Financial Assistance"). The Board of Directors (“Board”) of TSR Capital Berhad (“TSR” or “the Company”) wishes to announce the following: The Company has on 24 November 2021 entered into a shares sale agreement (“SSA”) with Lim Dian Hoong (“LDH”), Lim Dian Ping (“LDP”), Lim Dian Wei (“LDW”), Ng Kim Keong (“NKK”) and Puan Sri Datin Wong Chooi Fah (“WCF”) (LDH, LDP, LDW, NKK and WCF shall collectively be referred to as the “Vendors”) in respect of the sale and purchase of 1,000 ordinary shares equivalent  to 100% of the issued and paid-up share capital of BHUB Holdings Sdn Bhd (“BHUB”) (“Sale Shares”), subject to and upon the terms and conditions stipulated in the SSA (“Acquisition”); In view of the interests of certain directors of the Company in the Acquisition as set out in Section 8 of this announcement, the Acquisition is deemed to be a related party transaction pursuant to Paragraph 10.08 of the Main Market Listing Requirements (“Listing Requirements”) of Bursa Malaysia Securities Berhad (“Bursa Securities”).
