（吉隆坡15日讯）黄金佳乐工业（EKIB，7189，主板工业产品股）宣布接获大股东的全面献购建议，出价每股80仙。

根据文告，KimFeng资本私人有限公司今日和大股东兼副执行主席黄国富、Intan吉隆坡私人有限公司、吴秀美（译音）、执行主席丹斯里卡马鲁扎曼、签署股权买卖协议，以2352万令吉，收购黄金佳乐工业的32%股权。

Kim Feng资本原持有15%股权，随着股权收购，将手持的股权推高至47%，触动33%的全购门槛，因而向黄金佳乐工业其余股东，展开强制性全面收购。

折价4.8%

Kim Feng资本出价每股80仙，建议购入黄金佳乐工业尚未持有的其余股权。

每股80仙的价位，将相等于是黄金佳乐工业5日成交量加权平均市价（VWAMP）折价4.8%或4仙。

献购方表示有意维持黄金佳乐工业的上市地位。

（吉隆坡16日讯）独立顾问认为，大股东向黄金佳乐工业（EKIB，7189，主板工业产品股）提出全面献购建议“不公平”，但“合理”，建议股东接受该献议。

独立顾问Main Street表示，每股献购价80仙，比公司截至9月30日的实际净资产价值（RNAV）85仙低5.88%。

维持上市地位
同时，相较1、3和6个月的交易量加权平均市价（VWAP），献购价也折价2.44%至8.05%，因此认为出价对股东来说不公平。

不过，该股截至去年12月的1年内成交量偏低，所以这为股东带来立即脱售股票的机会，因此给予“合理”的建议。

此外，董事部并无获得竞购股票的建议。

今年1月，黄金佳乐工业宣布，接获大股东的全面献购建议，出价每股80仙。

冀大股東調高收購價 EMASKIARA工業漲7仙

（吉隆坡12日訊）EMASKIARA工業（EKIB，7189，主要板貿服）投資者寄望大股東調高收購價，刺激該股一度大漲20仙或19%至1.26令吉，為十大上升股之一。

EMASKIARA工業今早以微揚4仙至1.10令吉開跑，交易3分鐘后，漲幅突然擴大至超過10仙，盤中最高漲20仙至1.26令吉；休市時該股報1.24令吉，漲18仙，交投25萬2500股；閉市時，該股掛1.13令吉，漲7仙，成交量94萬3000股。

《The Edge財經日報》網站引述一名股票經紀指出，投資者或冀望大股東Kim Feng資本將調高收購價每股80仙，或是收購方增持股權至觸及無條件獻購。

他說，目前有兩造人馬正在累積該公司持股。以目前EMASKIARA工業股價已被追高至超越收購價的52.5%來看，一組是冀望大股東調高收購價的。

同時，他也留意到該公司董事正累積持股；根據馬證交所報備文件，該公司執行董事黃亮強（譯音）在3月7日，以每股1.12令吉購進92萬9000股，或相等于1.01%股權，總值104萬令吉。

早前獨立咨詢商MainStreet Advisers指Kim Feng資本的出價每股80仙，雖合理但不公平。

麦斯凯莱出价7600万收购Cocoa Valley

（吉隆坡15日讯）麦斯凯莱工业（EKIB，7189，主板贸服股）今天宣佈，以7600万令吉，收购Cocoa Valley公司，及提高公司的註册资本。

麦斯凯莱工业今天发文告说，和Kim Feng资本私人有限公司签署一项有条件股权买卖协议，收购Cocoa Valley发展私人有限公司的所有股权。

该公司建议，以7600万令吉的价格收购Cocoa Valley公司，但会通过发股来完成交易。该公司將以每股1.16令吉发出大约6550万股。

配合是项收购，麦斯凯莱工业建议將其註册资本，从目前的5000万令吉提高至5亿令吉。然后便会修改公司章程。

Cocoa Valley是一家產业发展公司，麦斯凯莱工业指出，买下Cocoa Valley可进一步扩大本身的產业业务规模，並且获得柔佛哥打丁宜，总面积为461英亩地皮的发展权。
