EMAS KIARA INDUSTRIES BERHAD ("EKIB" OR "COMPANY")(I)        PROPOSED ACQUISITION;(II)        PROPOSED INCREASE IN AUTHORISED SHARE CAPITAL; AND(III)        PROPOSED AMENDMENT(COLLECTIVELY REFERRED TO AS THE "PROPOSALS")
We refer to the announcement made on 15 April 2016 in relation to the Proposals (“Announcement”). For consistency purposes, the defined terms set out in the Announcement shall apply herein, unless otherwise defined herein.

On behalf of the Board, Kenanga IB wishes to announce that the Valuer had, vide its letter dated 20 May 2016, informed EKIB that it has revised the market value of the Development Rights from RM260.0 million as stated in the Announcement (“Initial Market Value”) to RM240.0 million (“Revised Market Value”), after taking into consideration, amongst others, that the decision for the proposed allocation of Malay Reserve to be 50% of selected components of the Development (“Proposed 50% Allocation”) was not stated in the Development Forms 5A issued for the Development. As the approval for the Proposed 50% Allocation is still pending, the market value of the Development Rights has been revised to be based on the existing approval of 30% Malay Reserve across all components of the Development.

Notwithstanding the above, the Purchase Consideration remain unchanged as it is still at a discount to the pro forma realisable net assets value (“RNAV”) of CV Development after the completion of the acquisition of the Development Rights as set out below:

EMAS KIARA INDUSTRIES BERHAD

Kindly be advised that the Company has changed its name to “MB WORLD GROUP BERHAD”.  As such, the Company's shares will be traded and quoted under the new name with effect from 9.00 a.m., Thursday, 9 June 2016.


The Stock Short Name will be changed as follows:-

MB World以1860万售柔佛19个公寓单位

(吉隆坡16日讯)MB World Group Bhd计划以1860万令吉,脱售柔佛新山Pinnacle Tower的19个服务式公寓单位,为集团创造收入和现金流。

出售事项将由其产业发展子公司MB Max私人有限公司进行,即同时与各买家(4公司和2个人)签署独立的租赁协议。

之后,MB Max将向买家租用该产业两年,以便两年的年租金回酬可达7%。

Pinnacle Tower的发展总值为2亿6460万令吉,由MB Max耗资1亿8050万令吉发展,发展盈利估计为8410万令吉。

这38层高,拥273个单位的商业发展,预计在2017年6月完成。

MB World指出,该脱售计划的目的是支付Pinnacle Tower的发展成本和MB Max的营运资本。

该公司向大马交易所报备时说:“脱售Pinnacle Tower的服务式公寓是MB Max的日常业务程序。因此,该计划将为集团创造收入和现金流。”

Query Letter Contents
We refer to your announcement dated 16 June 2016 in respect of the abovementioned matter.
In this regard, kindly furnish Bursa Malaysia Securities Berhad ("Bursa Securities") with following additional information for public release:-
1.         The date on which the terms of the Proposed Disposals were agreed upon.
2.        The time and place where the draft SPAs and Tenancy Agreements may be inspected,   and the period during which the said agreement may be inspected.
3.         The estimated time frame for fully utilisation of proceeds arising from the Proposed Disposals.
4.         The estimated time frame for completion of the Proposed Disposals.
ADDITIONAL ANNOUNCEMENT IN RELATION TO THE PROPOSED DISPOSAL

Further to the Company’s announcement on 16 June 2016 in relation to the Proposed Disposal, MB World Group Berhad (formerly known as Emas Kiara Industries Berhad ("MB World" or “the Company”) wishes to announce the following additional information:-
  • The terms of the Proposal Disposal were agreed upon on 16 June 2016.
  • The draft SPAs and draft Tenancy Agreements are available for inspection at the Registered Office at Suite 5.11 & 5.12, 5th Floor, Menara TJB, No. 9, Jalan Syed Mohd. Mufti, 80000 Johor Bahru, Johor from Monday to Friday (except public holidays) during normal business hours for a period of 3 months from the date of the Announcement.
  • The Disposal Consideration is intended to be utilised for payment of development cost for the Pinnacle Tower and working capital requirements of MB Max Sdn. Bhd. during the construction period of the Pinnacle Tower, i.e. up to the 4th quarter of 2017 when the development cost for the Pinnacle Tower is estimated to be fully settled. The final 5% of the purchase price as illustrated in the Instalment Schedule which amount to RM1.33 million in relation to the Disposal Properties is proposed to be utilised for MB Max Sdn. Bhd.'s working capital requirements within 6 months from the date on which they are released to MB Max Sdn. Bhd. by the solicitors.
  • Barring any unforeseen circumstances, the Proposed Disposal is expected to be completed by the 4th quarter of 2017 upon completion of the Pinnacle Tower and subsequent delivery of vacant possession of the Disposal Properties to the Purchaser.

This announcement is dated 21 June 2016.
