The company wishes to announce that bursa Malaysia securities bhd(BM) had at 6pm on 8.5.2015 issued a directive for the company to announce that the company had triggered rules 2.1(b) and (c)  of GN 3 based on the company 's Q4 2014 results. Further to that,  the high Court had on 11.5.2015 heard the company 's application and granted an ad interim injunction to restrain BM to implement the reclassification of the company. The ad interim injunction will be enforceable and binding until the High Court makes a decision at 4pm on 18.5.2015.

（吉隆坡12日訊）斯康聯合（SCN，0135，創業板科技組）不服大馬股票交易所要求該公司列入GN3陷困公司名單的指示，已正式起訴交易所。

指業績觸犯條例
斯康聯合發表文告說，交易所上週五（8日）傍晚6時發出指示，鑒於該公司2014財政年第四季業績觸犯GN3條例2.1（b）和（c），須列為GN3公司。

該公司解釋說，由於公司秘書當天離職，因此該公司並未依照交易所指示發出GN3文告。

不過，該公司強調，他們並不同意交易所的指示，已經委任Messrs lim，chong，phang & Amy律師樓採取法律行動，於星期日（10日）入稟，要求交易所廢除上述指令，並尋求賠償。

高庭18日判決
高庭昨日聆審後，已經發出禁令，禁止交易所將該公司列為GN3公司，直到高庭於下週一（18日）下午4時判決為止。

交易所數據顯示，截至2014年12月31日止第四季，以提供資訊科技保安服務為核心業務的斯康聯合赤字惡化，淨虧損從6萬9千令吉大幅擴至110萬3千令吉，營業額則由749萬4千令吉跌至489萬5千令吉，下滑34.7%。

全天跌1.5仙
斯康聯合今日延續昨日下跌1仙的跌勢，全天下跌1.5仙或25%，收4.5仙，成交量達2千386萬7千600股。

交易所發出GN3指示的前一天（7日），曾向斯康聯合發出“不尋常交投”

（UMA）質詢，當時該公司強調對此事一概不知情。

當天，該股擺脫前一天下跌3仙或30%的跌勢，以平盤價7仙掛收，有1千947萬4千500股易手。


財經小詞典
根據上市條例，如果創業板上市公司一年虧損超過股東基金，而股東基金也低於50%繳足資本，將觸犯GN3條例2.1（b）。

同樣的，如果創業板上市公司連續兩年虧損，總額超過股東基金，第二年虧損達到第一年虧損的50%或以上，加上股東基金低於50%繳足資本，則觸犯GN3條例2.1（c）。

你在看清楚一下，股票所要它自已認公司 是 GN 3，之後不認，認為公司不是 GN 3，所以告上法庭，法庭給了禁令，要等18日後才會告知是否則公司進入 GN 3.
股票所是因為公司第四季的財報而做出了公司已經進入 GN 3的行列了。


剛好它的書記又離職了。呵呵~

外部审计师确认没违例 斯康联合不满列GN3

（吉隆坡14日讯）斯康联合（SCN，0135，创业板）表示，由于外部审计师已确认公司并无触犯GN3条例，所以不满马交所把公司列入GN3名单。

根据斯康联合发给高庭的一项法律文件中指，马交所错误把公司归类为触犯GN3条例公司，并强调公司符合所有上市条例，且外部审计师Baker Tilly Monteiro Heng也证明公司没有触犯该条例。

下周一有判决

5月10日，公司起诉马交所，要求撤销马交易把该公司列入GN3，同时也索取赔偿。

之后，高庭发出一项临时禁令，限制马交所把该公司重新归类，这宗诉讼案高庭将在下周一有判决。

根据斯康联合大股东兼执行董事麥绍伟（译音）发出的法律文件中表示，马交所在没有给予机会斯康联合抗辩的情况下，要求公司发文告宣布已触犯GN3条例的做法，并不公平。

公司在2月27日公布末季业绩时，马交所并无提出疑问，但却在5月5日接获马交所高层电邮，询问公司是否触犯了GN3条例。

斯康联合在5月7日答复马交所表示，根据评估，并没有触犯该条例。

之后，马交所高层也联络公司外部审计师，而后者也确认了斯康联合没有触犯GN3。

不过，马交所却在5月8日发出信函给斯康联合，指公司已触犯该条例，并要求立即发出文告。

股东基金达标

斯康联合指出，在信函中，马交所并无指出触犯GN3条例的原因。

此外，另一名马交所人员表示，若斯康联合不宣布已触犯GN3条例，将会要求公司暂停交易。

根据上市条例，假设股东基金占缴足资本25%比重或更低水平，将触犯GN3条例。

不过，公司截至去年12月31日的资产负债表显示，股东基金达624万令吉，占了缴足资本2000万令吉的31.2%比重。

闭市时，该股下跌0.5仙或10%，收在4.5仙。【南洋网财经】

斯康聯合（SCN，0135，創業板科技組）虧多賺少，股價浮浮沉沉，剩下不到5仙，股東也大手賣股，竟然還有餘裕控告大馬股票交易所，真讓人摸不著頭腦。

這樣一來，高庭本月18日的判決，可就值得期待了。

該公司雖然在本月8日接獲交易所指示，因2014財政年第四季業績觸犯GN3條例2.1（b）和（c）而須列為GN3公司，卻以公司秘書離職為由施展“拖字訣”，並在10日入稟法庭，要求交易所廢除GN3指令，還打算尋求賠償。

根據上市條例，如果創業板上市公司一年虧損超過股東基金，而股東基金也低於50%繳足資本，將觸犯GN3條例2.1（b）。

如果創業板上市公司連續兩年虧損，虧損總額超過股東基金，第二年虧損達到第一年虧損的50%或以上，加上股東基金低於50%繳足資本，則觸犯GN3條例2.1（c）。

根據該公司今年2月27日呈交的截至2014年12月31日止財政年初步數據，以總資產1千579萬令吉扣除總負債954萬3千令吉後，其股東基金是624萬7千令吉，繳足資本則有2千萬令吉。

同一份數據也顯示，截至2014年12月31日止財政年，該公司的淨虧損從前期的262萬9千令吉，大幅擴至710萬2千令吉。

除非2014財政年稽查報告的淨虧損大幅減少，否則，以上述數據推算，這家公司否認觸犯交易所列出的GN3條例，顯然是掩耳盜鈴的。

其實，這家公司與監管當局“交手”經驗相當豐富，特別是多年前的假賬事件，更導致首席執行員拿督阿米努汀巴基伊沙下台，並引發該公司和這名前領導展開沒完沒了的官司訴訟。

值得留意的是，該公司執行董事兼大股東麥秀偉（譯音）也於3月24日以每股13仙在公開市場賣出1千100萬股，持股剩下1千238萬4千800股或6.19%。

那麼，這樣一家財務和業務皆有待改善，大股東也減持股權的上市公司，為何大費周章將交易所控上庭？是為了面子還是裡子？還是為了避免影響配股10%給新股東的計劃？

高庭駁回申請 斯康聯合或上訴

（吉隆坡18日訊）斯康聯合（SCN，0135，創業板科技）向高庭申請阻止馬證交所將其列入GN3公司行列遭拒，但不排除將提出上訴。

該公司不滿馬證交所將公司“貶”入GN3公司行列，憤而採取法律行動，不過今日申請遭高庭駁回。

斯康聯合執行董事麥紹偉（譯音）在庭外向《The Edge財經日報》透露，為了股東利益，該公司董事局將討論是否提出上訴。

根據上市條例，倘若創業板上市公司全年虧損超過股東基金，股東基金佔繳足資本不超過25%，將觸犯創業板上市條例。

麥紹偉早前受訪時曾指出，截至去年底，斯康聯合資產負債表顯示，共有624萬令吉股東基金，金額比單季的繳足資本高；該公司全年繳足資本為2000萬令吉。

該公司上週二（12日）報備對馬證交所採取法律行動起訴，要求撤銷指示並索取賠償的舉動，相信是近年來馬股頭一遭。

在那之前，斯康聯合股價已出現異動並遭“異常交易活動”（UMA）質詢；該股今日股價無變動，維持5仙水平，成交量3541萬1800股。【中国报财经】

SCAN ASSOCIATES BERHAD

Reference is made to the announcement dated 11 May 2015 by Scan Associates Berhad ("SCN" or the "Company) in respect of its legal action against Bursa Malaysia Securities Berhad ("Bursa Securities") and the ad-interim injunction granted by the High Court to restrain Bursa Securities from classifying SCN as a Guidance Note 3 ("GN3") Company pursuant to GN3 of the ACE Market Listing Requirements of Bursa Securities ("ACE LR") pending the court's decision on 18 May 2015.

The High Court today has dismissed the Company's application for further injunction.

As such, Bursa Securities today classifies SCN as a GN3 Company with effect from 18 May 2015 in accordance with the ACE LR.

In this regard, SCN had triggered the following criteria pursuant to GN3 of the ACE LR:

• Rule 2.1 (b) - where the listed corporation has incurred loss in any 1 full financial year commencing on or after its listing, which equal to or exceed the amount of its shareholders' equity at the end of the said financial year and the shareholders' equity is equal to or less than 50% of the issued and paid-up capital of the listed corporation at the end of the said financial year
• Rule 2.1 (c) - where the listed corporation has incurred aggregated losses in any 2 consecutive full financial years commencing on or after its listing ("said financial period") (i) which exceed the amount of its shareholders' equity at the end of the said financial period; (ii) the loss incurred in the second full financial year of the said financial period is 50% or more of the loss incurred in the first full financial year of the said financial period; and (iii) the shareholders' equity is equal to or less than 50% of the issued and paid-up capital of the listed corporation at the end of the said financial period
  
  

SCN had failed to make the First Announcement in accordance with Rule 4.1 (a) of GN3 of the ACE LR and comply with Bursa Securities directive vide its letters dated 8 May 2015 and 18 May 2015 to make the First Announcement immediately in accordance with Rule 4.1 (a) of GN3 of the ACE LR for triggering Rules 2.1 (b) and (c) of GN3 of the ACE LR.

Hence, in the exercise of the powers under Rule 1.03 of the ACE LR, SCN is hereby classified as a GN3 Company pursuant to GN3 of the ACE LR with effect from 18 May 2015 and the Company is required to ensure strict adherence with its obligations under GN3 of the ACE LR.

Bursa Securities would like to emphasise that Bursa Securities will continue to monitor the progress of SCN in respect of its compliance with the ACE LR.

高庭驳回起诉案 斯康联合将上诉

（吉隆坡3日讯）斯康联合（SCN，0135，创业板）宣布，将针对高庭驳回起诉案的判决，提出上诉。

根据文告，由于公司不满高庭驳回禁止大马交易所把公司列入GN3名单的要求，因此，决定提出上诉。

早前，马交所在宣布，斯康联合去年末季业绩出现问题，并将后者归类为触犯GN3条例的公司。

但斯康联合指出，因出现特殊事件才无法适时公布账目问题，所以起诉马交所，禁止将给公司列为GN3公司。【南洋网财经】

该公司昨日向马交所报备，这项辞呈为即日生效。

斯康联合近期被列为GN3公司的资讯工艺（ICT）防卫系统提供商，今天向马交所报备这个消息。

（吉隆坡7日讯）斯康联合（SCN，0135，创业板）宣布取消私下配售计划。

该公司向大马交易所报备，私下配售活动已经在6月18日失效，而公司无意延长执行该项活动的截止日期。

2013年，公司建议私下配售高达2000万股给第三方投资者，预计筹得220万令吉，用作营运资本。

5月列GN3

去年6月，斯康联合发文告表示，需要与国际企业扩展其传统业务。

当时，公司表示，正在洽谈着成为一家区域托管安全服务提供商，为亚太区一家著名国际公司提供服务，这将带来持续性营业额。

之后，公司在12月申请延长6个月，至6月18日完成该项私下配售活动。

斯康2大股东要求撤换4董事

（吉隆坡24日讯）斯康联合（SCN，0135，创业板）今日接获2名持股共10.585%股权的大股东来信，要求公司召开股东特大，以罢黜现任的4名董事，並委任4名新董事。

斯康联合今日发出文告指出，2名大股东联合致函给公司，要求召开股东特大撤换4名董事，以及委任4名新董事。

这两名大股东分別是持股5.5%的拿督诺比博士和持股5.085%的胡先欧曼。

两名股东在信中要求剔除的4名原任董事，分別是美加尔依斯迈尔、拿督依斯迈、雷佐治和麦秀伟（译音）。

另外，他们也要求公司委任4名新董事，即诺比本身、努鲁、诺拉扎尼和西蒂。

起诉前CEO 斯康联合获赔170万

（吉隆坡29日讯）斯康联合（SCN，0135，创业板）成功起诉前任董事兼总执行长拿督阿米努丁滥用公司的资金，获赔170万令吉。

根据文告，高庭也驳回阿米努丁的反诉，并要求他支付17万令吉的堂费和相关法律费用给公司。

2013年9月，斯康联合起诉阿米努丁，因他使到公司支付170万令吉给科技服务私人有限公司，以购买研发设备，但最终该笔资金却转账至他和另一名人士林宝轩（译音）户头。

当时，公司表示，不曾向科技服务购买研发设备，而后者也不曾供应该设备给公司。【南洋网财经】

Following thereto, the Plaintiff will withdraw Civil Appeal No. W-02(IM)(NCC)-941-06/2-15 filed in the Court of Appeal against the decision of the learned High Court Judge in dismissing the Plaintiff’s application for an interlocutory injunction with no order as to costs. The Company is of the view that the withdrawal of the Suit is in the best interest of the Company. This announcement is dated 27 August 2015.
