- Letter of Award
Reference is made to the Company’ announcements made on 10 September 2014, 10 October 2014 and Circular to Shareholders dated 25 September 2014.

The Board of Directors of ML Global Berhad (formerly known as VTI Vintage Berhad) (“ML Global” or “the Company”) is pleased to announce that Vintage Tiles Industries SdnBhd ("VTISB"), a wholly-owned subsidiary of the Company, had on 7 November 2014, accepted a letter of award from Redd Design Office Sdn Bhd dated 6 November 2014 issued on behalf of Inderaloka Impian Sdn Bhd (“Inderaloka”) for the provision of building and infrastructure works for the commercial development project comprising 121 units of shop office known as Sinaran Mahkota on Lot 131596, Bandar Indera Mahkota, Mukim Kuala Kuantan, Daerah Kuantan, Pahang Darul Makmur  for a total contract sum of RM35,901,144.00 only (“the Contract”).

Inderaloka is an indirect wholly-owned subsidiary of LBS Bina Group Berhad (“LBS”), a major shareholder of the Company.

The Contract is not expected to have any material effects on the share capital and shareholding structure of the Company. However, it is expected to have positive contribution to the earnings per share, net assets per share and gearing of the ML Global Group.

There are no significant risks other than operational risk associated with the Contract.

The Contract is in the ordinary course of business of VTISB. ML Global had on 10 October 2014 obtained the mandate from its shareholders for the Recurrent Related Parties Transactions entered with LBS Group.

Save for LBS, a major shareholder of the Company and Dato’ Sri Lim Hock San JP, Datuk Wira Lim Hock Guan JP and Lim Kim Hoe who deemed to be Interested Directors and Person Connected to the Interested Directors, none of the Directors and/or substantial shareholders of the Company or persons connected to the said Directors and/or substantial shareholders have any direct or indirect interest in the Contract.

The Board of Directors (save for Dato’ Sri Lim Hock San JP, Datuk Wira Lim Hock Guan JP and Lim Kim Hoe), after due consideration, is of the opinion that the Contract is in the best interest of the Group.

This announcement is dated 7 November 2014.

ML全球(GLOBAL,7595,主板工業產品組)以1千705萬令吉脫售一塊工業產業給Finston私人有限公司。

ML全球在文告中表示,該設有工廠的地段位於萬撓,佔地2萬6千352平方公尺,從脫售中將獲得914萬令吉收益。(星洲日報/財經)

建筑业首季占50%营业额 ML环球今年看高一线

(吉隆坡1日讯)ML环球(MLGLOBAL,7595,主板工业产品股)放眼建筑工程业务,为公司贡献庞大的收入,公司迄今获得总值3700万令吉的建筑工程合约。

董事经理拿督马汉坤日前在公司的特大上说,在今年首季,建筑工程业务占据公司一半的营业额,去年则是25%。

“我们有信心,今年的财务状况将取得更好的表现。”

他补充,公司正在竞标更多的建筑工程合约,并期待从政府手中,获得更多兴建可负担房屋的合约。

去年,ML环球的净利录得11万7936令吉,在2013年则净亏273万令吉。去年营业额则下跌至846万令吉,2013年是990万令吉。

在ML环球的特大中,小股东通过以1705万令吉,脱售位于万挠的办公楼予Finston私人有限公司的议案。

马汉坤说,这座办公楼自从2009年开始就空置至今,这项脱售产业活动将改善公司的现金流。

脱售活动预计在10月杪完成,售后获得1250万令吉的资金将用来偿还银行贷款,余额则充作营运资本和相关费用。

林木生不排除增持

ML环球公司董事拿督斯里林福山说,ML环球有许多成长和发展的潜能。

他也是林木生集团(LBS,5789,主板产业股)董事经理,他指出,国家今年首季的经济成长率扩大至5.6%。

“目前,在建筑领域里有很多工作,往这领域发展,你不会走错的。”

截至今年4月10日,林木生集团持有ML环球23.42%股权,而林福山则握有29.1%股权。

“如果股价便宜但基本面是强稳,我们不排除增持ML环球股权。”【南洋网财经】

ML環球售沙巴土地進賬35萬

(吉隆坡3日訊)ML環球(MLGLOBAL,7595,主要板工業)以250萬令吉,脫售沙巴土地,從中獲得約35萬令吉收益。

ML環球向馬證交所報備,獨資子公司Vintage Tiles工業私人有限公司與SW 2020私人有限公司簽署買賣協議,將沙巴5英畝土地和大樓,脫售給后者。

根據報備文件,上述土地的投資成本為219萬令吉,截至去年底的淨賬面價值(book value)為215萬令吉。

根據淨賬面價值,是項土地脫售250萬令吉,將讓ML環球取得約35萬令吉收益。【中国报财经】

The Board of Directors of ML Global Berhad (Formerly known as VTI Vintage Berhad) (“ML Global” or “the Company”) wishes to announce that its wholly-owned subsidiary, Vintage Tiles Industries (EM) Sdn Bhd (“VTIEM” or “the Vendor”) had on 3 June 2015 entered into a Sale and Purchase Agreement (“SPA”) with SW 2020 Sdn Bhd (Company No. 861050-M) (“SW2020” or “the Purchaser”) to dispose all that parcel of land held under Country Lease No. 045086379 and measuring a total of 5 acres, 2 roods and 25 perches in the District of Tuaran, Sabah including all structures and buildings erected thereupon (“Land”) for a total consideration of Ringgit Malaysia Two Million Five Hundred Thousand (RM2,500,000.00) only  (“Proposed Disposal”). Pursuant to the SPA, it is parties’ intention that this SPA supersedes the earlier SPA dated 5 January 2011 which has been deemed expired and aborted by the Company on 11 August 2014.
The details of the Proposed Disposal are set out in the attachment herein.

ML环球深圳Guang终止合作

(吉隆坡20日讯)ML环球(MLGLOBAL,7595,主板工业产品股)宣布与深圳Guang产业集团达成共识,将终止双方于2012年签署的谅解备忘录。

ML环球向马交所报备,Guang产业集团原本计划拓展业务到大马,并购地和发展产业项目。

不过,双方已达成共识,终止合约,且不会对ML环球带来财务影响。【南洋网财经】

ML环球今起脱离PN17

(吉隆坡10日讯)随着ML环球(MLGLOBAL,7595,主板工业产品股)的财务和营运水平改善,获批脱离PN17公司行列。

根据文告,大马交易所在作出全面考量后,批准该公司在明日(11日)开始告别PN17公司行列。

林木生助重组前身为Vintage的ML环球,在2011年因不符合上市条例而被列入PN17行列,同时在2012年4月暂停交易,直到重组计划完成后。

该公司较后获得林木生集团(LBS,5789,主板产业股)参与重组计划,2014年10月在改名为ML全球后复牌。【南洋网财经】

Reference is made to the Company’s announcement dated 9 December 2015.

On behalf of the Board of Directors of the Company, Hong Leong Investment Bank Berhad is pleased to announced that Bursa Malaysia Securities Berhad (“Bursa Securities”) has vide its letter dated 10 March 2016 noted that with the completion of the Company’s regularisation exercise, the Company has regularised its financial condition and level of operations and no longer triggers any of the criteria under paragraph 2.1 of PN17 of the Main Market Listing Requirements.

Consequently, after due consideration of all facts and circumstances of the matter, Bursa Securities has decided to approve the application of ML Global for the upliftment from being classified as a PN17 company. As a result thereof, the upliftment of ML Global will be effective on 11 March 2016.

林木生集團 952萬購ML環球餘下股權

2016年4月11日
(吉隆坡11日訊)林木生集團(LBS,5789,主要板房產)獻議,擬以總值952萬令吉無條件強制性收購ML環球(MLGLOBAL,7595,主要板工業)未持有股份和憑單。

林木生集團今日向馬證交所報備,計劃以每股56仙,向ML環球董事經理拿督馬漢坤收購該公司1700萬股股份,並以每憑單6仙的價格收購該公司憑單。交易完成后,林木生集團所持ML環球股份將從31.95%增至50.9%

林木生集團曾在2014年8月指出,繼參與ML環球的PN17重組計劃集資活動后,已成為后者的主要股東。

與房產建築業務互補

該重組計劃于2014年10月31日完成,ML環球也在今年3月11日正式脫離PN 17行列。

林木生集團指出:“ML環球的業務與我們的房產開發和建築業務互補,此次股份收購是我們對于該公司的投資。”

ML GLOBAL BERHAD ("MGB" OR THE "COMPANY")RECEIPT OF NOTICE OF UNCONDITIONAL TAKE-OVER OFFER FROM AMINVESTMENT BANK BERHAD (AMINVESTMENT BANK) ON BEHALF OF LBS BINA GROUP BERHAD (OFFEROR)
The Board of Directors of MGB (“Board”) wishes to announce that the Company has on event date received a notice of unconditional take-over offer (“Notice”) from AmInvestment Bank on behalf of the Offeror to acquire:

(i) all the remaining ordinary shares of RM0.50 each in MGB (“MGB Shares”) not already owned by the Offeror and such number of MGB Shares that may be issued pursuant to the exercise of any outstanding warrants 2014/2019 in MGB (“MGB Warrants”) (“Offer Shares”); and

(ii) all the remaining MGB Warrants constituted by the deed poll dated 22 July 2014 not already owned by the Offeror (“Offer Warrants”)

for a cash offer price of RM0.56 per Offer Share and RM0.06 per Offer Warrant (“Offer”).

A copy of the Notice in relation to the Offer is attached herewith and will be posted to the holders of the Offer Shares and Offer Warrants within seven (7) days from the date of this announcement.

The Board will convene a meeting within 24 hours to deliberate on whether the Board will be seeking another person to make a take-over offer for its voting shares and voting rights.

献购价不公平不合理 ML环球建议股东拒绝

(吉隆坡11日讯)ML环球(MLGLOBAL,7595,主板工业股)独立顾问认为,林木生集团(LBS,5789,主板產业股)分別以每股56仙及每单位6仙,全面献购股票及凭单的价格,不公平及不合理,因此,建议股东拒绝有关献议。

ML环球今日收报57仙,全天上升1仙或1.79%,成交量达18万4000股;相反林木生集团则以1.58令吉平盘掛收,成交量达22万5900股。

ML环球独立顾问--Main Street公司在评估报告中指出,ML环球拥有2项核心业务,即瓦片和建筑业务;按加总估值方法估算,2项业务合计的合理价值为5823万令吉,相等于每股65仙,与56仙的献购价相比,折价9仙或13.85%。

同时,该公司在脱离PN17行列后,股价逐渐走高,过去一个月持续高于献购价,因此,顾问公司认为上述献购价不公平。

此外,按3项期权定价模式(trinomial option pricing model)计算,ML环球的凭单理论价值为每单位24仙,相比林木生集团6仙的出价,折价高达18仙或75%,也低於过去一年凭单的交易价,因此,顾问公司也认为,上述凭单献购价是不公平。

加上,ML环球股票及凭单的流通量均不错,因此,若股东不接受上述献购,仍有机会在公开市场上脱售,因此该顾问公司认为,上述献购价不合理。

林木生集团在4月11日,以952万令吉或每股56仙,向ML环球董事经理拿督马汉坤,收购该公司的18.97%股权,从而把持有ML环球的持股从31.95%,增至50.92%,触动强制性全面献购(MGO)条例。

因此,林木生集团以每股56仙的价格,献购ML环球剩余的所有股票,並以每单位6仙的价格,献购ML环球的凭单。【东方网财经】
