暂停济州发展计划 成功置地提告韩1公司

(吉隆坡7日讯)成功置地有限公司(BJLAND,4219,贸易服务组)就与成功济州度假村发展计划(BLand’s Jeju Airest City)有关的土地买卖协议违约一事,起诉隶属韩国政府的一家子公司,以追讨所蒙受的损失。

成功置地透过大马交易所发表文告作出报备,惟却没透露追讨多少损失。

然而,随着成功置地提出诉讼,该集团已暂停成功济州度假村的发展工作。此发展计划面积183.8英亩,发展总值预计为24亿美元。

成功置地透过文告表示,持股72.6%的子公司–成功济州度假村公司(Berjaya Jeju Resort Ltd)在11月6日于韩国就济州国际自由城市开发中心(Jeju Free International City Development Center),违反双方在2009年3月30日签署的土地买卖协议某些条款,而对后者提出诉讼。

文告披露,成功济州度假村是这项发展计划的主要发展商,而济州国际自由城市开发中心则是隶属韩国土地、基建和交通部的一家公司,持有成功济州度假村19%股权。

根据这项土地买卖协议,济州国际自由城市开发中心有义务在“无任何留置权、不存在任何费用和索赔等情况下”将这些地段转至成功济州度假村名下。

“不过,韩国最高法院却在3月20日裁定,按照土地买卖协议,济州国际自由城市开发中心征用这些已卖给成功济州度假村的地段属无效。因此,济州国际自由城市开发中心已违反买卖协议的条款,即该公司未能很好地将土地转至成功济州度假村的名下。”

成功置地也表示,上述地段的一些前地主已提出诉讼,称应将土地归还予他们名下。

“有鉴于此,在这样的情况下,这项发展计划的发展工作也因官司未结束而暂停。”

成功置地表示,成功济州度假村在寻求法律建议后,已决定就违约一事向济州国际自由城市开发中心提告。

“济州国际自由城市开发中心的诉讼料将不会对成功置地截至2016年4月杪止的现财年,构成太大的负面影响。若有进一步消息与发展,我们将适时作出宣布。”【光华日报财经】

成功置地13.9亿售中国商场

(吉隆坡16日讯)成功置地(BJLAND,4219,主板贸服股)建议,以20亿8000万人民幣(约13亿9000万令吉),脱售其中国成功GreatMall休閒中心公司,予北京天洋国际控股有限公司。

文告指出,旗下的间接子公司--成功(中国)广场有限公司,今天与北京天洋国际公司签署一项项目兴建转让协议,卖掉位於河北省的Great Mall休閒中心,转手价是13亿9000万令吉。

同时,该公司亦指出,Great Mall是负责一项名为Great Mall发展项目的公司,主要涉及酒店、服务公寓、餐馆、休閒中心和商业店面。Great Mall项目將分成第1阶段、1E和第2阶段落实。

「Great Mall项目第1阶段的建筑工程已经在进行中,第1E和第2阶段的工程则未动工。」

此外,该公司说,上述款项將在最长24个月內由Great Mall接收,其中约11亿人民幣(约7亿令吉)將在12个月內用来偿还贷款、承包商、债权人、以及支付该项目的销售税和杂费等,剩余约9亿人民幣將分给股东。

上述脱售建议旨在让成功置地从尚未完成的建设项目中套现。不过,將导致该公司蒙受约5128万人民幣(约3425万令吉)的亏损。如无意外,上述建议料在2017年杪完成。【东方网财经】

成功置地净利飙220倍

(吉隆坡21日讯)成功置地(BJLAND,4219,主板贸服股)截至10月31日次季,净利飙涨逾220倍,至2亿829万9000令吉,远超去年同期的897万2000令吉。

营业额则按年上扬15.17%,从14亿890万4000令吉增至16亿2264万7000令吉。

该公司的次季净利攀涨,归功于脱售部分成功京都发展(Berjaya Kyoto Development)股权的收益,加上再对成功京都发展的股权重估。

再者,产业发展和投资业务的盈利贡献也走高。

累积首半年,净利按年上扬368%,至2亿1821万1000令吉;营业额则按年涨11.14%,报31亿3387万1000令吉。【南洋网财经】

成功置地第三季淨虧收窄至2102萬

(吉隆坡23日訊)成功置地(BJLAND,4219,主板貿服組)截至2016年1月31日止第三季淨虧損按年收窄至2千101萬7千令吉。

9個月淨利大漲886%

不過,9個月淨利仍在資產脫售和重估盈餘刺激下,大漲886%至1億9千719萬4千令吉。

第三季營業額報14億7千639萬5千令吉,微揚0.33%,9個月營業額則報45億8千413萬2千令吉,按年成長6.82%。

產業加速進賬

該公司董事部透過文告說,營業額在第三季持穩,主要歸功於產業業務加速進賬,抵銷博彩業務和酒店業務放緩的影響。

稅前盈利大幅下跌,則主要歸咎博彩業務派彩率增加及消費稅的衝擊。

考慮成本上揚和消費市場低迷,博彩業務料繼續面對挑戰,酒店和渡假勝地業務則預計持穩,產業市場展望料保持微溫狀態。有鑑於此,董事部認為今年營運表現將繼續備受挑戰。

賣家3.74億回購土地
終止濟州島計劃合約

另一方面,成功置地宣佈因部份土地無法轉讓而陷入停頓的濟州島發展計劃,已獲原有賣家濟州國際城市發展中心(JDC)購回部份土地,購價為1千零70億韓元(3億7千450萬令吉)。

隨賣家回購土地,雙方將終止首階段發展計劃下剩餘地皮的買賣合約。

成功置地說,賣地獲得的資金將被用於解決貸款和首階段建築成本。(星洲日報/財經)

1534萬售成功多多股 成功置地倒虧276萬

2016年5月16日
(吉隆坡16日訊)成功置地(BJLAND,4219,主要板貿服)宣佈,分別在本月11及13日以每股平均價2.95令吉,或總額約1534萬令吉脫售成功多多(BJTOTO,1562,主要板貿服)一共520萬股普通股或0.39%,但此交易卻讓該公司蒙受276萬令吉虧損。

成功置地向馬證交所報備文告指出,脫售股權所得將充作營運資本及攤還銀行貸款。

成功置地也指出,上述所脫售的股權是自1992年開始購入,總值1810萬令吉, 平均股價是3.48令吉。

完成上述股權脫售不預見對成功置地繳足資本、主要持股權、淨資產值或負債率帶來重大影響,因為成功置地及子公司仍然持有成功多多5億4888萬股或40.72%,而成功多多也依然是成功置地子公司。

成功集團成功集團(BJCORP,3395,主要板貿服)及旗下子公司,包括成功置地在內,目前一共持有成功多多6億6440萬股,或等同49.29%持股權。【中国报财经】

成功置地折价脱售成功多多股权

(吉隆坡7日讯)成功置地(Berjaya Land Bhd)与独资子公司Gateway Benefit私人有限公司以2575万令吉,脱售成功多多(Berjaya Sports Toto Bhd)的900万股,或相等于0.67%股权。

成功置地今日向大马交易所发布文告指出,上述股权是以每股2.86令吉,分别于5月24日和6月6日脱手。

文告称,成功置地将这批股权脱手也蒙亏557万令吉,因为这批股权从1992年起购入,合共价值为3132万令吉,平均为每股3.48令吉。

“脱售股权所筹集的净现金将充作成功置地的营运资本,以及摊还贷款。”

完成股权脱售计划后,成功置地和其未上市子公司如今持有成功多多的5亿3988万股,或相等于40.05%股权。

与此同时,成功置地与控股公司成功集团(Berjaya Corporation Bhd),以及未上市子公司合共持有成功多多的6亿5540万股,相等于48.62%股权。

成功置地表示,成功多多依然是成功置地的子公司,同时也是成功集团的子公司。

“脱售股权计划将不会对成功置地的已发行股本或大股东持股权,构成任何影响。同时,此计划也不会对集团的净资产和负债水平,造成任何重大影响。”

联号公司亏损‧成功置地末季亏4.58亿

(吉隆坡27日讯)联号公司亏损及减值亏损影响,成功置地(BJLAND,4219,主板贸服组)截至2016年4月30日止第四季净亏损扩大至4亿5858万2000令吉。

不过全年净利因脱售资产贡献,净亏损收窄至2亿6138万8000令吉。

第四季营业额按年增5.08%至17亿零392万8000令吉,带动全年营业额增长6.39%至62亿8806万令吉。

该公司发文告指出,第四季营业额持稳,主要归功于脱售土地、酒店及HRO汽车业务汇率收益支撑,抵消了测字业务较低营业额贡献。

不过,因联号公司亏损走高及被减值亏损部份抵消,导致该公司面临比去年同期更高的税前亏损。

该公司预见,成本上涨料导致测字业务充满挑战,酒店及休闲业务料保持满意,但产业市场展望维持微温,令集团营运表现在2017年4月30日止财政年持续面临挑战。

另外,该公司指出,从第三季起,已扣除娱乐税的测字营业额将调整扣除消费税。

早前消费税被归类为销售成本,上一季营运营业额仅扣除娱乐税,不包括消费税。

大学城计划搁置太久
成功置地越南准证或被撤

(吉隆坡16日讯)胡志明市政府可能会撤销发放给成功置地(BJLAND,4219,主板贸服股),一项35亿美元(约140亿令吉)发展项目的投资准证。

根据《西贡时报》(Saigon Times)引述市政府网站资料指,胡志明市政府已勒令检讨成功置地展延已久的这项大学城计划。

当地政府要求提出措施,处理该项计划,包括撤销8年前发出的投资准证。

发展总值300亿

成功置地是在2008年7月获得投资准证发展越南国际大学城(VIUT),当时计划耗资59亿美元(约235.68亿令吉)该计划的发展总成本(GDC),整个发展计划为期8至10年。

越南国际大学城座落在Hoc Mon省,距离胡志明市中心20公里,占地925公顷。

该项目的初期预测发展总成本为35亿美元,而发展总值为75亿美元(约300亿令吉)。

同时,成功置地当时估计该计划可在4年内,为该公司作出40至50%的净利贡献;但该计划至今还未动工。

根据报道,成功置地原本计划使用超过100公顷土地,设立一间大学培训中心,并围绕着20所从幼儿所到高中的学校;其他土地将用于发展商业中心、住宅产业和文化中心等。【e南洋】

成功置地修改VIUT大蓝图

(吉隆坡18日讯)成功置地(BJLAND,4219,主板贸服股)指出,正与越南西北管理区政府洽商,以修改越南国际大学城(VIUT)的发展大蓝图。

成功置地今日发表文告指,调整后的计划将包括综合型产业发展项目,内容包括独立式洋楼、排屋、公寓和店铺。

且该些产业发展项目,属于可负担价位,可更有效满足胡志明市的需求。

成功置地于2008年7月,获得越南国际大学城计划的投资准证。

该城坐落在Hoc Mon省,占地925公顷。

该公司原本计划使用超过100公顷,设立一间大学培训中心,并围绕着20所从幼儿园到高中的学校。其他土地,将用于发展商业中心、住宅产业和文化中心等。

然而日前有媒体报道,成功置地的相关项目投资准证,已被胡志明市政府撤销。

展开清土工程

针对这个传言,成功置地指出,该公司已经在该计划的土地上,展开清土和地质勘查等工作。

陈艳芳.海外投资风险

上周在大马运动健儿在里约奥运纷纷报捷的当儿,大马企业海外投资消息却没有那么开心,除了丹斯里郭令灿竞购英国博彩公司被拒,丹斯里陈志远在越南的庞大产业投资案也传出生变可能性。

根据越南当地报章的报道,越南政府已下令检讨陈志远名下成功置地(BJLAND,4219,主板贸服组)在胡志明市总值35亿美元(140亿令吉)的国际大学城计划,并且可能收回投资执照。尽管这计划已有8年时间都还未动工,但如果确定撤照,还是会影响公司士气。

该公司稍后澄清只是修改发展计划蓝图而非撤照,但坦承计划搁置了8年,有多个因素,主要包括这几年当地的经济问题。

投资海外,难免面对经济、汇率波动、法规不同的问题,而且竞争激烈,不过这些都算可以“估计”的风险,比较难算的是政治和突如其来灾难,诸如英国脱欧、沙斯、日本311和美国经济海啸的发生等。

不过,相对于投资先进国,发展中国家成长机会大,但汇率波动大、政治和法规朝令夕改的风险也比较高。

印尼和中东是大马企业热门投资地,虽然有成功例子,但翻船事故也不少,还有因此破产的公司。

经济起飞中的越南一直是大马公司的重要海外投资目的地,当地的产业、电力、制造及博彩业,都有大马公司插足,看中的是当中诱人的机会。不过,作为发展中经济,投资越南肯定非一帆风顺,这包括之前的越南盾风暴、比较近期的反中事件,都有大马企业受牵累,但并没有吓走投资者,显示当地的投资潜能的吸引力。

成功集团在越南还有许多投资项目,最新投资案是将合法测字博彩引入越南,因此即使大学城计划进展波折,也没有让该公司对越南的投资信心生变。

不过,该公司海外投资失败有前例,2012年成功置地韩国济州岛雄心勃勃的综合度假村计划,最终喊停,还因此对簿公堂,主要是土地买卖纠纷。

大马市场不大,企业内部成长有所局限,“走出去”成为扩充业务的不二法门。

海外投资和股票投资一样:“高回报,高风险;低风险,回报稳”,在投资任何海外计划,最重要还是做好功课,降低风险,毕竟做为上市公司,还是要保护好小股东的投资。
