有關怡嘉控股(ECOFIRS,3557,主板貿服組),我最近在0.365令吉價格買進,最近的業績和債務如何?請問值得長期持有嗎?我發現股價一直往下跌。

答:
截至2014年5月31日為止第四季,怡嘉控股淨虧損360萬8千令吉(每股淨虧0.55仙),前期還取得淨利1千297萬6千令吉(每股淨利為2仙)。營業額為636萬7千令吉。

全年淨利則為3千零39萬1千令吉(每股淨利4.67仙),全年營業額為2千444萬9千令吉。

營業額下跌,主要是甫完成了霹靂怡保美路拉也商業產業計劃所致。該公司持有的產業,包括在柔佛的1 Segamat廣場、雪州的零售商場South City Plaza,為該公司提供可循環收入。

截至2014年5月杪為止,該公司的負債額為2億4千637萬5千令吉。而累積虧損則為4億7千138萬2千令吉。該公司的每股資產值則為27.78仙。股本則為3億2千507萬4千令吉。

該公司在宣佈上述業績,談到公司未來業務展望時披露,該公司在5月21日以2千140萬令吉,收購霹靂怡保高爾夫球俱樂部路的一塊7.6英畝的永久地契地皮。

上述地皮的發展計劃稱為“Upper East”,包括5座12層樓的高檔共管式公寓,總共有529個產業單位,發展總值為3億零200萬令吉,預料稅前盈利可達8千200萬令吉,將在今年9月推介及料在3年裡完成。

需1.45亿购鹅麦淡江地段 益可第一冀筹更多资金

(吉隆坡4日讯)益可第一(ECOFIRS,3557,主板产业股)料放眼筹集更多资金,以收购鹅麦淡江价值1.45亿令吉的地皮。

益可第一是在2013年12月31日,与苏黎世保险(大马)(Zurich Insurance)签署买卖协议,建议收购淡江面积61.6英亩的两片地皮,但已遭两度延展。

上周五,益可第一宣布,苏黎世保险(大马)已同意将协议期限延长6个月,至7月31日;首次延展是到1月31日。

《星报》引述消息报道,该公司料放眼筹资,或资产注入,以巩固资产负债表,以推动着需要大量资本的房产发展业务。

值得注意的是,益可第一的董事之一拿督张成富,也是私人发展商安达曼集团(Andaman)的董事之一。

消息披露,益可第一的时间不多,如果要买到淡江的地皮,公司需要进行另一轮企业活动。

去年8月,该公司才刚完成削减面值及股票溢价的活动。

而去年9月,也通过私下配售筹集了2000万令吉,扩展业务和提升投资物业。

消息指出,2000万令吉或不足以收购地皮,因为2013年杪签署协议时,该公司需支付290万令吉的按柜金,去年1月还需给出另一笔1160万令吉的按柜金。

在12个月的期限内,该公司需要支付剩余的90%,相等于1.305亿令吉的金额。

淡江的发展将会是益可第一最大型的项目,发展总值料超越10亿令吉。

闭市时,益可第一以31仙挂收,跌0.5仙或1.59%。【南洋网财经】

解释延付购地余额原因 益可第一欲索文件否认筹资

(吉隆坡6日讯)益可第一(ECOFIRS,3557,主板产业股)澄清,延后支付收购土地的余额,是因等待一些相关文件,而非公司需要再筹资。

益可第一向马交所报备,称媒体错误诠释相关文告,并强调展延支付收购土地的余额,是为了向有关机构索取大道计划的资料和进一步说明。

公司指出,有关大道计划可能会影响土地,而当局可能需要援引1960年土地收购法令。

《星报》早前引述消息,报道益可第一有意筹资,或注入资产,以巩固资产负债表,推动需要大量资金的房产发展业务。

消息披露,公司所剩时间不多,若要买到淡江的地皮,公司需要进行另一轮企业活动。

Reported:-
“Time is running out for EcoFirst if it wants to secure the Ulu Kelang land. It might have to do another corporate exercise so that it can complete the acquisition,” an observer pointed out.”

Clarification:-
The Board wishes to clarify that the abovementioned article has misinterpreted the announcement dated 30 January 2015 in relation to the Proposed Acquisition. The Company wishes to highlight that the announcement dated 30 January 2015 should be read together with the announcement dated 31 December 2014, wherein it was announced that the time extension to pay in full the Balance Purchase Consideration is due to clarification and information pending from the relevant authorities on a planned elevated highway which, may affect certain parts of the Lands. As such, certain parts of the Lands may potentially be subject to land acquisition pursuant to the Land Acquisition Act, 1960.

The Board is unaware of the source(s) referred to in the abovementioned article.

張健飛增持股權‧美德和怡嘉將整合?

(吉隆坡23日訊)怡嘉控股(ECOFIRS,3557,主板產業組)首席執行員拿督張健飛過去3個月逐漸增加在美德集團(MEDAINC,5040,主板產業組)的持股,將原有的8.2%股權提昇至14.72%,讓市場人士揣測兩家從事相同業務的公司可能醞釀整合。

據《The Edge》英文財經報報道,除張健飛外,怡嘉控股和美德集團還擁有其他共同股東,如持有怡嘉控股22.8%的張承安和張承健(人名譯音)兄弟,亦同時持有美德集團25.8%股權。

怡嘉控股和美德集團除均以產業發展為核心業務外,市值亦相去不遠,前者市值約2億2千萬令吉,後者則約2億8千萬令吉。

由於擁有諸多共同點,加上張健飛頻頻增購股票,市場觀察家如今正等待兩家產業公司進行企業活動,包括潛在合併。

拒署名金融顧問認為:“兩家公司的整合將創造出一家市值超過5億令吉的中型發展商,允許兩家公司進行更大型產業發展計劃,而且更容易取得基金經理和金融機構的支持。”

IGB与ECOFIRST签购地选择权

(吉隆坡20日讯)怡保花园(IGB,1597,主板產业股)宣布,与ECOFIRST集团(ECOFIRS,3557,主板產业股)签定土地收购选择权协议,授予后者以6280万令吉收购雪州鹅嘜一片佔地约10万平方呎土地的选择权。

怡保花园旗下HARTAVILLA私人有限公司,是与ECOFIRST集团旗下ECOFIRST发展私人有限公司,签定上述协议。

ECOFIRST集团必须召开股东大会,取得股东批准后,才能行使该选择权,若交易最终做成,怡保花园將可从中净赚1770万令吉。

另一方面,ECOFIRST集团的另一家子公司──CURAHBAHAGIA私人有限公司,正在该地皮比邻的地段执行一项综合发展项目。

因此,HARTAVILLA也与CURAHBAHAGIA签定通路与斜坡工程协议,让后者以象徵性1令吉的代价,可进入该地段建造一条通路。【东方网财经】

Unless otherwise defined, the terms used in this announcement shall have the same meaning as those defined in the said Announcement in relation to the Proposed Acquisition.

The Board of Directors of ECB wishes to announce the following additional information in relation to the Proposed Acquisition:-

BASIS OF ARRIVING AT THE PURCHASE PRICE
In arriving at the Purchase Price, EDSB has taken into consideration the purchase price of the CBSB’s Adjoining Land which is located beside the Land, whereby CBSB had entered into a sale and purchase agreement with Zurich Insurance Malaysia Berhad on 31 December 2013 to acquire the CBSB’s Adjoining Land at the purchase price of Ringgit Malaysia Fifty Four (RM54.00) per square foot. The Board of ECB, having considered the above transaction and all aspects, is of the opinion that the Purchase Price of the Land calculated at the rate of Ringgit Malaysia Fifty Seven and Forty Five Sen (RM57.45) per square foot is fair and reasonable and in the best interests of ECB Group. Based on the above justification, a valuer has yet to be appointed and a valuation report for the Land has not been done.

淡江土地線路調整 怡嘉收購計劃展延3個月

(吉隆坡3日訊)怡嘉控股(ECOFIRS,3557,主要板房產)基于土地線路的調整,因此以1億4500萬令吉收購鵝嘜淡江25公頃土地計劃將展延3個月。

該公司向馬證交所報備,已經和大馬蘇黎世保險達成協議展延收購土地期限。

“收購余額的全數還款需待進一步澄清,加上有關當局對通往第二中環公路(MRR2)的新街場-淡江(Sungai Besi-Ulu Klang)高架高速公路發展購地和調整進展有待公布。”

怡嘉控股指高架高速公路,將帶動淡江的部分土地。

“這項影響公司的發展建議,董事局和管理層將採取適當步伐和必要改變。”

怡嘉控股總執行長拿督張健飛稱,公司仍待有關當局的進一步詳情,以總結收購項目需支付全額款項。

ECOFIRST CONSOLIDATED BHD (ECB OR COMPANY) AND ITS SUBSIDIARY COMPANIES (GROUP)PROPOSED ACQUISITION
Unless otherwise stated, abbreviations and definitions used throughout this announcement shall be the same as those previously defined in the circular to the shareholders of ECB dated 28 May 2014 in relation to among others, the Proposed Acquisition.

We refer to the announcements dated 31 December 2013, 15 April 2014, 31 December 2014 and 30 January 2015 and to the Circular dated 28 May 2014 in relation to the Proposed Acquisition.

On behalf of the Board, KAF Investment wishes to announce that both parties had via exchange of letters dated 31 July 2015 and 3 August 2015, agreed in-principle for an extension of three (3) months from 1 August 2015 until 31 October 2015 for CBSB to pay in full the Balance Purchase Consideration with late payment interest at the rate of 6% per annum on the Balance Purchase Consideration of RM130,500,000.00 on or before 31 October 2015. CBSB is to pay the interest for the month of May, June and July 2015 on or before 7 August 2015.

CBSB will provide to the Vendor monthly updates on the progress of the completion of the SPA from both CBSB and the financier.

For avoidance of doubt, the SPA is only completed when the Balance Purchase Consideration and all Late Payment Interest are paid.

In the event CBSB fail, default and/or neglect to complete the SPA of the Lands on or before 31 October 2015 for any reason whatsoever:-

(a) without prejudice to any other remedies available to the Vendor, the Vendor is entitled to terminate the SPA;

(b) the Late Payment Interest paid to the Vendor and the Deposit shall be forfeited by the Vendor as agreed liquidated damages; and

(c) the Late Payment Interest owing and unpaid shall be paid to the Vendor.

All other terms of the SPA shall continue to apply. The Parties shall formalise the above via a supplemental agreement soon.
