1.0      INTRODUCTION

    The Board of Directors of MKH wishes to announce that the Company has on 17 April 2013 acquired two (2) existing ordinary shares of RM1.00 each representing 100% of the total issued and paid-up share capital of Vista Haruman Development Sdn Bhd (Company No. 1040574-H) (“VHDSB”), a shelf company, for a cash consideration of RM2.00 only (the “Acquisition”), resulting in VHDSB becoming a wholly-owned subsidiary of the Company.



    2.0       BACKGROUND INFORMATION ON VHDSB
    VHDSB was incorporated in Malaysia on 1 April 2013 under the Malaysian Companies Act, 1965 as a private limited company and having an authorised share capital of RM100,000.00 divided into 100,000 ordinary shares of RM1.00 each, of which two (2) ordinary shares of RM1.00 each have been issued and fully paid-up.


    3.0       RATIONALE FOR THE ACQUISITION
    The Acquisition is to enable VHDSB to undertake some of the Group’s future property development projects.



    4.0       FINANCIAL EFFECTS
    The Acquisition has no effect on the issued and paid-up share capital or the substantial shareholders’ shareholdings of MKH and is not expected to have any material effect on the net assets, gearing and earnings of the MKH Berhad Group for the current financial year ending 30 September 2013.


    5.0       APPROVALS REQUIRED
    The Acquisition is not subject to the approval of the shareholders of MKH or any other relevant authorities.


    6.0     DIRECTORS’ AND MAJOR SHAREHOLDERS’ INTERESTS
    None of the Directors and/or major shareholders of MKH or its subsidiaries and/or persons connected with them, have any interest, direct or indirect, in the Acquisition.


    The Board of Directors of MKH is of the opinion that the Acquisition is in the best interest of the Company.

向罗查里收购公司 MKH获雪土地发展权

二零一三年八月七日 晚上七时十六分
(吉隆坡7日讯)加影发展商MKH有限公司(MKH,6114,产业组)已以3060万令吉代价,向丹斯里罗查里家族收购Puncak Alam资源私人有限公司的100%股权。

据MKH公司向大马交易所作出的宣布指出,Puncak Alam资源拥有一项特定权,以发展属于马电讯有限公司(TM,4863,贸易服务组)子公司TM设备私人有限公司,位于瓜拉雪兰莪约550英亩(222.6公顷)的土地。

MKH公司说,Puncak Alam资源与TM设备之间的发展协议是在2005年签署,随后于2011年加签了附属协议。

不过,它并没有透露有关土地的发展进程,或与TM设备协议的细节。

Puncak Alam资源卖方罗查里,是水供集团商峰控股有限公司(PUNCAK,6807,基建公司组)控制股东,后者与雪兰莪州政府针对该州水供基建的问题仍然悬而未决。

收购Puncak Alam资源的交易是透过MKH公司独资拥有的Pelangi Seri Alam发展私人有限公司进行,它已经支付3060万令吉予卖方。

“这项收购代价是基于上述土地约10亿令吉的预测总发展值而定。”

MKH公司补充,该集团将无须从这项收购中承担任何债务。

美景第三季净利涨120%

(吉隆坡29日讯)美景控股(MKH,6114,主板產业股)在2013財政年第三季(截至6月止)净利成长120.28%,至3232万令吉,主要是因为產业及种植业强劲的表现所致。       

该公司第3季的营业额则成长33.39%,至1亿8537万令吉。今年首9个月的净利也取得68.11%的成长,从去年同期的4711万令吉,增至7920万令吉。累计9个月的营业额,亦增长25.10%,至4亿7044万令吉。

新盘支撑成长

该公司执行主席丹斯里曾贵秋表示,公司陆续推出的新盘,带来更高的產业销售,加上原棕油及棕仁销售提高,让公司交出亮眼的业绩表现,他相信,公司2013財政年將持续成长。

该公司接下来將推出的產业发展计划,主要是在一些策略的地点,包括加影/士毛月及大吉隆坡地区,曾贵秋指出,这些新盘將继续支撑公司的销售表现。

该公司首9个月的销售达到4亿5470万令吉,超越上一个財政年的4亿2370万令吉的新销售数额。截至6月底的未入账销售高达5亿1850万令吉。同时,美景控股的种植业务,在首9个月的营业额为7610万令吉,营运盈利则达到2030万令吉,去年同期,这项业务面对1200万令吉的亏损。

美景控股強在地位 發展總值70億計劃

(吉隆坡5日訊)美景控股(MKH,6114,主要板房產)進一步加強在大吉隆坡市場地位,擴大未發展地庫總面積超過1000英畝,發展總值增至近70億令吉。

美景控股執行主席丹斯里曾貴秋透過文告說:“美景控股在城市及價格適中的房業計劃市場中,佔有一定地位。我們主要在加影士毛月,以及大吉隆坡等地區發展房產計劃。”

該公司位于加影市中心的MKH Boulevard發展計劃,銷售總值高達2億2100萬令吉,包括服務公寓、商店和辦公室。

自今年5月底推介以來,在第1個星期內便將所有非土著單位都售出。

該公司本財年截至9月底第3季,營業額按年增長33%,報1億8537萬令吉,淨利翻倍增長至3232萬令吉。

總結首9個月營業額按年增長25%,報4億7044萬令吉,淨利報7920萬令吉,上漲68%。

曾貴秋說:“在房產和油棕兩大核心業務蓬勃發展下,公司在過去9個月獲得良好業績,比上財年全年淨利來得更高。我們預期本財年全年業績表現會更優異。”

該公司本財年首9個月房產業務獲得不俗成績,主要歸功于去年新推出房產計劃貢獻。

(吉隆坡17日讯)美景控股(MKH,6114,主板产业股)以5065万6932令吉,购买位于雪兰莪乌鲁冷岳县士毛月土地,以作为住宅和商业发展,发展总值高达3亿令吉。

美景控股表示,该片土地约64英亩,这次献购符合购买具发展潜力土地的策略,董事部认为这次献购不具任何风险,不过市场、全球经济及产业发展领域固有风险除外。

The Board of Directors of MKH Berhad ("MKH") wishes to announce that Kajang Resources Corporation Sdn Bhd (“KRCSB”), a wholly owned subsidiary of MKH has on 17 October 2013 through its agent, Petik Mekar Sdn Bhd (“PMSB”) completed the acquisition of all that piece of freehold land held under Geran 44865, Lot 1014, situated in Mukim Semenyih, Daerah Ulu Langat, Negeri Selangor measuring approximately 2,814,274 square feet in net area (approximately 64 acres) (“the Land”) for a cash consideration of Ringgit Malaysia : Fifty Million Six Hundred Fifty Six Thousand Nine Hundred Thirty Two (RM50,656,932-00) only (“the Acquisition”).

Further details of the Acquisition are set out in the attachment.

- ACQUISITION OF 100% EQUITY INTEREST IN PETIK MEKAR SDN BHD.
1.0       INTRODUCTION
The Board of Directors of MKH wishes to announce that the Company has on 21 October 2013 acquired 2 ordinary shares of RM1.00 each representing 100% equity interest in Petik Mekar Sdn Bhd (Company No. 961606-X) (“PMSB”), for a total cash consideration of RM2.00 only (“the Acquisition”), resulting in PMSB becoming a wholly-owned subsidiary company of MKH.

2.0       BACKGROUND INFORMATION ON PMSB
PMSB was incorporated in Malaysia on 26 September 2011 under the Malaysian Companies Act, 1965 as a private limited company and having its registered office at Unit C-1-7 (Level 3), Block C, Menara Uncang Emas (Ue3), 85, Jalan Loke Yew, 55200 Kuala Lumpur. PMSB has an authorised share capital of RM100,000.00 divided into 100,000 ordinary shares of RM1.00 each. Its present issued and paid-up share capital is RM2.00 comprising of 2 ordinary shares of RM1.00 each ("Sale Shares").

3.0       RATIONALE FOR THE ACQUISITION
The Acquisition of PMSB by the Company is for PMSB to undertake some of the future property development of the Group.

4.0       FINANCIAL EFFECTS
The Acquisition has no effect on the issued and paid-up share capital or the substantial shareholders’ shareholdings of MKH and is not expected to have any material effect on the net assets, gearing and earnings of the MKH Berhad Group for the current financial year ending 30 September 2014.

5.0       APPROVALS REQUIRED
The Acquisition is not subject to the approval of the shareholders of MKH or any other relevant authorities.

6.0       DIRECTORS’ AND MAJOR SHAREHOLDERS’ INTERESTS
None of the Directors and/or major shareholders of MKH or its subsidiaries and/or persons connected with them, have any interest, direct or indirect, in the Acquisition. The Board of Directors of MKH is of the opinion that the Acquisition is in the best interest of the Company.

This announcement is dated 21st October, 2013.

外匯虧損惡化‧美景末季賺2417萬

(吉隆坡28日訊)外匯虧損惡化,美景控股(MKH,6114,主板產業組)截至2013年9月30日為止第四季淨利下跌20.22%至2千416萬8千令吉,惟全年淨利仍漲33.53%,突破1億令吉大關至1億零336萬8千令吉。

全年淨利破1億

第四季營業額增加21.10%,至2億1千785萬8千令吉,全年營業額為6億8千829萬7千令吉,增加23.81%。

該公司全年外匯虧損為6千770萬令吉,主要是印尼盾貶跌所致。

該公司執行主席丹斯里曾貴秋在文告中指出,基於穩固的產業發展及種植業務表現,特別是後者坐落於印尼加里曼丹東部等的貢獻漸增,使該公司對持續成長結果感到滿意。

曾貴秋指出,截至今年9月30日的未入賬營業額維持在5億零320萬令吉的高位,預期可在現財政年貢獻可觀盈利。

目前該公司擁有超過1千英畝地庫,發展總值近70億令吉。

曾貴秋指出,旗下油棕園進入成熟階段,預期繼續擴大,該公司將收購更多的綠地,滿足不斷增長的棕油需求。(星洲日報/財經)

Remarks :
The Basic EPS has been adjusted to effect the Bonus Issue of 26,458,525 and 29,104,378 new ordinary shares which was completed on 23 May 2012 and 10 January 2013 respectively and bonus elements of the Rights Issue of 29,104,378 new ordinary shares which was completed on 10 January 2013.

The preceding year's net assets per share has been adjusted to effect the Bonus Issue of 29,104,378 new ordinary shares in order to be comparable to current year's net assets per share.
