The Company had on 25 October 2021 written a reply to Bursa Securities. Below are the salient points from our letter to Bursa Securities:
1) There were no documents or copy of any documents that fit the description of “Factual Findings Update as at 30 September 2021” given to the Independent Non-Executive Directors as at 22 October 2021. 2) The terms of engagement between Ernst & Young Consulting Sdn. Bhd. and the Company dated 2 July 2021:- a) has provided that no work products will be distributed to any parties including the regulators before and/or after the status update; b) prohibits any quoting or references to any report, any portion, summary or abstract thereof. 3) Any documents or report from Ernst & Young Consulting Sdn. Bhd. does not fall within paragraph 9.03 and 9.35A of the MMLR.
Ernst & Young Consulting Sdn. Bhd. is still in the midst of performing the Special Independent Review.

BURSA MALAYSIA SECURITIES PUBLICLY REPRIMANDS AND FINES DATO DR. IR. TS. MOHD ABDUL KARIM BIN ABDULLAH, THE GROUP MANAGING DIRECTOR/CHIEF EXECUTIVE OFFICER OF SERBA DINAMIK HOLDINGS BERHAD (IN LIQUIDATION)

Bursa Malaysia Securities Berhad [Registration No.: 200301033577 (635998-W)] (Bursa Malaysia Securities) has publicly reprimanded and imposed a fine of RM15,000 on Dato’ Dr. Ir. Ts. Mohd Abdul Karim bin Abdullah (Dato’ Karim), the Group Managing Director/Chief Executive Officer of Serba Dinamik Holdings Berhad (in liquidation) (SERBADK) for breach of paragraph 14.08(d) of the Bursa Malaysia Securities Main Market Listing Requirements (Main LR) for failing to give notice to the company secretary within 1 full market day after the disposal of his interest in 107,963,930 SERBADK shares (the Shares) on 9 May 2022 (Disposal) to enable SERBADK to immediately announce such notice including information on the Disposal as required by paragraph 14.08(d)(i)-(iii) of the Main LR. The Disposal was only announced on 12 August 2022.
Pursuant to paragraph 14.08(d) of the Main LR, a director who wishes to deal in the listed securities of his own listed issuer (affected company) during a closed period must give notice of the dealing (which includes acquiring or disposing of securities or any interest in securities under paragraph 14.02(b)(i) of the Main LR) in writing to the company secretary of the affected company within 1 full market day after the dealing has occurred and the affected company must immediately announce such notice to the Exchange. The affected company must include the following in the notice and announcement:
(i) the date on which the dealing occurred;
(ii) the consideration for the dealing; and
(iii) the number of securities involved in the dealing, both in absolute terms and as a percentage of all issued securities of that class in the affected company.
Paragraph 14.02(b)(i) of the Main LR prescribed that “closed period” in relation to a listed issuer means a period commencing 30 calendar days before the targeted date of announcement up to the date of the announcement of the quarterly reports to the Exchange.
The finding of breach and imposition of the above penalty on Dato’ Karim were made pursuant to paragraph 16.19(1)(b) of the Main LR upon completion of due process and after taking into consideration all facts and circumstances of the matter including the materiality of the breach and the objective of Chapter 14 (including paragraph 14.08) of the Main LR which serves to promote transparency and clarity to the market and ensure that shareholders and investors are kept informed of all dealings in the securities of the listed issuer by an ‘insider’ during and outside a closed period.
Bursa Malaysia Securities views the above contravention seriously and reminded Dato’ Karim on his responsibility to maintain appropriate standards of corporate responsibility and accountability to the shareholders and investing public.
BACKGROUND
Dato’ Karim, the Group Managing Director/Chief Executive Officer and a substantial shareholder of SERBADK, had on 5 May 2022 announced his notice of intention to deal in the securities of SERBADK during the closed period from 1 May 2022 to 30 May 2022 where a Board of Directors meeting had been fixed on 30 May 2022 for the purpose of reviewing and approving SERBADK’s third quarterly results for the financial period ended 31 March 2022.
The Shares were pledged by Dato’ Karim to a lender pursuant to a loan agreement and on 9 May 2022, there was a disposal of Dato’ Karim’s interest in the Shares which represented 2.91% of the total share capital, by way of force-selling. However, the Disposal was only announced on 12 August 2022.
Dato’ Karim’s explanation that the Disposal was carried out without notice to him was unacceptable as he was and should be aware of the circumstances (including the terms and conditions of the pledge which allowed the lender to force-sell the Shares without notice to him) and his default leading to the Disposal/force-selling. In this regard, there was inaction/failure by him to monitor, ascertain and put in place adequate process and procedures towards compliance of his obligation under paragraph 14.08 of the Main LR. Further, Dato’ Karim had failed to undertake reasonable enquiry and action to ascertain the Disposal despite the company secretary’s enquiry on 17 May 2022 on whether there was any dealing by Dato’ Karim after the announcement of his notice of intention to deal and engagements by Bursa Malaysia Securities vide emails on 12 July 2022 and 10 August 2022 informing him of the Disposal and requiring him to comply with the requirements of Chapter 14 of the Main LR respectively, which demonstrated a clear lack of regard of the Main LR and failure in the discharge of his duties.
