併购效益料推高盈利　斯巴活力涉足页岩油

（吉隆坡21日讯）斯巴活力（SERBADK，5279，主板贸服股）收购新加坡上市公司--CSE全球的24.84%股权，投资者和分析员期待这项併购带来的效益，可推高斯巴活力的每股盈利。

斯巴活力在今年4月13日宣布，以5767万新元（约1亿7057万令吉），收购新加坡上市科技公司CSE全球24.84%股权，以借后者在油气领域的客户群，扩展工程、採购、建设与调试服务、以及营运及维修服务。

CSE全球主要是一家综合工业自动化、电讯和环境解决方案公司，项目遍布美洲、亚太地区、欧洲、中东和非洲地区。

艾芬黄氏资本分析员表示，投资者普遍上对该公司这项收购所產生的协同效应深感兴趣，包括斯巴活力能够利用CSE全球在美国和澳洲的网络，而CSE也將受益于斯巴活力在中东、大马和中亚的网络。

「其次为通过利用各自现有的设施及更多產品供应和技术交流，加快市场渗透。」

借CES参透市场

该分析员举例，斯巴活力近期受邀参与国家石油在墨西哥的潜在工程，竞標其中6项工程项目。

虽然斯巴活力在该区域没有设施，但因为可借助CSE全球的设施，使它们能够通过首阶段的考核。

隨著新政府上台和项目融资延迟，导致该公司登嘉楼水务处理工厂的批准程序亦因此延迟，拖慢其建设进度。

但这些问题目前已获得解决，应该可以减轻投资者的担忧，分析员预计，第3季的项目贡献將会增强。

另外，斯巴活力在2018年杪將完成哥打马鲁杜（Kota Marudu）3座水力发电站的建设工程；而霹雳州的60兆瓦水力发电站建设工程则將在末季展开。

斯巴活力目前拥有3个水力发电站，分別位于哥打马鲁杜（29.1兆瓦）、霹雳（60兆瓦）以及寮国（30兆瓦）；產能共为120兆瓦，该公司也有信心竞標更多水力发电站项目，目標是將总產能提高至200兆瓦。

「通过竞標建设合约及工厂维修特许经营权，公司的合约订单规模有望接近2018年杪定下的75亿令吉目標（目前为69亿令吉）。」

一旦在2020年竣工，该公司目前的资產组合將贡献整体净利约10%到15%。

Serba Dinamik收购EPCC公司股权

（吉隆坡16日讯）Serba Dinamik Holdings Bhd计划耗资80万美元或大约333万令吉，收购OHP Ventures Incorporated（OHP Ventures）的49%股权，以拓展工程、采购、建设和调试（EPCC）业务。

Serba Dinamik向大马交易所报备，作为OHP Ventures的股东，Serba Dinamik也可以从OHP Ventures在寮国联合发展的能源项目中受惠。

OHP Ventures与Thavone Athsamouth签署了一份联合发展协议，在寮国Houaphan发展、融资、建设、委托、营运和维护两个小型水电设施/项目，总容量为30兆瓦。该项目于7月开始，将于2022年1月完成。

Serba Dinamik透露，独资子公司Serba Dinamik International Ltd（SDIL）与OHP Ventures私人有限公司签署了股权买卖协议（SSA），以认购上述股权。

Serba Dinamik将以去年通过首次公开募股（IPO）筹集的资金及现金，解决上述交易。届时，OHP Ventures将成为SDIL持有49%股权的联号公司。

根据Serba Dinamik，此收购活动是集团拓展业务的策略之一，预计可加强财务状况及盈利。

该集团估计，今年第四季完成收购活动。

（吉隆坡27日讯）Serba Dinamik Holdings Bhd在截至今年9月30日止第三季（2018财年第三季）净赚8323万令吉，比上财年同季的6803万令吉，按年上涨22.3%，归功于营业额增长。

营运与维护活动增加，把营业额按年推高约18%至7亿7022万令吉，上财年同季为6亿5332万令吉。

每股盈利从5.1仙，增至5.67仙。

该集团宣布，派发每股1.65仙第二次中期单层免税股息，将于12月27日支付。

根据文告，营运与维护业务的营业额贡献按年增加23%，得益于中东地区的维护、修理和大修活动增加。

这有助于减轻其工程、采购、建设和调试（EPCC）业务营业额贡献按年滑落17%的影响。

该集团的EPCC活动主要来自瓜拉登嘉楼的当地废水处理厂项目、沙巴Kota Marudu的水力发电厂项目，以及坦桑尼亚的chloralkali工厂项目。

按地区比较，中东地区继续成为该集团收入的最大贡献者，占本季度总收入的61.6%或4亿7050万令吉。

（吉隆坡5日讯）斯巴活力（SERBADK，5279，主板能源股）打算斥资360万美元（约1495万令吉）收购印度IT公司eNoah iSolution印度私人有限公司（简称eNoah）的25万1152股或约30%股权。

斯巴活力希望，在2019財政年將相关业务的贡献增加至占营业额的2%至2.5%。

斯巴活力独资子公司--斯巴活力IT解决方案私人有限公司今日与12名卖家签署股权买卖合约，以收购eNoah的30%股权。同时，也签署了股东协议，以规范和確定各股东在eNoah的权益。

斯巴活力將动用从IPO筹集作为业务发展资金的9500万令吉的一部份，支付这项收购。

eNoah主要提供业务流程外包（BPO）和信息技术（IT）解决方案、业务流程管理和支援服务，及软件和IT產品和平台等。该公司有约600名员工，业务分佈在印度、美国、新加坡、大马和澳洲，客户主要来自保健、保险、製造和汽车领域。
