("RGM"), A WHOLLY-OWNED SUBSIDIARY OF RADIANT GLOBALTECH, FOR THE SUPPLY OF RETAIL TECHNOLOGY HARDWARE AND PROVISION OF MAINTENANCE SERVICES | 1. INTRODUCTION
The Board of Directors of Radiant Globaltech is pleased to announce that RGM, a wholly-owned subsidiary of Radiant Globaltech, had on 25 July 2019, been awarded a contract for the supply of retail technology hardware and provision of maintenance services for LG CNS Malaysia Sdn. Bhd. ("the Contract").
2. SALIENT TERMS OF THE CONTRACT
The salient terms of the Contract are as follows:-
(i) The tenure of the Contract, which covers the deployment stage and the subsequent support and maintenance stage, is from August 2019 to February 2023. (ii) The Contract sum is approximately RM20.0 million for the duration of the Contract. (iii) The liquidated damages for delay caused by RGM is capped to 10% of the value of deployment price.
3. FINANCIAL EFFECTS
The Contract will not have any material effect on the share capital and shareholding structure of Radiant Globaltech. The Contract, however, is expected to contribute positively to the consolidated earnings and net assets per share of Radiant Globaltech for the financial year ending 31 December 2019 and onwards until the expiry of the Contract.
4. THE RISKS IN RELATION TO THE CONTRACT
The risk factors affecting the Contract includes changes in economic, political and regulatory environment and operational risks such as completion risk and shortage of supplies and labour which the Group would take appropriate measures to minimise. The risk factors involved in the contract are considered normal operational risks, and are the same with any other works of such nature undertaken.
5. INTERESTS OF DIRECTORS, MAJOR SHAREHOLDERS AND/OR PERSONS CONNECTED TO THEM
None of the Directors, major shareholders of the Company and/or persons connected to them have any interest, whether direct or indirect, in the Contract.
6. STATEMENT OF THE DIRECTORS
The Board of Directors of the Company is of the opinion that the Contract is in the ordinary course of business and is in the best interests of the Company.
