柔建大型石化工廠
環境評估報告過關
(吉隆坡30日訊)天然資源及環境部長拿督道格拉斯指出,環境局已批准馬礦業在柔佛丹絨賓,興建大型石油化學工廠的環境評估報告。他說,該報告列出嚴格措施,規定發展商須遵守。
他昨日以書面答覆,這么回答行動黨峇吉里區國會議員余德華的詢問。
道格拉斯指出,環境局也考量了這項計劃對環境的衝擊,如埔來河的紅樹林、河流生態、水災問題等。
這也是依斯干達經濟特區的部分計劃,即在柔佛西南一塊913公頃的紅樹林地段,興建石油化學工廠。
這項計劃引起當地居民及環保組織不滿及抗議,指工廠地段距離住宅區500公尺,及該工程將破壞全馬最大紅樹林。

地不佬穩固2827萬售新山地段

(吉隆坡10日訊)地不佬穩固(TEBRAU,1589,主板產業組)以總共2千827萬令吉售出座落在新山區PLENTONG縣總面積達10.254英畝的4片商業地段,收入主要充作營運資本。

該公司發表文告說,首項資產是新山區PLENTONG縣2.139英畝的兩塊地段,總價為670萬8千588令吉;次項資產是同地區8.115英畝的地段,總售價為2千156萬1千731令吉。

首項脫售已反映在2011年12月財政年的財報,次項脫售對現財政年盈利影響顯著,盈利料增長1千288萬令吉,其凈資產也預料增加2.6%。(星洲互動)

售2商业地 地不佬进账2827万

(吉隆坡12日讯)地不佬(Tebrau,1589,主板产业股)宣布以2827万令吉,脱售位于柔佛柏兰东的商业土地,预计较1160令吉的净账面价值高出143.7%。

地不佬发布文告宣布,旗下公司Bayou Bay发展私人有限公司,已在去年9月30日和Delta Bestari私人有限公司签约,脱售两块占地2.139英亩的商业土地。

尔后,公司再与Northstar Frontier私人有限公司,于本月6日签约,脱售另两块占地8.115英亩的商业土地。

根据Raine Home International Zaki + Partners的估值,上述土地估值分别为605万令吉和2075万令吉。

这也意味着,上述估值高出截至2011年12月31日1160令吉的净账面价值约1667万令吉,归功于更大的再发展潜力。[NanYang]

传地不佬收购Danga Bay

(吉隆坡28日讯)消息人士指出,地不佬(Tebrau,1589,主板产业股)将收购柔佛金海湾(Danga Bay waterfront)计划的主要发展商——Danga Bay私人有限公司。

知情人士透露,地不佬或会以发售新股收购Danga Bay。

一旦地不佬完成收购,将会拥有柔佛州面对新加坡的沿海地段,成为最大的面海计划地主和发展商。

据了解,Danga Bay主要股东拿督林刚河,通过Credence资源私人有限公司持有前者70%股权,其余30%股权则为柔佛人民基建集团(简称KPRJ)所有。
“KPRJ将继续成为地不佬最大股东,而林刚河则是第二大股东。”

目前,林刚河仍然是怡克伟士(Ekovest,8877,主板建筑股)的副执行主席。

资料显示,KPRJ是为了发展柔佛北区而成立的公司,而地不佬则参与一些重点地段的发展。

不过,地不佬因受到其他发展趋势如同业竞争者,如实达集团(SPSetia,8664,主板产业股)和UEM置地控股(UEMLand,5148,主板产业股)的竞争,一直无法如愿成为柔佛第一大发展商。

知情人士表示,地不佬收购Danga Bay,是让集团成为领先产业发展商的最后一击。

最大面海地区发展计划
知情人士表示,目前,金海湾计划东区为地不佬所有,而西区则是Danga Bay所有,一旦完成收购,前者将拥有这个区域。

“这个发展计划可以把Danga Bay成为大马最大的面海地区发展计划,区域范围或比新加坡滨海湾金沙酒店大。”

此外,Danga Bay也献议整顿现有大马至新加坡通道,好让帆船和游艇停泊在计划的沿海区域。

一旦计划完成,这吸引世界投资者,带动区域经济发展。

“而地不佬将成为依斯干达区的主要发展发展商,足以与官联公司UEM置地控股竞争。”

根据媒体报道,金海湾是新山首届一指的住宅及商业临海综合发展计划,足足占据新山岸缘约5公里长的范围,加上多元化的发展项目而备受瞩目。

一旦全部完成,金海湾将在高耸宏伟的建筑群、众多零售单位及多姿多采活动的围绕下,蜕变成一个充满动感活力的服务及金融中心。[NanYang]

林剛河入主成股東? 地不老特固停牌2天

(吉隆坡30日訊)配合大股東宣佈重大企業交易,柔州政府政聯企業地不老特固(TEBRAU,1589,主要板房產),今日起停牌兩天,或通過併購換來新面貌,擬脫胎換骨再戰市場。

地不老特固最后作價75仙,將暫停交易至明日下午5時。柔州人民基建機構(KPRJ)正是該公司的最大股東,直接持股41.15%。

地不老特固也是柔州政府的房地產發展臂膀。

英文週報《The Edge》日前引述消息報導,地不老特固計劃收購新山金海灣發展商金海灣有限公司,招攬更多國際投資者。

消息說,地不老特固將發行新股予金海灣有限公司大股東拿督林剛河,完成收購后,林氏將成為公司第二大股東。

柔州人民基建機構由柔州務大臣拿督阿都干尼倡導成立,為催化柔州南區發展,許多黃金地段因此納入地不老特固旗下,令該公司獲看好成為柔州房產發展領頭羊。

不過,隨著大型房產公司如實達集團(SPSETIA,8664,主要板房產)和UEM置地(UEMLAND,5148,主要板房產)加入戰圍,使地不老特固失去市場焦點。[ChinaPress]

On 31 January 2012, the Board of Tebrau Teguh Berhad (“TT”) received a letter from our major shareholder, Kumpulan Prasarana Rakyat Johor Sdn Bhd (“KPRJ”), informing that it had accepted an offer (“Offer’) from Iskandar Waterfront Holdings Sdn Bhd (“IWH”) to acquire 222,000,000 ordinary shares of RM0.50 each in TT Berhad (“TT Shares”) from KPRJ (“Proposed Acquisition”) representing 33.15% of TT’s issued and paid-up share capital at RM0.76 per TT Share (“Offer Price”).

IWH is a company incorporated in Malaysia with a paid-up capital of RM12,746,295.29 comprising of 10,000,000 Ordinary Shares of RM1.00 each and 274,629,529 Redeemable Preference Shares of RM0.01 each. Its shareholders are Credence Resources Sdn Bhd and KPRJ and its directors are Dato’ Lim Kang Hoo, Lim Hoe, Lim Keng Cheng, Lim Chen Herng, Dato’ Dr Hj Shahir bin Nasir, Dato’ Hj Ayub bin Mion and Johar Salim Yahaya.

Salient terms of the Offer are as follows:

(i)        IWH, KPRJ and any other relevant parties are to enter into definitive agreements on or before 29 April 2012, upon terms and conditions to be agreed upon to give effect to the Proposed Acquisition (“Definitive Agreements”);
(ii)        In the event that TT declares, makes and/or pays any dividend or distribution in any form prior to the completion of the Proposed Acquisition, the Offer Price shall be reduced by an amount equivalent to the net amount of such distribution made;
(iii)        The Proposed Acquisition is subject to all relevant approvals being obtained including third-party consents and regulatory approvals, where required.

Upon the Definitive Agreements becoming unconditional, the Proposed Acquisition will trigger a mandatory take-over offer by IWH and/or parties acting in concert with it for all the remaining TT ordinary shares not already owned by IWH (together with parties acting in concert with it) at a cash consideration of RM0.76 per share pursuant to the Malaysian Code on Take-overs and Mergers, 2010 (“Code”) (“Mandatory Offer”). The Mandatory Offer will be conditional upon IWH receiving valid acceptances which would result in IWH and parties acting in concert with it holding in aggregate more than 50% of the voting Shares in TT.

Upon completion of the Proposed Acquisition, KPRJ’s direct shareholding in TT will be reduced from approximately 41.15 interest to 8.0% whilst IWH will emerge as the single largest shareholder in TT with approximately 33.15% equity interest in TT.

The Company is currently negotiating the technical, financial and legal aspects of the appointment. We will make further announcement on the final terms and conditions of the said Project later.
