依斯干達濱岸擬上市 地不老特固漲11.5仙

（吉隆坡25日訊）地不老特固（TEBRAU，1589，主要板房產）主要股東依斯干達濱岸控股（Iskandar Waterfront）計劃上市，今日帶動前者股價上漲。

該股早盤以82.5仙迎市，起1仙，持續走高至87.5仙，揚6仙后，漲幅開始收窄。休市時掛87仙，起5.5仙，成交量為859萬6200股。

午盤間，該股持續走高，閉市時收在92仙，漲11.5仙，為10大上升股之一，並以成交量達2652萬500股進入了10大熱門股榜。

根據“路透社”獲知情人士指出，依斯干達濱岸控股將在今年6月上市，預計籌資超過3億美元（約9億1200萬令吉）。

據早前報導指出，地不老特固在去年12月，獲柔州經濟策劃單位受委為邊佳蘭居民重建家園工程計劃，建築及基建工程主要承包商，合約總值3億3541萬9880令吉。

（吉隆坡19日訊）新加坡淡馬錫控股以8億令吉向地不老特固（TEBRAU，1589，主要板產業）大股東依斯干達濱岸控股（IWH）購地，聯營發展總值80億令吉項目，協議未簽股先熱！

地不老特固股項今早即在消息催谷下大熱，開市時起2仙至94.5仙，盤中交投不斷，備受投資者熱捧；休市時該股揚0.5仙，掛93仙，成交量1271萬5700股，為早盤十大熱門股項之一

午盤投資者對地不老特固的購興仍甚濃，閉市時，該股跌0.5仙至92仙，成交量1578萬1200股。

今日文告指出，貴為新加坡政府投資臂膀的淡馬錫，率子公司一同注資柔佛州，將以8億令吉收購面積28.33公頃、位于金海灣（Danga Bay）的土地，今日將在簽署協議。

參與公司尚包括大馬凱德私人有限公司（CapitaLand），土地將做綜合發展項目，興建包括高樓、購物中心及店面等，預計耗資80億令吉成本及數年完成。

售約243公頃土地

若包括去年12月同樣由依斯干達濱岸脫售給中國碧桂園的土地，前者至今已銷售約242.81公頃土地；目前該公司在該區共計有1618.74公頃土地。

大馬投資研究分析師即在報告中指出，若以8億令吉成交價計算，每平方尺262令吉價格大幅低于碧桂園購價。

他指出，亞洲國家打房措施可望將資金吸引到柔佛州，當地房地產沉寂2年后，過去6個月正追趕著吉隆坡及檳城房價上揚。[中国报财经]

（吉隆坡19日訊）隨著母公司依斯干達浮城控股（Iskandar Waterfront Holdings）可能在今年6月上市，地不佬穩固（TEBRAU，1589，主板產業組）近期牛氣逼人，股價19日再漲6仙或4.96%。

該股早盤以1令吉23仙開市，漲2仙，盤中一度漲至1令吉29仙全日最高，揚8仙或6.6%，終場閉市漲幅稍微收小，掛1令吉27仙，成交量2千零835萬6千股，是全場第六熱門股。

地不佬穩固近期似特別受投資者愛戴，尤其當母公司依斯干達浮城控股可能尋求上市的消息傳出後，該股更加勢如破竹，股價從本月初算起至今已大漲33%。

分析員認為，投資者將地不佬穩固視作投資依斯干達特區的便宜選項，加上2名來自怡克偉士（EKOVEST，8877，主板建筑組）的董事加盟該公司，更讓市場相信地不佬穩固將更積極參與依斯干達發展項目。

（吉隆坡21日訊）（吉隆坡21日訊）因近期股價不尋常上漲而於今日遭交易所質詢的地不佬穩固（TEBRAU，1589，主板產業組）透露，正與數方洽談聯營發展旗下特定地庫，惟強調一切仍未拍板。

該公司股價從年初至今大漲100%，過去一週強勁漲勢尤其惹人矚目，交易所今日就此發出不尋常市場活動質詢（UMA），要求該公司提供合理解釋。

地不佬穩固在文告中解釋，在向董事部和大股東查詢後，並沒有發現任何可能導致股票異動的原因，除了公司正在洽談某項涉及旗下地庫的聯營發展計劃。

“相關洽談仍處不穩定狀態，也未達成任何共識，況且，由於未展開相關估值和可行性評估，洽談活動未有任何結果，公司未來會繼續向交易所匯報最新發展。＂

传大型发展商 青睐地不佬地段

（吉隆坡25日讯）外传不少大型产业发展商聚焦于地不佬（Tebrau，1589，主板产业股）位于柔佛的优质地段，双方初步洽商，估计数月内可达成协议。

业界消息人士话，双方协议估计会在依斯干达海滨控股（Iskandar Waterfront Holdings，简称IWH）上市前取得共识。市场曾传出IWH将在今年7月上市。

“越来越多发展商想要从依斯干达特区分一杯羹……这对地不佬无疑是个好消息，可逐步释放地库价值。集团旗下土地已显著增值。”

根据地不佬最新财报，集团在柔佛南部拥有408.3公顷、10年前重估地段总值约5亿8660万令吉。

地不佬今年3月回应马交所不寻常市场活动（UMA）质询时指出，集团目前针对部分土地洽谈联营，但未有具体成果。

股价飙至RM1.62

产业领域获唱好带动地不佬股价从今年初70.5仙，暴涨至本月20日的高峰1.62令吉。地不佬2012财年净利报1290万令吉或每股1.93仙，营业额录得1亿6330万令吉。

传闻将会推行企业活动　地不佬最近走势凌厉

（吉隆坡25日讯）由于市场传言地不佬有限公司（TEBRAU，1589，产业组）有待推行一项企业活动，而促使该公司股价最近走势凌厉。

在昨日早盘交易中，该公司股价一度上涨5仙至1.49令吉，但它在收市时乃回落2仙至1.43令吉，有664万3600股易手。尽管如此，自本月初开始，其股价已上升近15%。

市场传言包括主要股东丹斯里林刚河，可能将该公司列为私有化候选名单。

去年，通过依斯干达海滨控股有限公司（IWH）向柔佛人民基建集团（简称KPRJ）收购地不佬的额外33.15%股权后，使到它在该公司的持股权增至47.16%，因而触发了强制性全面收购地不佬的股权。

林氏将以每股76仙价格或1亿6870万股收购地不佬的股权，他表示将维持地不佬的上市地位。

柔佛人民基建集团仍然持有地不佬的8%股权。

假如林氏现在要以1.43令吉价格收购少数股东的股票，那么他将不得不掏出约5亿令吉收购他尚未持有的股票。

然而，据银行业消息人士称，若林氏要做出这样的买断，在筹集所需的资金方面，可谓具有挑战性。

与此同时，其他消息认为地不佬将成为焦点，因为它即将达致一项协议来处理它在柔佛一些珍贵的土地给主要的大马产业发展商。

截至去年6月为止，该公司在大马依斯干达拥有408公顷有待发展的土地。

另一种可能性是，林氏可以进行筹资活动，旨在筹集资金以便在期待的土地上推行产业发展计划。

（吉隆坡7日讯）地不佬（TEBRAU，1589，主板产业股）子公司———地不佬海湾建筑私人有限公司，遭起诉和索偿近3000万令吉。

地不佬今天向马交所报备，子公司接获来自ML Sepakat私人有限公司（MSSB）的出庭传票和索偿明细书。

MSSB入禀法庭指控地不佬海湾建筑私人有限公司，拖欠清理场地和土木工程合约金额，高达2897万9574.76令吉。

同时，MSSB也要求地不佬子公司退还高达294万2500令吉的保留金，以及支付利息和堂费。

地不老特固麗陽機構聯營37億房產

（吉隆坡26日訊）地不老特固（TEBRAU，1589，主要板房產）與麗陽機構（TROP，5401，主要板房產）將聯營初步發展總值達37億令吉的房地產項目。

地不老特固向馬證交所報備，子公司Tebrau Bay與麗陽機構子公司Golddust United，已成立聯營公司Renown Dynamics私人有限公司，分別持有70%和30%股權。

同時，地不老特固建議以4億4431萬2000令吉，脫售84.614英畝土地予Renown Dynamics，料在2015年次季完成。后者將通過現金和銀行貸款融資。

Renown Dynamics將收購土地作綜合發展，涵蓋商業和住宅項目，初步計劃發展總值為37億令吉。

另外，地不老特固透過脫售土地料取得介于3億1102萬至4億4431令吉的資金，將分配供基礎設施、稅收以及工程開銷用途。

筹资6.7亿 地不佬发附加股送凭单

（吉隆坡26日讯）地不佬（TEBRAU，1589，主板产业股）宣布，以1配1、2送1的比例，发行附加股和赠送凭单，最高料可筹达6亿6973万令吉。

根据文告，地不佬献议以每股1令吉的发售价，发行6亿6972万7143附加股，每持有1股普通股股东，可认购1股附加股。

同时，该公司也将派出3亿3486万3571张凭单，每认购2股附加股的股东，可获赠1张凭单，凭单行使价设在1.30令吉。

地不佬预计，这项附加股发行和凭单赠送活动，将可筹资3亿1585万至6亿6973万令吉，计划用在产业发展开支、偿还贷款、未来投资和附加股相关费用。

另一方面，由于依斯干达海滨控股（Iskandar Waterfront Holdings，简称IWH）在地不佬持股47.16%，认购附加股恐将触碰强制性全面收购（MGO）门槛。

Description	TEBRAU TEGUH BERHAD (“TTB” OR “COMPANY”) (I)        PROPOSED RIGHTS ISSUE WITH WARRANTS; (II)        PROPOSED ESOS; (III)        PROPOSED EXEMPTION; (IV)        PROPOSED INCREASE IN AUTHORISED SHARE CAPITAL; AND (V)        PROPOSED M&A AMENDMENTS
On behalf of the Board of Directors of TTB (“Board”), AmInvestment Bank Berhad (“AmInvestment”) and Hong Leong Investment Bank Berhad (“HLIB”) wishes to announce that TTB is proposing to undertake the following: (i)         proposed renounceable rights issue of up to 669,727,143 ordinary shares of RM0.50 each in TTB (“Rights Shares”) on the basis of 1 Rights Share for every 1 existing ordinary share of RM0.50 each held in TTB (“TTB Shares” or “Shares”) at an issue price of RM1.00 per Rights Share together with up to 334,863,571 free detachable warrants (“Warrants”) on the basis of 1 free Warrant for every 2 Rights Shares subscribed on an entitlement date to be determined later (“Proposed Rights Issue with Warrants”); (ii)        proposed exemption under Paragraph 16.1 of Practice Note 9 of the Malaysian Code on Take-Overs and Mergers, 2010 (“Code”) to Iskandar Waterfront Holdings Sdn Bhd (“IWH”) from the obligation to extend a mandatory take-over offer for the remaining TTB Shares not already held by it which may arise pursuant to the Proposed Rights Issue with Warrants (“Proposed Exemption”); (iii)        proposed establishment of an employees’ share option scheme (“ESOS”) for eligible employees and directors of TTB and its subsidiaries (“TTB Group”) (“Proposed ESOS”); (iv)       proposed increase in the authorised share capital of the Company from RM500,000,000 comprising 1,000,000,000 TTB Shares to RM2,000,000,000 comprising 4,000,000,000 TTB Shares (“Proposed Increase In Authorised Share Capital”); and (v)        proposed amendments to the Memorandum and Articles of Association (“M&A”) of TTB (“Proposed M&A Amendments”). The Proposed Rights Issue with Warrants, Proposed Exemption, Proposed ESOS, Proposed Increase in Authorised Share Capital and the Proposed M&A Amendments are collectively referred to as the “Proposals”. (Unless otherwise stated, definitions used in this announcement shall carry the same meanings as defined in the announcement dated 26 December 2013.) We refer to the announcements dated 26 December 2013 and 16 January 2014 in relation to items (I) to (IV) of the abovecaptioned. On behalf of the Board, AmInvestment and HLIB (collectively the “Joint Advisers”) wishes to announce that the Board intends to undertake the Proposed Rights Issue with Warrants on a full subscription basis in order to raise proceeds of approximately RM669.7 million via the Undertaking as well as the necessary underwriting arrangement to be procured in due course. Accordingly, and taking into consideration the aforesaid, the Proposed Exemption will no longer be required to facilitate the Proposed Rights Issue with Warrants. The Company is also proposing to change its name from "Tebrau Teguh Berhad" to "Iskandar Waterfront City Berhad" (“Proposed Change of Name”). The Proposed Change of Name will be subject to the approval of the shareholders of the Company at the forthcoming extraordinary general meeting and a circular to shareholders with details of the Proposed Change of Name will be issued to the shareholders in due course. The new name "Iskandar Waterfront City Berhad" had been approved and reserved by the Companies Commission of Malaysia for the Company. The Proposed Change of Name, if approved by the shareholders, will take effect from the date of issuance of the Certificate of Incorporation on Change of Name of Company by the Companies Commission of Malaysia. （吉隆坡1日讯）地不佬（TEBRAU，1589，主板产业股）建议，改名为“依斯干达海滨城有限公司”（Iskandar Waterfront City Berhad）。

地不佬向马交所报备，公司将在来临股东特别大会上，寻求股东批准从目前“地不佬”（Tebrau Teguh Berhad），改名为依斯干达海滨城。

地不佬大股东丹斯里林刚河目前透过依斯干达海滨控股（Iskandar Waterfront Holdings），持有该公司的47.16%股权。
