柏利赛接获清盘诉讼

（吉隆坡27日讯）柏利赛石油（PERISAI，0047，主板贸服股）因为无法偿还1500万新元（约4518万令吉）的票据加利息，因而接获清盘诉讼。

根据文告，发出清盘诉讼的是新加坡籍拉维慕拉卡，他是柏利赛石油7亿新元（约21亿令吉）票据，其中1500万新元（约4518万令吉）的票据持有者。

拉维慕拉卡说，该公司没有办法支付金钱，来赎回总值1500万新元（约4518万令吉）的票据和利息。

子公司SJR违约

柏利赛石油也宣布，旗下持股51%的SJR海事(L)有限公司（简称SJR），今天接获违约通知。

根据文告，发出违约通知的是华侨回教银行，要求该公司在14天内，偿还2054万4527美元（约8616万令吉）的贷款。SJR正寻求法律咨询，而柏利赛石油也将在必要时作出公布。【e南洋】

与债权人洽谈助重组
柏利赛石油获政府平台协助

（吉隆坡19日讯）柏利赛石油（PERISAI，0047，主板贸服股）获得大马政府旗下的企业债务重组委员会（CDRC）协助，缓解债权人的法律行动并协助重组债务。

根据新吉隆坡《商业时报》报道，公司早前已向大马政府旗下的企业债务重组委员会申请支援，在无需通过法律程序，解决债务问题。

CDRC在11月9日接受该项申请，并发出信函给柏利赛石油在新加坡及大马的债权人，以及未偿还的1.25亿新元（约3.77亿令吉）票据的托管人。

所有债券持有人，必须停止向柏利赛石油整家集团采取法律行动，包括SJRMarine有限公司、Emas Victoria（纳闽）有限公司和Intan岸外（纳闽）有限公司。

CDRC将会召开一项会议与债权人会面，之后，公司会有60天的时限，提呈债务重组计划的建议书。【e南洋】

第三季营业额下滑20.81%至3891万4000令吉，令9个月营业额跌7.93%至1亿4688万3000令吉。

该公司在业绩文告中解释，第三季营业额下滑，主要是HESS合约于2016年8月6日到期后只征收待用费所致；9个月营业额下滑，是因为贝利赛Pacific 101租船率给予9个月折扣，对比去同期的7个月折扣，以及HESS只征收待用费影响。

油价下滑因素影响，该公司展望中短期油气资产需求维持挑战，将谨慎管理资本及成本，维持营运效率及为旗下资产探讨各种机会，同时也针对PN17状况探讨债务重组计划。

需时解决债务．贝利赛目标价大砍

（吉隆坡30日讯）贝利赛（PERISAI，0047，主板贸服组）受拨备和注销拖累，导致第三季蒙受巨亏，分析员大砍目标价，预料该公司需更长时间才能解决债务问题。

受拨备和注销拖累

联昌研表示，贝利赛截至2016年第三季净亏损2亿9300万令吉，主要由于作出1亿7900万令吉的固定资产拨备，以及注销了2400万令吉的船坞预付款。至于扣除特别项目后的核心亏损则为490万令吉。

联昌原本预测JU PP101钻油台在2016年8月至2017年4月之间可能零租用收费，但结果显示预测不正确，PP101继续获得租用，每日租金令7万5000美元。

另外，贝利赛要求延后接收新建的PP102和PP103钻油台。

贝利赛在10月3日表示其1亿2500万新元票据违约，并已宣布寻求国家银行旗下企业债务重组委员会（CDRC）的协助，将于2017年1月9日提呈债务重组建议给该委员会，同时也正谈商一笔2000万美元的贷款以解决债务问题。

贝利赛也可能透过执行4300万美元的卖权，脱售SJR海事的51%股权以取得资金，此卖权未被执行，显示了买家无力付款。

该公司出租给HESS的浮式生产储卸油船（FPSO）将于2017年5月租约到期，在油价走低之下，一旦未获更新租约，将对贝利赛盈利带来打击。

联昌保持“减持”评级，目标价从8仙大砍至2仙。

（吉隆坡10日讯）柏利赛石油（PERISAI，0047，主板贸服股）遭联营伙伴Emas岸外解除股权买卖协议，可能对此采取法律行动。

柏利赛石油向马交所报备，在12月8日，该公司按照双方2012年11月30日签署的股权买卖协议，通知Emas岸外，执行把SJR Marine公司51%股权脱售给Emas岸外的权利。

之前双方已经订好，上述股权交易定价为4303万1406美元（约1亿9039万2458令吉）。

不过，柏利赛石油在同一天，却接获Emas岸外的信函通知，称因特定事件发生后，打算解除该协议。

因此，柏利赛石油咨询法律意见后，决定反驳Emas岸外的通知，并称Emas岸外无权发出通知书和解约。

（吉隆坡14日讯）新加坡公司Emas岸外，反驳柏利赛石油（PERISAI，0047，主板贸服股）的索赔，并准备进行法律诉讼，以撤销多年前所定下的4300万美元（约1亿9086万令吉）股权交易。

根据新加坡《商业时报》报道，Emas岸外昨日向新加坡交易所报备，柏利赛石油打算对股权买卖协议被撤销进行辩护。

Emas岸外在上周四（8日）表示，基于柏利赛石油违约，因此要求解除双方的股权买卖协议及股东协议。

根据原定的买卖协议，柏利赛石油将以4300万美元（约1亿9086万令吉），把SJR Marine公司51%股权脱售给Emas岸外。

隶属新加坡以斯拉控股（Ezra Holding）的Emas岸外，并未在文告中详细说明违约事项。

柏利赛石油与Emas岸外是在2012年签署股权买卖协议，让柏利赛石油以4300万美元，把JR Marine公司51%股权及流动移动岸外生产单位（MOPUs），脱售给Emas岸外。

陷入財務困擾的PERISAI油科向馬證交所報備，朝聖基金局于上周四（29日）脫售公司1030萬股，而不再為公司主要股東，但沒透露目前的持股率。

朝聖基金局在較早前，即上周三（28日）和，先后脫售公司880萬股和1030萬股，將當時的持股率降低至5.3%或6700萬股。

PERISAI油科基于債券違約，在去年10月中陷入PN17行列；截至上週五（6日）股價每股剩8仙。

贝利赛拟发股还债．部份股东拒接受

（吉隆坡7日讯）贝利赛（PERISAI，0047，主板贸服组）有意以长达5年的新证券工具和部份现金偿还高达1亿2500万新元（3亿7000万令吉）到期票据，但部份股东并不愿意接受此提案。

该公司的新加坡籍债券持有人拉威穆拉卡（Ravi Murarka）接受《彭博社》采访表示，该公司积欠股东的债务，当中的4%或340万新元（约1006万令吉）将以现金偿还，剩余的690万新元（2042万令吉）将以可赎回债券股以及7900万新元（约2亿3384万令吉）不可赎回债券股。

拉威穆拉卡周一在大马法庭上援引文件表示，该提案是根据该公司9月30日估值。他表明不会接受该献议。

“没有人能接受自己手上资金被锁死在一家无法还债的公司那么久。”

贝利赛受询时未作任何回应。

清盘聆讯3月展开

该批票据在2016年10月3日到期，贝利赛曾尝试说服票据持有者延长付款期限，但遭票据持有人拒绝。

在今年1月贝利赛获得长达90天阻止债券持有人清盘的限制令，但拉威穆拉卡已经入禀法院，在今年3月将展开该公司清盘聆讯。

（吉隆坡24日讯）因为少了较高的报备，柏利赛石油（PERISAI，0047，主板贸服股）截至去年12月杪末季转亏为盈，净赚1024万9000令吉。第三季净亏2.9亿令吉。

上财年同季净亏7亿2458万4000令吉。

该公司今日向马交所报备，基于上一季联营投资、厂房与预付款项的减值拨备较高，所以面对亏损。

根据文告，末季营业额按年则跌30.74%，录得3826万8000令吉，上财年同季为5525万3000令吉。

累计全年，该公司净亏缩小至2亿8978万2000令吉；营业额则下跌13.80%，录得1亿8515万1000令吉。

柏利赛石油董事部指出，短至中期，油气资产的需求依然充满挑战。

因此该公司将对资本与成本管理保持谨慎的态度，并预计会维持资产的营运效率。

上个月，柏利赛石油旗下的Perisai Capital (L) Inc已获得高庭庭令，禁止他方对该公司和Perisai Capital采取诉讼和任何行动。

拟发3.96亿债券．贝利赛洽新偿债方案

（吉隆坡8日讯）贝利赛（PERISAI，0047，主板贸服组）再次向债券持有人推出新偿债方案，建议以340万美元（约1509万令吉）以及8590万美元（约3亿8134万令吉）不可赎回可转换债券偿作为偿还条件。

特殊股权5年后可转换股票

根据新加坡《海峡时报》报道，该公司董事经理赛诺艾查依沙在本周二与债券持有人见面，告知他们上述偿债计划。该批特殊股权在5年后可以转换为贝利赛股票。

在去年10月，贝利赛债券持有人一致否决贝利赛延迟偿还要求，主要原因是当时条件和之前该公司赛诺查伊沙在8月所提出条件不同。

赛诺查伊沙当时表示，贝利赛至少会偿还2000万美元现金（约8800万令吉）于债券持有人，但此承诺并没有兑现。

其中一名主要债券持有人穆拉卡对管理层表示，管理层怎么能要求债券持有人接受仅仅340万美元现金的偿债协议，这与之前答应偿还2000万美元现金差距太大了。

原本打算偿还债务资金，是来自该公司之前以4300万美元（1亿8920万令吉）脱售旗下子公司予Emas岸外（EOL）收入。

赛诺查伊沙解释道，“我们已经和EOL达成协议，不过他们无法确定是否能准备2000万美元（约8880万令吉）。”

穆拉卡则表示，贝利赛与EOL交易并没有达成，这是因为贝利赛在临时改变偿还贷款条件后，无法获得债券持有人同意。

之前答应偿还2000万美元现金，现在变成340万美元，主要是该公司搁置了高达500万美元（约2200万令吉）营运资本所致。

在该公司无法还债后，根据相关法律规定，当该公司需要与某一方债主就其欠债达成协议的时候，如：债券持有人，必须根据其他债券人的比例来做决定。

在昨日，该公司并没有表示任何扭转目前困境方法。虽然该公司依然进行国家石油（Petronas）合约，但其现金流量却作为银行担保，以符合银行的贷款标准。

毕马威已非债务重组代表

赛诺查伊沙表示，毕马威（KPMG）已经不是该公司的债务重组代表，目前是安永和Sage 3 Capital提供贝利赛谘询服务。

按目前形势来看，就算债券持有人拒绝该协议，结果不会有太大不同，主要是债券持有者在贝利赛偿债框架下，被当作少数债权人，只要该公司得到银行的同意，该偿债计划仍会继续进行，除非法院否决该公司目前提出的偿债框架。

Ezra申请破产 Perisai攀升

（吉隆坡20日讯）上游石油与天然气服务供应商Perisai Petroleum Teknologi Bhd全日上扬0.5仙或7.69%，此前大股东Ezra Holdings Ltd根据美国破产法第十一章申请破产。

新加坡上市的Ezra是PN17公司Perisai的间接股东，持有约2亿8134万股或23.01%。

根据Inter-Pacific证券研究主管冯廷秀，此举被视为对Ezra有利，Perisai亦是，因Ezra可能会出现新股东。

“如果一个新股东加入Ezra，这也意味着Perisai有新股东。”

闭市时，Perisai收报7仙，共373万100股易手。市值为8826万令吉。

在过去12个月，该股下挫了73%。今年来跌近18%。

Ezra昨日连同独资子公司EMAS IT Solutions私人有限公司和Ezra Marine Services私人有限公司宣布，已提出自愿请求，以重组其财务状况。

Perisai于2016年10月列入PN17行列，因独资子公司Perisai Capital（L）Inc未能支付多币中期票据的本金和利息。

柏利赛与债权人会面
确保继续营运

（吉隆坡22日讯）正努力重组债务的柏利赛石油（PERISAI，0047，主板贸服股），据称日前与债权人会面，并大派定心丸。

该公司发言人法兹琳指出，与企业债务重组委员会（CDRC）的会议中，向债权人，包括债券受托人承诺，会致力确保可以继续营运，并保留上市地位。

“我们希望让重要的客户大马国家石油放心，以及解决监管机构的担忧。”

该公司同意委任财务顾问给债券持有人。 安永（Ernst & Young）和Sage 3资本将会对债务重组计划提供咨询。

本月初，有报道指，柏利赛石油在与债券持有人会面中，提出以340万美元（约1512万8300令吉）现金，以及发行总值8590万美元（约3.82亿令吉）不可赎回可转换债券，以偿还公司债务。

该公司称，这批不可赎回可转换债券，会在马交所上市及交易，并可在5年后转换成母股。

柏利赛石油独资子公司总值1.25亿新元（约3.77亿令吉）的票据，去年10月届满，因无法偿还本金和利息，母子双双接获违约通知。 【e南洋】

柏利赛石油付240万

（吉隆坡17日讯）柏利赛石油（PERISAI，0047，主板贸服股）将支付总值54万5319美元（约240万2948令吉），来完成Perisai Kamelia的调遣活动。

柏利赛石油今日向交易所报备，旗下Emas Victoria (L) 有限公司（简称EVLB），已与Emas岸外建筑与生产私人有限公司（简称EOCP）签约。

后者将为EVLB的浮式生产储卸油轮（FPSO）Perisai Kamelia，提供调遣相关的项目管理、工程与支援服务。

同时，柏利赛石油也宣布，已向高庭申请限制令，且在周一获得临时庭令，限制所有针对该公司和子公司柏利赛资本的行动。【e南洋】

新会计标准．联号遣散支出．贝利赛3个月净亏6530万

（吉隆坡22日讯）受到新会计标准折旧认列、未实现营运费用亏损以及联号遣散费用增加拖累，贝利赛（PERISAI，0047，主板贸服组）截至2017年3月31日止3个月净亏6529万5000令吉。

该公司营业额为4612万9000令吉。

由于该公司更换财政年，因此无前期数据。

该公司在文告中指出，该公司贝利赛Perisai Kamelia以及其他8艘船舰的合约，将分别在今年5月和8月到期，公司将继续为旗下资产寻找合适的营运机会。

至于该公司债务重组部份，贝利赛表示，在今年第二季之前与债权人达成协议。在今年5月5日，贝利赛也获得大马高庭颁发，针对该公司以及Perisai Capitald的法律诉讼限制令，该限制令长达3个月。相关法律诉讼安排将在今年第三季之前完成。
